SECOND AMENDMENT TO
AGREEMENT NO.7172 BETWEEN
THE CITY OF EL SEGUNDO AND
FS CONTRACTORS, INC.
THIS SECOND AMENDMENT ("Amendment") to Agreement No. 7172 ("Agreement") is
made and entered into this 16th day of July, 2025, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and FS CONTRACTORS, INC., a California Corporation
("CONSULTANT"). The parties agree as follows:
1. Pursuant to Section 20 of the Agreement, Section 1(C) shall be modified to read as
follows:
"As additional consideration, CITY agrees to pay CONTRACTOR for
CONTRACTOR's services not to exceed sum of Twenty -Four Thousand
Dollars ($24,000.00) per fiscal year as set forth in duly executed Task
Order(s). CITY will pay this sum(s) on the basis of the hourly rates and cost
reimbursement rates as specified in the attached Exhibit "A," which is
incorporated herein."
2. Pursuant to Section 20 of the Agreement, Section 3(13) shall modified to read as
follows:
"The specific services required of CONTRACTOR under this Agreement will
consist of the tasks and obligations defined in a Task Order approved by
CITY and CONTRACTOR in response to specific project scopes of work and
services requested by CITY. Any duly executed and approved Task Order
will become part of this Agreement. All Task Orders up to $10,000 require
approval from the City Engineer. All Task Orders over $10,000 require
approval from the Public Works Director. The Standard form for the Task
Order is set forth in Exhibit "B." The total combined dollar amount of all Task
Orders under this Agreement shall not exceed $25,000 within one fiscal
year."
3. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission. Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONTRACTOR
warrants that its signatory (or signatories, as applicable) to this Amendment has the
legal authority to enter this Amendment and bind CONTRACTOR accordingly.

4. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.
IN WITNESS WHEREOF the parties hereto have executed this contract the day
and year first hereinabove written.
