FIRST AMENDMENT TO
AGREEMENT NO. 6959 BETWEEN
THE CITY OF EL SEGUNDO AND
CATALIS PUBLIC WORKS & CITIZEN ENGAGEMENT, LLC
THIS FIRST AMENDMENT ("Amendment") to Agreement No. 6959 ("Agreement") is
made and entered into this 30th day of June 2025, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and Catalis Public Works & Citizen Engagement, LLC, a Delaware
limited liability company ("CONSULTANT"). The parties agree as follows:
1. Pursuant to Section 19 (Modification) of the Agreement, and effective July 1, 2025,
Exhibit "A" is modified to add Catalis Request Management Survey Tool as a Service
under the Agreement. CONSULTANT shall provide the new service to the CITY's
System Administrator and charge an additional annual Subscription Fee as follows:

*Year 1 total cost of $2, 000 has been prorated to align with *$1, 888.33
Service Start and existing Services annual term end.
CONSULTANT shall set up and activate the Survey Tool feature within Request
Management Enterprise ("RME" or "Software"), and CONSULTANT shall provide up
to two (2) hours of web -based training, and implementation at no cost to the CITY.
2. Section 1 (Consideration), Paragraph C is modified to increase the not to exceed
compensation amount by $1,888.33, so that the total, not -to -exceed amount is
$41,473.33.
3. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is delivered
by electronic transmission. Such electronic signature will be treated in all respects
as having the same effect as an original signature. CONSULTANT warrants that its
signatory (or signatories, as applicable) to this Amendment has the legal authority
to enter this Amendment and bind CONSULTANT accordingly.
4. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.
