SIXTH AMENDMENT TO CONTRACT 5469 BETWEEN
City of El Segundo AND MuniServices, LLC
THIS SIXTH AGREEMENT AMENDMENT ("Amendment") to Agreement No.
5469 ("Agreement") is entered into between City of El Segundo, a government entity in the
State of California ("City") and MuniServices, LLC, a Delaware limited liability company
("Consultant" or "MuniServices"), (collectively the "Parties").
The City and Consultant agree as follows:
WHEREAS, the City and Consultant, entered into a Professional Services Agreement
on January 27, 2018 (hereinafter "Agreement") for Utility Users Tax (UUT) Administration
Services ("Services"); and
WHEREAS, under Section 8 - TERM, the initial term of the Agreement shall be from
May 1, 2018 to February 28, 2019, unless otherwise determined by written amendment between
the parties; and
WHEREAS, on or about March 1, 2019 the Parties mutually agreed to extend the term
of the Agreement another year to February 28, 2020 through Amendment No. l; and
WHEREAS, on or about February 10, 2020, the Parties mutually agreed to extend the
term of the Agreement to February 28, 2021 through Amendment No. 2; and
WHEREAS, on or about December 16, 2020 the Parties mutually agreed to extend the
term of the Agreement to June 30, 2021 through Amendment No. 3; and
WHEREAS, on or about June 15, 2021 the Parties mutually agreed to amend the
agreement to automatically renew on an annual basis through Amendment No. 4; and
WHEREAS, on or about July 30, 2024 the Parties mutually agreed to increase the
administrative fee and increase the annual fiscal year compensation through Amendment No.
5; and
WHEREAS the parties now seek to update Agreement Exhibit "A" regarding
compensation payable under the Agreement, including an update the monthly administration fee.
NOW THEREFORE, in consideration of the promises and mutual covenants
contained herein, the Parties hereby agree to amend the Agreement as follows:
1. Pursuant to Agreement Section 35 (Authority/Modification), Exhibit "A" to the Agreement
is amended to update the monthly administrative fee to an amount of $3.41 per filing
transaction, which is typically one transaction per UUT taxpayer per month until June 30,
2026, and increase by 5% every year thereafter.
2. Pursuant to Agreement Section 35 (Authority/Modification), Subsection C of Section 1
Agreement No. 5469F
(Consideration) is amended to update the total not -to -exceed compensation to an amount
not to exceed $25,000 per City fiscal year.
This Amendment may be executed in any number or counterparts, each of which will be an
original, but all of which together constitutes one instrument executed on the same date. In
accordance with Government Code § 16.5, the parties agree that this Amendment will be
considered signed when the signature of a parry is delivered by electronic transmission.
Such electronic signature will be treated in all respects as having the same effect as an
original signature. Consultant warrants that its signatory (or signatories, as applicable) to
this Amendment has the legal authority to enter this Amendment and bind Consultant
accordingly.
4. All other terms and conditions of the Agreement, except as modified by this Amendment,
shall remain in full force and effect.
