THIRD AMENDMENT TO LICENSE
AGREEMENT NO. 5447 BETWEEN
THE CITY OF EL SEGUNDO AND
MATTEL, INC.
THIS THIRD AMENDMENT is made and entered into May 8, 2025, by and between City of
El Segundo, a California municipal corporation having its principal place of business at 350 Main
Street, El Segundo, California 90245 (hereinafter referred to as "Licensor") and Mattel, Inc., a
corporation organized under the laws of the state of Delaware, having place of business at 333
Continental Boulevard, El Segundo, California 90245-5012 (hereinafter referred to as "Licensee")
and amends License Agreement No. 5447 entered into August 1, 2017, the First Amendment
entered into December 10, 2019, and the Second Amendment entered into May 3, 2021
(collectively hereinafter the "Agreement"). Licensor and Licensee (collectively, the "Parties")
agree as follows:
1. Agreement Section 2 is amended to extend the Agreement's term through December 31,
2028 unless either party terminates the Agreement pursuant to Agreement Section 8.
2. Agreement Section 1 is amended to update the citation to El Segundo Municipal Code
Section 1-3-3 to El Segundo Municipal Code Section 1-3-5 (Use of City Seal and Logo).
Agreement Section 5 is amended to revise the provision of samples as follows: Two
hundred (200) final samples, except three (3) final samples of all Products sold in sets,
featured with multiple vehicles (playsets, multi -packs, and track sets) or Products that are
sold direct to consumers, Products that are Treasure Hunt, Super Treasure Hunt, retailer
exclusives, or Products sold on membership sites (e.g., Red Line Club), where such
Licensed Products are featured, at no charge, shipping and handling included to a single
location at no charge, shipping and handling included to a single location..
4. This Amendment may be executed in any number or counterparts, each of which will be
an original, but all of which together constitutes one instrument executed on the same date.
In accordance with Government Code § 16.5, the parties agree that this Amendment will be
considered signed when the signature of a parry is delivered by electronic transmission.
Such electronic signature will be treated in all respects as having the same effect as an
original signature. CONSULTANT warrants that its signatory (or signatories, as
applicable) to this Amendment has the 'legal authority to enter into this Amendment and
bind CONSULTANT accordingly.
5. Except as modified by this Amendment, all other terms and conditions of the Agreement
will remain the same.
