SECOND AMENDMENT TO
AGREEMENT NO. 7132 BETWEEN
THE CITY OF EL SEGUNDO AND
MATRIX AUDIO VISUAL DESIGNS, INC.
THIS SECOND AMENDMENT ("Amendment") to Agreement No. 7132 ("Agreement") is
made and entered into this 24th day of April 2025, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and MATRIX AUDIO VISUAL DESIGNS, INC., a California corporation
("CONSULTANT'). The parties agree as follows:
1. The Agreement is modified to incorporate the update terms and conditions outlined
in Attachment 1 to this Amendment, incorporated herein by reference.
2. Section 20 (Consideration) of the Agreement is modified to increase the amount
not to exceed by $1,536.00 from $2,939.75 to $4,475.75, and such additional
$1,536.00 in consideration will be invoiced according to the payment schedule in
Attachment 1 to this Amendment.
3. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission. Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONSULTANT
warrants that its signatory (or signatories, as applicable) to this Amendment has
the legal authority to enter this Amendment and bind CONSULTANT accordingly.
4. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.

This is an estimate only to update the current Crestron
code loaded in the processor in the executive
conference room.
The current source code is not the same as what is
loaded in the processor.
The process:
1. Retrieve the existing machine code from the
processor.
2. Compile the existing source code and load in the
processor.
3. Review the touch panel layout and attempt to find
the mismatch.
4. Once the mismatch is found update the source code
and compare with the existing VTPro file.
5. Once these setps are complete and we gain
confidence in proper operation we will Zip all files and
hand it to the City of El Segundo.

hours, the City's representative will be notified and an
action plan will be set in place to continue.
