SECOND AMENDMENT TO AGREEMENT NO. 6621
SOFTWARE SERVICES AGREEMENT BETWEEN
THE CITY OF EL SEGUNDO AND
HAWK ACQUISITION, INC. DBA HIRSCH
THIS SECOND AMENDMENT ("AMENDMENT") TO Agreement No. 6621
("Agreement") is made and entered into this 13th day of March, 2025 by and between the
CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the
laws of California ("CITY"), and HAWK ACQUISITION, INC. DBA HIRSCH, a Delaware
corporation ("CONSULTANT"). The parties agree as follow:
1. Pursuant to Section 13 (Assignment) of the Agreement, CITY authorizes the
AGREEMENT'S assignment from Identiv, Inc., a California corporation, to
CONSULTANT, who affirms its assumption of all rights, duties, and obligations
under the AGREEMENT.
2. Pursuant to Section 16 (Modification) of the Agreement, Section 2 (Term) of
the Agreement is modified to extend the term of the Agreement through April
1, 2026.
3. Pursuant to Section 16 (Modification) of the Agreement, Section 1
(Consideration, Subsection C is modified to increase the total not -to -exceed
compensation by $10,000 from $20,000 to $30,000.
4. Pursuant to Section 16 (Modification) of the Agreement, Exhibit "A" of the
Agreement is modified to incorporate the updated cost, scope, and other terms
set forth in Attachment 1 to this Amendment and incorporated herein by
reference.
5. This AMENDMENT may be executed in any number or counterparts, each of
which will be an original, but all of which together constitutes one instrument
executed on the same date. In accordance with Government Code §16.5, the
parties agree that this AMENDMENT will be considered signed when the
signature of a party is delivered by electronic transmission. Such electronic
signature will be treated in all respects as having the same effect as an original
signature. CONSULTANT warrants that its signatory (or signatories, as
applicable) to this AMENDMENT has the legal authority to enter this
AMENDMENT and bind CONSULTANT accordingly.
6. Except as modified by this AMENDMENT, all other terms and conditions of the
AGREEMENT remain the same.
