SEVENTH AMENDMENT TO
AGREEMENT NO. 5618 BETWEEN
THE CITY OF EL SEGUNDO AND
GRANICUS, LLC
THIS SEVENTH AMENDMENT ""Amendment") to Agreement No. 5618 ("Agreement")
is made and entered into this day of February 2025, by and between the CITY OF
EL SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and GRANICUS, LLC, a Minnesota limited liability company dba
Granicus ("CONSULTANT"). The parties agree as follows:
Pursuant to Section 33 (Authority/Modification) of the Agreement, the
Agreement is modified to incorporate the updated services and terms outlined
in Attachment 1 to this Amendment, which are incorporated herein by this
reference.
2. This Amendment may be executed in any number or counterparts, each of
which will be an original, but all of which together constitutes one instrument
executed on the same date. In accordance with Government Code §16.5, the
parties agree that this Amendment will be considered signed when the
signature of a party is delivered by electronic transmission. Such electronic
signature will be treated in all respects as having the same effect as an
original signature. CONSULTANT warrants that its signatory (or signatories,
as applicable) to this Amendment has the legal authority to enter this
Amendment and bind CONSULTANT accordingly.
3. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.

PRICING
The pricing and terms within this Proposal are specific to the products and volumes contained within this
Proposal.
Billing Frequency Notes (Milestones - 40/20/20/20): An initial payment equal to 40% of the total; A payment equal
to 20% of the total upon Granicus' delivery of the draft homepage design concepts to the client; A payment
equal to 20% of the total upon implementation of the main website into the VCMS on a Granicus-hosted
development server; and A payment equal to 20% of the total upon completion; provided, however that the
client has completed training. If the client has not completed training, then Granicus shall invoice the client at
the earlier of: completion of training or 21 days after completion.
