CONTRACT 6248B AmendmentAgreement No. 6248B Docusign Envelope ID: 761FBDOB-11CD-499B-A263-F5850D874E6C SECOND AMENDMENT TO AGREEMENT NO. 6248 BETWEEN THE CITY OF EL SEGUNDO AND BLUEBEAM, INC. THIS SECOND AMENDMENT ("Amendment") to Agreement No. 6248 ("Agreement") is made and entered into this 3rd day of December 2024, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and Bluebeam, Inc., a Delaware corporation ("CONSULTANT"). The parties agree as follows: 1. Pursuant to Section 8.4 (Term and Termination) of the Agreement, the term of the Agreement is extended to January 10, 2026. 2. Pursuant to Section 8.26 (Amendment) of the Agreement, the Agreement is modified to incorporate the updated services and terms outlined in Attachments 1 through 4 to this Amendment, which are incorporated herein by this reference. 3. CITY'S compensation to CONSULTANT for the renewal term January 11, 2025 to January 10, 2026 shall be an amount not -to -exceed $4,400 as outlined in Attachment 4 to this Amendment. 4. This Amendment may be executed in any number or counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. In accordance with Government Code §16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. CONSULTANT warrants that its signatory (or signatories, as applicable) to this Amendment has the legal authority to enter this Amendment and bind CONSULTANT accordingly. 5. Except as modified by this Amendment, all other terms and conditions of the Agreement remain the same. CITY OF EL SEGUNDO - INFORMATION SYSTEM DEPT. currently has an Open License of Revu v20 eXtreme - this Open License has 17 seats and the license is renewed annually. The answer to your question is yes - you can have up to 17 users logged into the software at the same time. However, after September 2023, Bluebeam is no longer selling or renewing perpetual licenses. So, currently, the 17 seats can be upgraded to Revu21 at no charge and, for every open license seat, you gain 5 subscription plans. (17 x 5 = 85 subscription plans). If you are thinking about reducing the number of seats before upgrading, just reach out via email or you can contact our operations team at (866) 496-2140 and select option 1 for sales support. We can assist in moving seats off of the current license so that the remaining seats can be upgraded prior to the January 10, 2024 expiration date. Please note: When a perpetual Open License upgrades, -the upgrade is free and the first year of subscription renewal is $200 for each seat/plan.
