CONTRACT 7132A AmendmentAgreement No. 7132A FIRST AMENDMENT TO AGREEMENT NO. 7132 BETWEEN THE CITY OF EL SEGUNDO AND MATRIX AUDIO VISUAL DESIGNS, INC. THIS FIRST AMENDMENT ("Amendment") to Agreement No. 7132 ("Agreement") is made and entered into this 26th day of December 2024, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and MATRIX AUDIO VISUAL DESIGNS, INC., a California corporation ("CONSULTANT"). The parties agree as follows: 1. The Agreement is modified to incorporate the update terms and conditions outlined in Attachment 1 to this Amendment, incorporated herein by reference. 2. Section 20 (Consideration) of the Agreement is modified to increase the amount not to exceed by $1,629.75 from $1,310 to $2,939.75, and such additional $1,629.75 in consideration will be invoiced according to the payment schedule in Attachment 1 to this Amendment. 3. This Amendment may be executed in any number or counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. In accordance with Government Code §16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. CONSULTANT warrants that its signatory (or signatories, as applicable) to this Amendment has the legal authority to enter this Amendment and bind CONSULTANT accordingly. 4. Except as modified by this Amendment, all other terms and conditions of the Agreement remain the same. Clean up: After the work is complete, clean up the area, remove all debris, and discard packaging material.. Statement of Work General Scope: Following a site walk on November 11, 2024, during the discovery phase, we identified an issue with a transmitter/receiver combination that required power cycling to restore the image on the display. To address this ongoing problem, the City of El Segundo has requested the replacement of these units. Matrix AV will order and invoice the City for the replacement units. Matrix AV will perform the replacement, installation, and configuration of the new units. What is not included After Hours and Shift Work: Kindly be aware that this proposal only covers work conducted during regular hours (straight time) and does not encompass after-hours, shift work, or weekend work. If these services are needed, they will incur additional charges. The details of such charges will be outlined and mutually agreed upon in a separate agreement or contract. Prevailing Wage: Please note that this proposal does not include prevailing wage rates. If such rates are required, they will be determined by the applicable laws and regulations, and any additional costs associated with them will be specified and agreed upon in a separate agreement or contract.
