CONTRACT 7069 Professional Services AgreementAgreement No. 7069 Agreement No. PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EL SEGUNDO AND ANSER ADVISORY MANAGEMENT, LLC This AGREEMENT is entered into this 21st day of August, 2024, by and between the CITY OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and ANSER ADVISORY MANAGEMENT, LLC, California Limited Liability Company ("CONSULTANT"). 1. CONSIDERATION, A. As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below; B. As additional consideration, CONSULTANT and CITY agree to abide by the terms and conditions contained in this Agreement; C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed ONE HUNDRED FIFTY-SIX THOUSAND THREE HUNDRED TWENTY-FIVE DOLLARS ($156,325) which includes the original proposal amount of $142,114 as well as a contingency amount, which may or may not be used, of $14,211 for CONSULTANT's services. CITY may modify this amount as set forth below. Unless otherwise specified by written amendment to this Agreement, CITY will pay this sum as specified in the attached Exhibit 'A" which is incorporated by reference. 2. SCOPE OF SERVICES. A. CONSULTANT will perform services listed in the attached Exhibit "A," which is incorporated by reference. B. CONSULTANT will, in a professional manner, furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculation, and all other means whatsoever, except as herein otherwise expressly specified to be furnished by CITY, necessary or proper to perform and complete the work and provide the professional services required of CONSULTANT by this Agreement. 3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use the appropriate generally accepted professional standards of practice existing at the time of performance utilized by persons engaged in providing similar services. CITY will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and CONSULTANT will have fifteen (15) days after such notification to -1 - Rev 4/4/24 Agreement No. 7069 Agreement No. cure any shortcomings to CITY's satisfaction. Costs associated with curing the deficiencies will be borne by CONSULTANT. 4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement, CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A") the tasks performed, the percentage of the task completed during the billing period, the cumulative percentage completed for each task, the total cost of that work during the preceding billing month and a cumulative cash flow curve showing projected and actual expenditures versus time to date. 5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for current services are within the current budget and within an available, unexhausted and unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will cover only those costs incurred up to the conclusion of the current fiscal year. 6. FAMILIARITY WITH WORK. A. By executing this Agreement, CONSULTANT agrees that it has: Carefully investigated and considered the scope of services to be performed; Carefully considered how the services should be performed; and iii. Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. B. If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. 7. TERM. The term of this Agreement will be from September 23, 2024, to June 30, 2025. Unless otherwise determined by written amendment between the parties, this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit "A"; B. Termination as stated in Section 15. -2- Rev 4/4/24 Agreement No. 7069 8. TIME FOR PERFORMANCE. 0 Agreement No. CONSULTANT will not perform any work under this Agreement until: CONSULTANT furnishes proof of insurance as required under Section 22 of this Agreement; and CITY gives CONSULTANT a written notice to proceed. Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. 9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the Manager within forty-eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. The Manager will extend the completion time, when appropriate, for the completion of the contracted services. 10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order in which the Exhibits appear below: A. Exhibit A: Consultant's Proposal, City Request for Proposal, and Scope of Work 11.CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties: 12.TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from -3- Rev 4/4/24 Agreement No. 7069 Agreement No. CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 15.TERMINATION. A. Except as otherwise provided, CITY may terminate this Agreement at any time with or without cause. B. CONSULTANT may terminate this Agreement at any time with CITY's mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date. C. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work performed by CONSULTANT after receiving a termination notice will be performed at CONSULTANT" own cost; CITY will not be obligated to compensate CONSULTANT for such work. D. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C). E. Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated. F. By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT under this Agreement are CITY's property. CONSULTANT may retain copies of said documents and materials as desired, but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY's prior written approval. All press releases, -4- Rev 4/4/24 Agreement No. 7069 Agreement No. including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties. 18.INDEMNIFICATION. A. CONSULTANT agrees to the following: . Indemnification for Professional Services. CONSULTANT will save harmless and indemnify and at CITY's request reimburse defense costs for CITY and all its officers, volunteers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property resulting or arising from any negligent or wrongful act, error or omission by CONSULTANT or any of CONSULTANT's officers, agents, employees, or representatives, in the performance of this Agreement. ii. Indemnification for other Damages. CONSULTANT indemnifies and holds CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney's fees), injuries, or liability, arising out of this Agreement, or its performance. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, whether the same be groundless or not, arising out of this Agreement, or its performance, CONSULTANT will defend CITY (at CITY's request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or otherwise. B. For purposes of this section "CITY" includes CITY's officers, officials, employees, agents, representatives, and certified volunteers. C. It is expressly understood and agreed that the foregoing provisions will survive termination of this Agreement. D, The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 22, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification. -5- Rev 4/4/24 Agreement No. 7069 Agreement No. 19.ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. 21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement. 22.INSURANCE, A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below: Type of Insurance Commercial general liability: Professional Liability Business automobile liability Workers compensation Limits $1,000,000 $1,000,000 $1,000,000 Statutory requirement B, Commercial general liability insurance will meet or exceed the requirements of ISO-CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as "additional insureds" under said insurance coverage -6- Rev 4/4/24 Agreement No. 7069 Agreement No. and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by CITY will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or equivalent. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY. C. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. D. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto). E, CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of "A:VII." F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT's expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to Section 15. 23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation. 24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update. 25. NOTICES. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 26. PROHIBITED USE OF ARTIFICIAL INTELLIGENCE. A. Restriction on Artificial Intelligence Usage. CONSULTANT must not utilize, employ, or incorporate any form artificial intelligence, machine learning, or other similar technologies (collectively, "Al") in the provision of professional services in this Agreement without CITY's express written consent. B. Exclusions. The Al prohibition set forth directly above will not apply to general business tools and software that may have Al components but are not directly involved in the execution or delivery of professional services that this Agreement covers, provided that such tools and software do not significantly impact the quality or nature of such services. C. Notification. CONSULTANT must promptly notify CITY, in writing, of any proposal to employ Al in connection its provision of services to the CITY under this Agreement. CITY will have the sole discretion to grant or deny such proposal. 27. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY's conflict of interest regulations. 28.SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. -8- Rev 4/4/24 Agreement No. 7069 Agreement No. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability. 29.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's obligations under this Agreement. 30.INTERPRETATION. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County. 31.COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement. 32. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 33. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 34. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 35.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. CITY's executive manager, or designee, may execute any such amendment on behalf of CITY. 36. ELECTRONIC SIGNATURES; SIGNATURE AUTHORITY. This Agreement may be executed by the Parties on any number of separate counterparts, and all such counterparts so executed constitute one Agreement binding on all the Parties notwithstanding that all the Parties are not signatories to the same counterpart. In accordance with Government Code § 16.5, the Parties agree that this Agreement, Agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 38.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. 39. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either party to the other. 40.STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. After reviewing the project plans and specifications, and performing a site visit, Anser has developed a strategic methodology to address this project's challenges in an effort to maintain the schedule and budget. We recognize that project constraints include performing inspection while the adjacent elementary and high schools are in session, the need for ongoing public access, traffic control, and addressing safety concerns within tight residential areas as well as the adjacent high -traffic arterial roads. Anser proposes a team that the City knows and trusts to deliver this project successfully. Our team consists of Jonathan Smith, PE, OSD, as Principal - In -Charge, Pedram Abbassi, OSP, CESSWI, LEED AP BD+C, as Project Manager/Senior Inspector, Jeffrey Martinez, Ronnie Chevalier, and Darren Hall as as -needed Senior Inspectors, and a highly qualified subconsultant firm, Verdantas (formerly Leighton, Inc.), that will perform materials and compaction testing. Anser has collaborated with the City on numerous projects and has a deep understanding of the community and the importance of this initiative. We have thoroughly enjoyed our partnership with the City and look forward to continuing our work with El Segundo. Our team comprehends the City's objectives and possesses the knowledge and expertise necessary to successfully complete this project. Our team is familiar with the project logistics and surrounding neighborhoods and we utilized this knowledge to prepare this proposal having recently completed similar projects with the City. We will employ our 28+ years of firm experience, as well as our strong understanding and technical expertise with similar projects to effectively coordinate the work. We will provide oversight to manage the project's construction schedule, phasing, and sequencing of work, and coordinate the successful implementation of the contractor's safety plan, traffic control plan, and stormwater compliance plan. We will then use our extensive field knowledge and experience with traffic control, Portland cement concrete (PCC), excavation, cold milling, asphalt concrete overlay and Type II slurry seal, striping, and utility relocations/adjustments to successfully complete and deliver the project in accordance with the plans and specifications. In addition, the work also consisted of clearing and grubbing for slurry seal, crack sealing, mechanically removing striping, pavement markings, and pavement markers in slurry seal areas, protecting manhole, valve covers, and concrete areas from slurry seal, slurry seal Type II resurfacing, re - striping, re -installation of pavement markings and reflective pavement markers, dust control, street sweeping, and traffic control. PRE -CONSTRUCTION ACTIVITIES When overseeing an overlay project of this size, success hinges on a successful project set up. Once construction begins, there is limited time to take field measurements to produce contractor payment quantities to support Q-sheets in the pay application process. Therefore, setting up the project ahead of time is crucial for future success. Anser will assist the City in the initial project setup and facilitate progress pay applications throughout the project. Pedram Abbassi has experience with managing large rehabilitation projects and has several customizable spreadsheets to aid the field team with various inspection components. Prior to the start of construction, it is vital for the Senior Inspector to conduct a thorough site walk and measure the streets ahead of contractor mobilization. This allows for existing field quantities to be measured before demolition begins. In addition to getting a jump on Q-sheets, this allows the team time to create theoretical tonnage quantities for each street. Early knowledge of these quantities helps verify the engineer's estimated quantity prior to the start of construction. During the paving operation, this will also help ensure that paving thickness align with theoretical tonnages based on actual field measurements. These theoretical quantities will be monitored daily to verify project specifications are being met and that the project will come in at budget. While the Senior Inspector is completing pre -construction inspections, they will identify any constructability issues ahead of time and communicate them to the attention of the Engineer of Record well before contractors submit requests for information. Another critical feature to identify during the pre -construction phase is the potential addition of dig -outs and/or leveling courses. Pavement sections often have failures which may require dig -outs between the time when the project was designed and when it goes into construction. During the pre -construction phase, our inspector will mark -out and label sections in the field which can then be reviewed by the engineers as potential dig -out locations. Once quantified, the team can estimate potential cost implications to ensure the additional costs are within an acceptable amount of the contingency budget. Traffic Control Traffic management during each project is always one of the most critical safety elements. Consistent and clear communication with the City, other construction projects, local businesses, and residents will be important so that all stakeholders affected are informed of lane closures and modified traffic patterns. Our team will assist in the review of the contractor's proposed traffic control plans to verify that they comply with the California Manual of Uniform Traffic Control Devices (CA MUTCD) and/or Work Area Traffic Control Handbook (WATCH) manual. Furthermore, we will clarify that all plans minimize the impacts to the traveling public and cause as few disruptions as possible. Safety stands as the foremost priority on any project Anser takes on. This does not only apply to our staff and the contractors' crews, but also to the safety of the traveling public. Therefore, traffic control and detours will be critical components of this project. National Pollutant Discharge Elimination System (NPDES) Permits and Requirements The Anser team is familiar with all the requirements essential for maintaining compliance including working with the State Water Resources Control Board, National Pollutant Discharge Elimination System (NPDES), local cities, and permits to maintain Water Pollution Control Programs. We will verify that nearby catch basin and storm drain openings are protected using approved NPDES BMPs (i.e. felt and sandbags) to prevent spillage into the City storm drain systems. The contractor will comply with the latest version of the Los Angeles Regional Water Quality Control Board (LA RWQCB) NPDES Municipal Separate Storm Sewer Sytem (MS4). We will also verify that the contractor does not discharge non -rainwater or any other liquid substances from the project or related operations into streets, channels, rivers, storm drains, or any appurtenances, unless the discharge is specifically listed as exempt or conditionally exempt in the most current MS4 Permit issued by the Regional Water Quality Control Board, Los Angeles Region Permit for stormwater and non -storm water discharges. Monitor Compliance with Construction and Debris Management Plan Anser will closely monitor the contractor to divert all Construction and Demolition ON waste generated from the project in accordance with the California Green (CALGreen) Building Standards Code (pursuant to El Segundo Municipal Code, Title 13, Chapter 11). C&D waste can only be legally collected, removed, or transported by waste haulers permitted by the City of El Segundo. If the contractor plans on collecting, removing, or transporting its own waste, we will make sure that it is approved by City Engineer or designer. We will confirm that the contractor coordinates with the City waste hauler and the City street sweeper to avoid construction conflicts on days when trash will be collected, or streets will be swept on the project streets. Monitor Contractor Compliance with Local, State, and Federal Laws, Regulations, and Codes Anser's philosophy for contractor management emphasizes establishing a solid partnership with clear communication, and developing trust to keep the project moving forward. Punch list items should be addressed well before the completion of a project. Following this logic, a punch list of required completion items will be maintained and electronically shared with the contractor throughout the project duration. Completing these items as the project progresses minimizes the addition of punch list items during final job walks with the City and applicable project stakeholders. This open communication helps minimize disputes on the contractor's behalf at the project end, securing a prompt project closeout. Photograph Site Conditions Prior to, During, and After Construction Color photo documentation is vital for recording onsite progress. Color video documentation will be conducted at the project's outset to capture existing conditions. Photographs shall be taken as often as needed (e.g., daily, hourly) and the date/time superimposed on the photos. Specific activities and any potential or known deficiencies will be documented in photographs. Photos will be uploaded to the Anser share drive daily and the access link to Anser share drive will be provided to the City PM. Upon project completion, all photos shall be submitted to the City. Public Outreach, Notifications and Addressing Community Concerns The construction of this project will occur when neighboring schools, Center Street Elementary School, El Segundo High School / Unified School District Sport Centery, are in session. We will collaborate proactively with the contractor to address public concerns regarding school operations, residents' access, trash collection, and more. If any issues arise, we will promptly respond with practical solutions. We recognize this pavement rehabilitation project is located in heavily residential areas. The contractor will be responsible for distributing door hangers and other notifications to the residents, and these typically lead to a handful of calls from the community. Given the increase in people working from home sine COVID, residents are more frequently in and out during business hours. We often receive calls of concerns about people being able to leave their homes during our operations, especially with the slurry seal scope of work. We will work diligently with the public and our contractor to accommodate any reasonable requests which would negligibly impact the contractors' operations. Based on our experience managing similar projects that open communication is key to the success of the project and a critical component of avoiding calls to the City's office. The Anser team will establish a protocol for public communication and complaint response prior to the start of the project. We will work closely with the City communications officer to establish the necessary system and identify the person to perform this role prior to the project's start. All of our staff will treat outside parties with respect and respond in a professional and pleasant manner. We understand that Anser is working with the City staff for the residents of El Segundo; they are our clients. Contractor Inventory Responsibility The Anser team will closely work with the contractor to take inventory of all street striping, pavement markings, and pavement markings to be replaced, prior to their removal. This will help us to verify that the contractor properly restores the site existing conditions. Prior to cold milling, the contractor will provide City staff with a detailed schedule of values for Bid Item 9, an inventory of striping/marking/markers to be replaced, and an inventory of centerline ties and boundary/survey markers which will be replaced after paving. The striping/marking/marker inventory shall include both the existing and missing locations of traffic pavement reflectors and fire hydrant blue pavement reflectors. Contractor Surveying Activities The Anser team will verify that the contractor surveying activities for establishing flowlines and re-establishing centerline ties occur prior to concrete pours or tie removal, as per Specification Section 2-9. In the event a parking violation occurs within the construction zone, we will work with the contractor to locate the vehicle owner. If the contractor is unable to find the vehicle owner, then we will notify ESPD to assist in locating the owner. In the event the driver is not found, the Anser inspector will photograph the vehicle in violation with no parking sign both prior to and during towing process. In addition, the construction inspector will be available during off hours, as required, in concurrence with any off -hour construction work. The core of construction inspection is project documentation which includes photographing existing improvements, verifying the material and facilities meet the intent of the contract documents, are in accordance with OSHA requirements and other regulating agencies and organizations, including but not limited to all federal, state, and local safety and trenching requirements. Anser understands each inspection report is a legal document and will treat them as such. Daily Construction Inspection Reports The inspector will compile daily inspection reports detailing the contractor's workforce, all materials and equipment used or idle, a summary of construction operations, any field problems, disputes or claims, their resolutions, and information provided or written directives to the contractor. Each report will include observation time, date, weather conditions, and other pertinent information pertaining to the activity completed during each day of the construction contract. Job photos will be included with each daily report and categorized by date and location for storage and searchability in the database. The photos are labeled and then stored on Anser Share Drive file system which the City can access at any time. These inspection reports will be submitted daily via email to the City Project Manager and selected City management personnel at City's request. Documenting Delays Comprehensive and accurate daily records of field activities serve as the primary reference in case of disputes. Anser emphasizes that the importance of filling out the work description section of the diary with measurable information, such as start/stop stations, square footage of flooring removed or installed per day, and units of equipment set, etc. This documentation during construction, along with photos, helps position the City against any claims made by the contractor. Early recognition of an issueprovides more opportunities for resolution. If additional work is required, accurate documentation is critical for determining actual costs and accurately assessing expenses. Should disputed work remain unresolved by change order, it must continue under a potential claim. In this case, the Anser team will create a file number to track the contractor's efforts with added scrutiny. Accurate documentation of manpower, equipment, and materials will allow us to disallow or minimize the cost of disputed extra work. Initiate and Maintain All Tracking Control Procedures All tracking, control, and documentation procedures outlined in the pre -construction phase will be initiated and maintained. MATERIAL TESTING AND INSPECTION Verdantas understands that the project is based on review of above -referenced project plans and specifications, veh rd'ia n ta and a 60-day total project duration indicated by you. They have estimated their services for 25 part- to full-time days. Areas of project improvement reportedly span between East Imperial Avenue to the north, Pacific Coast Highway to the East, East Mariposa Avenue to the south, and Sheldon Street to the west. Also included in the project are the three alley ways bounded by East Franklin Avenue to the north, Lomita Street to the east, East El Segundo Boulevard to the south, and Sheldon Street to the west. An area of drainage improvements is also planned at the south end of Alley B-159. Lastly, the intersection of West Palm Avenue and Loma Vista Street is also included in the project. Elements of the project to be covered under Verdantas will include but not limited to: • 2-inch deep cold -milling of existing asphalt pavement (AC) and pavement of new AC overlay in areas of existing asphalt • Full depth and part full -depth asphalt replacement in select areas • Soil subgrade preparation, and new section construction for elements including new retaining curb/gutter, ramp, cross -gutter, sidewalk, catch basins, and driveway approach replacement • Concrete repair and/or new concrete; and storm drain improvements Anticipated field tasks performed by Verdantas will include the following: • Soil Subgrade Testing: Observe and test compaction in areas of soil subgrade. • Aggregate Base Testing: Observe and test compaction of Aggregate Base. • Asphalt Testing: Observe and test relative compaction of AC. • Utility Trench Testing: Observe and test relative compaction of utility trench backf ill. • Daily Field Reports: Daily Field Reports (DFRs) will be prepared by our technicians each site visit, to be reviewed by Verdantas management and distributed to pertinent city staff and subcontractors. Concerns encountered during earthwork, which do not conform to project specifications, will be brought to the attention of your project superintendent or designated representative. • Geotechnical Laboratory Testing: Collect representative samples of subgrade soils, CMB and AC, and deliver to our laboratory for conformance testing. Tests are expected to include Caltrans Test Method 216, sieve analysis and Modified Proctor. Budgeted laboratory tests are presented in Table 1, Fee Estimate, attached. • Asphaltic Laboratory Testing: Perform laboratory testing on collected asphalt samples. Asphalt testing will include maximum density (Caltrans Test Method 308). • Project Management: Provide professional and administrative management, supervision and quality control services during construction. These services will include dispatch of field personnel, laboratory testing verification, supervision and internal quality control. Although site safety is the responsibility of the contractor, we will partner with the construction team to achieve a safe work environment. Our personnel will notify the contractor's site representative upon arrival. Our personnel are provided with conventional and customary personal protection for construction sites, including hard hats, safety glasses, safety gloves and orange vests. Other required safety equipment can be provided upon request at an additional cost. Developing these items in a contemporaneous fashion ensures the most accurate memorialization of the activities as they occur in the event of a time impact or dispute. We will maintain a "Live" As -Built set of plans using Bluebeam Studio Software. This will be a tool that each member of the Anser team can utilize and will have access to the most current set of plans at any time. At the end of the project, these electronic files can be easily compiled and transmitted to the designer for updating the electronic plan set, which will then be transmitted to the City and applicable third parties for archiving. The Anser team coordinates and examines all required testing and commissioning to verify the work meets the quality and functionality per the contract requirements. Our project team will perform the final job walk to verify project completion by tracking all incomplete and defective works in a punch list trend log, including coordinating and observing the completion of required corrections. Should the contractor lag on a portion of the completion of project work, we will estimate the value of the incomplete items and recommend a specific retention amount in accordance with the contract to preserve the City's financial interests. If necessary, a change order will be recommended for approval for the completion of the remaining work so the City may file the notice of completion and start the time after which stop notices and/or claims are no longer valid. All corrections must be made before Anser notifies the City of the final inspection and processes the notice of completion. Anser is recognized for our acute attention to detail. Upon completion of the punch -list and final sign -off by all project stakeholders, we will make a recommendation to the City regarding the contractor's final progress payment request and prepare a final progress payment report for submission to the City. After all requirements have been met, the inspector will sign off on the appropriate form to recommend approval for the release of funds. Anser will perform closeout duties, including the final organization of project files, complete and accurate as -built drawings, and submit them to the City for final approval and assist with the filing of the notice of completion and release of retention. Punch Lists Anser has created an innovative way to streamline the process by utilizing an interactive, live, and always up-to-date punch list. This web -based punch list (using cloud -based software such as Microsoft SharePoint) can be viewed by anyone at any time and is always current. The benefit is that the CM, contractor, and other agencies can have certain permissions to view, update, and status the log. The CM inputs items on the log which the contractor can view, correct the items, and update the log once the item is complete. The CM will receive a notification that punch list items are complete and can verify completeness in the field and update the list. This log can be accessed and modified in the field using a smartphone or other mobile device. This streamlined process eliminates the need for meetings, reduces the number of transmittals to/from the contractor and increases the efficiency of the project team. Final Payment When the contractor has notified Anser and has confirmed that all punch list items are complete, we will make a recommendation, in writing to the City, in connection with the final payment to the contractor. To support this recommendation, Anser will assemble all documents relating to final payment, including retention, unresolved change orders, and unpaid invoices, for approval by the owner. Once approval is received for the final payment, which resolves all outstanding financial obligations with the contractor, the payment is processed, and the contract is closed. If the contractor requests any claims or adjustments, the contract cannot be closed until these are completely resolved. Final Cost Report Anser will summarize total project costs in a final report, listing all change orders, and identifying any unresolved issues, which may have a post - construction cost impact, such as a claim or other dispute. Anser will communicate this information in a summary narrative, including assumptions on any post -construction cost impacts, and support this information with a cost and change spreadsheet of final project accounting.
