CONTRACT 3881N AmendmentAgreement No. 3881 N FOURTEENTH AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NO. 3881 BETWEEN THE CITY OF EL SEGUNDO AND ALL CITY MANAGEMENT SERVICES, INC. THIS FOURTEENTH AMENDMENT ("Amendment") to Agreement No. 3881 ("Agreement") is made and entered into this Pt day of August, 2024, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY'), and ALL CITY MANAGEMENT, INC., a California corporation ("CONSULTANT"). The parties agree as follows: Pursuant to Section 35 of the Agreement, the term of the Agreement described in Section 8 is extended through June 30, 2025. Section 1 (C) is amended to read increase CONSULTANT's not to exceed compensation by $180,000.00 for CONSULTANT'S services through June 30, 2025. CITY may modify this amount as set forth below. Unless otherwise specified by writing agreement to this agreement, CITY will pay this sum based on the rates specified in the attached Attachment 1 to this Amendment, which is incorporated by reference. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 4. In accordance with Government Code § 16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. CONSULTANT warrants that its signatory (or signatories, as applicable) to this Amendment has the legal authority to enter this Amendment and bind CONSULTANT accordingly. 5. Except as modified by this Amendment, all other terms and conditions of the Agreement will remain the same. Toward that end, please allow this letter to serve as confirmation of our interest in extending our agreement for Crossing Guard Services through the 2024-2025 fiscal year. As you may know hiring challenges have impacted all sectors of the labor market, across the nation. Our post-COVID workforce continues to transform from a traditionally older workforce to a younger workforce. The expectations of this younger workforce continues to require higher wages and in some cases more hours to sustain themselves. Consequently, our employee turnover rate continues to increase dramatically impacting our advertising, recruitment and training costs. Additionally, effective in April of this year Governor Newsom signed into law AB1228. This law increases the minimum wage for all Fast -Food employees in California to $20.00 per hour. We anticipate this will have a direct impact on our workforce. We will need to offer competitive wages in light of AB1228 to retain and effectively recruit employees. For these reasons, as well as cost increases in some segments of our business, we must appeal for an increase in our hourly billing wage for the upcoming 2024-2025 fiscal year. To facilitate the calculation of the 2024-2025 annual cost of your Crossing Guard program, we have developed and included with this letter a Client Worksheet. This Worksheet details the new hourly billing rate and the overall estimated program cost, based on the number of sites and the hours worked at each site. While we remain committed to providing a safe, cost-effective and professional School Crossing Guard Program we hope you will find this new pricing acceptable.
