CONTRACT 5141C AmendmentAgreement No. 5141 C THIRD AMENDMENT TO SERVICES AGREEMENT THIS THIRD AMENDMENT ("Amendment") to services agreement no. 5141 (the "Agreement") is made and entered into by and between The Regents of the University of California, on behalf of the UCLA Center for Prehospital Care ("UCLA") and The City of El Segundo, a general law city and municipal corporation existing under the laws of California ("City") with reference to the following: A. On June 7, 2016, the parties previously entered into a Services Agreement ("Agreement") under which UCLA is to provide Continuing Education programs and Quality Improvement services as described in the Agreement. B. The parties extended the term of the Agreement through June 30, 2024 under the Second Amendment to the Agreement. C. The parties desire to extend the term of the Agreement and provide for certain other changes by this Amendment. NOW, THEREFORE, it is mutually agreed to by and between the parties, as follows: 1. Section 4.1 of the Agreement is hereby deleted in its entirety and replaced with the following: "The term of this Agreement shall commence on June 7, 2016 and be in effect through June 30, 2028." 2. Section 6.1 of the Agreement is hereby deleted in its entirety and replaced with the following: "6.1 Compensation for Services. Department agrees to compensate UCLA for the services provided by the Educator(s) under this Agreement. Department agrees to pay UCLA $42,240 per year for the services covered under this Agreement. UCLA shall bill the Department $3,520 monthly. Following the first year of the initial term of the Agreement, on the anniversary of the Effective Date each year that this Agreement is in effect, UCLA may increase the cost of services by no more than 5% per year to cover increases in the cost of services. Department shall pay the amount due within thirty (30) days of receipt of the invoice from UCLA." 3. The following shall be added as a new Section 6.3 in the Agreement, immediately following Section 6.2: "6.3 Compensation for Additional Services. Department agrees to compensate UCLA for additional services referred to in Section 1.3 requested by the Fire Chief and approved by UCLA at an approved billable rate. Any changes to the approved rate will be shared with the Department annually." 4. The first sentence of Exhibit D, Section I.1 is revised to read: Agreement No. 5141 C "Commercial Form General Liability Insurance (contractual liability included) with a limit of two million dollars ($2,000,000) per occurrence and a general aggregate of five million dollars ($5,000,000)." Exhibit D, Section I.2. is deleted in its entirety and hereby replaced with the following: "Business Automotive Liability insurance with a combined single limit of not less than two million dollars ($2,000,000) per occurrence, if such automobile insurance is not included as part of UCLA's General Liability Coverage." 6. The first sentence of Exhibit D, Section II.1 is revised to read: "General Liability Self -Insurance Program with a limit of two million dollars ($2,000,000) per occurrence and a general aggregate of five million dollars ($5,000,000)." Exhibit D, Section II.2. is deleted in its entirety and hereby replaced with the following: "Business Automotive Liability insurance with a combined single limit of not less than two million dollars ($2,000,000) per occurrence, if such automobile insurance is not included as part of City and Department's General Liability Coverage." 8. The first sentence of the third paragraph under Exhibit D, Section I and Section II revised to read: "The coverage referred to under paragraph three of this section 1 and 2 shall include AFFILIATE as an additional covered party." 9. Under Section 9.1, regarding UCLA's addresses for notifications, the addresses for UCLA are deleted and replaced with the following: "UCLA: Contracts Manager UCLA Center for Prehospital Care 1100 Glendon Ave, Suite 1200 Los Angeles, CA 90024" 10. The scope of the Educator's curriculum referenced in Agreement Section 1.1 will include the items set forth in Attachment 1 to this Amendment. 11. All other terms and conditions of the Agreement shall remain unchanged, and except as expressly modified by this Amendment, the Agreement shall remain in full force and effect. 12. This Amendment may be executed by the parties in any number of separate counterparts, taken together which shall constitute one and the same instrument. In 2 Agreement No. 5141 C accordance with Government Code § 16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. Each party warrants that its signatory (or signatories, as applicable) to this Amendment has the legal authority to enter this Amendment and bind it accordingly.
