This AGREEMENT is made and entered into this 17th day of January, 2024, by
and between the CITY OF EL SEGUNDO, a municipal corporation and general law city
("CITY") and ANSER ADVISORY MANAGEMENT, LLC, a Limited Liability Company
("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
R As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed EIGHTY-SEVEN THOUSAND, TWO HUNDRED NINETY
DOLLARS ($87,290) which includes the original proposal amount of
($79,290) as well as a contingency amount, which may or may not be
used, of ($8,000) for CONSULTANT's services. CITY may modify this
amount as set forth below. Unless otherwise specified by written
amendment to this Agreement, CITY will pay this sum as specified in the
attached Exhibit 'A" which is incorporated by reference.
2. SCOPE OF SERVICES,
X CONSULTANT will perform services listed in the attached Exhibit "A,"
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of

any deficiencies and CONSULTANT will have fifteen (15) days after such notification to
cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "A") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
Carefully investigated and considered the scope of services to be
performed;
Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from February 20, 2024, to December
30, 2024. Unless otherwise determined by written amendment between the parties, this
Agreement will terminate in the following instances:

B. Termination as stated in Section 15..
8. TIME FOR PERFORMANCE,
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin wor

9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:
A. Exhibit: A: Proposal for Services and Scope of Work
11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B, CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18.INDEMNIFICATION.
A. CONSULTANT agrees to the following:
L Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B, For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C, It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
19.ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE.
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24, INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed
made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27.SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38, FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

RE Response to Request for Proposals for Construction Inspection Services for
Wastewater Infrastructure Improvements Project
Dear Floriza Rivera,
Anser Advisory Management, LLC dba Anser Advisory, Part of Accenture (Anser) is pleased to provide our proposal for
Construction Inspection Services to support the Wastewater Infrastructure Improvements Project. After carefully
reviewing the project plans and specifications, and performing a site visit, Anser has developed a strategic methodology
to address this project's unique characteristics. These include working within high -profile and tight construction site areas
near several schools and narrow residential roads that require ongoing public access and safety concerns, developing an
effective sewer bypass system, and maintaining all existing services while constructing new infrastructures.
Anser has assembled a strong and cohesive team to deliver this wastewater infrastructure improvement project to the
City of El Segundo (City). Anser proposes Jonathan Smith, PE, QSD, as Principal -in -Charge, Pedram Abbassi, QSP, CESSWI,
LEED AP BD+C, as Senior Construction Inspector, Ronnie Chevalier, CHST, as Construction Inspector (Alternate 1), Tom
Hall as Construction Inspector (Alternate II), Harried Soltani, PhD., PE as Subject Matter Expert, and a highly -qualified
subconsultant firm, G3 Quality, Inc. (G3), that will perform materials and compaction testing. Anser has provided similar
services on projects of a similar nature, including Elsinore Valley Municipal Water District Various CIPP Projects, Riverside
County Transportation Department (RCTD), Off -Site Sewer, Water and Recycled Water Improvement, City of Corona
Various Sewer Improvement Projects and the City of El Segundo, Watermain Improvements on Grand Avenue.
Our team is familiar with the project logistics and surrounding neighborhoods to deliver this project seamlessly to the
City. Our proposed team understands this project's scope of work and challenges and will employ more than 27 years
of firm experience, as well as our strong understanding and technical expertise with the types of construction work
identified to coordinate the work effectively. We will provide oversight to manage the project's construction schedule,
phasing, and sequencing of work, and coordinate the successful implementation of the contractor's Safety Plan, Traffic
Control Plan, and Stormwater Compliance plan. We will then use our extensive field knowledge and expertise with
traffic control, trenchless PVC / CIPP lining systems, brim type laterals, sewer bypass systems, open trench sewer line
removal and installation, storm drain infrastructure improvement, excavation, cold milling, asphalt concrete overlay
and Type 11 slurry seal, striping, and utility relocations/adjustments to successfully complete and deliver the project
according to the plans and specifications.
Anser Advisory acknowledges and agrees to the following:
• Anser will execute the City's Consultant Agreement (Exhibit B)
• Anser will provide proof of insurance as noted in the agreement
It Anser will obtain and maintain a City Business License for the duration of the Consultant services
" Anser acknowledges Addendum No. 1 dated May 3, 2023, provided in the RFP package ENG 23-48 dated
November 27, 2023.

FIRM BACKGROUND AND RELEVANT PROJECT EXPERIENCE
Anser is a national construction, project, and program management advisory firm established over 27 years ago.
Our firm is comprised of a diverse and talented staff of over 900 professionals, including over 200 staff located in
southern California. Anser Advisory recently announced signing an agreement to join Accenture, one of the world's
leading consulting firms. We are extremely excited about the opportunities combining Anser's capital
project/program/construction management expertise with Accenture's data and digital expertise will provide our
clients moving forward.
PROJECT EXPERIENCE
Anser has provided inspection services for similar wastewater infrastructure projects throughout southern
California. The following includes a selection of our recent, relevant experience related to the City's project.
City of El Segundo, Watermain Improvements on Grand Avenue, El Segundo, CA
Anser provided construction inspection services on this $2 million
project which provided improvements on Grand Avenue from
Center Street to Pacific Coast Highway. Elements of this project
included the abandonment of the existing asbestos pipe,
installation of a new 10-inch ductile iron water main and all
service lines for the City; grind and overlay along Grand Avenue
between Pacific Coast Highway and Center Street; and removal of
PCC sidewalks.

Elsinore Valley Municipal Water District (EVMWD), Various Projects, Riverside County, CA
Canyon Lake Sewer Rehabilitation ($800K) — Rehabilitation of
approximately 3,700' of pipe in critical condition using cured -in -
place pipe (CIPP) lining method with six locations requiring spot
repairs prior to performing the lining.
Extending Recycled Water to Five Sites Project ($450K) — Extension
of existing recycled water lines to connect to five current EVMWD
customers, and then converted the on -site irrigation systems for
these customers to recycled service. Approximately 1,350' of 4" PVC
recycled waterline was constructed and the irrigation systems, with
a total of approximately 3,500 sprinkler heads, were converted to
recycle.
Water Main Replacement Prg)ect — WO No. 75755 ($1, 6M) — Installation of approximately 15,600 feet of
replacement and new water lines at 25 locations within the EVMWD boundaries. The majority of the line
segments were 8-inch, however there were also some 6", 12" and 16" lines. In addition, work included the
replacement of water meters, new valves, pavement restoration and other appurtenant work.
City of Huntington Beach, Various Projects, Huntington Beach, CA
Sunset Reach Water Main Project at {Various Locations, Anderson
Street to Warner Avenue Project (2.75M) — This project
consisted of the installation of approximately 2,350 linear feet of
6"-diameter and 12"- diameter AWWA C900 or C909 water
pipelines within a total of eleven locations within the Sunset
Beach area and one in Huntington Beach. The project also
included pavement replacement, slurry seal, and AC grind and
cap.
FY 19120 Sewer Lining Project ($943K) —This project saw the rehabilitation of existing sewer pipes based on
maintenance history and video inspection. The scope of work for the project included lining approximately
25,945' of aged sewer main lines identified as a priority. The locations benefit from lining as the existing
pipes were either lined with calcium deposits from groundwater seepage through minor cracks and joints
or had joints offset by tree roots from adjacent mature trees located in parkways. These deposits and roots,
which inhibit flow, were removed before lining.
Edgewater Sewer Lift Station Project, CC-1515 ($3.5M) — Anser provided inspection services on this project
which consisted of the abandonment and demolition of an existing sewer lift station, and the installation
of a new 1000 GPM submersible sewage lift station and force main. This sewer lift station was due for
replacement due to its size and marine exposure. The project also included the construction of new gravity
sewers, storm drain, and water main, as well as curb, gutter, sidewalk, AC paving and other appurtenant
work.
Riverside County Transportation Department (RCTD), Off -Site Sewer, Water and Recycled Water Improvement,
Riverside, CA
Anser provided inspection on this project which consisted of the installation of multiple utility lines, 84" storm
drains, 12" reclamation water line, 12" domestic water line, relocation of two 8" high-pressure steel gas lines and
8" plastic low pressure gas lines, encased electrical lines for Southern California Edison, 15' trench line for 900 LF
of 12' VCP sewer line, 1,091 LF of 15" VCP sewer, 890 LF of 24" N-12 HDPE storm drain pipe,1,650 LF 8" PVC C-
900 DR -18 water line and 480 LF of 12" PVC C-900 water line.

PROJECT TEAM
Anser proposes a highly qualified team who have experience in all elements of the Wastewater Infrastructure
Improvements Project. The following descriptions present brief resume summaries of our key personnel. Full
resumes for all team members, including subconsultants, are provided at the end of this proposal.
Pedram Abbassi has over 24 years of experience managing public works projects, including
street improvements, asphalt repairs, concrete overlays, slurry seals, traffic control,
' water/wastewater, and facilities. He has served as a primary point of contact between design
1�%9C team members, general contractors, and owner representatives. Pedram's responsibilities
have included onsite owner representation, change management processing, project
administration, schedule and budget analysis, safety and security for prime contractors, daily
communication with the owner, engineering department, architect, consultants, and prime contractors regarding
plans and specification compliance.
Project Highlight: City of El Segundo, Water Main Improvements Project on Grand Avenue
Harried Soltani is a civil and mechanical engineering professional who has over 17 years of
G program and construction project management experience procuring and managing large
capital infrastructure projects and design submittals with an acute emphasis and strength in
heavy civil, water/wastewater, earthworks, and underground (wet/dry) utilities. He specializes
in value engineering and integrating utilities and transportation solutions in highly complex
projects by working closely with all engineering specialties and contractors for all project
delivery types. Harried has supported client demands and oversees engineering design and analysis. Harried also
has proficient knowledge of project management software such as AutoCAD, HCSS Heavy Bid, Bid2Win, and
Microsoft Office.
Project Highlight: Anaheim Public Utilities, Imperial Highway and Bid Sky Lane Water Line Replacement
Ronnie Chevalier has over 26 years of experience fulfilling multiple roles as inspector, project
manager, and health and safety coordinator. He has extensive experience in various market
sectors including, transportation, water and wastewater, facilities, oil and gas, commercial, and
residential construction. Ronnie is well -versed in Caltrans methods and procedures.

Tom Hall has over 30 years of experience in engineering and construction with a strong
operations background in public works and water/wastewater projects. Tom's experience
includes inspecting and managing the construction of facilities in water, sewer and recycled
water which includes pipelines, sewer lift stations, plant head works, reservoirs, PRV stations
and booster stations. He can resolve field and operational issues related to the construction of
infrastructure projects through very detailed knowledge of the systems operational
requirements, and construction contractors' means and methods, and by developing and maintaining good
working relations with contractors, agency staff and other local agencies to complete projects effectively.

Project Understanding, Challenges, and Solutions
The Wastewater Infrastructure Improvements Project is nestled in the City of El Segundo spanning fourteen (14)
various locations in an approximate 2-mile radius.
The work mainly involves traffic control, pre and post construction of closed-circuit pipe televising and video (CCTV)
creation (Pre -Construction and post construction), open -trench pipe removal and replacement, pipe lining, service
lateral replacement or adjustment, sewer main and storm drain bypass activities as needed, storm drain manhole
removal and replacement, concrete work, trench paving, slurry seal resurfacing and replacement of striping as
needed.

The main risks associated with this project are traffic measures and unknown conditions of the existing sewer/storm
drain and underground utilities. Working in the public right-of-way requires the Construction Management (CM)
staff to be able to foresee issues ahead of time. A large portion of these pipelines will be constructed in a residential
area where the road is narrow and residents' homes are close to the roadway, resulting in impacts to homeowner
access. Additionally, the sewer runs directly adjacent to El Segundo High School and Center Street Elementary
School, decreasing pedestrian access and increasing safety concerns. Anser has extensive experience with the
construction of pipeline projects and the risk factors that are associated with working in residential and school
zones. We will work with the contractor to coordinate and maintain a safe and efficient work schedule and job site
through diligent public outreach and transparent communication.

There are several risk factors to contend with to complete the project on time:
• Construction is experiencing industry -wide delays with respect to material procurement.
• The economy and supply chain issues over the past three years have proven challenging for construction
projects to be completed without any delays and budget issues.
By leveraging our recent experiences managing similar wastewater infrastructure improvement projects, as well as
our in-house cost estimating and validation team, who consistently monitor cost impacts from evolving market
conditions, our team proactively addresses supply chain bottlenecks and materials shortages that would otherwise
provide impacts to the project. By working with the contractor to validate supplies and materials orders directly
with the suppliers and vendors, our team guides the project forward in a thoughtful way that addresses or avoids
long lead times that would otherwise result in delays. Our approach not only monitors the procurement of vital
materials from the earliest stages of the project, but also aligns validation and tracking with the critical path of the
project, providing a holistic view into budget and schedule management as the project progresses.

Upon review of the project plans, specifications, and the project site overview, we understand and acknowledge
the essential services to be required by Anser shall include, but are not limited to, the following:
• Attending project -related meetings; providing feedback on field issues and meeting notes
• Reviewing, evaluating, and providing feedback, corrections, and comments on:
o Plans, Specifications, Submittals, Progress payment requests, Requests for information (RFIs) and
other construction -related documents
• Reviewing the Contractor's daily traffic control for safety
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES) permits and
requirements

Elementary School
3) Work plan for cleaning of all sewer mains, manhole to manhole, CCTV, and root removal
Anser's team will attend all weekly construction progress meetings throughout the duration of the project with City
staff, the contractor, and other agencies or stakeholders, as required. Our management service includes verifying a
two -week lookahead schedule prepared by the contractor representing the actual project progress with all crucial
milestones. We will also verify that all advance notifications and no parking signs have been maintained in respect
to the schedule.

Prior to the first working day, the Anser team will visit the project site and review the contract documents to verify

Anser will closely monitor the contractor to divert all Construction and Demolition (C&D) waste generated from the
project in accordance with the California Green (CALGreen) Building Standards Code (pursuant to El Segundo
Municipal Code, Title 13, Chapter 11). C&D waste can only be legally collected, removed, or transported by City of
El Segundo permitted waste haulers. If the contractor plans on collecting, removing, or transporting its own waste,
we will make sure that it is approved by City Engineer or designee. We will also verify that the contractor coordinates
with the City waste hauler and the City street sweeper to avoid construction conflicts on days when trash will be
collected, or streets will be swept on the project streets.

Anser's philosophy for contractor management is to create a solid partnership, with clear communication,
developing trust to keep the project moving forward. We understand that the largest costs on the project come
from design, environmental or third -party delay. Our ability to partner with the contractor to explore workarounds
when these delays occur has been a great success for past Anser projects.

Anser will visit the site during normal working hours (and when critical activities warrant it) to verify construction
progress and to verify that all work conforms to contract requirements. Anser will reject work that does not conform
to the requirements of the contract documents and will promptly report unacceptable work to the City and
contractor. Rejected work will be thoroughly documented, photographed, and tracked until repaired or replaced to
the satisfaction of the City.
Punch list items should begin well before the completion of a project. Following this logic, a punch list of required
completion items will be maintained and electronically shared with the contractor throughout the project duration.
Completing these items as the project progresses minimizes added punch list items during final job walks with the
City and applicable project stakeholders. In addition, this open communication helps minimize disputes on the
contractor's behalf at the project end, ensuring a quick project closeout.

Color photo documentation is vital to record onsite progress. Color video documentation will be done at the
beginning of the project to document existing conditions. Photographs shall be taken as often as needed (e.g., daily,
hourly) and the date/time superimposed on the photos. In addition, photographs of specific activities will be taken,
including potential or known deficiencies. Photos will be uploaded to the Anser share drive daily and the access link
to Anser share drive will be provided to the City PM. Upon project completion, all photos shall be submitted to the
City.

agencies, etc.), and Anser will confirm that the contractor is coordinating appropriately.
The Anser team will set up a protocol for public communication and complaint response prior to the start of the
project. We will work closely with the City communications officer to establish the necessary system and identify
the person to perform this role prior to the project's start. All our staff will treat outside parties with respect and
respond in a professional and pleasant manner. We understand that Anser is working with the City staff for the
residents of El Segundo; they are our clients.

The Anser team will closely work with the contractor to take inventory of all street striping, pavement markings,
and pavement markings to be replaced, prior to their removal. This will help us to verify that the contractor properly
restores the site existing conditions. Prior to cold milling, the contractor shall provide City staff with a detailed
schedule of values, an inventory of striping/marking/markers to be replaced, and an inventory of centerline ties and
boundary/survey markers which will be replaced after paving. The striping/marking/marker inventory shall include
both the existing and missing locations of traffic pavement reflectors and fire hydrant blue pavement reflectors.

The Anser team will verify that The Contractor will provide for all construction surveying required to layout, monitor,
and complete the work. The surveying will be performed by a Land Surveyor or Civil Engineer authorized to practice
land surveying by the State of California per specification section 2-9.

The Anser inspector will assist the City with coordination with ESPD and the contractor to address parked vehicles
hindering construction. First, we will verify that the contractor posts all required "No Parking" signs 72 hours in
advance with the proper ordinance number. If parking violation occurs within the construction zone, we will work
with the contractor to locate the vehicle owner. If the contractor is unable to find the vehicle owner, then we will
notify ESPD to search for the vehicle owner. In the chance the driver is not found, the Anser inspector will
photograph the violated car with no parking sign shown on the photo prior to and during towing of the violated
vehicle.

Anser will maintain full-time construction inspector at the project site to verify all construction work in progress
coincides with contract requirements. In addition, the construction inspector will be available during off hours, as
required, in concurrence with any off -hour construction work.
The core of construction inspection is project documentation including photographing existing improvements,
verifying the material and facilities meet the intent of the contract documents and are in accordance with OSHA
requirements and other regulating agencies and organizations, including but not limited to all federal, state, and
local safety and trenching requirements. Anser understands each inspection report is a legal document and will
treat them as such.

The inspector will compile daily inspection reports which document the contractor's workforce, all materials and
equipment used or idle, a summary of the construction operations, any field problems, any disputes or claims,
resolutions of issues, and information provided or written directives to the contractor observation time, date,
weather conditions, and other pertinent information pertaining to the actual activity completed during each day of
the construction contract. Job photos will be included with each daily report and categorized by date and location
for storage and searchability in the database. The photos are labeled and then stored on Anser Share Drive file
system which the City can access at any time. These inspection reports will be submitted daily via email to the City
Project Manager and selected City management personnel at City's request.

Comprehensive and accurate daily records of field activities become the go -to document when a dispute comes to
light. Anser emphasizes that the work description portion of the diary must be filled with measurable information,
such as start/stop stations, square footage of flooring removed or installed per day, units of equipment set, etc.
This documentation during construction, along with photos, helps position the City against any of the contractor's
claims. Early recognition of an issue allows added opportunities for resolution. If extra work is required, accurate
documentation is critical to determine the actual costs incurred and accurately evaluate the cost. When disputed
work is not resolved by change order, it must continue under a potential claim. In this case, the Anser team will
create a file number to track the contractor's effort with added scrutiny. Accurate documentation of manpower,
equipment, and materials will allow us to disallow or minimize the cost of disputed extra work.

All tracking control and documentation procedures outlined in the pre -construction phase will be initiated and
maintained. Before implementation, each procedure will be presented and reviewed by the City and modified to fit
City criteria:
Monitor the contractor's development and implementation of safety programs, which comply with all
federal, state, municipal, and local laws, rules, and regulations.
Verify that tests, equipment, and systems start-up and operating and maintenance instructions are
conducted as required by the contract documents in the presence of the required personnel and that the
contractor maintains adequate records.
Accompany visiting inspectors representing the public or other agencies having jurisdiction over the work,
record the outcome of these inspections, and report to the City.
Transmit to the contractor the design AE's and the City's clarifications and interpretations of the contract
design or contract documents.
Consider and evaluate the contractor's suggestions for modification to the contract documents and report
them with recommendations to the City.
Maintain electronic or paper files and correspondence at the job site field office or on a tablet or laptop.
This includes reports of job conferences, shop drawings, and samples submittals, reproductions of original
contract documents, including all addenda, change orders, field orders, additional drawings issued after the
execution of the contract, the design AE's clarifications and interpretations of the contract documents,
progress reports, and other related documents.
Keep an electronic log and record hours on the job site, weather conditions, staff levels, data relative to
extras or deductions, list of inspections, visitors, daily activities, conversations related to specific work
elements, decisions, observations in general, and specific observations related to the Quality Control/
Assurance Plan as prepared by the City's subconsultants.

Material Testing and Inspection
G3's field personnel will provide as -needed construction observation, material sampling and testing in strict
accordance with published standard testing procedures, the Project Technical Specifications, and as directed by the
Owner's Representative. During construction, our field inspector will meet each shift with the Owner's
Representative to discuss the day's operations. Each technician utilizes electronic reporting systems to notify each
other of any issues in real time. Materials will be sampled at the specified frequencies and transported to our
laboratory facility for testing. Non -compliant test results will be forwarded to the G3 Project Manager and the
Owner immediately. The test results for each material will be processed into a standard report format and sent to
the Resident Engineer within the timeline established by the Project Technical Specifications. A summary of all
acceptance testing will be maintained and updated throughout the project.
Field Quality Assurance operations will be supported by our accredited laboratory staffed with certified materials
testing personnel. Constant coordination between our field and laboratory personnel ensures that time -sensitive
tests are performed and reported promptly. This provides the Owner with the critical information necessary to
make well-informed decisions and maintain positive control of the project.

As part of our daily and monthly documentation we will maintain "As -Built" drawings. Developing these items in a
contemporaneous fashion ensures the most accurate memorialization of the activities as they occur in the event
of a time impact or dispute. We will keep a "Live" As -Built set of plans using Bluebeam Studio Software. This will be
a tool that each member of the Anser team can utilize and will have access to the most current set of plans at any
time. At the end of the project, these electronic files can easily be bundled and transmitted to the designer to be
updated into the electronic plan set and transmitted to the City and applicable third parties for archiving.
Project Closeout
The Anser team coordinates and examines all required testing and commissioning to verify the work meets the
quality and functionality per the contract requirements. Our project team will perform the final job walk to verify
project completion by tracking all incomplete and defective works in a punch list trend log including coordinating
and observing the completion of required corrections. Should the contractor lag on a portion of the completion of
project work, we will estimate the value of the incomplete items and recommend a specific retention amount in
accordance with the contract to preserve the City's financial interests. If necessary, a change order will be
recommended for approval for the completion of the remaining work so the City may file the notice of completion
and start the time after which stop notices and/or claims are no longer valid.

Anser will perform closeout duties including the final organization of project files, complete and accurate as -built
drawings and submit them to the City for final approval and assist with the filing of the notice of completion and

Anser has created an innovative way to streamline the process by utilizing an interactive, live, and always up-to-
date punch list. This web -based punch list (using cloud -based software such as Microsoft SharePoint) can be viewed
by anyone at any time and is always current. The benefit is that the CM, contractor, and other agencies can have
certain permissions to view, update, and status the log. The CM inputs items on the log which the contractor can
view, correct the items, and update the log once the item is complete. The CM will receive a notification that punch
list items are complete and can verify completeness in the field and update the list. This log can be accessed and
modified in the field using a smartphone or other mobile device. This streamlined process eliminates the need for
meetings, reduces the number of transmittals to/from the contractor and increases the efficiency of the project
team.

When the contractor has notified Anser and has confirmed that all punch list items are complete, we will make a
recommendation, in writing to the City, in connection with the final payment to the contractor. To support this
recommendation, Anser will assemble all documents relating to final payment, including retention, unresolved
change orders, and unpaid invoices, for approval by the owner. once approval is received for the final payment,
which resolves all outstanding financial obligations with the contractor, the payment is processed, and the contract
is closed. If the contractor requests any claims or adjustments, the contract cannot be closed until these are
completely resolved.

Harried was the Senior Project Engineer on this $79 million project, which included
improving water quality in Machado Lake while enhancing the surrounding natural habitat
and the park's recreational features. The project included in -lake improvements such as
dredging approximately 239,000 cubic yards of lake sediment and capping the lake bottom
with an aqua -block bio-layer cap, constructing an oxygenation system facility, and
rehabilitating the dam structure at the south end of the lake.

Hamed was the Project Engineer for this $150 million project, which consisted of the 12.16-mile
widening of State Route 60 from the 57/60 interchange to the 605/60 interchange to
accommodate the median HOV lane in each direction. He supervised the construction of the
drainage and underground utilities and removed the existing and installed the new concrete
barrier.
Alameda Corridor -East Construction Authority, Temple Avenue Train Diversion Project, City of
Industry, CA 12006 - 2007
Hamed was the Project Engineer on this $40 million project to construct three new bridges,
widening two existing bridges, numerous pier protection walls, retaining walls, sound walls, and
drainage structures for approximately four miles. Hamed was part of the team that could
construct all the drainage structures and structural bridge concrete with minimal effect on the

sewer pipes based on maintenance history and video inspection. The scope of work for the project
includes lining approximately 25,945' of aged sewer main lines identified as a priority. The locations
would benefit from lining as the existing pipes are either lined with calcium deposits from
groundwater seepage through minor cracks and joints, or have joints offset by tree roots from
adjacent mature trees located in parkways. These deposits and roots, which inhibit flow, will be
removed prior to lining. Lining of the pipes is a trenchless operation performed by inserting a liner
inside the existing pipe and curing the liner to form a replacement pipe.

Senior Construction Inspector the $4.5M project which consisted primarily of the construction the
Well 1A above ground facilities which included the construction of the well house including a
removable roof and HVAC systems, installing the pump and electric motor, installing an emergency

motor control facilities, installing a 12" potable water main within the public right of way, installing
a fire suppression system and included exterior fences gates and landscaping.

Supervising Inspector for this $2.2M 24" HDPE and 20" DIP recycled water line between Norco and
Corona adjacent to the Corona Municipal Airport. The project features include directional drilling
on a 12-hour shift, seven days a week to complete the 2,400' of 24" HDPE and 24" DIP connection.
Duties included coordination with City Project Manager, Airport Manager and inspection
management staff as well as paleontology, materials testing and environmental consultants. Duties
included review of daily reports, photographic records, construction contract administration and
contract compliance.
Masters Drive Recycled Waterline Project, City of Corona, CA
Supervising Inspector for the 2.3' long recycled waterline through City streets. This $2.5M CIP
project included 8" and 12" Ductile Iron Pipe (DIP) recycled lines to allow for use of recycled water
at City facilities including parks and other landscaped areas. Pipe was constructed with restrained
joints and is double bagged for corrosion protection. Project includes various tie-ins, pressure
testing, chlorination and flushing, valves, appurtenances and meter installations. Duties included
oversight of quality control for construction, preparing daily inspection reports, photo records and
bid item quantity calculations, and checking contractor's stormwater BMP's were in place.

El Cerritos Road Waterline Replacement Project, City of Corona, CA
Supervising Inspector for this $1M 24" DIP waterline replacement project. Provided inspection and
coordination of replacement of steel water mains, residential services, air -vacs and fire hydrants
for the City of Corona in unincorporated Riverside County. This project included about 2,500' of
pipeline, street demolition and reconstruction, curb and gutter, coordinating materials testing and

compacted to a minimum of 97% for asphalt concrete surface paving. G3 performed QC plant
and field inspection and testing, each HMA paving day required 1 field technician at the jobsite

SECTION 1: INTRODUCTION
The City of El Segundo is soliciting proposals from qualified Professional Construction Inspection
Consultants for fulltime construction inspection for the City's Wastewater Infrastructure Improvements
Project.
The project involves traffic control, closed circuit pipe televising and video creation, open -trench pipe
removal and replacement, pipe lining, service lateral replacement or adjustment, sewer main and storm
drain bypass activities as needed, storm drain manhole removal and replacement, concrete work,
trench paving, slurry seal resurfacing, replacement of striping as needed, coordination with utility
agencies, and notification of residents/businesses. Project locations are shown in the attached map, and
the link to access the PW 23-08 project's bid package is

The proposed number of contractor days on this project will be forty-five working days. The project
specifications and plans have been attached for your convenience.
SECTION 2: SCOPE OF WORK
The qualified firm shall furnish all labor, materials, tools, equipment, supplies, and incidentals required
for providing inspection of the construction efforts of a City -retained contractor for the named project.
The services to be provided by the Consultant shall include, but are not limited to, the following:
Attending project -related meetings; providing feedback on field issues and meeting notes
Reviewing, evaluating, and providing feedback, corrections, and comments on:
o Plans
o Specifications
o Submittals
o Progress payment requests
o Requests for information (RFIs)
o Other construction -related documents
• Reviewing the Contractor's daily traffic control for safety and compliance with the California
Manual of Uniform Traffic Control Devices (CA MUTCD) and the Work Area Traffic Control
Handbook (WATCH manual)
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES)
permits and requirements
• Monitoring compliance with Construction & Debris Management Plan
• Monitoring Contractor compliance with local, state, and federal laws, regulations, and codes
• Documenting and reporting instances of apparent non-compliance to City staff
• Photographing site conditions and project activities prior to, during, and after construction
• Ensuring that Contractor has notified neighborhoods in which work is scheduled (or re-
scheduled) in a timely manner prior to the work, including written hand -distributed notices and
temporary No Parking signs to be posted 72 hours in advance
• Interacting with the public as needed regarding their construction -related concerns
• Confirming Contractor has taken inventory of all street striping and pavement markings to
be replaced, prior to their removal
• Ensuring contractor surveying activities have occurred
• Coordinating with ESPD and Contractor to address parked vehicles hindering construction

Preparing detailed written daily inspection reports to City staff. Reports shall contain:
o Weather and site conditions
o Duration and names of personnel and equipment on site
o Confirmation of personnel, personnel time, materials, and equipment on T&M tasks
o Quantities of bid item and other work completed each day
o Any major incidents, safety violations, or public complaints
o Any corrective actions requested of the Contractor/sub-contractors
o Photographs of construction activity progress
o Dust control activities
o Any days/hours and reasons for no work occurring
• Inspecting work in progress to ensure compliance with plans and specifications
• Collecting complete Time & Materials (T&M) information if T&M is approved for use
• Informing City staff as soon as possible if current workdays will not be enough
• Inspecting materials for proper temperature, consistency, and makeup before spreading
• Coordinating sample preparation, material testing, or special inspection work.
• Inspecting and approving formwork prior to any required concrete pours
• Collecting asphalt, concrete, and other material tickets to submit to City staff
• Performing and providing quality assurance
• Performing tests and reviewing test results if required
o Compaction testing to 95% - REQUIRED
o Pavement density testing — NOT required
o Concrete testing — NOT required.
• Ensuring Contractor addresses any items not meeting minimum requirements, including test
result requirements, and coordinating additional testing after corrections are made
• Confirming streets are properly and completely prepared for resurfacing
• Confirming Contractor is coordinating inspections by other agencies (i.e., utility companies,
other government agencies, etc.) if necessary
• Confirming Contractor is continuously addressing potential project site safety issues, during
construction and when construction is not occurring, to mitigate damage and injury claims
• Providing complete measurements for progress payments and final quantities
• Reviewing Contractor invoices to ensure accurate quantities for completed work
• Ensuring that Contractor is documenting necessary items for As -Built plans during the
construction; confirming that final submitted As -Built plans reflect the field and other changes
that occurred on the project.
• If necessary, providing night, overtime, or emergency inspection services
• Upon project completion
o Conducting final inspections and beginning close-out activities.
o Ensuring Contractor and their subcontractors have completely removed construction
debris, slurry tabs, concrete stains from the construction, etc.
o Ensuring Contractor has resolved public complaints about property damage, emulsion
stains on private hardscape, slurry seal patching, etc. prior to project close-out
o Providing City staff with punch list items as needed
Consultant shall be familiar with or call out any potential construction -related issues, including:
• Scheduling concerns
• Issues meeting relevant standards and codes (including those of outside jurisdictions)
• Clarification or constructability issues with the construction plans

SECTION 3: PROPOSAL
At minimum, proposals should include the following information:
1. Consultant's project team, including name of project manager, key staff members, and Sub -
consultants (if any) to be retained by the Consultant.
2. Scope of services with a breakdown of different tasks. The scope of work defined in this RFP
shall at minimum be referenced as included in the Consultant's scope of services.
3. Consultant's estimated fee for services as described in the scope of work.
4. A statement that Consultant is agreeable to execute the enclosed City -Consultant agreement,
labeled Exhibit B, to provide proof of insurance as noted in the agreement, and to obtain and
maintain a City Business License for the duration of the Consultant services. The cost of
providing these items shall be included in the proposal costs.
SECTION 4: SELECTION PROCESS
Public Works Department staff will first examine proposals to eliminate those non-
responsive to the stated requirements. Staff will then evaluate each proposal based on:
• Completeness of the Proposal and attachment of additional required documents
• Qualifications of the consultant and specific experience of key team staff
• Schedule and capacity of the consultant to provide highly qualified personnel
• Experience with similar types of tasks/services
• References and satisfaction of previous clients
Reservation of Rights
This Request for Proposals is a solicitation and not an offer to contract. The City reserves the
right to reject any and all proposals. The City further reserves the right to issue clarifications and
other directives concerning this RFP, to require clarification or further information with respect to
any proposal received, to hold interviews to clarify consultant proposals, and to determine the
final terms of any contract.
Acceptance of any proposal will be based upon factors including, but not limited to approach and
understanding, completeness of proposal, thoroughness of information provided, cost for
services, and team qualifications.

PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF EL SEGUNDO AND
This AGREEMENT is made and entered into this day of ,
201_, by and between the CITY OF EL SEGUNDO, a municipal corporation and
general law city ("CITY") and P2S [name] , _[type o
organization] ("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed dollars ( ) for CONSULTANT's
services. CITY may modify this amount as set forth below. Unless
otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit "A," which is incorporated
by reference.
2. SCOPE OF SERVICES,.
A. CONSULTANT will perform services listed in the attached Exhibit
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of
any deficiencies and CONSULTANT will have fifteen (15) days after such notification to

cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "_") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
Carefully investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from M to
. Unless otherwise determined by written amendment between the
parties, this Agreement will terminate in the following instances:
A. Completion of the work specified in Exhibit "A";

B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
ii. CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving
written authorization to proceed, any such professional services are at
CONSULTANT's own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:

11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12.TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18.INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
19.ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE.
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

for ENG 23-48: Wastewater Infrastructure Improvements Project
ATTENTION BIDDERS:
The following additions, modifications, and clarifications to the specifications shall be
included in, and become a part of, any contract which may be executed for the above
project in the City of El Segundo:
1. The proposals due date and time are still Tuesday, December 5, at 4:00 pm
2. The word "part-time" in the first paragraph of Page 2 of 5 of the Request for
Proposals is changed to read "fulltime" as shown below:
"You are hereby invited to submit a response to this Request for Proposal (RFP)
to provide fulltime construction inspection and nuclear gage testing services as
detailed in this document for asphalt grinding and paving improvements in the
City of El Segundo."
As evidence that the CONSULTANT has read this Addendum, the CONSULTANT must
acknowledge same in the space provided below and submit this Addendum with the
Proposal. Failure to provide such acknowledgement shall render the proposal as non-
responsive and subject to rejection.
