RIGHT OF ENTRY PERMIT
AND INDEMNITY AGREEMENT
THIS PERMIT, dated for reference purposes only, December 5, 2023, is made
by and between THE LOS ANGELES COUNTY METROPOLITAN
TRANSPORTATION AUTHORITY, a public agency existing under the authority of the
State of California ("LACMTA/METRO"), and THE CITY OF EL SEGUNDO, a municipal
corporation organized under the laws of the State of California, acting by and through its
Department of Public Work ("Permittee"). The parties agree:
For the consideration hereinafter stated, the parties agree as follows:
The LACMTA hereby permits Permittee to enter upon and use the real property
("Property") located on METRO's C-Line Right -of -Way, specifically within
Nash St between Atwood Way and El Segundo Blvd and Douglas Street at
the crossing with Atwood Way and at the crossing with Park Place, in the
City of El Segundo, State of California, and as shown on Exhibit "A", Site
Drawing, and subject to the following terms and conditions.
2. Permittee's right to enter the Property is non-exclusive and personal to Permittee,
its subsidiaries and their officers, agents and employees, licensees and invitees
and, therefore is not assignable.
3. This Permit is granted to Permittee solely for the purpose of ADA ramp
improvements, street utility demolition and disposition, street improvements,
signing,striping, irrigation, and planting, which construction and installation work
is set forth in the Scope of Work attached hereto as Exhibit "B" and
incorporated herein by this reference (the "Work"), as depicted in the
Construction Drawings & Schematics attached hereto and incorporated herein by
this reference as Exhibit "C", all subject to the terms and conditions of this
Permit. Any change to the approved plans during construction shall be
submitted to LACMTA for review and approval. Permittee must coordinate
all construction with Metro, under the direction of John Jaramillo, Director -
Construction Management, contact information: (213) 418-3149 Tel; (213)
703-2485 Cell; and EmaflLaramill2i@metro.net.
4. This Permit is granted to Permittee, its employees, subcontractors, successors or
assigns to enter specific areas as may be designated or assigned by
LACMTA from time to time.

5. Permission to enter the Property is granted for a specific time period
commencing on December 5, 2023, and ending on May 31, 2024.
6. In consideration of this Permit, Permittee shall pay to LACMTA Real Estate,
prior to its initial entry, the sum of $0 Waived for use of the property. There
may be additional fees ("Additional Fees") required by LACMTA as a result of
construction support (such as Engineering, Construction Management inspection
and/or other related support). John Jaramillo, Director -Construction
Management, at (213) 418-3149 Tel; (213) 703-2485 Cell; and Email
"aramillo etro,net will coordinate Additional Fees requirements and
payments due to LACMTA by the Permittee. Payment of such Additional Fees
shall be collected separately from this Permit. The granting of this Permit shall
not be construed to provide Permittee with any rights beyond those expressly
provided herein.
7. Permittee agrees, that its duly designated representatives has fully examined the
Premises and accepts the use and occupancy thereof with full knowledge of the
conditions thereof, and agrees that LACMTA shall not be liable for any loss,
injury to persons or property damage caused by or resulting from the condition of
state of repair of the subject Premises.
8. Permittee, on behalf of its successors and assigns, shall indemnify, defend
release and forever hold harmless LACMTA and its officers, agents and
employees, licensees and invitees from and against any and all loss, claims,
demands, liabilities, penalties, liens, claims of lien, damages (including
consequential damages), costs and expenses, which LACMTA may sustain,
incur or become liable for, including without limitation, loss of or damage to
property or injury to or death of any person or persons arising out of or in any
manner connected with Permittee's use of the Property or exercise of this Permit,
except to the extent caused by the gross negligence or willful misconduct of
LACMTA.
9. Permittee, at its expense, shall comply with all applicable federal, state and local
laws, ordinances, regulations, rules orders, and LACMTA policies and
procedures with respect to the use of the Property.
10. While this permit is in effect, Permittee and its contractors shall, at its sole cost
and expense, obtain and maintain in full force and effect throughout the term of
this Permit, insurance, as required by LACMTA, and described in Exhibit "D"
attached hereto.
Permittee shall pay all premiums and assessments on the insurance coverage
required and shall provide LACMTA certificates of insurance required to be
maintained by Permittee prior to the date of the commencement of any activities
by same on the Property. Each certificate shall expressly provide that such

policies shall not be cancelable or otherwise subject to modification except after
thirty (30) calendar days' prior written notice to LACMTA.
Notwithstanding the foregoing, the insurance requirements may be satisfied by
providing evidence that Permittee is legally self -insured. Permittee agrees that
any program of self-insurance shall protect the interests of LACMTA in the same
manner as those interests would have been protected had a policy of commercial
insurance been in effect.
11. Permittee shall ensure that all activities conducted on the Property shall be in
accordance with LACMTA's written Track Allocation Procedures, as described in
Exhibit "E", which is attached hereto and incorporated by reference herein.
Permittee shall not enter the Property until it has received the applicable
approvals and permits required by the Track Allocation Procedures.
12. In the event of an emergency resulting from Permittee's activities under this
Permit that threatens or endangers (a) human life or safety or (b) operation of the
LACMTA facilities, or any other improvement or appurtenance of LACMTA,
Permittee shall promptly notify the LACMTA's rail operation control center at 323-
563-5290 or 323-563-5022 and LACMTA's contact person set forth in this Permit.
Thereafter, Permittee may undertake such measures as are reasonably
necessary to remedy such emergency provided that Permittee (w) acts in good
faith; (x) uses its best efforts to remedy the emergency immediately; (y)
otherwise conforms to the extent practicable, to the applicable provision of this
Permit; and (z) follows all directives issued by the Rail Operation Control Center
and/or LACMTA's Contact Person with respect to such emergency work.
LACMTA reserves the right to change the telephone numbers listed above by
delivering written notice thereof to Permittee.
13. The LACMTA may inspect the Premises covered by the Permit at any or all
times.
14. The LACMTA may terminate this Permit and be relieved of any further
performance if Permittee fails to perform any covenant herein contained at the
time and in the manner herein provided or if LACMTA or any other person
discovers any dangerous condition on the Premises.
15. Permittee shall not interfere with any of LACMTA's normal activities and shall
promptly remove any vehicle or equipment that might be a source of interference
to LACMTA's operations.

18. The parties hereto agree that to their knowledge, no Board member, officer or
employee of the Los Angeles County Metropolitan Transportation Authority has
any financial interest, in this transaction, and that if any such interest comes to
the knowledge of either party at any time, full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such
interest would not be considered a conflict of interest under the laws of the State
of California.

3.19 CONSTRUCTION WORK PLANS
A. Prepa re Construction Work Plans (CWP) for individual Work elements or as specified by Metro,
B. Show CWP preparation activities and Readiness Review Meetings on the three week look
ahead schedules.
C. Submit CWP prior to Readiness Review Meetings described in this Section,
D, All CWPs shall be reviewed bybuilder, superintendent, subcontractor personnel, Including the
field supervisor.
E. Subject Work may not proceed until CWP has been approved by Metro.
F. Comments must be resolved and CWP and associated inspection checklists (if applicable)
resubmitted for approval prior to commencement of Work described in CWP.
G. Address the items below in CWP as minimum. The format below must be followed. Note: Metro
will not review partial submittals.

• ADA Curb Ramp improvements at intersections of Nash St/Imperial Ave, Nash
St/Atwood Way, Nash St/ Maple Ave, Nash St/Mariposa Ave, Nash St/Grand Ave,
and Nash St/El Segundo Blvd. ADA Driveway improvement at 500 N. Nash St
• Cold mill, AC pavement, and ARHM on Nash Street, between El Segundo Blvd and
Imperial Highway. Refer to plans for limits and type of pavement rehabilitation.
• Upgraded signage and striping to accommodate Class lI and Gass III bicycle facilities.
• Pedestrian push button upgrades for ADA improvements at intersections on Nash
St, between El Segundo Blvd and Imperial Highway.
• Microsurfacing on Douglas St in multiple areas between Campus Dr and Transit
Center Dr to improve street surface. Refer to plans for Microsurfacing limits.
• Upgraded signage and striping on Douglas St to accommodate new surfaced street
and bicycle facilities.

INSURANCE REQUIREMENTS FOR LEASES, LICENSES, AND PERMITS
Lessee, Licensee, or Permittee shall procure and maintain, for the duration of the contract, insurance against
claims for injuries to persons or damages to property which may arise from, or in connection with, the use of
LACMTA property hereunder by the Lessee, Licensee, or Permittee, their agents, representatives, employees
or subcontractors.
Minimum Scon of Insurance, (Check all applicable boxes)
Coverage shall be at least as broad as:
0 Insurance Services Office Commercial General Liability coverage (occurrence form CG 0001).
0 Insurance Services Office Form No.CA 0001 covering Commercial Automobile Liability.
0 Worker's Compensation insurance as required by the State of California and Employer's Liability
Insurance.
❑ Course of Construction (Builder's Risk) insurance providing coverage for "all risks" of loss.
❑ Property insurance against all risks of loss to any tenant improvements or betterments.
❑ Insurance Services Office Railroad Protective Liability
❑ Contractor's Pollution Liability with coverage for:
a. bodily injury, sickness, disease, mental anguish or shock sustained by any person, including
death;
b. property damage including physical injury to or destruction of tangible property including the
resulting loss of use thereof, clean-up costs, and the loss of use of tangible property that has not
been physically injured or destroyed;
C. defense, including costs, charges and expenses incurred in the investigation, adjustment or
defense of claims for such compensatory damages; and
d. losses caused by pollution conditions that arise from the operations of the contractor.
❑ Insurance Services Office Excess Liability (CX 00 0109 08 or equivalent)
Minimum Limits of Insurance (Check all applicable boxes)
Lessee, Licensee, or Permittee shall maintain limits no less than:
0 General Liability: $2,000,000 per occurrence for bodily injury, personal injury, property damage and
fire legal. If Commercial General Liability Insurance or other form with a general aggregate limit is
used, either the general aggregate limit shall apply separately to this project/location or the general
aggregate limit shall be twice the required occurrence limit.
0 Automobile Liability: $2,000,000 per accident for bodily injury and property damage.
0 Workers' Compensation: Statutory as required by the State of California; Employer's Liability:
$1,000,000 per accident for bodily injury or disease.
❑ Course of Construction (Builder's Risk): Completed value of the project.
❑ Property Insurance: Full replacement cost with no coinsurance penalty provision.
❑ Railroad Protective Liability: $2,000,000 per occurrence. Aggregate limit shall apply separately to
this project/location or the aggregate limit shall be twice the required per occurrence limit
❑ Contractor's Pollution Liability: $2,000,000 per occurrence/$4,000,000 annual aggregate.
❑ Excess Liability: $5,600,000 per occurrence. Policy shall afford coverage on a following form basis
and respond to Commercial General, Commercial Auto Liability claims in the same manner as
underlying coverage without limitation.
Deductibles and Self -Insured Retentions
Any deductibles or self -insured retentions in excess of $25,000 must be declared to and approved by LACMTA.
At the option of LACMTA, either: the insurer shall reduce or eliminate such deductibles or self -insured
retentions as respects LACMTA, its officials and employees; or the Lessee, Licensee, or
Permittee shall procure a bond guaranteeing payment of losses, and related investigations, claim
administration and defense expenses.

Other Insurance Provisions
The general liability and automobile liability policies are to contain, or be endorsed to contain, the following
provisions:
1. Los Angeles County Metropolitan Transportation Authority, its subsidiaries, officials and employees are to be
covered as insureds as respects: liability arising out of activities performed by or on behalf of the Lessee,
Licensee, or Permittee; products and completed operations of the Lessee, Licensee, or Permittee; premises
owned, occupied or used by the Lessee, Licensee, or Permittee; and automobiles owned, leased, hired or
borrowed by the Lessee, Licensee, or Permittee. The coverage shall contain no special limitations on the scope
of protection afforded to LACMTA, its subsidiaries, officials and employees.
2. For any claims related to this project, the Lessee, Licensee, or Permittee insurance coverage shall be primary
insurance as respects LACMTA, its subsidiaries, officials and employees. Any insurance or self-insurance
maintained by LACMTA, its subsidiaries, officials and employees shall be excess of the contractor's insurance
and shall not contribute with it.
3. Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not
affect coverage provided to LACMTA, its subsidiaries, officials and employees.
4. The Lessee, Licensee, or Permittee insurance shall apply separately to each insured against whom claim is
made or suit is brought, except with respect to the limits of the insurer's liability.
5. Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended,
voided, canceled by either a party, or reduced in coverage or in limits, except after thirty (30) days' prior written
notice by certified mail, return receipt requested, has been given to LACMTA.
6. Workers' Compensation and Employer's Liability policies shall provide a waiver of subrogation in favor of
LACMTA.
7. Railroad Protective Liability in the amount of $2,000,000 per occurrence written in the name of LACMTA shall be
obtained to satisfy this coverage requirement. As an alternate to this requirement, the Commercial General
Liability may remove the exclusion for work performed within 50ft of railroad track and evidence provided on the
certificate of insurance.
8. LACMTA lease number must be included with description of Deed premises.
9. Course of construction policies shall contain the following provisions:
a) LACMTA shall be named as loss payee.
b) The insurer shall waive all rights subrogation against LACMTA.
Acceptability of Insurers
Insurance is to be placed with insurers with a current A.M. Best's rating of no less than A- VII, unless otherwise
approved by LACMTA.
Verification of Coverage
Lessee, Licensee, or Permittee shall furnish LACMTA with original certificates of insurance and endorsements
evidencing coverage required by this clause. All documents are to be received and approved by LACMTA before
work commences. As an alternative, the Lessee, Licensee, or Permittee may provide complete, copies of all required
insurance policies, including endorsements affecting the coverage required by these specifications.
Contractors and Subcontractors
Lessee, Licensee, or Permittee shall include all contractors and subcontractors as insureds under its policies or
require certificates and endorsements for each contractor and subcontractor. All coverages for contractors and
subcontractors shall be subject to all of the requirements stated herein. Lessee, Licensee or Permittee shall serve as
the repository for all certificates of insurance for their contractors and subcontractors; however LACMTA reserves the
right to request copies for review.
