ADVERTISER AGREES THAT EXCEPT AS SET FORTH BELOW, ANY SUMS PAID ARE NONREFUNDABLE AND IF ANY BALANCE DUE IS
NOT PAID WITHIN TWO WEEKS PRIOR TO THE PUBLICATION MONTH; THE ADVERTISEMENT MAY NOT BE PUBLISHED IN PORAC LAW
ENFORCEMENT NEWS. ADVERTISER AUTHORIZES THE PLACEMENT OF THE ADVERTISEMENT IN PORAC LAW ENFORCEMENT NEWS
FOR THE BELOW -REFERENCED MONTHS. THE PARTIES AGREE TO THE FOLLOWING TERMS AND CONDITIONS:
(1) Full payment of Total Charges is due upon signing this Contract. If the Total Charges are not paid at least two weeks prior to the publication
month, the advertisement may not appear in PORAC LAW ENFORCEMENT NEWS and subject to the cancellation provisions below, any sums
paid will be non-refundable and will be applied to compensate PEACE OFFICERS RESEARCH ASSOCIATION OF CALIFORNIA (PORAC) and
911 MEDIA, a DIVISION OF Trade News International, Inc. (911 MEDIA) for reserving advertising space for Advertiser in PORAC LAW
ENFORCEMENT NEWS.
(2) When this Contract has been signed by the parties, it shall be immediately processed and space reserved in PORAC LAW ENFORCEMENT
NEWS for Advertiser,
(3) PORAC and 911 MEDIA shall not be responsible for typographical errors, except to correct the advertisement of such typographical error.

(4) Failure to acknowledge, return or approve ad layout or directory listing will not alter the Contract payment terms or obligations
(5) Advertising materials will be stored for no more than six months following publication of advertising, Return of materials must be requested in
writing.
(6) In the event that collection efforts become necessary to enforce the terms of this Contract, Advertiser agrees to pay PORAC and 911 MEDIA all
costs of collection, whether by suit or otherwise, including actual attorney's fees.
(7) There will be a $25.00 service charge for returned checks.
(8) Advertiser assumes full and complete responsibility and liability for the content and appearance of all advertising copy submitted and published
pursuant to this Contract. Neither PORAC nor 911 MEDIA shall be responsible for the success of any advertisement. All copy is subject to the
approval of the PORAC and 911 MEDIA. PORAC reserves the right to exclude advertising which in its sole discretion is unethical, misleading, in
bad taste, or does not suit the character of PORAC.
(9) Advertiser agrees to indemnify, defend (through counsel reasonably acceptable to PORAC and 911 MEDIA) and hold the PORAC and
911MEDIA, and their respective officers, directors, employees, agents, contractors, successors and assigns, free and harmless from any and all
claims, demands, suits, obligations, liabilities, damages, losses, costs and expenses (including actual attorneys' fees) arising out of or related in
any manner whatsoever to any advertisement published for Advertiser, except in the case of intentional wrongdoing by the PORAC or 911MEDIA.
(10) To earn frequency discount rates, all ads must be run during consecutive months. Advertiser's who fail to run their advertising the number of
consecutive months on which their billings have been based will be short -rated and billed at the rate actually earned. Such rate to be taken from
the Rate Card in effect on date this Contract is signed by Advertiser.
(11) Copy changes are permitted provided that the Advertiser contacts 911 MEDIA with any changes in copy by the 5th business day of the month
preceding the month that advertisement is scheduled to appear, and the Advertiser pays the alteration/ revision charges.
(12) All ad copy must be supplied by Advertiser and prepared to 911 MEDIA's technical specifications. If not, any artwork, including typography,
design, scans, etc. prepared or corrected by PORAC or 911 MEDIA will be billed to Advertiser at current rates.
(13) Orders requesting specific positions in PORAC LAW ENFORCEMENT NEWS will be considered, but such requests cannot be guaranteed,
unless otherwise agreed upon in writing by 911 MEDIA.
(14) PORAC and 911 MEDIA reserve the right to discontinue publication of Advertiser's advertising copy at any time during the term of this
Contract. In such case, PORAC and 911 MEDIA shall be responsible only for the return of a pro rate portion of any advance payment related to the
remaining advertising periods paid by Advertiser under the terms of this Contract and for no other sums whatsoever.
(15) Advertiser shall have the right to cancel this Contract as to advertising to be published in the future, provided that written notice of cancellation
is received by 911 MEDIA on or before the first business day of the month preceding the month that advertisement is scheduled to appear. Upon
such cancellation, the Advertiser shall immediately pay for all advertisements published at the rate earned for the amount of space actually used
according to the Rate Card in effect at the time this Contract is signed, and for any further charges incurred under this Contract. In the case where
no advertisement is published in PORAC LAW ENFORCEMENT NEWS and no timely cancellation has been received, there will be a cancellation
charge of One Hundred Dollars ($100.00) to cover the cost and administrative expense of reserving the space.
(16) The failure to publish an ad in PORAC LAW ENFORCEMENT NEWS shall be deemed immaterial, and shall not be considered a breach of
this Contract, nor shall PORAC or 911 MEDIA be liable for damages for such failure. In no event shall PORAC or 911MEDIA be liable for any
special or consequential damages. PORAC and 911 MEDIA shall not be liable for the return of any monies due to Advertiser's failure to submit ad
copy in time for insertion in the month contracted for. PORAC and 911MEDIA reserve the right to offer (or not offer) space in a subsequent month
should Advertiser fail to submit ad copy on time or if an ad is unintentionally omitted.
(17) This Contract shall be interpreted and enforced in accordance with the laws of the State of California. Any suit or proceeding with respect to
this Contract shall be brought and maintained only in a court of competent jurisdiction in Los Angeles County, California.
(18) Any individual signing this Contract on behalf of an entity represents that such individual has the authority to do so, and that the provisions of
this Contract will bind the entity. As used in this Contact, the term "Advertiser' shall include an advertising agency and any other purchaser of
advertising space signing below.
