CONTRACT 6732 Other CLOSEDAgreement No. 6732 Agreement No. FACILITY USE AGREEMENT BETWEEN THE CITY OF EL SEGUNDO AND MARACUYA ENTERTAINMENT This AGREEMENT is entered into this 23 day of August, 2023, by and between the CITY OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and Glia Productions LLC, a California limited liability company ("PERMITTEE"). 1. PROPERTY; PURPOSE. A. CITY owns that certain real property located at 808 California Street, El Segundo, California 90245, known as Sycamore Park, and that certain real property located on the corner of Grand Avenue and Maryland Street, known as Hilltop Park, which CITY use for park and recreation purposes. B. El Segundo Municipal Code ("ESMC") Chapter 4-11 outlines regulations and legal requirements for motion picture, radio and television productions in CITY and is incorporated herein by this reference. C. This Agreement constitutes an additional agreement, as authorized under ESMC § 4-11-4, for a media production's use of CITY property. D. CITY seeks to temporary license PERMITTEE to use the entirety of Sycamore Park, to the exclusion of the general public, and a portion of Hilltop Park (i.e., the Hilltop Park surface parking lot, except for 4 parking spaces, including 1 Americans with Disabilities Act disabled parking spaces) (collectively, the "Property") for a film production ("Authorized Use") as set forth in this Agreement and depicted in the CITY film permit attached hereto as Exhibit "A" and incorporated by reference (the "Permit"). 2. LICENSE; TERM; CONSIDERATION. A. CITY grants a temporary license to PERMITTEE to enter and use the Property for the Authorized Use subject to this Agreement's terms. B. PERMITTEE's temporary license to use the Property for the Authorized Use under this Agreement will be effective from August 30, 2023 through August 31, 2023. C. In consideration of CITY's temporary license for the Property, PERMITTEE agrees to pay a fee of $1717.50 per day for a use of Sycamore Park and $500 per day for a use of a portion of Hilltop Park for a total fee of $4435 and abide by the requirements set forth in this Agreement, the Permit, and ESMC Chapter 4-11. -1- Rev 2l7l23 Agreement No. 6732 Agreement No. 3. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement takes precedence over the attached Exhibit; this Agreement supersedes any conflicting provisions. 4. TAXPAYER IDENTIFICATION NUMBER. PERMITTEE will provide CITY with a Taxpayer Identification Number. 5. PERMITS AND LICENSES. PERMITTEE, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 6. WAIVER. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 7. TERMINATION. A. Except as otherwise provided, CITY may terminate this Agreement at any upon PERMITTEE's breach of this Agreement, the terms of the Permit, or ESMC Chapter 4-11. B. Upon receiving a termination notice, PERMITTEE will immediately cease performance under this Agreement unless otherwise provided in the termination notice. C. By executing this document, PERMITTEE waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 8. INDEMNIFICATION. A. PERMITTEE indemnifies and will defend (at CITY's request and with counsel satisfactory to CITY) and hold CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney fees), injuries, or liability, arising out of PERMITEE's acts, errors or omissions, negligence, or wrongful conduct (regardless of any CITY passive negligence) in connection with this Agreement or the actions contemplated in the Permit. B. For purposes of this section "CITY" includes CITY's officers, officials, employees, agents, representatives, and certified volunteers. C. The requirements as to the types and limits of insurance coverage to be maintained by PERMITTE as required under the Permit, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by PERMITTEE pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification. 9. ASSIGNABILITY. Any PERMITTEE attempt to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 10. NOTICES. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 11.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of PERMITTEE and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of PERMITTEE's or CITY's obligations under this Agreement. 12.INTERPRETATION. This Agreement was drafted in and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County. 13. COMPLIANCE WITH LAW. PERMITTEE agrees to comply with all federal, state, and local laws applicable to this Agreement. 14. ENTIRE AGREEMENT. This Agreement and its attachments set forth the entire understanding of the parties. There are no other understandings, terms or other -3- Rev 217123 Agreement No. 6732 Agreement No. agreements expressed or implied, oral or written. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 15. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 16. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 17.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. 18. COUNTERPARTS; ELECTRONIC SIGNATURES. This Agreement may be executed by the Parties on any number of separate counterparts, and all such counterparts so executed constitute one Agreement binding on all the Parties notwithstanding that all the Parties are not signatories to the same counterpart. In accordance with Government Code § 16.5, the Parties agree that this Agreement, Agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. 19. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 20.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. 21. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either party to the other. In addition to the general terms and conditions contained in the ESMC, filming is subject to the following additional limitations. 1. EVENT DESCRIPTION. Short Film - short dialogue scenes with minors interacting with playground equipment. All Filming must be conducted within the permit hours. "Filming" includes all activity attendant to staging this event (i.e. arrival, set-up, teardown, filming, clean-up, and departure). This Film permit is to remain on site and available for inspection during all scheduled permit hours. 2. COVID-19 NOTICE. By signing and accepting this Film Permit, the Permittee acknowledges they are required to implement and abide by all County of Los Angeles. Health Orders regarding protecting health and safety, and to lower the risk of the Novel Coronavirus Disease (Covid-19) transmission and outbreak& in the community. A copy of the Los Angeles County Health Order must be posted and present at al l times at all locations where filming activity is occurring. The City of El Segundo reserves the right to revoke this permit if public health is placed at risk by the production. 3. POLICE SERVICES. Police services have not been requested and will not be provided. Permittee is responsible for all public safety costs incurred as aresult of this permit. a. Permittee must comply with any and all direction from the El Segundo Police Department. b. Any sworn public safety officer may temporarily suspend an event whenever there is an emergency that requires such action to protect public safety. Should this occur, the Permittee and event participants must immediately comply with the suspending officer's instructions. 4. UNOBSTRUCTED ACCESS. Permittee must allow all property owners, authorized City Officials, pedestrians, and vehicles unobstructed access to businesses, residences, and public property at all times. HIVE (SHORT FILL Agreement No. 6732 5. NOISE. The Permittee must comply with ESMC §§ 7-2-1 to 7-2-15 regulating noise. 6. CLEAN-UP. Permittee is responsible for clean up and return of all public and private property in the immediate vicinity of the filming to the same condition as existed before filming. Permittee is responsible for the clean up of any litter or debris, which may accumulate as a result of filming. a. If the Permittee fails to provide adequate clean-up, at the discretion of the City, The Permittee may be required to pay for all cleanup services incurred by the City including, without limitation street sweeping and steam cleaning of affected City streets and sidewalks. Should the City be required to expend funds for such work, the actual cost for services will be deducted from the Permittee's film deposit. b. Permittee must provide adequate trash containers for waste that maybe generated by this event. 7. INSURANCE REQUIREMENTS. Permittee must obtain liability insurance from an insurance company licensed to business in the state of California and having a financial rating in the Best's Insurance Guide of not less than "ANII." The amount of insurance must be not less than $1,000,000.00. Such insurance will provide "occurrence" coverage against liabilities for death, personal injury, or property damage arising out of or in any way connected with the Event. Insurance must name the city and city's elected and appointed officials, officers, and employees as additional insureds under the coverage afforded. In addition, such insurance must be primary and noncontributing with respect to any other insurance available to the city and will include a severability of interest (cross -liability) clause. 8. CERTIFICATES OF INSURANCE. A copy of the policy or a certificate of insurance long with all necessary endorsements, in a form approved by the CITY's risk manager, must be fled with the CITY not less than five (5) business days, except as otherwise provided in this chapter, before the date of the event unless the CITY, for good cause, waives the filing deadline. 9. ADDITIONAL CONDITIONS AND REVOCATION. The CITY may amend this permit to include additional conditions should the circumstances of the event require such subsequent additions. In addition, this Permit may be revoked either orally or in writing should the Permittee or the conduct of the event violate the permit's terms or conditions. 10. EMERGENCY SUSPENSION OF EVENT. The Administrator, Designee and any sworn public safety officer may temporarily suspend the event if an emergency required such action in order to protect public safety. The Permittee and event participants must immediately comply with the suspending officer's instructions. 11. ENFORCEMENT. Should the CITY determine it necessary to take legal action to enforce any of the provisions of these conditions, and such legal action is taken, the Permittee will be required to pay any and all costs of such legal action, including reasonable attorney's fees, incurred by the CITY, even if the matter is not prosecuted to a final judgement or is amicably resolved, unless the CITY should otherwise agree with the applicant to waive said fees or any part thereof. The foregoing will not apply if the Permittee prevails on every issue in the enforcement proceeding. HIVE (SHORT FILM) Agreement No. 6732 1.2. INDEMNIFICATION. When the application review is complete; • The permit fees are calculated and collected, • Applicant accepts the permit approval or conditional approval in writing by signing the indemnification agreement, and the permit is issued by the Administrator. The name, mailing address, and daytime telephone number of the person who will be present during, and responsible for the filming; 2. The address(es) or place at which the activity is to be conducted; 3. The specific location(s) at such addresses) or place(s); 4. The inclusive times and dates such activity will transpire; 5. A general statement of the character or nature of the proposed activity; 6. The number of personnel to be involved; 7. Anticipated use of any animals, pyrotechnics, fire, or explosives; 8. The food servicing arrangements; 9. Requests for special assistance at the location, including, without limitation, street closure, traffic control, and emergency services; 10. Whether the activity to be filmed includes vehicle chases or other activities dangerous to the participants or to the public, with a description of the activity to be filmed. 11. The amount and type of equipment and vehicles to be involved; 12. A declaration regarding notification of residences and businesses within the proximity zone as required; 13. FILMING NQILFI AJ —To meet the application and time requirements the Filming Notification must be delivered a minimum of ninety-six (96) hours prior to filming. 1. The Filming Notification must be delivered to every address in the Proximity Zone(s) on a form approved by the Administrator. (See sample for format and required language.) 2. A declaration regarding notification of residences and businesses within the proximity zone(s) is signed bythe applicant. In conjunction with the signed declaration of delivery, the Applicant must submit a list detailing every address to which a notice was delivered. 3. Failure to distribute the notification letter as required will prevent the agency, filming/production company and/or applicant from submitting future permit applications. INDEMNIFICATION AGREEMENT Permittee must enter into a hold harmless agreement with the City which, in part, indemnifies City, its officers, employees, and agents, from any liability arising from permittee's filming in a form approved by the City Attorney. j (Continued on page 2) Agreement No. 6732 INSURANCE REQUIREMENTS (See Examples) It is recommended the film company contact the Risk Manager to ensure that the insurance requirements are met. 1. Certificate of Insurance Form : • Minimum requirements are: $1,000,000 General Liability, $100,000 Auto Coverage, and statutory limits for Workers Compensation. • Concellotion Clouse Must be amended to read exactly as follows: 'SHOULD ANY OF THEABOVE DESCRIBED POLICIES BE CANCELLED BEFORE THE EXPIRATION DATE, THE ISSUING INSURER WILL MAIL 30 DAYS WRITTEN NOTICE TO THE CERTIFICATE HOLDER NAMED TO THE LEFT." 2. Endorsement Form as required by the City's Risk Manager. 3. Workers' Compensation coverage with a Waiver of Subrogation. FEES AND DEPOSITS 1. Non-refundable film permit application fee: $1,563.00 is required when the application and supporting documents are filed for processing. 2. Per Day of filming: $124.00 (*See filming definition in municipal code.) 3. Film permit revision/rider: $269.00 each. 4. Right-of-way permit fee: $860.00 per day, per area, shall be paid whenever the permittee uses any portion of any public street, road, right-of-way or building, other than a building or property owned or controlled by the City. There are separate fees established for the use of these locations. 5. In addition to the fees and charges hereinabove established, the permittee shall pay all costs and direct overhead of the City for supervising, controlling and managing permittee's operation. This shall include, but is not limited to, all personnel costs, all material and supply costs, and all other direct costs and expenses of the City. These costs and expenses shall be computed at the conclusion of the project and shall be deducted from the deposit hereinafter required. 6. Afterthe film permit application fee is paid and the application approved and before a permit is issued, the applicant shall deposit with the Director of Finance a cash deposit computed as follows: • Twice the amount determined by the Director of Finance to be the total cost to the City of El Segundo • Plus a sum equal to all permit and license fees. CANCELLATIONS If filming is cancelled or a permit denied with less than a 24 hour notice, there will be a four-hour minimum charge for each police and/or fire officer assigned. GENERAL PERMIT REQUIREMENTS For safety reasons, and to protect the integrity of the City's neighborhoods, the following general regulations have been established: a. Neighbors within a proximity zone must be protected from glare caused by lighting used for filming after sunset. b. Written permission will be required from the property owner(s) and/or tenants of each location to be used. c. The hours for filming are 7:00 a.m. to 10:00 p.m. Conditions for filming requests east of Sepulveda Boulevard will be flexible and no stricter than those requests west of Sepulveda Boulevard. Each request will be evaluated on a case -by -case basis. NO PARKING SIGNAGE POSTING REQUIREMENTS • No Parking signs must be posted seventy-two hours (72) hours prior to your event start time, including set-up. • Verification that all No Parking signs are placed in their correct location(s) every twenty-four (24) hours from the initial placement of the signage and a minimum of twelve (12) hours prior to your set-up or arrival time is required. The documentation must be kept on file and provided to City representatives upon request. • No Parking signs must be posted on the curb (sidewalk) next to the roadway tied to delineator posts. • No Parking signs must be placed a minimum of every thirty-three (33) feet. • Missing, collapsed, or damages No Parking signs must be replaced at least daily and a minimum of twelve hours prior to arrival time. NOTE: No permit will be issued if it will result in any address located within a proximity zone having had filming for more than 25 days in the current calendar year.
