PROFESSIONAL SERVICES AGREEMENT
'2 BETWEEN
THE CITY OF EL SEGUNDO AND
ANSER ADVISORY MANAGEMENT, LLC
This AGREEMENT is made and entered into this 21st day of June, 2023, by and
between the CITY OF EL SEGUNDO, a municipal corporation and general law city
("CITY") and ANSER ADVISORY MANAGEMENT, LLC, a Limited Liability Company
("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION,
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C, As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed Eighty -Nine Thousand, Eight Hundred Twenty -Nine Dollars
($89,829.00) which includes the original proposal amount of ($81,663.00)
as well as a contingency amount, which may or may not be used, of
($8,166.00) for CONSULTANT's services. CITY may modify this amount
as set forth below. Unless otherwise specified by written amendment to
this Agreement, CITY will pay this sum as specified in the attached Exhibit
"A," which is incorporated by reference.
2. SCOPE OF SERVICES,
A, CONSULTANT will perform services listed in the attached Exhibit "A,"
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of

any deficiencies and CONSULTANT will have fifteen (15) days after such notification to
cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "A") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK,
A. By executing this Agreement, CONSULTANT agrees that it has:.
Carefully investigated and considered the scope of services to be
performed;
Carefully considered how the services should be performed; and
iii, Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from July 1, 2023, to June 30, 2024.
Unless otherwise determined by written amendment between the parties, this
Agreement will terminate in the following instances:
A. Completion of the work specified in Exhibit "A";

B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving
written authorization to proceed, any such professional services are at
CONSULTANT's own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:
A. Exhibit: A: Proposal for Services and Scope of Work
11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12.TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant_ to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18.INDEMNIFICATION.
A. CONSULTANT agrees to the following:
Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
19.ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE.
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23.USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed
made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26.CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36.CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other.
39.STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

Based on our review of the request for proposal, the FY 22/23 Pavement Rehabilitation Project for the City of EL
Segundo, consists of a full depth asphalt repair, asphalt grind and overlay, Type II Slurry Seal and concrete curb
replacement. Material testing services are required for subgrade and aggregate base, HMA, type II slurry seal
and minor concrete construction activities.

The estimated fee to implement and perform the quality assurance sampling and testing services for the
subject project is included in the Cost File (Attachment A) and fee schedules (Attachment B). All services
including technical consulting and laboratory testing will be billed in accordance with the approved schedule
of fees. This will be billed as "time and expense" for all work.

G3's Standard Terms and Conditions (Attachment B) are incorporated into and are an integral part of the
professional services agreement. The daily shift rates are based on the proposed shift duration. Overtime, as
defined in Attachment B, extending beyond the proposed shift schedule will be billed at an hourly labor rate of
$204.00. Double-time, as defined in Attachment B, extending beyond the proposed shift schedule will be billed
at an hourly labor rate of $272.00. Services requested that are not specifically outlined in this proposal will be
billed upon authorization on a time and expense basis in accordance with our Standard Schedule of Fees
(Attachment C).

STANDARD TERMS AND CONDITIONS
Working Conditions: Contractor to provide site access to inspection/testing locations.
Scheduling: Dispatch for services to be made minimum 24 hours in advance.
Completion: G3 Quality shall continue performance of the Scope of Work until completion or other termination
pursuant to the terms of this Agreement.
Cancellation: Client may cancel or reschedule work anticipated to be performed the following day without
charge by giving notice thereof before 4:00 p.m. of the preceding day for local inspections within 75 miles radius
of the closest G3 Quality facility.
Insurance: G3 Quality agrees to procure and maintain at its sole expense worker's compensation insurance as
required by law, automobile liability insurance, commercial general liability insurance and professional liability
insurance for claims arising from the performance of this Agreement to the extent caused solely by the
negligent acts, errors and omissions for which G3 Quality is legally liable. Upon request, Client shall be named
as an additional insured on commercial general liability and automobile liability insurance for the parties set
forth on Page 1 of this Agreement for claims covered by G3 Quality's insurance, subject to the limitation of
liability set forth in these Terms and Conditions.
Minimum Charges (Inspection and Techniclan Personnels Only ,. Other Personnel Charged on Portal -to- Portal

2-Hour Minimum: Inspector arrives at jobsite, no work to perform

Regular Time: The first 8 hours worked Monday through Friday between 5:00 a.m. and 5:00 p.m.
Time and ('one -Flab (All.,lypes of Inspection): Any portion past 8 hours through 12 hours worked Monday
through Friday and the first 12 hours on Saturday. Time and One - Half will be billed at a base fully loaded hourly
rate multiplied by 1.5.
Double Time All Types of Inspection): After the first 12 hours worked Monday through Saturday, all day Sunday,
holidays, and the first Saturday following the first Friday in June and December. Holidays are New Year's Day,
Memorial Day, Independence Day, Labor Day, Veterans Day, Thanksgiving Day, the day after Thanksgiving,
and Christmas Day. Double Time will be billed at a fully loaded base rate multiplied by 2.0.
Shift Differential: For additional requested services within the Local 12 jurisdiction, a $1.00 per hour shift
differential premium will be charged for all inspection hours outside Regular Time of 5:00 a.m. to 5:00 p.m. For
additional requested services within the Local 3 jurisdiction, a $6.00 per hour shift differential premium will be
charged for all inspection hours outside Regular Time of 4:00 a.m. to 2:00 p.m. Client agrees to provide 48-
hour notice to G3 Quality prior to requiring a shift that will include hours falling outside this time period. Failure
to provide such notice will result in that entire shift being billed at the Overtime Rate.
Meal Period: When personnel are required by their duties to work more than five consecutive hours without a
one-half hour uninterrupted meal period, one half hour at double time rate will be charged in addition to any
applicable overtime for actual hours worked.

Reimbursable Expenses:, Parking, air fare, car rental, food, and lodging, etc. will be charged at cost plus 15%
per processed invoice unless provided by client.
Subsistence: Subsistence on remote Projects will be charged per quotation.
Saturday Sample Plci Strict conformance with testing standards may require G3 Quality to perform
certain work on Saturday. For example, concrete specimens cast on Friday must be picked up on
Saturday in order to conform with ASTM C31, which requires specimens to be moved to their final curing
location within 48 hours of casting. In the event of Saturday work, the rates and charges applicable to such
work as set forth in Attachment "C" shall apply. G3 Quality shall not be responsible for negative test results,
implications or outcomes in the event Client fails to approve and pay such charges.
Additional Reguested Laboratory Testing Hours and Rusts Testing: Laboratory testing will be billed on an hourly
basis for non-standard tests. If testing is required to be performed on Saturdays, Sundays, holidays, or before
5:30 a.m. or after 4:00 p.m. on weekdays, an additional hourly charge with a minimum of one hour will be
applied for the laboratory technician. 1.5 times regular test rate will be charged for rush testing.
Charges for Subcontracted Services: Subcontract services will be billed at cost plus 20%.
Fees Billing and Payment. Charges for all services will be invoiced by G3 Quality and must be paid by Client in
accordance with the Schedule of Values set forth in Attachment "A". Payment is due upon receipt of invoice
and Client agrees that payment shall be made within thirty (30) days of receipt of invoice. If this Agreement or
any part thereof is cancelled by Client after receipt of an oral report of findings, Client agrees that eighty (80)
percent of the total fee shall be due and owing. Sums not paid within thirty (30) days shall be subject to a late
payment charge equal to the greater of one and one half (1 /12) percent per month or the maximum amount
allowed by law. If Client disputes a portion of the fee owed, Client shall pay all remaining amounts due and
owing pending resolution of the dispute. G3 Quality may suspend performance of or terminate this Agreement
or any part of the Scope of Work upon reasonable notice for non-payment. The prevailing party in any action
in connection with the enforcement of this Paragraph shall be entitled to recover its attorneys' fees.
Jurisdiction and venue of all such actions and any other actions arising from this Agreement shall be in Los
Angeles County, State of California.
Escalation Clause: The prices quoted herein for G3 Quality's services are binding until the 30th day of June of
the year following which this Agreement is entered into. On July 1 of each year, the cost for the Scope of
Work shall be increased by 3.5%. The charges for laboratory tests will be adjusted to cover escalations in G3
Quality's direct labor, general administrative and overhead expenses, on as -needed basis. Such adjusted
charges shall become the agreed -upon basis for the continuation of work by G3 Quality.
Anticipated Costs: Client recognizes and agrees that any pricing indicated in this Schedule of Fees as
anticipated costs, budget estimates, or the like are NOT guaranteed costs or maximums, lump sums or not -to -
exceed totals. Client will be invoiced for all work erformed.
Standard of Performance: The standard of care for the Scope of Work and all professional engineering,
consulting and related services performed or furnished by G3 Quality under this Agreement shall be the care
and skill ordinarily used by members of G3 Quality's profession practicing under the same or similar
circumstances and in the same locality and at the some time the Scope of Work is performed. G3 QUALITY
MAKES NO WARRANTIES, EXPRESS OR IMPLIED, UNDER THIS AGREEMENT OR OTHERWISE IN CONJUNCTION WITH
ITS SCOPE OF WORK OR OTHER PROFESSIONAL SERVICES.

indemnification: Client shall indemnify, defend, and hold harmless G3 Quality from and against all claims, suits,
damages, losses, expenses, costs, fees, obligations, liabilities, recoveries and deficiencies, including interest,
penalties and reasonable attorneys' fees, that G3 Quality shall incur or suffer which arise or result from or relate
to the breach of or failure by Client to perform this Agreement, or any representation, warranty, covenant, duty
or promise given or made by Client.
Limitation of Liabilt : IN RECOGNITION OF THE RELATIVE RISKS AND BENEFITS OF THE SCOPE OF WORK AND THIS
AGREEMENT TO BOTH CLIENT AND G3 QUALITY, THE RISKS HAVE BEEN ALLOCATED SUCH THAT, TO THE FULLEST
EXTENT PERMITTED BY LAW, AND NOT WITHSTANDING ANY OTHER PROVISIONS OF THIS AGREEMENT, THE TOTAL
LIABILITY, IN THE AGGREGATE, OF G3 QUALITY AND ITS OFFICERS, DIRECTORS, PARTNERS, EMPLOYEES AND
SUBCONSULTANTS, AND ANY OF THEM, TO CLIENT AND ANYONE CLAIMING BY OR THROUGH CLIENT, FOR ANY
AND ALL CLAIMS, LOSSES, COSTS OR DAMAGES, INCLUDING ATTORNEYS' FEES AND EXPERT COSTS, OF ANY
NATURE WHATSOEVER OR CLAIMS EXPENSES RESULTING FROM OR IN ANY WAY RELATED TO THE SCOPE OF
WORK OR THE AGREEMENT, SHALL NOT EXCEED THE TOTAL COMPENSATION RECEIVED BY G3 QUALITY UNDER
THIS AGREEMENT, OR THE TOTAL AMOUNT OF $10,000, WHICHEVER IS GREATER. IT IS INTENDED THAT THIS
LIMITATION SHALL APPLY TO ANY AND ALL DAMAGE, LIABILITY OR CAUSE OF ACTION HOWEVER ALLEGED OR
ARISING. HOWEVER, IN NO EVENT SHALL G3 QUALITY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL,
PUNITIVE OR EXEMPLARY DAMAGES. G3 QUALITY SHALL HAVE NO DUTY, RESPONSIBILITY OR LIABILITY IN
CONNECTION WITH THE SCOPE OF WORK OR THIS AGREEMENT UNTIL PAID IN FULL.
Reliance. Client understands and agrees that the Scope of Work governed by this Agreement is for Client's sole
use and benefit and agrees not to authorize any third party to rely on the Scope of Work or any other work
product of G3 Quality without the prior written consent of G3 Quality. G3 Quality acknowledges that Client
may wish to allow others to rely on the work product of G3 Quality and agrees to extend reliance to others
conditioned upon the execution of an appropriate agreement and collection of additional fees. Client
acknowledges that the terms and conditions offered to others in connection with such reliance may differ from
those set forth herein. Except as expressly provided for in a writing executed by G3 Quality, there shall be no
third -party beneficiaries of this Agreement.
Employment Conditions: In consideration of this Agreement and other valuable consideration, the
adequacy and receipt of which is acknowledged, Client agrees that during the term of this Agreement and
for one year following the completion of the Scope of Work or other termination hereof, Client will not directly
or indirectly, solicit, induce, or attempt to solicit or induce any employee, vendor, or independent contractor
of, or consultant to, G3 Quality (an "Affiliate") to leave their employment or assignment with G3 Quality.
Should any Affiliate of G3 Quality become an employee, temporary employee, vendor, independent
contractor, or consultant of client or clients' subsidiaries, a placement fee equal to 40% of the full effective
annual compensation package such Affiliate will be assessed and payable by Client to G3 Quality.
Termination. This Agreement may be terminated by G3 Quality immediately as set forth in Exhibit "B" (Fees,
Billing and Payment") and if Client breaches a material provision of this Agreement upon reasonable notice to
Client. Client may terminate this Agreement for cause if G3 Quality breaches a material provision of this
Agreement and such breach remains uncured for a period of seventy-two (72) hours after receipt of written
notice by G3 Quality. If this Agreement is terminated by Client other than for cause, Client shall be liable for
and pay to G3 Quality all sums due for services provided to the date of termination, G3 Quality's lost profit for
the Scope of Work and the reasonable cost of demobilizing the project in addition to any damages or
remedies to which G3 Quality may be entitled under law or in equity.
Ownership of Work Product. Client acknowledges that all original papers, documents, maps, surveys, and any
other work product of G3 Quality, and any of its employees, subcontractors or agents, produced pursuant to
this Agreement shall remain the property of G3 Quality. G3 Quality shall have the unrestricted right to use any
such work product for any purpose whatsoever without the consent of Client. Client further acknowledges
that Client's right to utilize the services and work product created pursuant to this Agreement will continue only
so long as Client is not in default pursuant to the terms of this Agreement and Client has performed all

obligations under this Agreement. Client further agrees that the work product produced of G3 Quality shall
not be reproduced or altered in any way nor used on any other project or for any purpose other than as
specifically authorized by G3 Quality.
Binding and Superseding Effect: T he provisions of this Agreement, including these Terms and Conditions, shall
prevail over any additional, differing, conflicting or inconsistent terms and conditions which may appear in
Client's, contract, agreement, purchase order, approval, acceptance, or the like. Any such terms and
conditions are not part of the Agreement between G3 Quality and Client and are not binding upon G3
Quality. This Agreement may not be modified, altered, varied, or changed, nor any of its provisions waived,
except by written agreement, signed by an authorized representative of G3 Quality.

Dear Floriza Rivera,
Anser Advisory Management, LLC (Anser) is pleased to provide our proposal for Construction Inspection Services in
support of the FY 22-23 Pavement Rehabilitation Project. After carefully reviewing the project plans and
specifications, and performing a site visit, Anser has developed a strategic methodology to address this project's
unique characteristics. Project constraints include working within a tight schedule to complete the project during the
school district's summer break, the need for ongoing public access, and addressing safety concerns. We have
assembled a strong and cohesive team to deliver this pavement rehabilitation project to the City of El Segundo
(City). Anser proposes Jonathan Smith, PE, QSD, as Principal -in -Charge, Pedram Abbassi, QSP, CESSWI, LEED AP
BD+C, as Project Manager/Senior Inspector, Darren Hall as an as -needed Senior Inspector, and a highly -qualified
subconsultant firm, G3 Quality, Inc. (Inc.), that will perform materials and compaction testing. Anser is working on,
or has recently completed, several projects of a similar nature, including the San Bernardino County Department of
Public Works Spring Valley Lake Paving Project, and the City of Chula Vista On -call Pavement Rehabilitation project.
Our team is familiar with the project logistics and surrounding neighborhoods to prepare this proposal. Our
proposed team clearly understands this project's scope of work and challenges and will employ more than 27
years of firm experience, as well as our strong understanding and technical expertise with the types of
construction work identified to effectively coordinate the work. We will provide oversight to manage the project's
construction schedule, phasing, and sequencing of work, and coordinate the successful implementation of the
contractor's Safety Plan, Traffic Control Plan, and stormwater compliance plan. We will then use our extensive
field knowledge and experience with traffic control, Portland cement concrete (PCC), excavation, cold milling,
asphalt concrete overlay and Type II slurry seal, striping, and utility relocations/adjustments to successfully
complete and deliver the project in accordance with the plans and specifications.
Anser Advisory acknowledges and agrees to the following:

• Anser will provide proof of insurance as noted in the agreement
• Anser will obtain and maintain a City Business License for the duration of the Consultant services

rehabilitation projects are funded through federal, state and local

the project manager, traffic control, Weekly Statement of Working Days,
RFIs, progress payments and quantity takeoffs. The following projects are

Anser provided construction inspection services for this $1.8M Annual Slurry
Seal and Roadway Improvement Program which included 985,000 square yards
of Type I or Type II slurry seal and 107,000 square feet of full -depth asphalt and
aggregate removal and replacement. Responsibilities included conducting
weekly project meetings, preparing meeting agendas and minutes, processing
and administering submittals, RFls, progress payments, construction schedule
coordination, utility coordination with Yorba Linda Water District to ensure
manhole lids and valve cans were raised to grade, scheduling of third party
compaction testing and materials testing, inspection and observation of the
asphalt removal and replacement, as well as slurry seal placement operations, preparation of daily reports and
photographs, punch list creation and completion, daily quantity calculations, traffic control compliance, daily
coordination with schools, businesses and residents, trash service and follow up on resident complaints.
San Bernardino County Department of Public Works, Construction Management Services for Wabash Avenue
and Other Roads, Work Order No. TX 1809, Redlands/Mentone/Yucaipa, CA
Construction Cost: $33M I Project Timeline: November 2022 - Current
This San Bernardino County Department of Public Works -owned project, which
provided surface improvements, began in the beginning of November 2022
with a time limit of 140 working days. The project was awarded to Matich
Corporation with a total construction amount of $3,336,334.00. The project
includes major operations like surface improvements, Milling/Overlaying,
slurry seal, chip seal, full -depth HMA work and pavement marking within the
project limit. Including three city limits and 128 streets, the project designed
for eight type cross sections throughout the project limits based on the
requirements of improvement on individual streets.

County of San Diego, FY 17-18 Road Maintenance Project Asphalt Concrete Overlay "C", San Diego, CA
Project Timeline: September 2 —July 2019 1 Construction Cost: $
Anser provided a Resident Engineer and two Inspectors for the nearly
$10M County overlay program which consisted of 122 locations, totaling
over 30 miles of roadway improvements. The program consisted of a
combination of asphalt overlays and mill and inlays which utilized both
Type A Hot Mix Asphalt (HMA) and Polymer Modified Asphalt Concrete
(PMAC). Prior to mainline paving, digouts and asphalt concrete leveling
repairs were made at locations identified by County maintenance
personnel and verified by the Anser CM Team. The Anser team
coordinated all material testing with the County material laboratory. The
project also included AC dike replacement, fog seal, ADA ramp
improvements, video detection signal improvements, and striping. The Anser team was also responsible for
ensuring that traffic control had been set up and maintained based on the approved traffic control plans.
County of San Bernardino Department of Public Works, On -Call Spring Valley Lake Paving and ADA Ramps,
Victorville, CA

This project consisted of repaving 34 miles of roads
within Spring Valley Lake. Project improvements
included asphalt pavement overlay, construction of
new or upgrading of existing sidewalk ramps at
various location in accordance with Americans and
Disabilities Act (ADA) standards, curb and gutter
repair, painting traffic striping and other related
improvements.
Anser provided the construction management team to support the County Resident Engineer. Services included
office engineering, field inspection, and materials testing. This project was placed on a four -month winter
suspension, however, Anser was able to bring the same construction management team back to the project for
project continuity.
City of Chula Vista, On -Call Pavement Rehabilitation, Chula Vista, CA
Project Timeline: February 2018 ®April 1 Cost: $12.5M
Anser was the prime consultant to provide construction
management and inspection services to the City of Chula Vista
on an as -needed basis. In January 2018, Anser was tasked with
providing CM and inspection support for the City's Pavement
Rehabilitation Program (Phase 1). The scope of work consisted
of the pavement rehabilitation of over 100 street locations in
the City of Chula Vista, California. The work included the
removal of damaged asphalt concrete pavement (Cold Milling),
the application of 50,000 Tons of Asphalt Concrete (AC)
Pavement, weed removal and treatment with herbicide, traffic
control, the adjustment of utilities and survey monuments, and the protection and restoration of existing
improvements, other miscellaneous work, and all labor, material, equipment, and transportation necessary for
the project, and described in these documents. Anser inspected the work in accordance with Greenbook
specifications and provided daily inspection records as well as coordinated third party inspection.

City of Menifee, On -Call Construction Services, Newport Road Rehabilitation Project, Menifee, CA

Anser was contracted by the City of Menifee for Construction
Management Services for a Federally Funded, Caltrans Local Assistance
Oversight Project responsible for rehabilitating about 1.0 miles of an
undivided arterial road. The project generally consisted of a zero -to -
two -inch (0-2") edge grind and overlay with two-inch rubberized

asphalt concrete, crack filling, striping, detection loop replacement,
installation of new bicycle loop detection, adjusting existing manholes
and valves to grade and re -striping. Concrete repair work will include
ADA ramp replacements, curb repairs, and cross gutter replacements.
The project was administered under the Caltrans Local Assistance
Procedures Manual and materials testing for HMA/RHMA was done in
accordance with the standard QA process of the Caltrans Standard Specifications, Section 39. Anser was also
responsible for ensuring proper traffic control was maintained during the project, preparing monthly pay
estimates, and verifying ADA compliance.

included onsite owner representation, change management processing, project administration,

specification compliance. Pedram has provided construction inspection services to the City of ElSegundo on the
Water Main Improvements Project on Grand Avenue.
DARREN HALL I SENIOR INSPECTOR
Darren Hall has over 16 years of experience in public works infrastructure projects, including,
asphalt paving, waterline replacements, Americans with Disabilities Act (ADA) compliance, storm
drain, sidewalks, curb and gutter, and traffic control. He is experienced with submitting daily
reports for project management including safety meetings, list of materials used, personnel and
equipment working on site, traffic control adjustment as needed, and verifying all construction
meets design and specifications. Darren has provided construction inspection services for

During our review of the site, it was determined that our Senior Inspector, Darren Hall, will need to work closely
with the businesses, schools, and residents to coordinate the construction activities and street/sidewalk closures.
The Anser team will coordinate with El Segundo High School, Richmond Street Elementary School, and El Segundo
Public Library and proactively work with the contractor to coordinate the construction and accommodate the
potential forsummer activities. We will develop a mitigation measure to avoid any potential impacts.
The key to any successful project is maintaining a prominent level of safety while also minimizing the impact on
the traveling public. Traffic handling and constant communication with the existing homeowners and businesses
will be one of the keys to the success of this project. Darren will provide the knowledge and experience to
successfully execute the project to the standards and specifications outlined by the City of El Segundo.

When overseeing an overlay project of this size, success hinges on a successful project set up. Once construction
begins, there is little time to take field measurements to produce contractor payment quantities to support Q-
sheets for the pay application process. Therefore, setting up the project ahead of time is crucial to its future
success. Anser will assist the City with the initial project setup, as well as facilitate progress pay applications
during the project. Pedram Abbassi is very familiar with how these large rehabilitation projects operate and has
several customizable spreadsheets to help the field team with various inspection components.
Prior to construction start, it is critical for the Senior Inspector to physically walk the site and measure the streets
ahead of contractor mobilization. This allows for existing field quantities to be measured prior to any demolition
starting. In addition to getting a huge jump on Q-sheets, this also allows the team time to create theoretical
tonnage quantities for each street. Knowing these quantities ahead of time will help verify the engineer's
estimated quantity prior to the start of construction. During the paving operation, this will also help ensure that
paving thickness are matching theoretical tonnages based on actual field measurements. These theoretical

quantities will be checked daily to verify project specifications are being met and that the project will come in at
budget.
While the Senior Inspector is completing pre -construction inspections, they will look for any constructability issues
ahead of time and bring them to the attention of the Engineer of Record well ahead of a contractor generating a
request for information.
Another critical feature to identify during the pre -construction phase is the potential addition of dig -outs and/or
leveling courses. It is very common for pavement sections to have failures which may require dig -outs between
the time when the project was designed and when it goes into construction. During the pre -construction phase,
our inspector will mark -out and label sections in the field which can then be reviewed by the engineers as
potential dig -out locations. Once quantified, the team can estimate potential cost implications to ensure the
additional costs are within an acceptable amount of the contingency budget. This extra work can then be tracked
either at force account or an agreed -upon cubic yardage quantity, depending on the City's preference.

verify conditions are accurately represented on the plans. Any possible errors and deficiencies of any specific
element will be reported to the City's PM, and if so determined that changes are necessary, we will assist in the

clear communication with the City, other construction

The construction of this project will take
place during the summer months when the
neighboring schools, El Segundo High and
Richmond Street Elementary, are not in
session. While this helps alleviate any safety
issues and public complaints from the
faculty, students, and parents of these
schools, we recognize this pavement
rehabilitation project is still in heavily
residential areas. The contractor will be
responsible for delivering door hangers and
other notifications to the residents, and these typically lead to a handful of calls from the community. Since
COVID, people are more frequently working from home, meaning that they are in and out of their homes more
frequently during business hours. Our team frequently fields calls of concerns about people being able to leave
their homes during our operations, especially with the slurry seal scope of work. We will work diligently with the
public and our contractor to accommodate any reasonable requests which would negligibly impact the
contractors' operations. It has been our experience in managing similar projects that open communication is key
to the success of the project and a critical component of avoiding calls to the City's office.
The Anser team will set up a protocol for public communication and complaint response prior to the start of the
project. We will work closely with the City communications officer to establish the necessary system and identify
the person to perform this role prior to the project's start. All our staff will treat outside parties with respect and
respond in a professional and pleasant manner. We understand that Anser is working with the City staff for the
residents of El Segundo; they are our clients.

inventory of centerline ties and boundary/survey markers which will be replaced after paving. The

hindering construction. First, we will verify that the contractor posts all required "No Parking" signs 72 hours in
advance with the proper ordinance number. If parking violation occurs within the construction zone, we will work
with the contractor to locate the vehicle owner. If the contractor is unable to find the vehicle owner, then we will
notify ESPD to search for the vehicle owner. In the chance the driver is not found, the Anser inspector will
photograph the violated car with no parking sign shown on the photo prior to and during towing of the violated

light. Anser emphasizes that the work description portion of the diary must be filled with measurable information,

This documentation during construction, along with photos, helps position the City against any of the contractor's
claims. Early recognition of an issue allows added opportunities for resolution. If extra work is required, accurate
documentation is critical to determine the actual costs incurred and accurately evaluate the cost. When disputed

All tracking control and documentation procedures outlined in the pre -construction phase will be initiated and
maintained. Before implementation, each procedure will be presented and reviewed by the City and modified to
fit City criteria:
Monitor the contractor's development and implementation of safety programs, which comply with all
federal, state, municipal, and local laws, rules, and regulations.
Verify that tests, equipment, and systems start-up and operating and maintenance instructions are
conducted as required by the contract documents in the presence of the required personnel and that the
contractor maintains adequate records.
Accompany visiting inspectors representing the public or other agencies having jurisdiction over the work,
record the outcome of these inspections, and report to the City.
Transmit to the contractor the design AE's and the City's clarifications and interpretations of the contract
design or contract documents.
Consider and evaluate the contractor's suggestions for modification to the contract documents and report
them with recommendations to the City.
Maintain electronic or paper files and correspondence at the job site field office or on a tablet or laptop.
This includes reports of job conferences, shop drawings, and samples submittals, reproductions of original
contract documents, including all addenda, change orders, field orders, additional drawings issued after
the execution of the contract, the design AE's clarifications and interpretations of the contract
documents, progress reports, and other related documents.
Keep an electronic log and record hours on the job site, weather conditions, staff levels, data relative to
extras or deductions, list of inspections, visitors, daily activities, conversations related to specific work
elements, decisions, observations in general, and specific observations related to the Quality Control/
Assurance Plan as prepared by the City's subconsultants.

Material Testing and Inspection
G3's field personnel will provide as -needed construction observation, material sampling and testing in strict
accordance with published standard testing procedures, the Project Technical Specifications, and as directed by
the Owner's Representative. During construction, our field inspector will meet each shift with the Owner's
Representative to discuss the day's operations. Each technician utilizes electronic reporting systems to notify each
other of any issues in real time. Materials will be sampled at the specified frequencies and transported to our
laboratory facility for testing. Non -compliant test results will be forwarded to the G3 Project Manager and the
Owner immediately. The test results for each material will be processed into a standard report format and sent to
the Resident Engineer within the timeline established by the Project Technical Specifications. A summary of all
acceptance testing will be maintained and updated throughout the project.
Field Quality Assurance operations will be supported by our accredited laboratory staffed with certified materials
testing personnel. Constant coordination between our field and laboratory personnel ensures that time -sensitive
tests are performed and reported promptly. This provides the Owner with the critical information necessary to
make well-informed decisions and maintain positive control of the project.
Through our proven project experience on complex projects, we understand the importance of a strong,

As part of our daily and monthly documentation we will maintain "As -Built" drawings. Developing these items in a
contemporaneous fashion ensures the most accurate memorialization of the activities as they occur in the event
of a time impact or dispute. We will keep a "Live" As -Built set of plans using Bluebeam Studio Software. This will
be a tool that each member of the Anser team can utilize and will have access to the most current set of plans at
any time. At the end of the project, these electronic files can easily be bundled and transmitted to the designer to
be updated into the electronic plan set and transmitted to the City and applicable third parties for archiving.
Project Closeout
The Anser team coordinates and examines all required testing
and commissioning to verify the work meets the quality and
functionality per the contract requirements. Our project team
will perform the final job walk to verify project completion by
tracking all incomplete and defective works in a punch list trend
log including coordinating and observing the completion of
required corrections. Should the contractor lag on a portion of
the completion of project work, we will estimate the value of
the incomplete items and recommend a specific retention
amount in accordance with the contract to preserve the City's
financial interests. If necessary, a change order will be
recommended for approval for the completion of the remaining work so the City may file the notice of completion
and start the time after which stop notices and/or claims are no longer valid.
All corrections must be made before Anser notifies the City of the final inspection and processing of the notice of
completion. Anser is recognized for our acute attention to detail. Upon completion of the punch -list and final sign -
off by all project stakeholders, we will make a recommendation to the City regarding the contractor's final
progress payment request and prepare a final progress payment report for submission to the City. After all
requirements have been met, the inspector will sign off on the appropriate form to recommend approval to
recommend the release of funds.
Anser will perform closeout duties including the final organization of project files, complete and accurate as -built
drawings and submit them to the City for final approval and assist with the filing of the notice of completion and
release of retention.

Anser has created an innovative way to streamline the process by utilizing an interactive, live, and always up-to-
date punch list. This web -based punch list (using cloud -based software such as Microsoft SharePoint) can be
viewed by anyone at any time and is always current. The benefit is that the CM, contractor, and other agencies
can have certain permissions to view, update, and status the log. The CM inputs items on the log which the
contractor can view, correct the items, and update the log once the item is complete. The CM will receive a
notification that punch list items are complete and can verify completeness in the field and update the list. This
log can be accessed and modified in the field using a smartphone or other mobile device. This streamlined process
eliminates the need for meetings, reduces the number of transmittals to/from the contractor and increases the
efficiency of the project team.

When the contractor has notified Anser and has confirmed that all punch list items are complete, we will make a
recommendation, in writing to the City, in connection with the final payment to the contractor. To support this
recommendation, Anser will assemble all documents relating to final payment, including retention, unresolved
change orders, and unpaid invoices, for approval by the owner. Once approval is received for the final payment,
which resolves all outstanding financial obligations with the contractor, the payment is processed, and the
contract is closed. If the contractor requests any claims or adjustments, the contract cannot be closed until these
are completely resolved.
Anser will summarize total project costs in a final report, listing all change orders, and identifying any unresolved

McCall Road and Newport Road Bike Lane Project, which utilized road dieting to reduce lane
widths on a four -lane major road to gain enough width to construct over a mile of buffered
bake lanes. This was accomplished without negatively impacting roadway capacity.
• Due to various budget challenges, many schools are eliminating bus programs, which has
resulted in larger traffic volumes. Jonathan utilized a traffic -calming measure called
"Leading Pedestrian Interval" (LPI). This gives pedestrians the opportunity to enter an
intersection three to seven seconds before vehicles are given a green indication, allowing
pedestrians to better establish their presence in the crosswalk before vehicles have priority
to turn left. LPI's provided increased visibility of students crossing the street, and enhanced
safety.

Project Timeline: 10/2021— 06/2024
Project Manager overseeing the widening design of College Blvd. from Waring Road to Old Grove
Road. The design to widen College Boulevard is proposed to a 6-lane major arterial from Olive Drive
to Old Grove Road, which would be consistent with the City of Oceanside's Circulation Element Year
2030 classification of the road. Improvements to the corridor are proposed to enhance existing and
future traffic operations, provide congestion relief, and reduce queue lengths, improve safety
conditions for the unsignalized intersections and access points along the corridor, and provide safer
travel routes for bicyclists and pedestrians. In addition to widening of College Boulevard, the
proposed project would include curb/gutter improvements and relocation of utilities to
accommodate the widened roadway segment, installation of retaining walls and new landscape
parkways, and relocation of bike lanes, lighting, and sidewalks in various locations along College
Boulevard between Waring Road/Barnard Drive and Marcella Street and between Olive Drive and
Old Grove Road. Expansion of the existing College Boulevard right-of-way to accommodate proposed
improvements would require ROW acquisition along segments of the corridor.
City of Menifee, CIP 21-04 Fire Station No. 5 - Construction Management and Inspection Services
Construction Timeline: 12/2022 - 01/2024
Anser is providing construction management and inspection services on the Quail Valley Fire Station
No. 5, a new state-of-the-art facility that will provide a significant increase in the amount of
personnel and equipment that can be utilized at the station. The new fire station will replace the
existing Quail Valley Fire Station No. 5, located at the intersection of Goetz Road and Palm Drive/Ave
Roble. The current station was built in the 1950s and is limited in capacity, housing only a few
firefighters and two small -size fire trucks. The new, modern Fire Station No. 5 will be a 9,000-square-
foot facility that can house up to 6 fire personnel and has a three -bay garage that can house large
equipment, with room for future expansion. The new fire station has been designed to meet the
needs of the community for at least the next fifty years.

abandonment of the existing asbestos pipe and installation of a new 10-inch ductile iron water
main and all service lines for the City; grind and overlay along Grand Avenue between Pacific
Coast Highway and Center Street; and removal of PCC sidewalks.
Springdale Street Water Main Rehabilitation, City of Huntington Beach, CA
Construction Manager for this $3M sewer lift station project that included the abandonment and
demolition of an existing sewer lift station, installation of a new sanitary sewer lift station,
installation of an 8-inch sewer force main on Heil Avenue, the installation of a 12-inch sewer force
main on Algonquin Street, asphalt paving and removal, restoration of existing public and private
improvements, and all appurtenant work.
2020-01 Street Pavement Maintenance Rehabilitation, City of Corona, CA
Construction Inspector on this $3.4M project which includes the rehabilitation of approximately
43 lane miles of local and major streets. The scope of work consists of grinding and overlaying,
application of ARAM, slurry seal, and restriping. The project also included PCC replacement
including sidewalks, ADA ramps, and curb and gutter.
University Drive Widening (Campus to MacArthur), City of Irvine, CA
Construction Manager/Senior Construction Inspector for the University Drive Widening Project
($16M) which included parkway improvements, street improvements, storm drain
improvements, water improvements and landscape and irrigation for the adjacent bike trail. His

and pull box frame/cover to grade, constructing new median with landscaping, signing and striping,

SECTION 1: INTRODUCTION
The City of El Segundo is soliciting proposals from qualified Professional Construction Inspection
Consultants for construction inspection and nuclear gage testing services for the City's Public Works
Department on PW 23-01: FY 22/23 Pavement Rehabilitation Project.
The project involvcs traffic control, removal and replacement of six -inch -high Portland cement
concrete curb, excavation, tree root removals, backfill, 2-inch and full -depth street asphalt repair, street
preparation, cold milling, street resurfacing (asphalt concrete overlay and Type II slurry seal), utility
manhole and valve can adjustments, slurry seal patching, striping, street sweeping, and traffic control
as described in the Special Provisions. Project locations are shown in the attached map.
The proposed number of contractor days on this project is forty-five working days. Due to the school
district schedule, the City would like the construction to begin after June 9, 2023 and be completed by
August 18, 2023. The project specifications and plans have been attached for your convenience.
SECTION 2: SCOPE OF WORK
The qualified firm shall furnish all labor, materials, tools, equipment, supplies, and incidentals required
for providing inspection of the construction efforts of a City -retained contractor for the named project.
The services to be provided by the Consultant shall include, but are not limited to, the following:
• Attending project -related meetings; providing feedback on field issues and meeting notes
• Reviewing, evaluating, and providing feedback, corrections, and comments on:
o Plans
o Specifications
o Submittals
o Progress payment requests
o Requests for information (RFIs)
o Other construction -related documents
• Reviewing the Contractor's daily traffic control for safety and compliance with the California
Manual of Uniform Traffic Control Devices (CA MUTCD) and the Work Area Traffic Control
Handbook (WATCH manual)
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES)
permits and requirements
• Monitoring compliance with Construction & Debris Management Plan
• Monitoring Contractor compliance with local, state, and federal laws, regulations, and codes
• Documenting and reporting instances of apparent non-compliance to City staff
• Photographing site conditions and project activities prior to, during, and after construction
• Ensuring that Contractor has notified neighborhoods in which work is scheduled (or re-
scheduled) in a timely manner prior to the work, including written hand -distributed notices and
temporary No Parking signs to be posted 72 hours in advance
• Interacting with the public as needed regarding their construction -related concerns
• Confirming Contractor has taken inventory of all street striping, pavement markings, and
pavement markings to be replaced, prior to their removal
• Ensuring contractor surveying activities for flowline establishment and centerline tie re-
establishment have occurred prior to concrete pours or tie removal
• Coordinating with ESPD and Contractor to address parked vehicles hindering construction

• Preparing detailed written daily inspection reports to City staff. Reports shall contain:
o Weather and site conditions
o Duration and names of personnel and equipment on site
o Confirmation of personnel, personnel time, materials, and equipment on T&M tasks
o Quantities of bid item and other work completed each day
o Any major incidents, safety violations, or public complaints
o Any corrective actions requested of the Contractor/sub-contractors
o Photographs of construction activity progress
o Dust control activities
o Any days/hours and reasons for no work occurring
• Inspecting work in progress to ensure compliance with plans and specifications
• Collecting complete Time & Materials (T&M) information if T&M is approved for use
• Informing City staff as soon as possible if current workdays will not be enough
• Inspecting materials for proper temperature, consistency, and makeup before spreading
• Coordinating sample preparation, material testing, or special inspection work.
• Inspecting and approving formwork prior to concrete pour
• Collecting asphalt, concrete, and other material tickets to submit to City staff
• Performing and providing quality assurance
• Performing tests and reviewing test results if required
o Compaction testing to 95%
o Pavement density testing
o Asphalt concrete testing
• Ensuring Contractor addresses any items not meeting minimum requirements, including test
result requirements, and coordinating additional testing after corrections are made
• Confirming streets are properly and completely prepared for slurry sealing resurfacing
• Confirming streets resurfaced earlier in the project are protected in place during later project
street resurfacing
• Confirming Contractor is coordinating inspections by other agencies (i.e., utility companies,
other government agencies, etc.) if necessary
• Confirming Contractor is continuously addressing potential project site safety issues during
construction and when construction is not occurring to mitigate damage and injury claims
• Providing complete measurements for progress payments and final quantities
• Reviewing Contractor invoices to ensure accurate quantities for completed work
• Ensuring that Contractor is documenting necessary items for As -Built plans during the
construction; confirming that final submitted As -Built plans reflect the field and other changes
that occurred on the project.
• If necessary, providing night, overtime, or emergency inspection services
• Upon project completion, conducting final inspections and beginning close-out activities.
• Ensuring Contractor and their subcontractors have completely removed construction debris,
slurry tabs, concrete stains from the construction, etc.
• Ensuring Contractor has resolved public complaints about damage to property, emulsion stains
on private hardscape, slurry seal patching, etc. prior to project close-out
• Providing City staff with punch list items as needed
Consultant shall be familiar with or call out any potential construction -related issues, including:
• Scheduling concerns

• Conflicts with other unrelated nearby construction
• Public concerns, public safety concerns, or hazardous concerns
• City staff working days and availability
• Allowable construction and inspection days and times
SECTION 3: PROPOSAL
At minimum, proposals should include the following information:
1. Consultant's project team, including name of project manager, key staff members, and Sub -
consultants (if any) to be retained by the Consultant.
2. Scope of services to be provided with a breakdown of different tasks. The scope of work
defined in this RFP shall at minimum be referenced as included in the Consultant" s sco )e of
services.
3. Consultant's estimated fee for services to be provided, as described in the scope of work.
4. A statement that Consultant is agreeable to execute the enclosed City -Consultant agreement,
labeled Exhibit B, to provide proof of insurance as noted in the agreement, and to obtain and
maintain a City Business License for the duration of the Consultant services. The cost of
providing these items shall be included in the proposal costs.
SECTION 4: SELECTION PROCESS
The City will first examine proposals to eliminate those non -responsive to the stated
requirements. The Public Works Department will then evaluate each proposal based on:
• Completeness of the Proposal and attachment of additional required documents
• Qualifications of the consultant and specific experience of key team staff
• Schedule and capacity of the consultant to provide highly qualified personnel
• Experience with similar types of tasks/services
• References and satisfaction of previous clients
Reservation of Rights
This Request for Proposals is a solicitation and not an offer to contract. The City reserves the
right to reject any and all proposals. The City further reserves the right to issue clarifications and
other directives concerning this RFP, to require clarification or further information with respect to
any proposal received, and to determine the final terms of any contract.
Interviews may be required by the City with selected consultants to clarify consultant proposals
and to allow for contract negotiations. Acceptance of any proposal will be based upon factors
including, but not limited to: approach and understanding, completeness of proposal,
thoroughness of information provided, proposed work program, cost for services, and team
qualifications.

PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF EL SEGUNDO AND
This AGREEMENT is made and entered into this day of ,
201_, by and between the CITY OF EL SEGUNDO, a municipal corporation and
general law city ("CITY") and P2S [name] _[type of
organization] ("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not

services. CITY may modify this amount as set forth below. Unless
otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit 'A" which is incorporated
by reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit
which is incorporated by reference.
& CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of
any deficiencies and CONSULTANT will have fifteen (15) days after such notification to

cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "_") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
Carefully investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
lii, Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from s to

CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:

11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12.TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION,
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C, Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18.INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
19.ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE,
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26.CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27.SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30.COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other.
39.STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

ATTENTION BIDDERS:
The following additions, modifications, and clarifications to the specifications shall be
included in, and become a part of, any contract which may be executed for the above
project in the City of El Segundo:
1. The proposals due date and time are still Tuesday, May 16, at 4:00 pm
2. The word "part-time" in the first paragraph of Page 2 of 5 of the Request for
Proposals is changed to read "fulltime" as shown below:
"You are hereby invited to submit a response to this Request for Proposal (RFP)
to provide fulltime construction inspection and nuclear gage testing services as
detailed in this document for asphalt grinding and paving improvements in the
City of El Segundo."
As evidence that the CONSULTANT has read this Addendum, the CONSULTANT must
acknowledge same in the space provided below and submit this Addendum with the
Proposal. Failure to provide such acknowledgement shall render the proposal as non-
responsive and subject to rejection.
