CONTRACT 6632A Amendment CLOSEDAgreement No. 6632A FIRST AMENDMENT TO AGREEMENT NO. 6632 BETWEEN THE CITY OF EL SEGUNDO AND ENVIRONMENTAL SCIENCE ASSOCIATES THIS FIRST AMENDMENT ("Amendment") is made and entered into this day of July 2023, by and between CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and ENVIRONMENTAL SCIENCE ASSOCIATES, a California corporation ("CONSULTANT"), collectively referred to as the "Parties." WHEREAS, the Parties entered into Professional Services Agreement No. 6632 (the "Agreement") on April 14, 2023, and, WHEREAS, the Parties wish to amend the Agreement to expand its scope of services and compensation payable by CITY to CONSULTANT as consideration for such additional services. NOW, THEREFORE, pursuant to Sections 11 (Changes) and 34 (Authority/Modification) of the Agreement and in consideration of the foregoing, the Parties agree as follows: Exhibit 'A" as referenced in Agreement Sections 1(C) and 3(A) is amended to expand the Scope of Services referenced in Section 3 to include the additional services set forth in Exhibit "B," to this Amendment (Contract Amendment Request by ESA dated July 5, 2023), which includes preparation of trip generation data for the General Plan and Zoning amendments associated with implementation of the Housing Element 2021-2029. 2. Agreement Section 1(C) is amended to increase the compensation payable by CITY to CONSULTANT by an additional amount of $4,887.50, resulting in a maximum not -to -exceed Agreement total of $49,448.50 as consideration for assistance in developing a Mixed -Use Overlay (MU-0) and a Housing Overlay (HO) to implement the 2021-2029 Housing Element. The additional amount of $4,887.50 includes additional work necessary to complete the project contemplated in the Agreement. 3. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. In accordance with Government Code §16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. 4. Except as modified by the Amendment, all other terms and conditions of the Agreement will remain the same. More specifically, the City is considering the development of a Mixed -Use Overlay and a Housing Overlay that will increase residential density in certain areas within the City. ESA is conducting screening level analyses with regard to air quality, greenhouse gas emissions, energy, and noise. In order to complete this effort, traffic data is necessary. In Kimley-Horn's letter dated June 28, 2023, a scope of work is provided for a transportation analysis. The scope includes three tasks. The following provides the scope of work and associated fee for Kimley-Horn to complete Task 1, which is to provide trip generation associated with the increase in residential units that would occur with the General Plan and zoning amendments. Trip Generation Kimle -Horn : The number of trips anticipated to be generated by the Project will be approximated using data contained in the Trip Generation Manual, 11 th Edition, published by the Institute of Transportation Engineers (ITE). The new/additional dwelling units will be grouped by residential type (e.g., multifamily high rise, multi -family medium rise, etc.) and the total square footage of non-residential land uses will also be grouped by land use type (e.g., retail, office, restaurant). The total number of units and total square footage by land use type will be provided by the City of El Segundo and/or through a collaborative effort with ESA, the City, and Kimley-Horn. If requested, Kimley-Horn will provide trip generation summary tables for each mixed -use overlay site. Kimley-Horn will provide the trip generation tables to ESA and the City for review and will respond to one -set of non -conflicting comments on the trip generation tables. Kimley-Horn will provide the final tables that address the comments provided in excel and PDF format. Deliverables: Draft and Final Trip Generation Tables Amendment: $4,887.50 Based on the above, the total request for is $4,887.50, which would bring the total contract amount to $49,448.50.
