ASSIGNMENT AND ASSUMPTION AGREEMENT
(DEVELOPMENT AGREEMENT)
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, JF El
Segundo Owner, LLC a Florida limited liability company ("Assignor'), assigns, without
warranty except as set forth herein, to CSES, LLC, a Delaware limited liability company
("Assignee"), all of Assignor's rights and benefits set forth in that certain Development
Agreement between the City of El Segundo and Assignor adopted by the City Council by
Ordinance No. 1441 ("Develo ment Agreement") as to only the land described in the
attached Exhibit "A" ("Property") incorporated by this reference ("Assignment"). The
Development Agreement was recorded as Instrument No. 20100747054 in the official
records of Los Angeles County, California.
Assignor warrants to Assignee that, as of the date hereof, Assignor is not in breach of the
Development Agreement. Effective upon the notification of this Assignment by Assignor
to the City of El Segundo, Assignor shall be fully and unconditionally released and
discharged from all further liabilities and obligations arising under the Development
Agreement as to the Property.
This Assignment and Assumption Agreement and the Acceptance attached as Exhibit
"B" and incorporated by this reference, may be executed in multiple counterpart copies,
all of which, taken together, shall constitute a single document.

as of the day of July, 2010.
