FIRST AMENDMENT TO AND
ASSIGNMENT OF AGREEMENT NO.5728
BY AND AMONG THE CITY OF EL SEGUNDO,
RAGNASOFT, INC., DBA PLANIT SCHEDULE, AND POWERDMS, INC.
THIS FIRST AMENDMENT ("Amendment") to and assignment of Agreement No. 5728
("Agreement") is made and entered into this 1 lth day of July, 2022, by and among the City of El
Segundo, a general law city and municipal corporation existing under the laws of California
("City"), RagnaSoft, Inc., a Pennsylvania corporation doing business as P1anIt Schedule,
("Planit" or "Assignor") and Governmentjobs.com, Inc. (dba NEOGOV) ("NEOGOV" or
"Assignee"). The parties agree as follows:
1. The City and Assignor are parties to the Agreement, dated July 1, 2019.
2. Agreement Section 10.6 (Assignment) requires prior written City consent for assignment
3. Assignor wishes to assign all of its rights and obligations under the Agreement to
Assignee.
4. Assignee declares and attests that it accepts all benefits and burdens of the Agreement
and represents that it possesses the quality, fitness, and capacity to perform the
Agreement to the reasonable satisfaction of the City.
5. The City accepts and consents to Assignor's assignment of the Agreement to Assignee.
6. This Amendment may be executed in any number of counterparts, each of which will be
an original, but all of which together constitutes one instrument executed on the same
date.
7. Agreement Section 2.2 is amended to replace Schedule "B" therein with the attached fee
schedule which will replace Schedule "B" in its entirety in Section 2.2. The fee schedule
is incorporated herein by this reference.
8. In accordance with Government Code § 16.5, the parties agree that this Amendment will
be considered signed when the signature of a party is delivered by electronic
transmission. Such electronic signature will be treated in all respects as having the same
effect as an original signature.
9. Except as modified by this Amendment, all other terms and conditions of the Agreement
will remain the same.

Payment Terms All invoices issued hereunder are due upon the invoice due date. The fees set forth in this Service Order are exclusive of all
applicable taxes, levies, or duties imposed by taxing authorities and Customer shall be responsible for payment of any such applicable taxes, levies,
or duties. All payment obligations are non -cancellable, and all fees paid are non-refundable.
Terms & Conditions Unless otherwise agreed in a written agreement between Govern mentJobs.com, Inc. (D/B/A/ NEOGOV), parent company
of PowerDMS, Inc., Cuehit, Inc., Ragnasoft LLC (D/B/A/ PlanIT Schedule), and Design PD, LLC (D/B/A Agency360) (collectively, "NEOGOV") and
Customer, this Service Order and the services to be furnished pursuant to this Service Order are subject to the terms and conditions set forth

Date.
