CONTRACT 5982A Amendment CLOSEDAgreement No. 5982A FIRST AMENDMENT TO AGREEMENT NO. 5982 BETWEEN THE CITY OF EL SEGUNDO AND SAGECREST PLANNING AND ENVIRONMENTAL, INC. THIS FIRST AMENDMENT ("Amendment") is made and entered into this leday of August 2022, by and between CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("City"), and SAGECREST PLANNING AND ENVIRONMENTAL, INC., a California Corporation ("CONSULTANT"), collectively referred to as the "Parties." WHEREAS, the Parties entered into Professional Services Agreement No. 5982 (the "Agreement") on December 10, 2020; WHEREAS, the Parties wish to amend the Agreement to expand the Scope of Services described therein; and WHEREAS, the Parties wish to increase the total not -to -exceed compensation by $200,000 to a total of $250,000. NOW, THEREFORE, pursuant to Section 35 of the Agreement and in consideration of the foregoing, the Parties agree as follows: Section 1(A) of the Agreement is amended to read as follows: "As partial consideration, CONSULTANT agrees to perfom1 the work listed in the SCOPE OF SERVICES, below, for the City under the direction of, and to the sole reasonable satisfaction of, the City's Community Development Director or designee, relating to the preparation, review and processing of entitlement applications, materials, and related supporting documents for the projects identified in Exhibit D." 2. Section 1(C) of the Agreement is amended to read as follows: "As additional consideration, CITY agrees to pay CONSULTANT for CONSULTANT'S services not to exceed a total of Two Hundred Fifty Thousand Dollars ($250,000.00) for the entire term of this Agreement. CONSULTANT acknowledges that it will be paid with funds received by the CITY from the Developer and/or Applicant associated with each project for which CONSULTANT performs services on behalf of the CITY." 3. Exhibit D is added to the Agreement in the form attached hereto and incorporated herein by this reference. 4. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. Additionally, the City would contract with another consultant to prepare the appropriate environmental assessment. Sagecrest's planner would be expected to review the application for compliance with the City's regulations and State law, coordinate the review with other departments, coordinate with the CEQA consultant and review all CEQA document, and prepare all necessary correspondence, reports, resolutions, and notices. The anticipated processing time from notice to proceed to completion is one year. The Sagecrest team will be led by Senior Project Manager David Blumenthal, AICP (billed at the Principal Planner rate).
