COOPERATIVE AGREEMENT
THIS AGREEMENT, MADE .AND ENTERED INTO ON THIS
y AND BETWEEN
CITY OF EL SEGUNDO,
a body politic and a municipal
corporation of the State of
hereinafter referred to as
TICITYTT
STATE OF CALIFORNIA,
acting by and through its
DepartmentBusiness and Transportation Agency,
Division of Highways,
hereinafter referred to as
IT ES ETH
WHEREAS, the STATE is currently preparing plans and
speCifications for the widening of a portion of State Highway
Route 1 in the City of E1 Segundo hereinafter referred to as
"PROJECT"; ; and.
SEAS, the CITY contemplates street,lighting and
landscaping the median island of the "PROJECT" subsequent to
the STATE'S construction. of "PROJECT"; and
WHEREAS, the CITY has requested and the STATE is
willing to design and construct electrical conduits and to
remove existing surfacing and base in the median areas for
landscaping purposes, hereinafter referred to as "IMPROVEMENTS"
in connection with STATE'S contemplated "PROJECT", at no cost
to the CITY; and
WHEREAS, the STATE stands to be compensated by the
CITY'S "IMPROVEMENTS" by elimination of surfacing treatment,
for a major portion of the median area, from the STATE'S
"PROJECT"; and
WHEREAS, the CITY and STATE desire to specify herein
the conditions under is design engineering, construction
engineering, and construction of said "IMPROVEMENTS" are to be
accomplished.
NOW, THEREFORE, in consideration of the covenants
and conditions herein contained, the parties hereto agree
as follows:

STATB AGREES:
1. To furnish all labor, materials, tools and
equipment to do or cause to be done the design
engineering, construction engineering and
construction for aforesaid "IMPROVEMENTS" and
to incorporate "IMPROVEMENTS" in STATE'S
plans and specifications for STATE'S "PROJECT".
Plans and specifications prepared by STATE for

CITY sell be subject to review nd approval
by CITY as to conformity to CITY standards
and/or existing facilities
2. To grant CITY permission -to perform lighting
and landscaping project subsequent 'to the
aforesaid "PROJECT".
. To review the proposed CI TY' S lighting nnd.
landscaping project for conformance to STATE
policy prior to issuance of a permit.
4. To grant to CITY by STATE'S STATE'execution of this
agreement the right to encroach upon State
Route 3. traveled lanes ithixn the limits of
the aforesaid "PROJECT" :for purpose of CITY
constructing CITY'S lighting, water sprinkler
lines, and lazndping project in the Median
area and for subsequent maintenance thereof.
5. Upon completion of S"T. "T ' S construction contract
to furnish CITY with one complete set o
reproducible duplicate original drawings
CITY AGREES:
1. To :furnish and place top soil ba . fill material
in the median island of the "PROJECT" before the
adjacent travel lanes are used
2® To furnish and install water conduits in
travel lanes pursuant to providing irrigation
facilities to median islands for future
landscaping.
3. To pay the cost of utility adjustments, if any,
that may be incurred by STATE for relocations
or modifications of utilities necessitated by
STATE'S construction of CITY'S said facilities
plus the amount to cover STATE'S engineering
and overhead costs within thirty (30) days of
billing therefore®
® Upon completion and acceptance of the contract
by STATE of the work covered by this Agreement,
the CITY will maintain those portions of the
median area lying within STATE'S right of way
and indicated in red on Exhibit A, attached
hereto and by this reference made a part of
this Agreement.
S. That should CITY'S construction or subsequent
maintenance operations require any encroachment
upon the traveled lanes of out 1, CITY will
submit application for Encroachment Permit to
the Division of Highways, District 7, Permit
Engineer, for the period of such encroachment®

6. In the event that CITY desires any additional
or extra work over and above that specifically
provided for herein, r in the event of unfore-
seen circumstances additional work is required
to construct said "IMPROVEMENT", such work will
be financed by CITY at IT'S sale expense- and
accomplished by means of an executed change
order, approved by CITY in writing, after
receipt of a deposit of funds by CITY therefor
to cover the cast of such. work.
7. To indemnify and save STATE, its officers,
agents and employees harmless from any and
all liability for injuries to persons or
damage to property caused or resulting in
any manner from STATE'S performance under
this Agreement, excepting for injuries to
person or damage to property caused or
resulting from the sole negligence or
willful misconduct of STATE, its officers,
agents and employees.
SECTION III
MUTUALLY AGREED:
1. That construction by STATE of improvements
referred to herein is contingent upon the
allocation of funds by the California
Highway Commission.

financed with Federal Funds or State Gas Tax
Funds all applicable procedures and policies
relating to the use of such funds shall apply
notwithstanding other provisions of this
Agreement.
IN WITNESS WHEREOF, the parties hereto have caused
this Agreement to be executed by their respective officers,
duly authorized, the provisions of which Agreement are
effective as of the day, month and year first hereinabove
written.
