PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF EL SEGUNDO AND
KOA CORPORATION
This AGREEMENT is made and entered into this 19th day of April, 2022, by and
between the CITY OF EL SEGUNDO, a municipal corporation and general law city
("CITY") and KOA CORPORATION, a California Corporation ("CONSULTANT"). The
parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed Thirty -Four Thousand Six Hundred Ten dollars ($34,610.00)
which includes the original proposal amount of $31,410.00 as well as a
contingency amount, which may or may not be used, of $3,200.00 for
CONSULTANT's services. CITY may modify this amount as set forth
below. Unless otherwise specified by written amendment to this
Agreement, CITY will pay this sum as specified in the attached Exhibit "A,"
which is incorporated by reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit "A,"
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of

any deficiencies and CONSULTANT will have fifteen (15) days after such notification to
cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "A") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
Carefully investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from May 16, 2022, to December 30,
2022. Unless otherwise determined by written amendment between the parties, this
Agreement will terminate in the following instances:

B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
ii. CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving
written authorization to proceed, any such professional services are at
CONSULTANT's own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10.CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:
A. Exhibit: A: Proposal for Services and Scope of Work
11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12.TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13.PERMITS AND LICENSES. CONSULTANT, a

14.WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15.TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18.INDEMNIFICATION.
A. CONSULTANT agrees to the following:
I. Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
i. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
MASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE.
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed
made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27.SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.

28.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.
29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30.COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36.CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.

37.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable
control, then the Agreement will immediately terminate without obligation of either party
to the other.
39.STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

the City of El Segundo for Construction Inspection Services for PW 21-07:
W. Mariposa Ave. and W. Pine Ave. Sidewalk Construction. KOA is
committed to working seamlessly with your staff and project team to ensure the
successful delivery of this project.
KOA has over 120 professional public works planning, engineering, and
construction management and inspection staff located only in southern
California. We provide services to local agencies in the planning, design, and
construction of their capital improvement projects. The KOA team, our project
systems, and our entire management structure are geared to providing flexible
services to agencies such as the City of El Segundo.
We have included several seasoned Construction Inspectors in this proposal, and
have teamed with Twining, Inc. to provide material testing and special
inspections.

signals and lighting, and rail. They bring many years of accrued skills in dealing with

UNDERSTANDING
The project proposes to construct new sidewalks for the missing segments on the following streets:
• The south side of the 400 Block of W. Mariposa Avenue between Virginia Street and the west alley - construction of a
new sidewalk, retaining wall, stairs, and handrail.
• The south side of the 300 Block of W. Pine Avenue between Concord Street and Virginia Street - construction of new
sidewalk. Any existing tree within the right-of-way which is removed will be replaced with two new trees.
The construction is expected to take 25 working days to complete. Our working days will include pre -construction review
and post construction closeout.

SCOPE OF SERVICES
The KOA Corporation (KOA) team will provide the City of El Segundo with an exceptional team of qualified professionals
to fulfill construction inspection. We have extensive local resources available to the City for this assignment. KOA has
provided construction inspection services on numerous similar improvement projects for nearby cities and public
agencies. Our clients include the cities of La Habra, Anaheim, Garden Grove, Redondo Beach, Signal Hill, Long Beach, Brea,
and Rancho Palos Verdes, among others, and we have prior experience with the City of El Segundo.
KOA acknowledges the detailed scope of services as shown in the RFP. KOA can provide professional and technical
support to assist the inspector with construction administration, construction management, construction inspection, utility
coordination, labor compliance, material testing, and project closeout services for the assigned project. KOA will establish
and maintain a close working relationship with City staff throughout the project.
Following the initial project startup tasks and NTP, we understand that the Contractor may conduct utility investigations.
We will work with him/her to mark out all project removals and project limits in the field. Any questions in regards to the
scope of work will be coordinated with the City and design engineer to eliminate possible delays.
Work will then commence in accordance with the submitted construction schedule. The Contractor will be required to
submit the schedule, periodic updates, stormwater protection plan, material submittals, 3 week look -ahead schedule,
material certificates, Certified Payroll reports, workforce labor and equipment, and other required documentation for itself
and each subcontractor.
KOA will provide part-time inspection coverage of Contractor operations. We will provide a Primary Inspector for regular
part-time inspection (20 hours per week) and a specialty inspector for the slough wall. The assigned Inspector will prepare
daily inspection reports that include the following items during the hours they are on site.

Inspector will observe the work daily, ensuring materials and workmanship are of optimal quality. Any deficiencies will be
immediately reported to CM and/or City and communicated with contractor for correction. Field testing will be
coordinated and observed deficiencies will be reported to the CM, design team and City. All communication will be
streamlined for efficiency, with support from the Construction Manager. Inspector will monitor for progress and
conformance with the contract documents. Notices of non-compliance will be produced and delivered when construction
methods or materials are deficient. The inspector will coordinate with the contractor to schedule any required utility
relocations. When special inspection is required, the inspector will coordinate to oversee the activity and any associated
test results for conformance to contract items. The inspector will work closely with the CM to track bid quantities and
maintain records to prepare for monthly progress payment review. Records will be shared with the CM to prepare the
financial status at the end of each month. Documents will be stored in the shared drive and shared with the team to
provide for daily updated reports that may be viewed by all team members.
CONSTRUCTION REPORTS AND DOCUMENTATION
We typically develop routine construction documentation and reporting to suit each project in accordance with the scope
of services, type of work, funding and reporting requirements. We provide reports and file structure in Caltrans format.

Documentation can be electronic (such as VPM), printed format, or both. Electronic versions are typically MS Office (Word,
Excel), AutoCAD, and .pdf version for each. Typical documents deliverables include:

QUALITY ASSURANCE/QUALITY CONTROL PROCEDURES
KOA has developed Construction Management procedures that are used as a baseline for capital improvement
construction projects. Since every project is unique, we will tailor our procedures to the City needs for this project. With
part-time inspection, most of the quality control will be limited to the hours on site.
The primary objective of KOA's quality control program is to ensure that every aspect of the work is constructed in
accordance with the contract documents and approved submittals, in compliance with the applicable code and to industry
standards. In addition, that it is performed consistent with the owner's expectation. Regular quality control checks include:
• Obtaining subcontractor input regarding materials, * Monitoring of all contract work -in -
means and methods; progress to ensure that quality
• Review of contract documents to assure that only standards are consistent with contract

IMPROVEMENT PROJECT
EL MONTE, CA
KOA provided construction management and inspection
services for this important project. The project focused on
downtown El Monte, and included new bioswales,
reconfiguration of intersection from 5 way to 4 way, new
traffic signals, ADA upgrades, new landscaped medians
and parkways, street resurfacing, new sidewalk, curbs and
gutters, relocation of storm drain and waterlines, marking
and striping. Our CM and Inspection responsibilities
included project coordination with the City, Contractor,
Southern California Edison, Verizon, AT&T, El Monte

TASK 1 — CONSTRUCTION OVERSIGHT, INSPECTION SUPPORT AND PRECONSTRUCTION (OPTIONAL CM SERVICES)
KOA will provide the requested Inspection Support services for this project. Our Construction Oversight staff (CM) has over
20 years of experience in public works construction, including local, state, and federal -aid funded projects. Our CM may
assist with the following at the City's request:
SUBMITTALS & SHOP DRAWINGS
KOA will review submittals and shop drawings for completeness and general conformance with the contract documents.
REQUEST FOR INFORMATION (RFIs)
In the event that the design engineer or City staff is required to answer questions, the CM may coordinate a timely
resolution.
SCHEDULE REVIEW
KOA will review the baseline construction schedule, including activity sequences and duration, schedule of submittals and
schedule of delivery for products with long lead times.
DOCUMENTATION INTERPRETATION & TECHNICAL ASSISTANCE
KOA may perform the coordination and expediting between the contractor, design team and City staff to clarify
interpretations of the construction documents.
PHOTOGRAPHIC JOURNAL
KOA will prepare and maintain an electronic photo journal documenting the construction progress.
PRECONSTRUCTION MEETING
The Inspector and CM will attend pre -construction meeting to
COORDINATION WITH RESIDENTS & PROPERTY OWNERS
KOA will work with adjacent property owners, businesses and residents to resolve their concerns, review potential
accessibility issues, and ensure installation of traffic control devices per approved traffic control plans.
REVIEW CONSTRUCTION TRAFFIC CONTROL
KOA will review construction traffic control to ensure the optimum situation with regard to: protection of the traveling
public during the construction operation; arrange the traffic control so that there is minimal disruption to traffic and
access to local business operations; provide safe access for pedestrians and vehicles during the construction operation;
and provide for optimal traffic control phasing to efficiently facilitate the completion of the construction operation.
MONUMENTATION
KOA will verify removal, recordation notes, and replacement of survey monumentation.
PLANS, SPECS & AS-BUILTS
KOA will periodically review the contractor's as -built updates on the approved job plan, identify missing items and require
the Contractor to keep as -built records up to date. The Inspectors will keep their own set of as -built plans which will note
the location of subsurface utilities encountered and/or installed, identify where any design or field changes are required
(utilizing the corresponding RFI/change order numbers) and note the location of critical building components that are
covered by finish work. At the end of the project the final as -built plans are submitted to the City.

WRITTEN INSTRUCTIONS
KOA may issue written instructions to the Contractor regarding routine matters and/or follow-up of verbal instructions as
necessary to properly document project issues, when requested by the City staff.
TASK 2 — CONSTRUCTION INSPECTION
The assigned Construction Inspector (CI) will provide the part-time construction inspection services for this project. Our
inspectors have decades of general contracting and construction inspection experience. The CI will oversee and document
the daily on -site construction work, verifying that the project conforms to contract requirements, implements appropriate
traffic control, staging and phasing, taking photographs, accepting material delivery tickets, preparing daily reports, and
verifying quantities. The CI will coordinate with adjacent businesses, stakeholders, transit, testing lab, and City staff.
Ins ection services will include:
• Attend and participate in construction progress meetings
• Review plans, specifications, and verify conformance of materials and work to plan requirements
• Coordinate with utilities and stakeholders
• Monitor Contract As -Built plans
• Coordinate survey services
• Coordinate material testing assignments; verify test results; order corrective work, verify final test report
• Prepare daily construction reports; maintain inspector diary
• Prepare quantity records and reports; verify quantity recommendations for payment
• Coordinate with agencies, property owners, and other affected parties
• Review and verify conformance with stormwater protection requirements including WPCP and SWPPP
• Perform as the community liaison and represent the City to affected businesses and residents
• Provide night, overtime, and emergency response coverage
The services for construction inspection will implement project controls in accordance with the standards and
specifications: Standard Plans; Manual of Uniform Traffic Control Devices; The Greenbook Standard Specifications and
Standard Plans for Public Works Construction; The project plans and special provisions; Caltrans Standard Plans and
Specifications; and the Caltrans Local Procedures Manual.
SAFETY
KOA always considers safety the most important issue on any construction project. KOA will recommend key safety
provisions to require the contractor to have competent safety personnel and site specific safety programs employed on
the projects at all times. KOA will monitor the contractor's operations for compliance with the project safety requirements.
TESTING
KOA will coordinate with Twining Inc. on laboratory, jobsite, and offsite testing of construction materials and required
observations per construction documents, construction codes, and jurisdictional agencies. KOA shall provide deputy
inspection as required. KOA will implement established procedures for testing per the construction documents. We will
monitor testing services, track documentation and record testing results in weekly construction progress meetings. When
necessary, KOA will require and track that corrective measures are implemented and re -inspected for acceptable
completion.
DAILY CONSTRUCTION OBSERVATION REPORTS
KOA will compile daily observation reports documenting the contractor's workforce, material and equipment used, a
summary of construction activities, field problems, disputes or claims, resolutions of issues and directions given to the
contractor. Completed daily reports will be transmitted to the City on a weekly basis.

PROGRESS PAYMENT PROCESSING
KOA will review the payment applications submitted by the contractor and determine whether the amount requested
reflects the progress of the contractor's work. Appropriate adjustments to each payment application will be required by
the contractor. When the payment application is acceptable and all backup documentation is verified, KOA will prepare
and submit a progress payment report.
PRE -FINAL INSPECTION
The Cl will perform the final job walk and prepare the punch list (deficiency list). KOA will coordinate and observe
payments to date, current payment requested, retainage, the completion of required corrections. Should the contractor
lag on a portion of the completion of work, KOA will estimate the value of incomplete items and recommend specific
retainage in accordance with the contract. If necessary, a change order will be recommended for approval for completion
of the remaining work such that the City may file the notice of completion and start the time after which stop notices
and/or claims are no longer valid.
TASK 3 — PROJECT CLOSEOUT (OPTIONAL CM SERVICES)
KOA will assist the City to close out all project construction activities, documentation, and payment to ensure that the
project is finished, correct, and files are complete.
Post -construction project closout assistance will include:
• Pre -final punch list inspection
• As -Built Verification; transmit Record Drawings to City
• Final walkthrough and project recommendation; certify completion
• Verify all change orders complete, and recommend final pay estimate
• Finalize record drawings, bid items, payments, claims, adjustments, change orders, and punch list per City, CDBG
and/or LAPM requirements
• Provide electronic versions of all documents
FINAL INSPECTION
All corrections must be made before KOA recommends processing the "Notice of Completion". KOA is noted for our
attention to detail. We excel at closing out our own projects and we have been requested to and successfully close out
problem client projects where our services are not initially utilized. Upon completion of the punch list and final sign off by
all project stakeholders, KOA will make recommendations to the City regarding Contractors final progress payment
request and prepare final progress payment report for submission to City.
DELIVER PROJECT CLOSE-OUT DOCUMENTS
KOA will review "as -constructed" plans and prepare "as -constructed" reports. KOA will help the contractor maintain a field
set of updated "as -constructed" plans. KOA will continually document changed field conditions and not rely on the
contractor to document "as- constructed" conditions. KOA will report and photograph field condition changes.
Discrepancies will be discussed, resolved, and recorded. Completed "as -constructed" plans will be submitted to the City.
KOA will provide a final project report, detailing all relevant aspects of the project, including budget, reasons for bid price
variations, schedule information, as -built plans, and technical details, including a compilation of project photographs.
To implement a timely project close-out, KOA will enforce implementation of the Construction Contract documents. If
needed, training will be conducted prior to transferring responsibility to the City. All CM and Cl records will be provided to
the City for their records. KOA will ensure full compliance with all pre -construction, construction, and post -construction
requirements for all pertinent project permits. KOA will perform closeout duties including final organization of project files
in binder and electronic format, (CD-ROM or thumb drive) and submit to the City for final approval, and assist with the
filing of the notice of completion and release of retention.

MATERIALI —TWINING, .
SOIL INSPECTION AND TESTING
An experienced field inspector will be provided to observe the compaction subgrade soil, bedding, backfill material, and
aggregate base (if applicable) for the sidewalk, retaining wall and waterpipe trench when needed. The inspector will test
the field density and obtain representative samples for the laboratory maximum density testing.
CONCRETE INSPECTION
An experienced concrete and inspector will be provided to inspect the concrete pour and will collect field samples
including concrete cylinders for laboratory testing according the CAP.
ASPHALT CONSTRUCTION INSPECTION AND TESTING
An experienced asphalt lay down inspector will be provided to observe the hot mix asphalt (HMA) production and HMA
laydown process to cover the trench.
The HMA laydown inspector will observe the compaction temperature and rolling pattern and measure the density
of in -place HMA.
Samples obtained from the plant will be transferred to Twining's laboratory for the following tests:

Twining's project manager will coordinate all field and laboratory testing and will review all reports. Test results and daily

Arterial Roads Rehabilitation Project Fiscal Year 2010-2011, Rancho Palos Verdes, CA: Project Manager & Design
Engineer. Mr. Stephan prepared Plans, Specifications and Estimate for the rehabilitation of Palos Verdes (PV) Drive South
in the City of Rancho Palos Verdes. PV Drive South is a challenging arterial highway winding along the bluffs of the Palos
Verdes peninsula overlooking the Pacific Ocean. Rehabilitation strategies included selective removal and replacement
(R&R) areas, asphalt rubber hot mix (ARHM) and conventional asphalt overlays, and micro surface application. Work
included the relocation and improvement of bus pads and shelters, retaining walls, PCC repairs, striping and markings. A
comprehensive traffic sign field review and replacement plan was prepared to bring all traffic signs into uniformity and
conformance with MUTCD requirements. Construction Cost $2M.
Sepulveda Boulevard Pedestrian Improvements, Culver City, CA: Project Manager & Design Engineer. Mr. Stephan
prepared the Plans, Specifications, and Estimate (PS&E) for the enhancement of a 1/2 mile section of Sepulveda Blvd in a
busy commercial area of Culver City. The project included the challenging installation of landscaped areas with trees,
plants, benches, curb access ramps, and driveway and sidewalk replacements in a fully developed area with outdoor dining
and retail shops. Construction Cost $350,000.

City of Hermosa Beach Pavement Rehabilitation Projects, Hermosa Beach, CA: Project Manager & Engineer. Mr.
Stephan provided project management, design, and construction management for various pavement improvement
projects including residential streets, and arterial streets with federal -aid funding. Project included sidewalk repairs, ADA
curb access ramps, storm drain repairs, curb & gutter replacement, grinding, asphalt pavement, and striping.
Myrtle Area Improvements, Hermosa Beach, CA: Project Manager. Mr. Stephan supervised preparation of construction
plans, specifications and cost estimate for the Myrtle Area Improvements, which will consist of minor sidewalk repairs,
concrete patching, pavement overlay and resurfacing. The project consisted of preliminary engineering, record research,
site review, and developing base map documents; final engineering in preparing, reviewing, and refining construction
documents with the City, performing constructability reviews, notifying utilities, and attending the pre -construction

Community Redevelopment Agency of Los Angeles Pavement Rehabilitation, Los Angeles, CA: Project Manager. Mr.

City of Signal Hill Cherry Avenue Improvement Project, Signal Hill, CA: Design Engineer. Mr. Stephan was responsible
for the project management associated with the new design for the widening of Cherry Avenue between 20th Street and
250-feet south of Pacific Coast Highway (PCH). The project included a new storm drain, traffic signal upgrade at the
PCH/Cherry Avenue intersection, reconstruction of the street, PCC improvements and striping. Consultant Cost: $52,890.

the Contractor's daily work; preparing daily construction reports with a photo log; coordinating the project with the
Contractor, Engineer, various City departments, and the Police Department Parking Enforcement; measuring and tracking
pay quantities; reviewing the contractor invoices; responding to public inquires and complaints; and assisting with project

FY20/21 Rehabilitation Project, El Segundo, CA (5/2021-7/2021): Construction Inspector. Anthony provided

Your company is hereby invited to submit a response to this informal Request for Proposal
(RFP) to provide part-time construction inspection and material testing services as detailed in
this document for new sidewalk construction in the City of El Segundo.
The contract term for the required services shall be March 1, 2022, to December 31, 2021

INFORMAL REQUEST FOR PROPOSALS Construction Inspection for PW 21-07
SECTION 1: INTRODUCTION
The City of El Segundo is soliciting proposals from qualified Professional Construction Inspection
Consultants for part-time construction inspection and material testing services for Project PW 21-07:
W. Mariposa Ave. and W. Pine Ave. Sidewalk Construction.
The project proposes to construct new sidewalks for the missing segments on the following streets:
The south side of the 400 Block of W. Mariposa Avenue between Virginia Street and the
west alley - construction of a new sidewalk, retaining wall, stairs, and handrail.
The south side of the 300 Block of W. Pine Avenue between Concord Street and Virginia
Street - construction of new sidewalk. Any existing tree within the right-of-way which is
removed will be replaced with two new trees.
The proposed number of contractor working days on this project is 25. The project specifications
have been attached for your convenience.
SECTION 2: SCOPE OF WORK
The qualified firm shall furnish all labor, materials, tools, equipment, supplies, and incidentals
required for providing part-time inspection of the construction efforts of a City -retained contractor for
the named project. Please 5 additional working days' inspection time for any unforeseen inspection
activities that may arise before or after construction.
The services to be provided by the Consultant shall include, but are not limited to, the following:
• Attending all project -related meetings; providing feedback on current or potential field
issues; providing meeting notes to the City
• Reviewing and evaluating plans, specifications, submittals, progress payment requests,
requests for information (RFIs), and other construction -related documents, and providing
feedback, corrections, and comments as necessary
• Reviewing the Contractor's daily traffic control and ensuring compliance with the Manual
of Uniform Traffic Control Devices (MUTCD) and the Work Area Traffic Control
Handbook (WATCH manual)
• Photographing site conditions and project activities prior to, during, and after construction
• Preparing and distributing detailed written daily inspection reports via email. At a minimum,
detailed inspection reports shall contain
o Weather and site conditions
o Duration and names of personnel and equipment on site
o Time spent (personnel and equipment) on T&M tasks if applicable
o Quantities of bid item and other work performed for the day
o Any major incidents or safety violations
o Any corrective actions requested of the Contractor/sub-contractors
o Photographs of construction activity progress
o Any days/hours and reasons for no work occurring if applicable.
• Inspecting work in progress to ensure compliance with plans, specifications, and ADA
accessibility. Adequate wall drainage and accessibility compliance for stairs, handrails, and
sidewalk are of significant importance.

• Coordinating any sample preparation, special testing, or special inspection work.
• Performing and providing quality assurance.
• Performing tests and reviewing test results
o Concrete wall compressive strength testing in two locations at Mariposa site
o Subgrade compaction testing to 95% compaction at all addresses
• Ensuring Contractor addresses any items not meeting minimum test result requirements and
coordinating additional testing after corrections are made
• Ensuring Contractor is coordinating inspections by other agencies (i.e. utility companies,
etc.) or coordinating work with private property owners' contractors as necessary
• Ensuring Contractor is addressing potential public safety issues for the project site during
construction and when construction is not occurring
• Ensuring Contractor is complying with Construction and Demolition Materials Recycling
Requirements described in the project specifications.
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES)
permits and requirements
• Monitoring and ensuring Contractor compliance with all other local, state, and federal laws,
regulations, and codes
• Documenting and reporting instances of apparent non-compliance with Contract plans and
specifications and codes to City staff
• Providing complete measurements and calculations for progress payments
• Reviewing Contractor invoices to ensure accurate quantities for completed work.
• Ensuring that Contractor is documenting necessary items for As -Built plans during the
construction; ensuring that As -Built plans submitted reflect the field and other changes that
occurred on the project.
• Providing City staff with punch list items.
• Upon project completion, conducting final inspections and project close-out.
Consultant shall be familiar with any potential construction -related issues, including:
• Clarification or constructability issues with the construction plans
• Staging area locations
• Traffic issues
• Locations of nearby businesses, residences, and schools, and construction impacts to them
• Conflicts with nearby construction by others
• Public concerns, public safety concerns, or Hazardous concerns;
• City staff working days
• Allowable construction and inspection days and times
• Scheduling concerns
• Issues meeting relevant standards and codes (including those of outside jurisdictions)
SECTION 3: PROPOSAL
The proposals, at a minimum, should include the following information:
1. Consultant's understanding of the scope of work and a description of its project approach
with specific milestones and deliverables as outlined in this RFP.

2. Consultant's qualifications and experience within the last five (5) years as the prime
Consultant of record completing a minimum of five (5) tasks/services of a similar nature and
scope with names and current telephone numbers of references that can be contacted.
3. Consultant's project team, including name of project manager, key staff members,
organizational chart, and Sub -consultants (if any) to be retained by the Consultant.
4. Scope of services to be provided with a breakdown of different tasks. The scope of work
defined in this RFP shall at minimum be referenced as included in the scope of services.
5. Consultant's estimated fee for the project, broken down separately for each of the tasks. The
fee shall be based on consultant's employee rate schedule with a not to exceed amount,
including the estimated costs for mileage, incidentals, and reproduction costs. Please submit
employee rate schedule with the proposal. Consultant fee will not be used as the sole basis
for the selection; however, it will be a factor for consideration.
6. A statement that Consultant is agreeable to execute the enclosed City -Consultant agreement,
to provide proof of insurance as noted in the agreement and to obtain and maintain a City
Business License for the duration of the Consultant services.
SECTION 4: SELECTION PROCESS
The City will first examine proposals to eliminate those that are deemed non -responsive to the
stated requirements. The City's Public Works Department will then evaluate each proposal
based on:
• Completeness of the Proposal and attachment of additional required documents
• Qualifications of the consultant and specific experience of key team staff
• Schedule and capacity of the consultant to provide highly qualified personnel
• Experience with similar types of tasks/services
• References and satisfaction of previous clients
Reservation of Rights
This Request for Proposals is a solicitation and not an offer to contract. The City reserves the
right to reject any and all proposals. The City further reserves the right to issue clarifications
and other directives concerning this RFP, to require clarification or further information with
respect to any proposal received, and to determine the final terms of any contract.
Interviews may be required by the City with selected consultants to clarify consultant
proposals and to allow for contract negotiations. Acceptance of any proposal will be based
upon factors including, but not limited to: approach and understanding, completeness of
proposal, thoroughness of information provided, proposed work program, cost for services,
and team qualifications.
