SECOND AMENDMENT TO AND
ACKNOWLEDGEMENT OF ASSIGNMENT OF
PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF EL SEGUNDO
AND DROPFUSION IV LLC
This second amejrdinent acknowledgment of assignment ("Amendment") to Agreement
No. 5993 ("Agreement") is entered into this 13`h day of January 2022 by and between the CITY
OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and DROPFUSION
IV LLC, a limited liability company ("CONSULTANT").
Pursuant to Agreement Section 34, Exhibit "A," as referenced in Agreement Sections
2(A), 10(A), and 31, is amended in its entirety by Attachment 1 to this Amendment,
which is incorporated by reference to reflect the updated CONSULTANT scope of
work and budget.
2. Pursuant to Agreement Section 19, the City accepts the assignment of the Agreement
from Milan A. Collins, an individual, dba Dropfusion IV, to Dropfusion IV LLC, a
California limited liability company which acknowledges and accepts all
responsibilities under the Agreement, as amended, for "CONSULTANT," as set forth
therein.
3. This Amendment may be executed in any number or counterparts, and all such
counterparts so executed constitute one Amendment binding on all the parties
notwithstanding that all the parties are not signatories to the same counterpart. In
accordance with Government Code § 16.5, the parties agree that this Amendment will
be considered signed when the signature of a party is delivered by electronic
transmission. Such electronic signature will be treated in all respects as having the
same effect as an original signature.
4. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.

DROPFUSION IV is pleased to submit this proposal for services. We are offering in -home, on -site, and drive -up,
FDA/CLIA-approved COVID-19 testing as part of our Corporate Wellness Program. We understand these are extremely
tough times and we want to make sure we keep everyone safe„

PCR Assay Diagnostic Testing
Widespread testing is one of the key factors to return to normal activity.
PCR testing is currently one of the only available means to detect the presence of the SARS-CoV-2, the viral
agent responsible of the COVID-19 disease, in the organism. It tracks the presence of viral genetic agent material
in a patient sample.
Samples are taken from places likely to have high virus concentration, using a swab to collect samples from the
nasopharynx (nose) and/or oropharynx (throat). These methods are FDA approved and >99% sensitive and
specific.
Everyone may test whether you have insurance or are uninsured.
Samples are stable for 9 days after collection, but we do recommend sending the sample out once it is collected
to get results back as soon as possible.
Once the sample is placed in the lab's collection device, it is no longer contagious. This makes it safe to ship.
Expediated (Rapid) PCR Testing
* The Mesa Biotech Accula SARS-CoV-2 by Thermo Fisher Scientific combines the accuracy of PCR with the speed
and simplicity of rapid antigen testing.
* Also known as a nucleic acid amplification test (NAAT).
* Uses proprietary oscillating amplification reaction (Oscar) technology, which shortens PCR cycling times, providing
fast results.
* Samples are taken from bilateral nares, 10 seconds each; deep method is not required.

Results in 30 minutes (turnaround time is subject to change depending on the volume of tests).
* No insurance required.
Rapid Antigen Testing
Rapid diagnostic test suitable for point -of -care testing that directly detects the presence or absence of the antigen.
* Samples are taken from bilateral nares; deep method is not required.
* Results within 15 minutes.
* No insurance required.
Significant cost advantage.
rime Opportunity
Our goal is to provide everyone the opportunity to frequently test to prevent future exposure to others.
® Testing is straightforward. Customer will ensure that they have a form of identification present prior to or at the time
of service. If the Customer chooses to send all requested documents prior to the time of service, they may

® Once PCR samples are obtained, our company transmits them to Aegis Sciences Corporation for processing
and will provide the customer with access to their own portal to view results if requested.
• Aegis Sciences Corporation Lab's turnaround time (TAT) is 14-20 hours from when the lab receives the specimen.
Altogether, including shipping, the average time is 24-48 hours.
• The lab's TAT is subject to change depending on the surge in COVID cases and testing, severe weather, Fed
Ex/UPS delivery delays, as well as weekends and holidays. This is beyond DropFusion IV's control.
• Recommended PCR testing schedule should be Monday through Friday from 0700-1530, and Saturdays until 1130.
• Rapid PCR and antigen testing can be performed any time of any day since it is a point -of -care test.
• Minimal contact/interpersonal exposure with medical staff once sample is obtained.
• Drive -up testing available. Customers can stay in the comfort of their own vehicle during testing.

• At our discretion, we reserve the right to switch laboratories at any time. This may change the pricing of each test,
as well as turnaround time.
Our company understands everyone's needs and specific issues with what is going on during these times.
With appropriate actions, we can achieve a positive course of action.
DROPFUSION IV has a well -deserved reputation for quality -assured customer service. We strive for the best, whether it
be client satisfaction, timeliness, or cleanliness. Additionally, we are proud to employ an incredible team of registered
nurses with an abundance of acute care experience. Our team includes ER nurses, ICU nurses, Labor and Delivery
nurses, and more.
Since the pandemic started, we have tested thousands of customers, including nursing and assisted living homes,
large corporations, families, and individuals.
An experienced registered nurse(s) and assistants will come to the workplace, or a designated, specific area, at any

given time when scheduled, to perform these tests. Additionally, all staff members will be in full personal protective
equipment (PPE). We ask your clients to wear masks or face coverings as well.
DROPFUSION IV takes pride in keeping both staff and customers healthy and safe.
We ensure privacy and confidentiality with all our clients.
DropFusion IV is a Covered Entity as that term is defined in the Health Insurance Portability and Accountability Act
("HIPAA"). As the Covered Entity, Clinic shall be solely responsible for complying with HIPAA and any other federal, state
and local laws pertaining to patient confidentiality. In compliance with HIPAA and similar state privacy laws, DropFusion
IV shall only report the results of any testing performed as part of the Services to the individual for whom the testing was
performed, any public health authorities as required by law and as otherwise permitted or required by applicable law.
DropFusion IV shall not share with Department any individually identifiable information about Department employees
using the Services.
DROPFUSION IV offers highly competitive pricing.
Fees areas follows:
$150 out-of-pocket per person per test for employees of companies, no insurance required.
For traditional PCR testing, all patients may monitor their own results after given access to the portal..
* $200 per expediated/rapid PCR test, no insurance required.
* $100 per rapid antigen test, no insurance required.
* Result documentation will be provided in PDF form via email or text.
Travel fee for nurse compensation determined by distance traveled.
