WALLACE & ASSOCIATES, INC.
This AGREEMENT is made and entered into this 2nd day of November, 2021, by
and between the CITY OF EL SEGUNDO, a municipal corporation and general law city
("CITY") and WALLACE & ASSOCIATES, INC., a California Corporation
("CONSULTANT'). The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed One Hundred Seventy -Two Thousand, Seven Hundred Fifty -
Three Dollars ($172,753.00) which includes the original proposal amount
of ($157,048.00) as well as a contingency amount, which may or may not
be used, of ($15;705.00) for CONSULTANT's services. CITY may modify
this amount as set forth below. Unless otherwise specified by written
amendment to this Agreement, CITY will pay this sum as specified in the
attached Exhibit 'A" which is incorporated by reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit "A,"
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of

any deficiencies and CONSULTANT will have fifteen (15) days after such notification to
cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "A") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
i. Carefully investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from November 15, 2021, to June 30,
2022. Unless otherwise determined by written amendment between the parties, this
Agreement will terminate in the following instances:

B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
CITY gives CONSULTANT a written notice to proceed.
B, Should CONSULTANT begin work on any phase in advance of receiving
written authorization to proceed, any such professional services are at
CONSULTANT's own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:
A. Exhibit: A: Proposal for Services and Scope of Work
11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties,
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work,
D. Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials; including graphic art.
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,.
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties,
18. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will
save harmless and Indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
sults, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or, wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, In the performance of this Agreement, except
for such loss or, damage arising from CITY's sole negligence
or willful misconduct.
Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,.
damages, costs (including, without limitation, attorney's fees),
Injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against It or any sums paid out In
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification,
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20.INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to, the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22.INSURANCE.
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO-CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 1185 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D, Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24.INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed
made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29.INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other,
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

The following additions, modifications, and clarifications to the specifications shall be
included in, and become a part of, any contract which may be executed for the above
project in the City of El Segundo:
1. The proposal due date and time has changed to Tuesday, August 24, at 4:00
pm.
As evidence that the Consulting Firm has read this Addendum, the Consulting Firm must
acknowledge same in the space provided below and submit this Addendum with the
firm's Proposal. Failure to provide such acknowledgement shall render the bid as non-
responsive and iaject to rejection.

Segundo (City). W&A is a local leader in performing these exact services on similar projects for many cities and public agencies throughout

An Experienced Team. Our President, Carl Wallace, PE, will act as the Project Principal -in -Charge and will have overall responsibility for our
team and services. Once our work starts, he will be responsible for scheduling personnel and ensuring excellent client service. He will also
provide QA/QC for our company and have responsibility for the performance of our team, the satisfaction of the City and the overall success of
the projects. Carl brings strong management experience having worked throughout the state for over 20 years on major projects in the
construction phase. He is currently managing contracts for 20 Southern California water districts and/or city utility departments.
W&A only provides Project Managers, Construction Managers and Inspectors that each have over 20 years of experience completing public
agency CIP projects in Southern California. Our W&A team members have previously worked for dozens of years within local city public works
departments, water departments, utility agencies, engineering consulting firms and even as contractors. Our Project Managers are certified
Professional Engineers and/or Construction Managers; most have worked internally as city staff and served as consultants. Our Construction
Managers either have worked as a contractor, have a professional engineer license, or both and have earned specialized certifications
including Certified Construction Manager.
Project Manager, Jonathan Smith, PE, QSD, is a hands-on, results -oriented leader with a proven history of productivity and an ability to take
complex issues and get to a consensus quickly. During his 30 plus -year career, he has worked for numerous agencies throughout Southern
California in roles varying from Director of Public Works to Senior Civil Engineer. Jonathan is experienced at analyzing complex budgets and
technical reports and developing and revising contracts and legal documents using federal, state, and local laws, rules and regulations. He has
been responsible for storm water pollution prevention plan preparation and compliance, roadway design and construction, supervision of
technical and field staff, change order negotiation and preparation, contract administration, critical path schedule reviews, claims mitigation,
selection committee interviews, cost estimate preparation, reviewing and designing structure -related shop drawings and assuring compliance
with plans, specifications and various agency regulations, presentations to city councils and other stakeholder groups. During his eight -year
tenure at Menifee as Public Works Director, Jonathan oversaw a great number of projects which included water line construction and
upgrades. He brings specific project experience to the City having worked on several related projects, including the San Marcos Water
Transmission Pipeline Replacement and Street Improvements ($1.4M) for the City of San Marcos, and Green Valley Waterline Upgrades
($850K) and High Valley Waterline Replacement and Pump Station Upgrades ($2.2M) for the City of Poway. He is currently providing project
and construction management for other nearby traffic signal and roadway projects for the cities of Gardena and El Monte.
With our large group of over 25 inspectors, the majority bringing over 20 years of similar experience on capital and development projects, we
are able to staff jobs with the right qualifications whenever the City may need help. Our inspectors have excellent qualifications, including
numerous certifications related to construction inspection. These certifications include APWA, ACIA, QSD, QSP, and D-1, D-2, D-3, D-5, T-1,
T-2 and T-3 certifications for water distribution and treatment. We also have staff that are Certified Cross Connection Specialists, Certified
Welding and Structural Steel Inspectors, NASSCO Certified Cured -in -Place Pipe Inspectors, NACE Certified Coating Inspectors and
numerous inspection staff with reinforced concrete, structural steel and asphalt inspection certificates through ICC and ACI.
Construction Manager/Senior Construction Inspector, Pedram Abbassi, LEED AP BD+C, QSP, CESSWI, has accrued more than 20 years of
construction industry experience, demonstrating his expertise in a range of responsibilities. He has served as a primary point of contact
between design team members, general contractors and owner representatives. Pedram's responsibilities have included onsite owner

representation, change management processing, project administration, schedule and budget analysis, safety and security for prime
contractors, daily communication with the owner, engineering department, architect, consultants and prime contractors regarding plans and
specification compliance, He has been in charge of managing all aspects of construction on the site including, but not limited to, pre -planning,
phasing, coordinating with contractors, subcontractors, coordinating for permits and coordinating with adjacent owners. He also conducts
constructability reviews and provides technical support during project bidding and award. Pedram has completed projects as both a
Construction Manager and an Inspector, possessing office and administrative skills, as well as field experience. He brings relevant experience
with a successful track record in delivering these same services to the City of El Segundo on the recent Indiana Street Water Main
Replacement Project ($530K). He also has experience with numerous previous water projects including Springdale Street Water Main
Rehabilitation ($6M) and Algonquin Sewer Lift Station ($3M) which included the installation of an 8" and 12" sewer force main for the City of
Huntington Beach, the Bette Davis Recycled Water Project ($1.5M) for City of Glendale's Water Engineering Department and Walnut Pump
Station Building Upgrades (Walnut Avenue at Flower Street) ($6M) for the City of Santa Ana. Pedram is currently providing inspection services
for Moulton Niguel Water District on the 2017-2018 Electrical Distribution Equipment Replacements ($500K) which consists of electrical
equipment replacements at five of the District's potable water pump stations.
We are also including our subconsultant, Leighton Consulting, Inc., for materials testing services. W&A has worked with Leighton on many
projects, and we have a positive and productive relationship with them. W&A has also teamed with Leighton on recent projects in nearby
Torrance, El Monte, Santa Ana, Huntington Beach and Lake Forest.
Scope of Services Overview. W&A understands that the City of El Segundo is soliciting proposals from qualified professional construction
inspection consultants for construction inspection and material testing services for the City's Public Works Department on PW 21-05: Water
Main Improvements Project on Grand Avenue.
This project is located on Grand Avenue between Center Street and Pacific Coast Highway. It involves construction of 10" ductile -iron water
main, construction of 4" and 6" ductile -iron water main or laterals, installation of gate valves and boxes, construction of new water service
connections, abandoning existing water mains, removal of portions of water mains, removal of fire hydrants, installation of fire hydrants in new
locations, working in Caltrans right-of-way, potentially working at night, providing uninterrupted water service during construction, providing
traffic control, potholing, coordination with Caltrans and utility agencies, survey, trenching, trench paving, concrete sidewalk/driveway removal
and replacement, potential overlay or slurry seal resurfacing and potential re -striping. The proposed number of contractor days on this project
is 135 working days with construction anticipated to begin in October 2021.
For the past 11+ years clients have continued to choose W&A for our responsiveness, our experience and our commitment to the success of
every project. As W&A's President, I will serve as the Principal -in -Charge for the contract. This proposal shall be valid for 180 days from the
date of the submittal. W&A is agreeable to execute the City -Consultant agreement, to provide proof of insurance as noted in the agreement
and to obtain and maintain a City Business License for the duration of the consultant services. W&A is excited for the opportunity to provide

W&A believes that the ability to provide high quality services and error free deliverables to our clients is the direct result of six Key Factors:

Significant Local Resources. W&A has over 40 staff local to Southern California. Being centrally based in Corona enables us to provide
excellent access to Los Angeles, Orange, Riverside, San Bernardino and San Diego Counties. Many larger companies with local offices
cannot offer our depth of local resources of construction services staff. They are generally based outside the area and/or consist primarily of
design staff. With our commitment to providing exclusively project management and construction phase services, we can provide our
resources with training and equipment specific to our field services. This allows W&A to provide our clients with well -trained and qualified field
staff who are a perfect match to implement the construction phase of their capital program. Also, all our project management, construction
management, inspection, administration and labor compliance staff are internal employees. In compliance with AB 5, we do not use any
independent contractors. W&A has been fortunate in that more than two-thirds of our staff have been with us for over seven of our eleven
years. We typically only use subconsultants for geotechnical and materials testing, large scale public relations, surveying and some types of
specialty inspection. An added benefit to complying with this new law helps us to maintain staff continuity in all our services, thereby
eliminating costly retraining or the time required to get occasional staff up to speed. Utilizing the same tenured staff is critical for ensuring high
levels of quality.
Recent Relevant Experience and Training. Our W&A team members have previously worked for years within local city public works
departments, water departments, utility agencies, engineering consulting firms and even as contractors. The majority have a minimum of 20
years of professional CM and/or inspection experience. All have been successfully vetted and confirmed by the rigors of the municipal and/or
State Public Agency System and bring that specific knowledge of the process and system to each project. Many possess relevant, specialized
certifications. This background ensures that every member of our project team understands that all work must be constructed in accordance
with the City's, local and regional standards. Knowing and being familiar with these standards is the foundation for ensuring high quality. Our
Construction Managers and Inspectors routinely serve as an expert reference and resource for city and public agency staff pertaining to
questions regarding construction management and inspection principles, policies and practices.
Proactive Management and Communication Plan. W&A is very proactive in our approach to project delivery. At the beginning of each
project we prepare a project management action plan which outlines the roles and responsibilities of our staff and the client team, including
third parties and other stakeholders. This document allows us to clarify, document and stack hands in agreement of the expectations for each
team member.
A key aspect of our approach is teamwork and effective, regular communication with both clients and stakeholders. We rigorously interview
and hire staff with excellent communication and verbal skills. This sets the bar very high, but we have found these skills lead to the best
possible outcomes for our clients. We pride ourselves in maintaining a professional and smooth operation throughout projects.
Prior to starting work our Project/Construction Manager will facilitate the collaboration with the Project Manager/Engineer for the City. Typical
items to communicate, depending on the type of work, include review of all plans, special provisions, construction and materials manual, and
specifications that apply to the assigned project, review the day-to-day project responsibilities, review the content and format of the daily
inspection reports for the project, review the required testing procedures and forms, and discuss roles and responsibilities regarding the City's
procedures for notifications, changes, corrections, delays, rejections and tolerances.
For example, for an inspection assignment our staff will coordinate with the City's management each day and review the known activities and
their anticipated times. We will develop a work progress plan and schedule for their activities and progression of where they need to be
throughout the day. As activities pick up, we can plan for additional part time or day-to-day support if needed, as well as coordinate with the
City staff that may have availability at times to assist in covering the work. Prioritizing the work is also important, placing inspection of
structures and buried infrastructure ahead of lesser important items of work. The key to dealing with multiple project locations is proactive
planning, coordination and constant communication with the field staff.
Project Specific Plan. Each project is different in nature and every client varies in how they approach utilizing consultants to accomplish their
goals. W&A understands this as we have worked with dozens of clients in Southern California in each of our service lines throughout each
market sector. W&A will provide construction inspection and materials testing services for the City's water main improvement project. There
may be intermittent as well as night work at times and our staffing is flexible to accommodate these changes on an ongoing basis. Our staff is
ready to assist as needed to create a project specific plan.
Commitment to Problem Solving. We have a deliberate business strategy to attract and hire professional individuals with a very high level
of personal commitment to problem solving. While commitment is not a true technical ability, it is certainly an interpersonal trait that is
oftentimes the main driver to achieve our success. It is also a precursor for high quality. Based on specific client feedback, we have learned
that our clients continue to choose W&A for our responsiveness, our experience in a variety of CIP and Development projects and our staffs

high level of personal commitment to help ensure the success of every project. Problems are inherent in the field of construction; effectively
solving these problems is very key to sustaining ongoing high levels of quality.
A great example of commitment to problem solving involves the recent experience of one of our Construction Managers for a mass grading
project. During his first week on a job, he could not figure out why the contractor was using potable water for the draw pond in support of the
mass grading operation when there was nearby available recycled water. When he asked about it, the contractor they said that they could not
use it because there was always a conflict with the adjacent park, parkways and median landscape watering schedule. Unwilling to accept that
answer, our CM went to every irrigation timer and checked the start and stop times for each circuit. The CM then came up with a draw pond
water schedule to allow for the filling of the pond with reclaimed water. We received feedback from the contractor that our CM had saved them
up to $30K/month with that seemingly simple amount of effort. This initial gesture helped create a collaborative environment where that project
ran extremely smoothly throughout the nine -month contract.
Quality Assurance/Quality Control Plan. W&A will administer a program of Quality Assurance/Quality Control (QA/QC) procedures for
producing quality work and shall effectively manage and control the work and the budget. The foundation of our QA/QC plan is built upon the
prior described Key Factors; we then add our established project controls and documents file structure system and implement it with our Office
Engineers and Construction Coordination Specialists to provide continuity, consistency and instant accessibility and availability of data to the
client. Our field staff is adept at communicating clearly verbally and in writing for construction documentation. Because of the criticality of
accurate documentation, we conduct internal daily inspection report training sessions and apply this same training standard and sign off for
subconsultant inspectors as well.
Our QA/QC plan covers each of our typical project deliverables for our construction management, inspection, labor compliance and materials

inspections and public contacts. If selected, W&A will provide the City with a detailed Quality Assurance/Quality Control Plan and adjust to
mirror the City's requirements.
Project Understanding
W&A understands that the City of El Segundo is soliciting proposals from qualified professional construction inspection consultants for
construction inspection and material testing services for the City's Public Works Department on PW 21-05: Water Main Improvements Project
on Grand Avenue. As part of the City's CIP program, part of the City's goals include maintaining and repairing the City's equipment and
infrastructure as needed, including water mains, sewer mains, streets, sidewalks, curbs, gutters, pump stations, potable water reservoirs,
vehicles other motorized equipment and buildings.
Much of the City's water transmission and distribution system date back to the 1920's. Many of these water mains have exceeded their useful
life and are in need of replacement. Standard practices call for replacing lines every 50-70 years due to natural degradation from soil chemistry
and chlorinated potable water sources. City staff regularly evaluates the conditions of the pipes to develop and prioritize a replacement
schedule each year. The water main on Grand Avenue has experienced several problems over the past years; subsequently, staff evaluated
its condition and determined that the segment between Pacific Coast Highway and Center Street is in need of replacement.
This project involves the construction of 10" ductile -iron water main, construction of 4" and 6" ductile -iron water main or laterals, installation of
gate valves and boxes, construction of new water service connections, abandoning

re -striping. The selected firm shall furnish all labor, materials, tools, equipment, Pacific Coast Highway
supplies and incidentals required for providing inspection of the construction efforts
of a City -retained contractor for the named project. The proposed number of
contractor days on this project is 135 working days with construction anticipated to
begin in October 2021. Per the FY 2020-2021 CIP Budget, the estimated budget for N

Project Scope of Work
W&A shall furnish all labor, materials, tools, equipment, supplies and incidentals required for providing inspection of the construction efforts of
a City -retained contractor for the named project.
The services to be provided by W&A shall include, but are not limited to, the following:
• W&A will attend all project -related meetings; providing feedback on current or potential field issues; providing meeting notes to the City.
• W&A will review and evaluate plans, specifications, submittals, progress payment requests, requests for information (RFI's) and other
construction -related documents, and provide feedback, corrections and comments as necessary.
• W&A will review the contractor's daily traffic control and ensuring compliance with the Manual of Uniform Traffic Control Devices
(MUTCD) and the Work Area Traffic Control Handbook (WATCH manual).
• W&A will photograph site conditions and project activities prior to, during and after construction.
• W&A will prepare and distribute detailed written daily inspection reports via email. At a minimum, detailed inspection reports will contain:
o Weather and site conditions.
o Duration and names of personnel and equipment on site.
o Any change to contractor's construction activity as a result of pending requests for information.
o Time spent (personnel and equipment) on TO tasks if applicable.
o Quantities of bid item and other work performed for the day.
o Any major incidents or safety violations.
o Any corrective actions requested of the contractor/subcontractors.
o Photographs of construction activity progress.
o Any days/hours and reasons for no work occurring if applicable.
• W&A will inspect work in progress to ensure compliance with Plans and Specifications and coordinating with the Caltrans Inspector as
necessary regarding compliant work occurring in their right-of-way.
• W&A will coordinate any sample preparation, special testing or special inspection work.
• W&A will perform and provide quality assurance.
• W&A will perform tests and review test results if required by the project, including the retention of our subconsultant, Leighton Consulting,
Inc., to provide materials testing and reports including but not limited to:
o Pavement density testing.
o Asphalt concrete testing.
• W&A will ensure contractor addresses any items not meeting minimum test result requirements and coordinating additional testing after
corrections are made.
• W&A will ensure contractor is coordinating inspections by other agencies (i.e., utility companies, other municipalities, etc.) as necessary.
W&A will ensure contractor is addressing potential public safety issues for the project site during construction and when construction is
not occurring
W&A will monitor compliance with National Pollutant Discharge Elimination System (NPDES) permits and requirements.
W&A will monitor and ensure contractor compliance with all other local, state, and federal laws, regulations and codes.
W&A will document and report instances of apparent non-compliance with Contract Plans and Specifications and codes to City staff.
• W&A will provide complete measurements and calculations for progress payments.
• W&A will review contractor invoices to ensure accurate quantities for completed work.
W&A will ensure that the contractor is documenting necessary items for As -Built plans during the construction; ensuring that As -Built
plans submitted reflect the field and other changes that occurred on the project.
• W&A will provide City staff with punch list items.
Upon project completion, W&A will conduct final inspections and project close-out.

Potential Issues/Challenges and Proposed Solutions
After reviewing the RFP, W&A has identified the following five (5) key Potential Issues/Challenges critical to the success of this water main
improvement project for the City of El Segundo.
Understanding the Potential Issues/Challenges of the project gives our team the opportunity to apply mitigating efforts early to ensure that the
project is completed on schedule and on budget. Combined with our general approach outlined in the following section, and together with the
City, we will create a specific plan and approach to provide the right level of construction inspection services for this project.
Potential
Proposed Solutions/Mitigation Methods
One of the most important factors in providing excellent service is the composition, locality and specialty of
the company. We specialize in construction phase services (project management, construction
management, inspection, office engineering, contract administration and labor compliance services). Over
the past 11 years, we have grown our business such that 50% of our clients are water agencies or City
utility departments. There are many large firms with great experience that can show significant numbers of
staff in their proposal. The key factor is how many staff a firm actually has locally available with the right
experience. W&A's staff is 100% local staff in Southern California (Los Angeles, Orange, Riverside, San
Bernardino and San Diego Counties). With over 40 staff, including 25 inspectors (all in Southern
California), we have more local staff than many larger firms. All our work is in Southern California.
W&A will prepare a construction management/administration plan for our work with the City. We will meet
with the City's team (management, design, construction, operations and maintenance) to gain up-to-date
knowledge of practices and administrative procedures that the City utilizes prior to any work
commencement. This would range from initial contract processes, progress payment timing, level of
authority for City and staff related to changes in the work to as -built processing, operation process for shut-
downs, call lists and a variety of City administrative processes. Fortunately, our staffs previous work
with the City has given us this critical information in advance, allowing us to hit the ground
running.
The main deliverable we provide is to document the project in its entirety for the purposes of quality
assurance, conformance with plans, specification and local standards, compliance with funding
requirements and as evidence in case of any dispute of claim throughout the project. W&A has established
methods to provide the necessary documentation for our clients. We have been through numerous funding
audits for a variety of funding types and have delivered 100% funding recuperation for all projects that
needed to meet specific requirements. As Construction Managers, we have resolved all claims at the job
level and our projects have not resulted in any litigation.
W&A will establish open communication and reporting lines with the project stakeholders, especially
Operations and Maintenance staff, at the beginning of the project. Our staff will proactively communicate
throughout the construction duration regarding the project progress, construction schedule activities,
upcoming shutdowns, field testing and commissioning activities. At any plant facility maintaining operational
levels set by the agency are of the utmost importance. The City has identified that the pumping plant must
remain at 50% capacity throughout the project.
There still may be conflicts due to old or not up to date as-builts drawings, new improvements that may
have not been documented, old unknown facilities, etc. The key is to perform our investigation immediately
and work to resolve any conflicts prior to the issue impacting the critical path of our project schedule.
Should any of these be discovered and affect the critical path, we will work with the utility and contractor for
workarounds to avoid any time extension.

W&A's Approach to the Scope of Work
The below sections convey W&A's clear understanding of the nature of public contracting and capital improvement projects processes for the
work as detailed in the scope of services section of the RFP. A description of W&A's work plan and approach to providing construction
management and inspection services also follows below. Our work plan will demonstrate in sufficient detail a clear understanding of the
approach to the work.
W&A has reviewed the scope of work from the RFP provided by the City covering the areas of construction inspection services. W&A agrees
to the scope identified in the RFP and notes that since these areas form the primary line of our core business, we have a high level of
expertise and experience in performing these services.
W&A Inspection Approach.,
ros N , Construction inspection is all about documenting the project and getting the material and facilities put in place
in accordance with the regional standards and project documents. W&A understands that each inspection report is a legal document, and we
treat them as such. The Inspector is on site to observe and confirm the quality of the field work. Key activities include:
Project Controls: W&A will make sure that the work product that our staff are producing is routed and stored according to City procedures.
Electronic copies of files will be accessible to the City on our cloud storage site.
Daily Construction Inspection Reports: The W&A Inspector will compile daily inspection reports documenting the contractor's workforce, all
materials and equipment used or idle, a summary of the construction operations, any field problems, any disputes or claims, resolutions of
issues and information provided or written directives to the contractor. Completed daily reports will be transmitted to the City on a weekly basis
with originals filed and stored appropriately. Our CM will review and approve all daily reports. We typically include job photos with each daily
report or categorize them by date and location for storage and "search ability" by title date location or key words on the computer. These are
stored on our Sh arePoint/OneD rive file system which the City can access at any time.
Photographs: W&A will prepare and maintain an electronic photo journal documenting the construction progress. Photos will be taken before
construction begins, during construction and upon completion of the project. The project will be videoed as well for full capture of all detail prior
to construction starting.
Schedule Review: W&A can review parts of the schedule for timeline and crew size production rate. The W&A Inspector will obtain the critical
path from the City Construction Manager to make sure that they document work done or not done on the controlling items each day. The W&A
Inspector will also review the baseline construction schedule, including activity sequences and duration, schedule of submittals and schedule
of delivery for products with long lead-times.
Weekly Statement of Working Days: When applicable the W&A Inspector will prepare a weekly statement of working days documenting the
construction progress, time of completion, delays and time extensions, and submit to contractor and the City on a weekly basis. The weekly
statement of working days is typically discussed and agreed upon at each progress meeting and transmitted as an attachment to the minutes.
SWPPP: W&A Construction Managers and Inspectors have QSP certifications. W&A staff will make sure that the approved Storm Water
Pollution Protection Plan is distributed to the contractor and City staff, check that the project is loaded on the state database and that the
project complies with the approved WQMP. W&A will enforce all provisions of the Plan and/or other requirements set forth in the
specifications. W&A staff is well versed in NPDES monitoring through provision of dedicated services for oversight of developers and
contractors on behalf of several public agencies. In addition, our QSP staff will prepare and execute the necessary weekly reports as well as
mandated pre- and post -storm reporting as needed.
Testing and Observations: W&A's subconsultant, Leighton Consulting, Inc., will monitor testing services, track documentation and record
testing results in weekly construction progress meetings. When necessary, corrective measures will be implemented and re -inspected to verify
acceptable completion. We will review test reports submitted by our subconsultant or others to substantiate compliance and ensure that
Certificates of Compliance or source release tags are furnished by the contractor along with the applicable delivered materials at the project.
Leighton's anticipated inspection services will consist of the following field, laboratory and project management activities generally required for
projects involving soil compaction, reinforced concrete and asphalt paving construction. Their fully equipped laboratories will provide all
anticipated material and soil testing in accordance with American Society for Testing and Materials (ASTM) standards, Caltrans and/or the
Greenbook. Daily inspection reports, prepared by their Special Inspectors and Soil Technicians, and laboratory test results are reviewed by
their management staff, checked for accuracy and prepared for distribution. Inspection concerns encountered in the field and any test results
found to be outside project specifications will be brought to the attention of the W&A Team.
Soul Compaction Observations and Testing_
A Leighton Soil Technician will perform part-time observation and testing during trench backfill. Soil samples will be collected for laboratory
testing to establish criteria for the acceptance. Leighton will also perform testing if they encounter variability in the soil. They will observe and
document exposed excavation bottoms. If soft or yielding subgrade is exposed, they will provide geotechnical recommendations to address
the issue. During fill placement, Leighton will monitor the fill thickness, moisture -conditioning of the new fill and compaction effort. In -place field
density tests will be performed using a nuclear density gauge in accordance with ASTM D 6938.

Asphalt Concrete Pavement Observation and Testjn
Full-time observation and testing services will be provided during placement of asphalt concrete so that non-conformance issues can be
addressed immediately. Field density tests will be performed using a nuclear density gauge. Asphalt concrete samples will be collected in the
field during placement and delivered to Leighton's laboratory for testing.
Concrete SamplingSampliiig and Field Testln
Leighton will provide a Concrete Technician that has been certified by American Concrete Institute (ACI) to sample fresh concrete and perform
slump tests (ASTM C 143). They will mold five concrete compression test cylinders at a sampling frequency of 150 cubic yards of concrete
placed or fraction thereof placed per day. After initial field curing, Leighton will transport hardened concrete cylinders from the site to their
materials laboratory in Irvine for curing and testing.
Material and Soll Laboratory Testlnc
Laboratory testing of construction materials will include concrete compression tests and asphalt concrete maximum density in accordance with
ASTM or Caltrans standards. Soil laboratory testing may include maximum dry density -optimum moisture content, gradation and sand
equivalent. Soil laboratory testing will also be in accordance with ASTM and/or Caltrans standards.
Prat Mana ernent and Closeout
Leighton's Project Manager, a registered Professional Engineer (PE), will review daily field reports and laboratory test results, and distribute
these reports. Concerns encountered in the field and noted in daily reports, and any material tested and found to be outside project
specifications, will be brought to the attention of the designated representative. If needed, a final report will be prepared to summarize the
testing and inspection performed.
Surveying Service: W&A Inspector will coordinate with the construction contractor's surveyor when their surveying services are needed. They
will track hours on site on their daily reports to compare with invoices and help manage budget.
Materials and Workmanship: W&A will recommend approval of materials and workmanship that meet the contract requirements, in
coordination with the authority of the consulting engineer, architect, fire inspector, deputy inspector or other authorized representative or
regulatory authorities having jurisdiction.
Written Instruction: W&A will issue written instructions to the contractor regarding routine matters and/or follow-up of verbal instructions as
necessary to properly document project issues. Our Inspectors have speed memo forms to document any issue and provide immediately a
copy to the contractor.
Plans, Specs and As-Builts: W&A will periodically review the contractor's as -built updates on the approved job plan set, identify missing items,
and require the contractor to keep as -built records up to date throughout the project. At the City's option W&A will keep its own set of as -built
plans, which will note the location of subsurface utilities encountered and/or installed, identify where any design or field changes were required
(utilizing the corresponding RFI and/or change order numbers), and note the location of critical building components that are covered by finish
work. At the end of the project the final as -built plans are submitted to the City.
Pre -Final Inspection: W&A's Inspector will perform the final job walk and prepare the punch list (deficiency list). W&A will coordinate and
observe the completion of required corrections. Should the contractor lag on a portion of the completion of project work, W&A will estimate the
value of the incomplete items and recommend specific retention amount in accordance with the Contract to preserve the City's financial
interest. If necessary, a change order will be recommended for approval for completion of the remaining work so that the City may file the
notice of completion and start the time after which stop notices and/or claims are no longer valid.
Final Inspection: All corrections must be made before W&A recommends processing of the "Notice of Completion." W&A is noted for our
attention to detail. Upon completion of the punch -list and final sign -off by all project stakeholders, W&A will make a recommendation to the City
regarding the contractor's final progress payment request and prepare a final progress payment report for submission to the City.
Delivery of As-Builts and Close -Out Documents: W&A will review as -built plans and prepare as -built reports. W&A will assist the contractor in
maintaining a field set of as -built plans to be updated daily and delivered to the City upon project completion. W&A will continually document
changed field conditions and not rely on the contractor to document as-builts. The Inspector will report and photograph field condition changes.
The Inspector will document and keep these as -built conditions on plans on site. W&A will review the contractor's submittal of as -built
conditions and compare this submittal to W&A's own documentation. Discrepancies will be discussed, resolved and recorded. Completed as -
built plans will be submitted to the City within thirty (30) days of construction completion.
W&A will enforce the provisions of the specifications to require the contractor to submit well -coordinated operations and maintenance
manuals, warranties and guarantees, bonds, extra stock and/or other items required by the Contract Documents such that a timely close-out of
the project is implemented. W&A will perform closeout duties including final organization of project files and submit to the City for final approval
and assist with the verifying all preliminary notices are satisfied, filing of the notice of completion and release of retention.
Close -Out: W&A will perform closeout duties including final organization of project files and submit to the City for final approval after purging or
storing unnecessary documents and assist with the filing of the notice of completion and release of retention.

Warranties and Guarantees: We will track all material warranties and guarantees identified in the specifications and make sure that we receive
the required scope of these as well as the correct number of these documents with contact information, product names and manufacturer's
representative and contact information. It is recommended that the City include a follow up schedule to have warranty items checked prior to
their anniversary date so that any issues can be resolved under the contract warranty. These will be included in a binder as well as
electronically stored for the City.
QA/QC Cost and Schedule Control
W&A administers a program of Quality Assurance/Quality Control (QA/QC) procedures for producing quality work and shall effectively manage
and control the work and the budget. Specific procedures include building a plan for the critical items of work coordination, then following the
plan. We work with the City and/or Agency to develop a plan to include administrative procedures for managing cost control, meeting funding
requirements, materials testing compliance, mitigation measures, compliance with right -of -entry permits, encroachment permits and grant
agreements, reviewing and scheduling the work, quality check of all construction calculations, change order drawings, survey notes, change
order specifications, construction cost opinions, and weekly and monthly reporting. We then develop a project plan involving input from all the
stakeholders and then work the plan.
Cost Control
W&A has numerous and comprehensive procedures in place for providing quality assurance —resulting in effective cost control and
budgeting —on our projects. We build a QA matrix for the project to identify and track steps to be taken for compliance with the program. The
initial spreadsheet will be compiled and then applied to the specific project depending upon the type and quantity of work. We work closely
with the District and/or Agency to comply with the requirements of the project and with our own program. These QA/QC activities generally are
in place for cost control, budget management, regulatory compliance, accuracy and the elimination of rework. The areas of focus for QA/QC,
as well as the key activity/checkpoints associated with each, are identified below:
Invoices: W&A Invoices: Our Project Administrator will prepare the invoice and update the project budget. Our Office Manager will then review
and check hours, verify budget status and submit to the Project Manager/Construction Manager. Our Project Manager/Construction Manager
will review the entire invoice and approve for transmission to our client.
Consultant Invoices: W&A Project Administrator will receive invoices and perform a math check. Our Office Manager will then review the
invoices, verify budget status and schedule and transmit to the Project Manager/Construction Manager to complete a final review and approve.
Monthly Reports: Progress: Our Project Administrator will collect project cost and schedule information and include this information in the draft
report. Our PM/CM will review progress and compare to normal progress curves to identify any potential issues. We use Caltrans models for
project progress and compare actuals with each project.
Budget: Every project contains specific elements with a defined budget. These include the construction contract, our contract, executed
change orders, subconsultant contracts, etc. We track our budget at every two -week pay period and check versus the projected burn rate from
our original or updated proposal. This allows us to make staffing adjustments to maintain budget or to identify the reason for the change and
immediately inform our client if we anticipate the need for additional funds.
Schedule: We will review the contractor's schedule each month (or weekly on shorter duration projects) to confirm accuracy and identify
potential delays. We work to head off delays and focus our efforts on removing obstacles in the schedule or expediting work to maintain the
schedule and not use project float.
Critical Issues: We use the monthly report to identify critical project issues and document our activities or to expedite work to resolve any
issues that come up.
Additional QA/QC Activities: Daily Inspection Reports: Our Project Administrator will review the dates, numbering, start and stop time, hours
worked and compare with the weekly time sheets. Our Operations Manager will pull five random inspection reports weekly and provide
feedback to each Inspector; any areas needing improvement are incorporated into our inspection training program. We issue specific feedback
on an ongoing basis to our entire staff regarding the findings and provide direction on the best way to handle issues that arise or to correct
problems with specific situations.
On projects where we perform construction management, our Construction Manager will review and sign DIR's each day/week. We publish
and distribute an internal inspection training memo to all our staff every other month. This real-time information has resulted in significantly
improved quality of our DIR's.
Materials Ttln: Every construction project we are involved with generally includes materials that require some form of verification of their
suitability or installation process. This is typically performed by a third -party vendor hired by W&A as a subconsultant or by the agency directly.
For this project we have teamed with Leighton Consulting, Inc. At the beginning of each project, we work with the materials testing company to
prepare a testing matrix for the identified materials either through the project plans and specifications or a typical standard (Caltrans,
Greenbook, AWWA, etc.). We also identify the types of materials that require a certificate or compliance. We set up the frequency and band of
compliance for the testing results. We track the tests daily and identify any failures and make sure that failed tests are documented until

satisfactory results are achieved; we then document these final results as well. These are typically witnessed by the Inspector and confirmed
by our Construction Manager.
Design Review: We provide a complete design review for each submittal phase, typically 30%, 60%, 90% and 100%. W&A is able to integrate
our review for both design and constructability based upon our Project Manager's combined background in both design and construction
phase services. We have numerous CM staff who also have hard bid contracting experience and add an enhanced level of quality and
consistency to the review process. We provide a full review, cost evaluation and schedule review.
Internal Bud et and Sco e: W&A includes our budget on all invoices. We also track against the anticipated bi-weekly costs for our payroll runs
to monitor the spending. When our services are related to the management of a construction project and the contractor is not meeting
schedule milestones or progressing satisfactorily, we will collaborate on methods to regain the time so that the contractor can maintain their
original schedule. If they are unable to complete their work within the contract time, we will work to economize our services to maintain our
own budget for the project, as possible. We update our client regularly on our budget status and should there be changes in the construction
contract that add time, we work with our client on a strategy for our services to comply with our budget or negotiate a revised budget to
continue our services through the new completion date.
Oversight of Design., Materials Testin Survey and/or Environmental Consultan : When we provide project management services, we are
often assigned the task of managing the engineering services company. We will establish clear budget scope items and track payment
amounts and percentage of progress against these items on monthly invoices. If any out -of -scope work is requested, it is also quantified and
added to the contract via an amendment. We do not allow out of scope work to progress without written authority.
Management of Construction Contract Budge : When managing the construction contractor's budget, W&A will use the invoicing process and
the project schedule to establish the tracking of time and money. We utilize our weekly meeting to document the work items that the contractor
plans to accomplish and compare the planned results with what they complete each week. We do not allow out of scope work to proceed
without a contract change order or written notice that the contractor is proceeding at their own risk. We also document the activities of all
manpower, equipment and materials for the project so that if a contractor makes a claim at the end of a project, we will have a basis for
refuting any claims for additional payment.
Managing Subconsultants: We understand the importance of maintaining a high level of QA throughout the project team. We need to embrace
the entire team and implement the same set of standards to meet the needs of the project. Our QA plan incorporates review of all work in
varying gradients to streamline our overall process as it is applied to our scope of work. Using our internal program, the Project Manager or
Project Principal will review each sub -consultant's performance with the established company criteria and unique project criteria. We monitor
budget, progress and documentation for each sub -consultant's scope of work. We establish the appropriate level of reporting that provides the
necessary information but does not create extra work or overly cumbersome administrative tasks that are not necessary. We strive to maintain
a high quality but lean operation throughout our quality assurance program.
Schedule Control
W&A has an excellent track record of delivering construction projects for owners on time and within budget. W&A works seamlessly as a team
with the City's Project Manager, designer and other stakeholders throughout the life of the construction phase. We use three ways to maintain
our projects on schedule. These include:
1. Review plans, specifications and bid documents prior to bidding/construction
2. Manage proactively during construction
3. Identify project goals/schedule recovery
The three ways, including tools and processes, to maintain schedule control are woven into our overall Pre -Construction and Construction
Phase Activities as described below.
Pre -Construction Activities: When we are involved in a project prior to construction we take this opportunity to review the contract documents
(ideally prior to the project going out to bid). We typically review the specifications for completeness and confirm that measure and payment
clauses match up with each other. We also check that all items are clearly being paid for in some way and do not conflict with other areas of
the plans or specifications. We review bid items to confirm any items with a large volume and/or high -cost items for accuracy. Primarily, we
actively review the documents to eliminate any type of conflict that can cause delay. This review typically involves accuracy of underground
facilities, permit requirements and third -party activities. The most common delay comes from when there is no power at the site and the team
has not completed the establishment of power with the utility company.
Construction Phase: Unfortunately, agencies will frequently bring a CM firm into a project just as the bids are in and the construction contract
is being awarded. In these scenarios, we will still work to review the documents and resolve any conflicts we discover as soon as possible (as
stated above). Discovering issues at this time is still better than when the contractor brings it up. If an issue is not discovered prior to
construction, we then need to address it as a change notice and resolve through the change order process; this is generally more costly.
We track overall construction cost as mentioned above through our monthly reporting. We also track the additional change order costs against
the approved budget or contingency amount. We also forecast bid item costs to make sure we are aware of any need for increase of bid items.

Any change order work paid for at force account or on a time and material will be monitored daily to assure that we check that they are not
adding additional staff, equipment of materials that are not part of the scope and then cost it our against our approved amount.
The main proactive tool we have during construction phase is the project schedule combined with the four -week "look -ahead" schedule which
typically looks three weeks ahead and one week back. This allows us to discuss with the contractor each week in our weekly meeting the
accuracy of what they have or have not accomplished, and to work together to either remove any impediments to the contractor's progress or
gain proper approvals or achieve consensus in the resolution of site issues that arise with the owner and designer. In addition to this we are
continually looking at the actual work, the equipment and materials procurement schedule and identifying what potential shortage they may
have related to in these areas; we can then present friendly reminders. Most delays are due to poor planning and materials delays. We will
stay in contact with suppliers of long lead time items and independently verify the delivery schedule of key items. We will also confirm that the
timing provided by the supplier matches up with what the contractor is telling us. The important thing is to know the construction process and
be familiar with the equipment, materials and rate of production required to meet the schedule. W&A has construction managers who have
worked for agencies and as contractors, which makes them very valuable to our clients. Most of our construction managers have A, B or C
contractors licenses as well as field experience. We only provide high quality staff with deep expertise which helps to eliminate many of the
delay related issues. This proactive approach with experienced field staff is the prime reason we have such an excellent record in
delivering our projects on schedule.
Schedule Recovery: Despite the activities described above, there may come a time when a project is impacted by a schedule delay tied to the
contractor. When a job is in a delay, we need to work with the owner to identify the overall project objectives and then dig into the schedule
and focus on achieving those goals as efficiently as possible. The critical path of the schedule is the primary target where we focus our efforts.
Resequencing can cost money but may be more cost effective then a delay or lengthy claim to resolve at the end of the project. A complete
review of the schedule and work arounds or resequencing can sometimes be a net gain for the contractor and the client. We use our practical
knowledge and experience, based on decades in the field, to apply effort to resolving —or worst -case mitigating —the delay and clearing out
any obstacles to that process or operation. W&A will work with the City at methods to recover time and cost and reach agreement on our
approach prior to implementing any recovery plan.
QA/QC Manager: Finally, W&A utilizes our Quality Control Manager, Carl Wallace, PE, to oversee and manage our Quality Control Program.
Carl has 30 years of experience in managing large-scale infrastructure, transportation and water construction programs for various public
entities and is highly experienced in managing multimillion -dollar projects during the design and construction phases. He has also managed a
significant number of construction management and inspection contracts for numerous city, county and state agencies. Carl takes a proactive
approach to the implementation of QC measures and is there to ensure that they are maintained throughout the duration of project. On each
W&A project, critical QC information is gathered every working day by the W&A project team and compiled into a tracking matrix. This
information is then conveyed weekly to the City's Project Manager, the contractor and W&A Project Manager on the weekly project report and
bi-weekly project progress meeting. This ensures that all QC issues are discussed with both parties weekly, and the resulting information
documented, tracked, assessed and distributed to the City and the contractor over the course of the project. Most important, this method
ensures that on a weekly basis all parties are aware of the issues, informed in writing, and therefore responsible for the outcome of the project
QC issues at hand.

W&A provides on -call professional services for construction management and inspection of capital
projects for the Mission Springs Water District. Select projects include:
• Desert Willows Water Main Replacement Project ($1.8M) — This project will replace 8" PVC with
an 8" ductile iron waterline, including service laterals, and waterline appurtenances within the
Desert Willows Gated Community in the City of Desert Hot Springs.
• Well 27 & 31 Drywells ($263K) — The project consisted of the installation of dry wells at an
existing well site to mitigate pump to wastewater that was currently draining into an existing onsite
detention basin. The existing detention basin didn't have the capacity to mitigate current pump
waste flows. Work included constructing drywells, storm drains and associated well and site
improvements in the City of Desert Hot Springs, located on the Owner's Well 27 and 31 sites at
the southeast intersection of Dillon Road and Louise Street.
• Water Damage and Roof Replacement ($10®K) — This project repaired existing water damage at
both floor levels of the MSWD building. Work included replacing the existing built-up roofing,
removing existing tile roofing, making repairs and reinstalling the tile roof.
W&A provides on -call construction management and inspection support (CM&I) services ($ Varies),
primarily related to implementation of electrical equipment replacements, reservoir re -coating and
other projects under the District's Capital Improvement Program (CIP). The services include
contract administration and construction management, electrical inspections, condition assessment
inspections of reservoirs, reservoir rehabilitation inspections, specialty pipeline inspections,
specialty structural inspections, and startup and commissioning. A sample project includes:
• Electrical Distribution Equipment Replacements at 5-Sites ($1.5M) — This project will furnish and
install new electrical equipment at five MNWD pump stations. Work includes replacing the main
metering switchboard, installation of a new housekeeping pad, miscellaneous electrical work,
demolition, and installation of a MCC mounted display to existing power monitor. The work also
includes replacing conductors between the switchboard and the indoor MCC and installing new
MCC power monitor power conductors. Testing, startup, operator training, and 0&M data is also
included as part of the work.

to our lab for testing.
Alley Water Main Conversion — The Alley Water Main Conversion project replaced aged cast iron
mains with new ductile iron mains and constructed water service laterals to the new water mains
moved from alleys to streets. This improved fire flow protection and preserved water quality to the
area. Tetra Tech reached out to Leighton on a Friday for a technician to come out to the project site
the following Monday. Leighton dispatched a technician to the site on Monday. Their technician
tested and observed the placement and compaction of asphaltic concrete (AC) within alleyways
along 4th, 5th and 6th streets, east of Golden Avenue, called and obtained maximum density from
the batch plant and confirmed compaction testing resulted within range of 92% to 98% relative
compaction.
Victoria 1 Lift Station Rehabilitation

grading, site concrete, concrete foundations, concrete masonry unit (CMU) walls for a new electrical
enclosure, concrete slabs and field welding of the steel roof framing for the electrical enclosure.
They are providing part-time testing and observation of soil subgrade over excavation and backfill
compaction in preparation for concrete slabs, as well as special inspection and testing of installed
epoxy and/or expansion anchors in concrete masonry, reinforcing steel, layup of CMU, grout and
field welding of structural steel.

San Marcos Water Transmission Pipeline Replacement and Street Improvements, City of San Marcos,
CA Construction Management Association
Construction Manager for a $1.4M 27" steel cement mortar lined and coated potable water transmission pipeline of America - Board Member since 2011
replacement project. The pipeline was approximately 4,000' long within the right-of-way of San Marcos
Boulevard in the City of San Marcos and includes roadway widening after completion of the pipeline installation. The pipeline connection point was the San
Diego County Water Authority's (SDCWA) second aqueduct. Due to the high traffic volume, all of the work was performed at night which required proactive
public relations due to the proximity of the residents.
Green Valley Waterline Upgrades, City of Poway, CA
Construction Manager for the $850K design, construction and inspection of over three miles of PVC pipeline, temporary bypass line and related gate valves,
altitude valves, blow offs, water meter relocations, and other appurtenances. Microtunneling was utilized to install water services. This project required
coordinating shutdowns with over two hundred customers.
High Valley Waterline Replacement and Pump Station Upgrades, City of Poway, CA
Project Manager for the $2.2M design, construction and inspection of over two miles of cement mortar lined and coated pipeline, PVC pipeline, temporary
bypass line and related gate valves, altitude valves, blow offs and other appurtenances. The project also included the rehabilitation of an existing pump
station, hydropneumatic tank and piping, electrical and instrumentation, retaining walls, access road improvements. Negotiated with private property owners
to gain additional easements to allow the construction of the waterlines. The project required extensive negotiations and collaboration with the San Diego
County Water Authority (SDCWA) to encroach into the first aqueduct easement and cross the aqueduct's two pipelines with the new waterline. Also, special
procedures had to be followed during construction that required the coordination of construction activities with the SDCWA's water inspection staff.
San Diego County Estates Pipeline and Old Julian Tank Pump Station, City of Ramona, CA
Construction Manager for the $4M San Diego County Estates (SDCE) pipeline project which included the installation of 15,000' of 16" CML&C pressure pipe
along Old Julian Highway and connection to SDCE Tank #1. The Old Julian Tank Pump Station consisted of the construction of a 6 MGD potable water
pump station and connection to the SDCE pipeline. This project required extensive blasting and public relations due to its location on a two-lane road that
provides the main access to 4,000 rural homes.
Seismic Retro Fitting of Water Storage Tanks, City of Poway, CA
Construction Manager for the design, construction and inspection of seven water storage tanks. These projects involved the removal the in -flow and out -flow
piping and replacing the piping using seismic connections. This project also involved electrical up -grades.
Tank Relining and Corrosion Protection Upgrades, City of Poway, CA
Construction Manager for the design, construction and inspection of the relining and corrosion protection of various water storage tanks. These projects
involved the removal and replacement of the existing tank lining, repair of major areas of rust, hatches and other appurtenances and installation of new
corrosion protection.
Welton Lane Water Storage Tank Forensic Investigations, City of Poway, CA
Managed the forensic investigation, design, inspection and repair of the water storage tank. This project required the investigation of why the foundation ring
was separating from the tank. Established and led a team of investigators that included geotechnical engineers, geologist, civil engineers and a contractor to
find the cause of the problem.

• Conditioned 217-acre master -planned Legado development, which consisted of 1,016 single-family homes, to provide roundabouts and curve linear
streets with curb bulb -outs at intersections to increase safety for all modes of travel.
• Designed a solution at an intersection to eliminate rear -end collisions by utilizing a glue -down protected berm, which also avoided impacting the railroad
right-of-way.
• Improved pedestrian safety by designing and constructing traffic -calming improvements that popped out curbs and installed rectangular rapid flashing
beacons (RRFB) at park entrances.
• Developed unique solutions to add additional bike lanes within the existing right-of-way. One example is the Goetz Road resurfacing and restriping
improvement project that utilized road dieting to eliminate a travel lane and add a two-mile bike path. Another example is the McCall Road and Newport
Road Bike Lane Project, which utilized road dieting to reduce lane widths on a four -lane major road to gain enough width to construct over a mile of
buffered bake lanes. This was accomplished without negatively impacting roadway capacity.
• Due to various budget challenges, many schools are eliminating bus programs, which has resulted in larger traffic volumes. Jonathan utilized a traffic -
calming measure called "Leading Pedestrian Interval" (LPI). This gives pedestrians the opportunity to enter an intersection three to seven seconds
before vehicles are given a green indication, allowing pedestrians to better establish their presence in the crosswalk before vehicles have priority to turn
left. LPI's provided increased visibility of students crossing the street, and enhanced safety.
Other services provided to the City included:
• Calibrated with Caltrans, County of Riverside and other stakeholders to acquire funding for infrastructure projects.
• Managed a successful highway improvement safety grants program that acquired over $5M in grant funding to construct various traffic safety
improvement projects.

Construction Manager for this $6M project which included improvements to a 36" and 42" steel water transmission main in Springdale Street and for the
rehabilitation of Springdale Street from Warner Avenue to the north city limits.
Algonquin Sewer Lift Station, City of Huntington Beach, CA
Construction Manager responsible for this $3M sewer lift station project that included the abandonment and demolition of an existing sewer lift station,
installation of a new sanitary sewer lift station, installation of an 8" sewer force main on Heil Avenue, the installation of a 12" sewer force main on Algonquin
Street, asphalt paving and removal, restoration of existing public and private improvements and all appurtenant work.
Bette Davis Recycled Water Project, City of Glendale Water Engineering, CA
Construction Inspector for this $1.5M project that consisted of the construction of a new 8" PVC recycled water transmission line to Bette Davis Park. The
final portion of the pipeline was constructed within the City of Los Angeles and required permitting and coordination with the City.
Los Angeles Air Force Base Potable Water Backup System, West Basin Municipal Water District, CA
Served as Construction Manager on this $1 M project. The scope of work included installation of an HDPE prefabricated 2,750-gallon tank supplied by the
potable water via an air gap at the Los Angeles Air Force Base. The work also included the installation of two pumps, a cement -coated steel transmission
pipeline and two pressure -reducing valves. The tank, pumps and electrical improvements were housed in a concrete masonry unit enclosure with gate.
ExxonMobil Recycled Water Service Laterals Project, West Basin Municipal Water District, CA
Served as Construction Manager on this $1.3M project. The scope of work included two 4" recycled water service laterals off of West Basin's existing
recycled water pipelines on Crenshaw Boulevard and 190th Street to serve the ExxonMobil Torrance Oil Refinery in Torrance. The service laterals were
connected to the 12" cement mortar -lined and tape -wrapped steel recycled water pipelines utilizing a "hot tap" procedure. Meters were installed on each
lateral in accordance with City of Torrance Standard Specifications.
American Honda Motors (AHM) Irrigation System, West Basin Municipal Water District, CA
Served as Construction Manager on this $1.1 M project. The scope of work included the reconstruction of the AHM's current irrigation system into recycled
water from the existing potable water; connection and/or disconnection of potable water supplies to/from the existing system; demolishing and/or relocation
of backflow preventers; and installation of signs, tags, piping and related appurtenances.
Walnut Pump Station Building Upgrades (Walnut Avenue at Flower Street), City of Santa Ana, CA
Construction Manager for the $6M upgrades of the Walnut Pump Station. This upgrade project included the removal of existing piping, pumps, motors and
valves. Demolished the existing 55-year-old masonry structure south of pumps, including pump station electrical equipment as well as office and shop
facilities, sand trap, carport, perimeter wall and on -site paving. Replaced the demolished building with new enlarged 3,720 square foot structure housing
pumps in addition to new electrical equipment, office and shop facilities. Constructed a small 160 square foot masonry storage building north of pump
building. Constructed motorized valve vaults and appurtenant piping to automate startup sequence for three existing wells. Rerouted 24" DIP and CML&C
piping around new storage building with valve gooseneck structure and grated receiving manhole for well startup bypass water disposal. Constructed a new
8' high perimeter masonry fence wall and construct a new 10' high concrete tennis practice wall common to west perimeter wall with concrete practice court.
Constructed a motorized 8' high x 16' long wrought iron rolling gate to replace existing gate. Also constructed a 20' x 50' x 14' high carport. Constructed

Project Administrator for the $2.5M Bush Street Bicycle Boulevard Project which incorporated bicycle enhancements and traffic calming measures intended
to connect neighborhoods to the Civic Center using Complete Street and Bike Boulevard concepts. The improvements included landscaping and updated
signage and roadway markings. The Complete Streets concept transformed roadways originally designed to primarily serve vehicles into streets that

alignment location, system redundancy and resiliency to determine replacement priorities. The existing 4" diameter and 8" diameter cast iron water mains
located within Bush Street were installed in the 1950's and 1960's and were a priority for replacement. In addition, the existing sewer maintenance holes in
this area were constructed in the 1920's and also needed replacement. The project involved a bicycle boulevard stretching along Bush Street from Civic
Center to 17th Street, and water and sewer improvements from 8th Street to 11th Street. In addition to the replacement of the water main and sewer
maintenance holes, the street enhancement consisted of traffic circles and/or bulb -outs at seven street intersections, along with landscaping, and updated
signs, striping and markings.

drain installation, and observation of remedial grading. Leighton is the geotechnical-engineer-of record for the 396-acre
residential development east of SR 76. In addition to the new homes, the seven distinct neighborhoods will offer families
private recreation center and pool, and San Diego County Sports Park. 750 single-family and condominiums will be available.
All infrastructure, roads, utilities, and widening of SR-76 are part firm responsibilities.

TERMS AND CONDITIONS
Expiration: This fee schedule is effective through
December 31, 2021 after which remaining work will
be billed at then -current rates.
Proposal Expiration: Proposals are valid for at least
30 days, subject to change after 30 days; unless
otherwise stated in an attached proposal.
Prevailing Wages: Our fees for prevailing wage
work are based upon California prevailing wage laws
and wage determinations. Unless specifically
indicated in our proposal, costs for apprentice are not
included. If we are required to have an apprentice on
your project, additional fees will be charged.
Overtime: Standard overtime rate is per California
Labor Law and is billed at 1.5 or 2 times their hourly
billing rate. Overtime rate for non-exempt
field person nelworkingonaLeightonobserved
holiday is billed at 2 times their hourly billing rate.
Overtime rate for Prevailing wage work is per the
California Department of Industrial Relations (DIR)
determination and is multiplied at 1.5 to 2 times their
hourly billing rate for overtime and double-time,
respectively.
Expert Witness Time: Expert witness deposition
and testimony will be charged at 2 times hourly rates
listed on the previous pages, with a minimum charge
of four hours per day.
Minimum Field Hourly Charges: For Field
Technicians, Special Inspectors or any on -site (field)
materials testing services:
4 hours: 4-hour minimum charge up to the first four
hours of work
8 hours: 8-hour minimum charge for over four
hours of work, up to eight hours.
Project time accrued includes portal to portal
travel time.
Insurance & Limitation of Liability: These rates
are predicated on standard insurance coverage and
a limit of Leighton's liability equal to our total fees for
a given project.
Outside Direct Costs: Heavy equipment,
subcontractor fees and expenses, project -
specific permits and/or licenses, project -specific
supplemental insurance, travel, subsistence, project -
specific parking charges, shipping, reproduction, and
other reimbursable expenses will be invoiced at cost
plus 18%, unless billed directly to and paid by client.
Invoicing: Invoices are rendered monthly, payable
upon receipt in United States dollars. A service
charge of 1'/z-percent per month will be charged for
late payment.
Client Disclosures: Client agrees to provide all
information in Client's possession about actual or
possible presence of buried utilities and hazardous
materials on the project site, prior to fieldwork, and
agrees to reimburse Leighton for all costs related to
unanticipated discovery of utilities and/or hazardous
materials. Client is also responsible for providing
safe and legal access to the project site for all
Leighton field personnel.
Earth Material Samples: Quoted testing unit
rates are for soil and/or rock (earth) samples
free of hazardous materials. Additional costs will
accrue beyond these standard testing unit rates
for handling, testing and/or disposing of soil and/
or rock containing hazardous materials. Hazardous
materials will be returned to the site or the site
owner's designated representative at additional cost
not included in listed unit rates. Standard turn-
around time for geotechnical-laboratory test results
is 10 working days. Samples will be stored for 2
months, after which they will be discarded. Prior
documented notification is required if samples need
to be stored for a longer time. A monthly storage
fee of $10 per bag and $5 per sleeve or tube will
be applied. Quoted unit rates are only for earth
materials sampled in the United States. There may
be additional cost for handling imported samples.
Construction Material Samples: After all
designated 28-day breaks for a given sample
set meet specified compressive or other client -
designated strength, all "hold" cylinders or
specimens will be automatically disposed of, unless
specified in writing prior to the 28-day break. All
other construction materials will be disposed of after
completion of testing and reporting.

SECTION 1: INTRODUCTION
The City of El Segundo is soliciting proposals from qualified Professional Construction Inspection
Consultants for construction inspection and material testing services for the City's Public Works
Department on PW 21-05: Water Main Improvements Project on Grand Avenue.
This project is located on Grand Avenue between Center Street and Pacific Coast Highway. It
involves construction of 10-inch ductile -iron water main, construction of 6-inch and 4-inch ductile -
iron water main or laterals, installation of gate valves and boxes, construction of new water service
connections, abandoning existing water mains, removal of portions of water mains, removal of fire
hydrants, installation of fire hydrants in new locations, working in Caltrans right-of-way, potentially
working at night, providing uninterrupted water service during construction, providing traffic
control, potholing, coordination with Caltrans and utility agencies, survey, trenching, trench paving,
concrete sidewalk/driveway removal and replacement, potential overlay or slurry seal resurfacing,
and potential re -striping.
The proposed number of contractor days on this project is 135 working days with construction
anticipated to begin in October, 2021. The project specifications, plans and appendices are included
with this Request for Proposal. Bid information can be found on the City website at

SECTION 2: SCOPE OF WORK
The qualified firm shall furnish all labor, materials, tools, equipment, supplies, and incidentals
required for providing inspection of the construction efforts of a City -retained contractor for the
named project.
The services to be provided by the Consultant shall include, but are not limited to, the following:
• Attending all project -related meetings; providing feedback on current or potential field
issues; providing meeting notes to the City
• Reviewing and evaluating plans, specifications, submittals, progress payment requests,
requests for information (RFIs), and other construction -related documents, and providing
feedback, corrections, and comments as necessary
• Reviewing the Contractor's daily traffic control and ensuring compliance with the Manual
of Uniform Traffic Control Devices (MUTCD) and the Work Area Traffic Control
Handbook (WATCH manual)
• Photographing site conditions and project activities prior to, during, and after construction
• Preparing and distributing detailed written daily inspection reports via email. At a minimum,
detailed inspection reports shall contain
o Weather and site conditions
o Duration and names of personnel and equipment on site
o Any change to contractor's construction activity as a result of pending requests for
information
o Time spent (personnel and equipment) on T&M tasks if applicable
o Quantities of bid item and other work performed for the day
o Any major incidents or safety violations
o Any corrective actions requested of the Contractor/sub-contractors

o Photographs of construction activity progress
o Any days/hours and reasons for no work occurring if applicable.
• Inspecting work in progress to ensure compliance with plans and specifications and
coordinating with the Caltrans Inspector as necessary regarding compliant work occurring
in their right-of-way
• Coordinating any sample preparation, special testing, or special inspection work.
• Performing and providing quality assurance.
• Performing tests and reviewing test results if required by a project, including retention of a
subconsultant if necessary to provide materials testing and reports including but not limited
to:
o Pavement density testing
o Asphalt concrete testing
• Ensuring Contractor addresses any items not meeting minimum test result requirements and
coordinating additional testing after corrections are made
• Ensuring Contractor is coordinating inspections by other agencies (i.e. utility companies,
other municipalities, etc.) as necessary
• Ensuring Contractor is addressing potential public safety issues for the project site during
construction and when construction is not occurring
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES)
permits and requirements
• Monitoring and ensuring Contractor compliance with all other local, state, and federal laws,
regulations, and codes
• Documenting and reporting instances of apparent non-compliance with Contract plans and
specifications and codes to City staff
• Providing complete measurements and calculations for progress payments
• Reviewing Contractor invoices to ensure accurate quantities for completed work.
• Ensuring that Contractor is documenting necessary items for As -Built plans during the
construction; ensuring that As -Built plans submitted reflect the field and other changes that
occurred on the project.
• Providing City staff with punch list items.
• Upon project completion, conducting final inspections and project close-out.
Consultant shall be familiar with any potential construction -related issues and their resolution,
including:
• Clarification or constructability issues with the construction plans
• Staging area locations
• Traffic issues
• Locations of nearby businesses, residences, and schools, and construction impacts to them
• Conflicts with nearby construction by others
• Public concerns, public safety concerns, or Hazardous concerns;
• City staff working days
• Allowable construction and inspection days and times
• Scheduling concerns
• Issues meeting relevant standards and codes (including those of outside jurisdictions)

SECTION 3: PROPOSAL
The proposals, at a minimum, should include the following information:
1. Consultant's understanding of the scope of work and a description of its project approach
with specific milestones and deliverables as outlined in this RFP.
2. Consultant's qualifications and experience within the last five (5) years as the prime
Consultant of record completing a minimum of five (5) tasks/services of a similar nature and
scope with names and current telephone numbers of references that can be contacted.
Consultant's project team, including name of project manager, key staff members,
organizational chart, and Sub -consultants (if any) to be retained by the Consultant.
4. Scope of services to be provided with a breakdown of different tasks. The scope of work
defined in this RFP, including any sub -consultant work shall at minimum be referenced as
included in the scope of services.
5. Consultant's estimated fee for services to be provided as described in the scope of work.
Consultant fee will not be used as the sole basis for the selection; however, it will be a factor
for consideration.
6. A statement that Consultant is agreeable to execute the enclosed City -Consultant agreement,
to provide proof of insurance as noted in the agreement and to obtain and maintain a City
Business License for the duration of the Consultant services.
SECTION 4: SELECTION PROCESS
The City will first examine proposals to eliminate those that are deemed non -responsive to the
stated requirements. The City's Public Works Department will then evaluate each proposal
based on:
• Completeness of the Proposal and attachment of additional required documents
• Qualifications of the consultant and specific experience of key team staff
• Schedule and capacity of the consultant to provide highly qualified personnel
• Experience with similar types of tasks/services
• References and satisfaction of previous clients
Reservation of Rights
This Request for Proposals is a solicitation and not an offer to contract. The City reserves the
right to reject any and all proposals. The City further reserves the right to issue clarifications
and other directives concerning this RFP, to require clarification or further information with
respect to any proposal received, and to determine the final terms of any contract.
Interviews may be required by the City with selected consultants to clarify consultant
proposals and to allow for contract negotiations. Acceptance of any proposal will be based
upon factors including, but not limited to: approach and understanding, completeness of
proposal, thoroughness of information provided, proposed work program, cost for services,
and team qualifications.
