This AGREEMENT is entered into this 13th day of October, 2021, by and between the
CITY OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and JOHN M.
CRUIKSHANK CONSULTANTS, INC. DBA JMC2 a California corporation ("CONSULTANT").
The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by the
terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed Twenty -Nine Thousand Nine Hundred Sixty dollars ($29,960) for
CONSULTANT's services. CITY may modify this amount as set forth below.
Unless otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit "A," which is incorporated by
reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit "A," which is
incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except
as herein otherwise expressly specified to be furnished by CITY, necessary or
proper to perform and complete the work and provide the professional services
required of CONSULTANT by this Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use
the appropriate generally accepted professional standards of practice existing at the time of
performance utilized by persons engaged in providing similar services. CITY will continuously
monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and
CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to
CITY's satisfaction. Costs associated with curing the deficiencies will be borne by
CONSULTANT.

4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly
rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A") the
tasks performed, the percentage of the task completed during the billing period, the cumulative
percentage completed for each task, the total cost of that work during the preceding billing
month and a cumulative cash flow curve showing projected and actual expenditures versus time
to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for
current services are within the current budget and within an available, unexhausted and
unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient
funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will
cover only those costs incurred up to the conclusion of the current fiscal year.
6. ADDITIONAL WORK. N/A.
7. FAMILIARITY WITH WORK. By executing this Agreement, CONSULTANT agrees that it
has:
A. Carefully investigated and considered the scope of services to be performed;
B. Carefully considered how the services should be performed; and
C. Understands the facilities, difficulties, and restrictions attending performance of
the services under this Agreement.
If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will
investigate the site and is or will be fully acquainted with the conditions there existing, before
commencing the services hereunder. Should CONSULTANT discover any latent or unknown
conditions that may materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk
until written instructions are received from CITY.
8. TERM. The term of this Agreement will be from October 13, 2021 to June 30, 2022, unless
otherwise terminated pursuant to Section 15.
9. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under Section 23
of this Agreement; and
CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement
supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved
in the order in which the Exhibits appear below:

A. Exhibit A: Scope of Work and Cost Proposal
11. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain
during the term of this Agreement, all necessary permits, licenses, and certificates that may be
required in connection with the performance of services under this Agreement.
14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION,
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause.
B. CONSULTANT may terminate this Agreement at any time upon thirty days'
written notice.
C. Upon receiving a termination notice, CONSULTANT will immediately cease
performance under this Agreement unless otherwise provided in the termination
notice. Except as otherwise provided in the termination notice, any additional
work performed by CONSULTANT after receiving a termination notice will be
performed at CONSULTANT's own cost; CITY will not be obligated to
compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination, not to
exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.

16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's
property. CONSULTANT may retain copies of said documents and materials as desired but will
deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of
CONSULTANT's completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY's own risk.
17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under
this Agreement, no copies, sketches, or graphs of materials, including graphic art work,
prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or
public CITY without CITY's prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY, unless otherwise provided by written agreement between the parties.
18. INDEMNIFICATION. This Agreement contemplates that CONSULTANT will act both as a
design professional (as defined by Civil Code § 2782.8) and for other management services.
Accordingly, CONSULTANT agrees to provide indemnification as follows:
A. CONSULTANT must save harmless, indemnify and defend CITY and all its
officers, employees and representatives from and against any and all suits,
actions, or claims, of any character whatever, brought for, or on account of,
any injuries or damages sustained by any person or property arising from,
pertaining to, or relating to the negligence, recklessness, or willful
misconduct of CONSULTANT or any of CONSULTANT's officers, agents,
employees, or representatives. CONSULTANT's duty to defend consists of
reimbursement of defense costs incurred by CITY in direct proportion to the
CONSULTANT's proportionate percentage of fault. CONSULTANT's percentage
of fault will be determined, as applicable, by a court of law, jury or arbitrator. In
the event any loss, liability or damage is incurred by way of settlement or
resolution without a court, jury or arbitrator having made a determination of the
CONSULTANT's percentage of fault, the parties agree to mediation to determine
the CONSULTANT's proportionate percentage of fault for purposes of
determining the amount of indemnity and defense cost reimbursement owed to
the CITY; CONSULTANT and CITY must each pay half the mediator's fees.
Notwithstanding the above, in the event one or more defendants to a Claim is
unable to pay its share of defense costs due to bankruptcy or dissolution of the
business, the CONSULTANT must meet and confer with the CITY regarding
unpaid defense costs.
& Defense For All Non -Design Professional Liabilities. Notwithstanding the
foregoing and without diminishing any rights of the CITY under subsection A, for
any liability, claim, demand, allegation against CITY arising out of, related to, or
pertaining to any act or omission of CONSULTANT, but which is not a design
professional service, CONSULTANT must defend, indemnify, and hold harmless
Indemnitees from and against any and all damages, costs, expenses (including
reasonable attorneys' fees and expert witness fees), judgments, settlements,
and/or arbitration awards, whether for personal or bodily injury, property damage,
or economic injury, to the extent that they arise out of, pertain to, or relate to the
negligence, recklessness, or willful misconduct of the CONSULTANT.

C. For purposes of this section "CITY" includes CITY's officers, officials, employees,
agents, representatives, and certified volunteers.
D. It is expressly understood and agreed that the foregoing provisions are intended
to be as broad and inclusive as is permitted by the law of the State of California
and will survive termination of this Agreement.
The insurance coverage to be maintained by CONSULTANT as required by Section 23, will not
limit the liability of CONSULTANT hereunder. The provisions of this section will survive the
expiration or earlier termination of this Agreement.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will
act as an independent contractor and will have control of all work and the manner in which it is
performed. CONSULTANT will be free to contract for similar service to be performed for other
employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY
and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY
provides for its employees. Any provision in this Agreement that may appear to give CITY the
right to direct CONSULTANT as to the details of doing the work or to exercise a measure of
control over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect
to all services and matters covered under this Agreement. CITY will have free access at all
reasonable times to such records, and the right to examine and audit the same and to make
transcript therefrom, and to inspect all program data, documents, proceedings and activities.
CONSULTANT will retain such financial and program service records for at least three (3) years
after termination or final payment under this Agreement.
22. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times
this Agreement is effective, CONSULTANT will procure and maintain the
following types of insurance with coverage limits complying, at a minimum, with
the limits set forth below:

B. Commercial general liability insurance will meet or exceed the requirements of
ISO-CGL Form No. CG 00 01 11 85 or 88, or equivalent. The amount of

insurance set forth above will be a combined single limit per occurrence for bodily
injury, personal injury, and property damage for the policy coverage. Liability
policies will be endorsed to name CITY, its officials, and employees as
"additional insureds" under said insurance coverage and to state that such
insurance will be deemed "primary" such that any other insurance that may be
carried by CITY will be excess thereto. CITY's additional insured status will
apply with respect to liability and defense of suits arising out of CONSULTANT's
acts or omissions. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except upon thirty
(30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such coverage
is available, or on a "claims made" basis if not available. When coverage is
provided on a "claims made basis," CONSULTANT will continue to renew the
insurance for a period of three (3) years after this Agreement expires or is
terminated. Such insurance will have the same coverage and limits as the policy
that was in effect during the term of this Agreement and will cover
CONSULTANT for all claims made by CITY arising out of any errors or omissions
of CONSULTANT, or its officers, employees or agents during the time this
Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY valid Certificates of Insurance evidencing
maintenance of the insurance required under this Agreement, a copy of an
Additional Insured endorsement confirming CITY has been given Insured status
under the CONSULTANT's General Liability policy, and such other evidence of
insurance or copies of policies as may be reasonably required by CITY from time
to time. Insurance must be placed with insurers with a current A.M. Best
Company Rating equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, CITY may obtain such coverage at CONSULTANT's
expense and deduct the cost of such insurance from payments due to
CONSULTANT under this Agreement or terminate pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval
to use any consultants while performing any portion of this Agreement. Such approval must
approve of the proposed consultant and the terms of compensation.
24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on
the project, which will include a schedule update and a short narrative description of progress
during the past month for each major task, a description of the work remaining and a description
of the work to be done before the next schedule update.

25. NOTICES. All communications to either party by the other party will be deemed made when
received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances, notices will be deemed given at the time of
actual delivery. Changes may be made in the names or addresses of persons to whom notices
are to be given by giving notice in the manner prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and
regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee, to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed
to pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally
for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party.
There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's
obligations under this Agreement.
29. INTERPRETATION. This Agreement was drafted in and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and
local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibits, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. There is 1 (one) Exhibit to this Agreement. This
Agreement will bind and inure to the benefit of the parties to this Agreement and any
subsequent successors and assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this
Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a

whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against
either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the
extent necessary in the opinion of the court to render such portion enforceable and, as so
modified, such portion and the balance of this Agreement will continue in full force and effect.
34. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written amendment.
CITY's executive manager, or designee, may execute any such amendment on behalf of CITY.
35. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by
electronic (pdf) or facsimile transmission. Such electronic or facsimile signature will be treated
in all respects as having the same effect as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, acts of terrorism, war, embargo, government action, civil or military authority, the
natural elements, or other similar causes beyond the Parties' reasonable control, then the
Agreement will immediately terminate without obligation of either party to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents
that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to
perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to
satisfy a public CITY.

Scope of Services
The Arena Street Improvement Feasibility Study will be developed in accordance with the City's Request
for Proposal No. ENG 21-10. The document will include:

The key to getting this report done efficiently is to have professionals who have many proven years of
street design and ADA compliance experience. The JMC2 has been tailored to perform on this project.
Task 1 Preliminary Analysis

• JMC2 team to work with the City of El Segundo to gather up all available record drawings,
maintenance reports, and other technical data related to the project.
• JMC2 to reach out to utility purveyors for as-builts and future system upgrade plans.
• JMC2 engineers will walk the site to review the challenge posed by each oversized tree
and to start development of design alternatives.
• JMC2 to prepare civil base map by using as -built plans and site visit measurements as the
basis for design alternatives.
• JMC2 team to meet with City's team to get their project vision and to mark-up those ideas
onto the civil basemap to start the preliminary design process.

CIVIL+'STRUCTURAL ENGINEERING
• JMCz can work with GTS, our traffic engineering consultant, to prepare conceptual site
plans then JMCz will develop grading and layout concepts including coordination ADA
compliant sidewalks, smoother street surfacing, and several other criteria as highlighted
in the RFP.
• GTS, a specialized traffic engineering and parking analysis firm, will examine the vehicular
and pedestrian traffic circulation patterns. The traffic analysis will be based on available
counts at the City
^*^izseetien We also propose to collect parking supply (available spaces) and demand
(occupancy) during a typical 8-hour weekday. The hours will be determined in
collaboration with the City. The data will provide a common ground for benchmarking the
proposed alternatives to current conditions and will assist in stakeholder discussions. GTS
will assess the feasibility of the proposed alternatives along with their likely impacts on
parking and traffic including:
o Comparing parking considerations for existing and proposed alternatives
o Identifying the opportunities and constraints associated with the alternatives
• The conceptual plans and alternatives will be shared and discussed with the City to get
their buy -in before we start the Feasibility Study process.
• Preparation of the Preliminary Feasibility Study including street layouts, maintenance and
drainage impacts, cost estimates, and east/benefit analysis.
Task 3 Final Feasibility Study
• The JMCz team shall meet with the City to review the decision matrix and preliminary
findings to rank the thFee-(3) two (2) design concepts.
• Renderings for the top two (2) design concepts shall be developed on 11x17 sheets.
• JMCz team will prepare and present the Final Feasibility Study to include:

John M. Cruikshank Consultants, Inc. (JMCz) is pleased to submit this proposal to the City of El
Segundo (City) for RFP for 500 Block and 613 Arena Street, Street Improvements Feasibility Study
RFP No. ENG 21-10. JMCz will perform these services from our San Pedro office. We are a 25-
year-old, project management and design firm that has provided public works solutions for a
wide variety of projects throughout Southern California.
Capacity. JMCz has both civil and structural engineers who work on hundreds of public and
private projects every year. When your City has any type of project need, then we develop the
right team based on specific needs. JMCz will prepare design alternatives and a Street
Improvement Feasibility Report for the distressed sidewalks and parkways at the 500 and 600
blocks of Arena Street. We have in-house, licensed structural/civil engineers, so we like take the
lead on public improvement projects like this.
Local Agency Knowledge. JMCz understands that many Public Works' projects demand solid
transportation and land planning, thorough engineering analysis, and strong Caltrans and City of
El Segundo coordination and knowledge. John Cruikshank, PE, F.ASCE, will be Principal in Charge
having grew up in El Segundo and involved with numerous, critical transportation projects
throughout his career. Also, JMCz's work for local agencies is extensive. From our work as project
managers and civil engineers for many City public facilities projects, JMCz has demonstrated its
ability, capacity, and skill to properly perform on some of Southern California's more difficult
projects. We understand that your City needs consultants who are well versed developing
workable alternatives to address the street and sidewalk upheavals with minimal impact to the
neighborhood. So we added GTS Technologies (traffic engineers) to our team to develop the best
street improvement solutions for El Segundo.
Public Agency Knowledge. JMCz's work doing on -call work for Public Sector clients is extensive.
For the past quarter century, JMCz has worked on master planning and feasibility report, street
plans, public facilities, parking garages, sewerage systems, storm drainage, traffic signals, public
parks, ADA compliance, value engineering, plan check, and peer reviews.

Arena Street from Pine Street to El Segundo High — owned and maintained by the City of El Segundo (City)
— has become distressed due to the wonderful, large trees whose roots are lifting the sidewalk, parkway,
and road surface. The City desires to preserve the trees but seeks alternatives to make the sidewalks
compliant with the American with Disabilities Act (ADA) and the streets smoother. The City seeks to hire
an engineering team to prepare a Street Improvement Feasibility Study for this stretch of road in
coordination with the residents, City team (Public Works, Fire Department, Police Department, Park
Maintenance, and Community Services), and the Traffic and Safety Committee. Work shall be pursuant
to the Standard Specifications for Public Works Construction (SSPWC), ADA Accessibility Standards, and
City design standards.
Scope of Work
The Arena Street Improvement Feasibility Study will be developed in accordance with the City's Request
for Proposal No. ENG 21-10. The document will include:

The key to getting this report done efficiently is to have professionals who have many proven years of
street design and ADA compliance experience. The JMC2 has been tailored to perform on this project,.
Our general work approach includes:
Mask 1 Preliminary Analysis
• JMCZ to prepare a Project Work Plan including the Work Breakdown Schedule, GANNT
chart, list of team members, and outreach plan.
• JMCZ team to work with the City of El Segundo to gather up all available record drawings,
maintenance reports, and other technical data related to the project.
• JMCz to reach out to utility purveyors for as-builts and future system upgrade plans.
• JMCZ engineers will walk the site to review the challenge posed by each oversized tree
and to start development of design alternatives.

• JMCZ to prepare civil base map by using as -built plans and site visit measurements as the
basis for design alternatives.
• JMC2 team to meet with City's team to get their project vision and to mark-up those ideas
onto the civil basemap to start the preliminary design process.
Task 2 Prepare Street Improvement Design Concepts and Preliminary Feasibility Study
• JMC2 can work with GTS, our traffic engineering consultant, to prepare conceptual site
plans then JMC2 will develop grading and layout concepts including coordination ADA
compliant sidewalks, smoother street surfacing, and several other criteria as highlighted
in the RFP.
• GTS, a specialized traffic engineering and parking analysis firm, will examine the vehicular
and pedestrian traffic circulation patterns. The traffic analysis will be based on available
counts at the City and if such data is not available we will collect pedestrian and vehicular
data during a typical school weekday day at up to two roadway segment (or one
intersection). We also propose to collect parking supply (available spaces) and demand
(occupancy) during a typical 8-hour weekday. The hours will be determined in
collaboration with the City. The data will provide a common ground for benchmarking the
proposed alternatives to current conditions and will assist in stakeholder discussions. GTS
will assess the feasibility of the proposed alternatives along with their likely impacts on
parking and traffic including:
o Comparing current vehicular traffic patterns to proposed alternatives
o Comparing current pedestrian and bicycle patterns to proposed alternatives
o Comparing parking considerations for existing and proposed alternatives
o Identifying the opportunities and constraints associated with the alternatives
• The conceptual plans and alternatives will be shared and discussed with the City to get
their buy -in before we start the Feasibility Study process.
• Preparation of the Preliminary Feasibility Study including street layouts, maintenance and
drainage impacts, cost estimates, and cost/benefit analysis.
Task 3 Final Feasibility Study
• The JMCZ team shall meet with the City to review the decision matrix and preliminary
findings to rank the three (3) design concepts.
• Renderings for the top two (2) design concepts shall be developed on 11x17 sheets.

The JMCZ team will prepare colorful and easy to understand presentation materials,
agendas, minutes, and schedules, as warranted.
The goal of all project meetings is to ensure the project is meeting the public's goals while
complying to all necessary design standards and staying within the City's budget and
schedule.
JMCZ shall participate in City Council and City Committee meetings, as requested (2
budgeted).
Uniquely Qualified
No other company is led by John Cruikshank who not only has successfully run JMCZ since 1996,
but he is currently a City Councilmember in Rancho Palos Verdes. Because of his public service,
he understands the demands put upon a public works department, a City Manager, engineering,
and City Councilmembers. Most Public Works projects are planned well in advance, but there
are projects that arise without warning (e.g., water line break, sewer system backup, etc.). When
City staff needs help, then they need to have reliable consultants. Mr. Cruikshank and his
engineering team understand this and will be ready to perform throughout the project duration

many management, design, and professional skills will be available throughout this
contract's duration.
• Erich Axsom, SE, is located in our Irvine office and will be our primary Structural Project
Manager. He has nearly thirty years of experience working with public agencies and major
building projects including recent building assessment projects for the City of Irvine and
the Valley Transportation Agency (VTA).
• Ariel Cenizal, PE, and Josimar Ortiz are experienced design engineers using AutoCAD
Civil3D. They will be assigned to El Segundo project assignments depending on availability
and task requirements.

• JMCz's structural team has six employees including two licensed CA Professional
Engineers. They are available for any structural engineering project tasks. Dorothy
Chung, PE, and Xitong (Tony) Zhu, PE, can perform as project managers depending on the
District's specific project tasks and their availability but will work as lead design engineers
regardless. We have three experienced CAD professionals who can develop construction
documents for all structural materials.
JMC2 will perform 100% on every task that the City of El Segundo entrusts us with as we have
never failed a project. If there is a project that requires more outside resources, then we will
add those resources to our on -call team.

Project manager preparing the plans, specifications, and estimates (PS&E) for a Bike Path phase
2 along eastside of Dominguez Channel from Avalon Blvd to 223rd Street. The proposed 1.7-mile-
long bike path is in the City of Carson (City), along the Dominguez Channel which is maintained
by the Los Angeles County Flood Control District (LACFCD). This task also involved preparation of
CEQA document and Right -of -Way certification. The project is included in both the City's and the
County of Los Angeles' Bicycle Master Plans, which identifies the bike path as an important
transportation and recreational link along the entire length of the Dominguez Channel from the
City of Hawthorne to Pacific Coast Highway.

The project is a recipient of two Urban Greening/Forestry and Water Reclamation Grants from
separate State of California agencies: Natural Resources and Department of Forestry and Fire
Protection (Cal Fire).
Alameda-SR91 Urban Greening and Water Reclamation Project Greening Compton's State Route
91 (Agreement No. U29107-0) at State Route 91 interchange at South Alameda Street and South
Santa Fe Avenue. There are eight (8) sites situated between ramps, Compton Creek, frontage
roads, freeway, streets, and commercial properties. Project includes planting of trees and shrubs,
installing irrigation and bioswales, creating a water retention and filtration system, and installing
interpretive signage.
Greening Compton's State Route 91 (Agreement No. 8GG16423) location between State Route
91 Highway and Artesia Blvd between Central Avenue and Harbor Avenue, project also has eight
(8) separate sites bounded completed by the freeway, frontage roads, and freeway ramps.
Project includes planting of trees and shrubs, installing irrigation and bioswales, creating storm
water filtration systems, and installing Cal Fire and Compton signage.

1891h Street Ped. Bridge

Civil and structural Engineers for the retrofit design of an existing 72-foot-long x 6-foot-wide
pedestrian bridge spanning over the Los Angeles County Flood Control Channel. The walking
surface of the bridge, as well as the guard rail fencing, were both completely removed and
replaced due to significant rust and corrosion. New solar powered lighting was added to the
bridge to properly illuminate the bridge at night.
ADA Curb Ramp Projects on Pacific Coast Highway

The City of Hermosa Beach retained the
services of JMC2 for the design of four (4) ADA
Curb Ramps per the latest Caltrans Standards
on PCH in the City of Hermosa Beach. Their
request was to design the ADA ramps per the
latest Caltrans standards and requirements,
prepare construction plans and specifications,
and rough construction cost estimate at the
beginning of the project and final construction
cost estimate by the completion of Plans and
Specifications.
JMCZ recently completed 100% plan,
specifications, and estimates (PS&E) documents pursuant to Caltrans Encroachment Permit
standards for ADA curb ramp upgrades at 2nd Street, 6t' Street, and 215t Street along Pacific Coast
Highway (Hwy 1) in the City of Hermosa Beach. Work involved extensive coordination with City
and Caltrans officials and mandatory design exception factsheets to obtain Caltrans Design
Standard Exceptions and Encroachment Permits.

As project civil engineers, we were requested to
not only filter storm water within the park but
also to provide filtration for storm water from the
incoming Caballero Creek and abutting City of Los
Angeles' streets prior to release into the LA River.
To accomplish this amount of water filtration,
JMCz has developed a monster bioswale (80' wide
x 300' long) with water pumped to a water
storage cistern (for landscaping) along with a
vortex cleansing system.

GTS led the mobility and parking tasks for this project that aims at revitalizing the Downtown
core. Our scope included parking, active transportation mobility and accessibility, and a
systematic safety analysis report (SSARP). Through the implementation of the safety action plan,
the City will be proactively addressing traffic safety concerns by applying engineering
countermeasures systemically across the study area roadway network.
GTS analyzed SWITRS collision data for the past five years, developing insights, trends, collision
concentrations, and the leading causes of collisions. In addition to helping the City improve the
safety and welfare of its residents, employees and visitors, this Caltrans-funded project
positioned Torrance to be given priority consideration for funding for future HSIP Call for Projects.

As part of the civil design on -call team, GTS provided traffic engineering design services for both
Phase I and Phase II of the City of Carson bicycle design project. GTS services included supporting
the conceptual design elements of the project as well as the design development to produce the
final plans, specifications, and estimates.
GTS carried out the design of signing and striping as well as traffic signal designs and
modifications. The design is per the requirements of the California Manual of Uniform Traffic
Design as well as the Highway Design Manual. The design is geared to address safety, operational,
and accessibility considerations with a special focus on vulnerable modes of transportation.

GTS carried out the alternatives development, traffic analysis and design development for this
City of Santa Monica project that is closing a key bike and pedestrian network gap and serving as
critical linkage between the Michigan Avenue Neighborhood Greenway (MANGo) and Bergamot
Expo Station. The project posed the challenge of designing as closely as possible to Caltrans
Highway Design Manual standards with limited space available for improvements. GTS worked
closely and tirelessly with Caltrans and the City on developing and testing various alternatives
that are acceptable to both agencies. GTS performed the traffic analysis, truck turning analysis,
traffic signal design, signing and striping design, and traffic control plans. GTS also designed the
street lighting and emergency blue light phone services over a 4G network.
Intersection Design Modifications of Figueroa St and Victoria

GTS provided traffic engineering signal upgrade services for the signalized intersection of
Figueroa St and Victoria St / 190th St in the City of Carson. GTS is carried out various safety,
operational, and accessibility upgrades as part of this design. This HSIP-funded project provided
protected left -turn signal phases at all legs of the subject intersection, safety improvements for
road users and pedestrians, and ADA-compliant curb ramp design. The design services included
coordination with the City of Los Angeles (which has shared jurisdiction at the intersection) as well
as with Caltrans for funding administration purposes.

Project Description: Alameda-SR91 Urban Greening and Water Reclamation Project Greening
Compton's State Route 91 at State Route 91 interchange at South Alameda Street and South
Santa Fe Avenue. There are eight (8) sites situated between ramps, Compton Creek, frontage
roads, freeway, streets, and commercial properties. Project includes planting of trees and shrubs,
installing irrigation and bioswales, creating a water retention and filtration system, and installing
interpretive signage.

Cannelton Hydroelectric Project is an 88 MW run -of -the -river hydroelectric power plant

• JMCz can work with GTS, our traffic engineering consultant, to prepare conceptual site
plans then JMCz will develop grading and layout concepts including coordination ADA
compliant sidewalks, smoother street surfacing, and several other criteria as highlighted
in the RFP.
GTS, a specialized traffic engineering and parking analysis firm, will examine the vehicular
and pedestrian traffic circulation patterns. The traffic analysis will be based on available
counts at the City and if such data is not available we will collect pedestrian and vehicular
data during a typical school weekday day at up to two roadway segment (or one
intersection). We also propose to collect parking supply (available spaces) and demand
(occupancy) during a typical 8-hour weekday. The hours will be determined in
collaboration with the City. The data will provide a common ground for benchmarking the
proposed alternatives to current conditions and will assist in stakeholder discussions. GTS
will assess the feasibility of the proposed alternatives along with their likely impacts on
parking and traffic including:
o Comparing current vehicular traffic patterns to proposed alternatives
o Comparing current pedestrian and bicycle patterns to proposed alternatives
o Comparing parking considerations for existing and proposed alternatives
o Identifying the opportunities and constraints associated with the alternatives
• The conceptual plans and alternatives will be shared and discussed with the City to get
their buy -in before we start the Feasibility Study process.
• Preparation of the Preliminary Feasibility Study including street layouts, maintenance and
drainage impacts, cost estimates, and cost/benefit analysis.
Task 3 Final Feasibility Study
• The JMCz team shall meet with the City to review the decision matrix and preliminary

Dear Sir/Madam:
The City of El Segundo (herein after referred to as "City") seeks to enter into a professional
services agreement with a qualified, experienced firm to identify two street improvement design
concepts and determine their feasibility. The design goal is to preserve the large trees on the 500
block of Arena Street and in front of 613 Arena Street while repairing and providing ADA-
compliant sidewalk and repairing curb and paved street sections. The end product will be a
feasibility report and presentation including renderings of, estimated design and construction costs
for, the proposed design concepts.
Proposals shall be submitted by firms that have civil and/or traffic engineering and street
improvement design experience. Interested firms shall have sufficient, readily available resources
in the form of trained personnel, support services, specialized consultants and financial resources
to carry out the work without delay or shortcomings. Examples of previous similar successful
projects should be provided. See Section 4 for the proposal requirements. Please note the insurance
for the RFP requires a Waiver of Subrogation for the Worker's Compensation as a statute
requirement.

SERVICES
1.1 BACKGROUND AND PROJECT DESCRIPTION
Located on the western edge of Los Angeles County, the City of El Segundo is a coastal
community of residential, commercial, and industrial land. The City recognizes its responsibility
to meet the public's needs with long range planning efforts for infrastructure maintenance,
including sidewalks and streets within its boundaries.
On the 500 block of Arena Street, and in front of 613 Arena Street, beautiful City camphor trees
are present which the public would like to preserve. The trees have uplifted adjacent sidewalks,
curbs, and street pavement to the degree that extensive repair is needed. The trees are said to be
sensitive to construction and tend to decline in health if their roots are shaved or cut.
This project's purpose is to identify options for the City to implement repairs and street
improvements with minimal disturbance to the trees, while providing compliant sidewalk and
street facilities for public safety. If standard facilities cannot be provided in the locations where
sidewalk and street exist now, the CONSULTANT will identify any feasible streetscape or other
unique street/sidewalk treatments to preserve the trees and ensure pedestrian safety and, if feasible,
motorist access. The advantages, disadvantages, approximate cost of design and construction, and
the feasibility of each proposed design concept shall be identified. The CONSULTANT shall also
provide a presentation of the study results, including renderings of the concepts, to City Council
at a future Council meeting.

1.2-2 Reports, Deliverable Documents, and Estimates (Design concepts for the project areas)
Deliverable documents shall be prepared in English units and conform to applicable standards.
1.2-3 Conflicts/Design Exceptions
In case of conflict, ambiguities, discrepancies, errors, or omissions, CONSULTANT shall submit
the matter to City for clarification.
1.2-4 Reference Materials
CONSULTANT shall make use of additional reference material as appropriate and cite them
within the final report. CONSULTANT shall also be responsible for ensuring the most recent

version of all reference materials are used, including any addenda and errata. CONSULTANT
shall have knowledge of and utilize all applicable Local, County, State, and Federal ADA laws,
guidelines, procedures, templates, rules, and resources in the development of this street
improvement feasibility study.
SECTION 2: GENERAL CONDITIONS AND REQUIREMENTS
2.1 OBJECTIVES AND SCOPE OF WORK
Upon acceptance of the successful response to this RFP the selected firm will utilize this RFP as
part of the contract entered with the City. The selected firm will be expected to perform all analyses
necessary to complete the scope of work, including but not limited to:
Identifying any existing obstacles/barriers limiting accessibility in the study areas and
providing concepts that will comply with ADA accessibility requirements
Identifying three creative design concepts that allow for pedestrian walkways, vehicle
right-of-way, if feasible, and minimize disturbance to the trees or their roots and protect
them in place.
Identifying advantages and disadvantages of the proposed design concepts
Identifying design and construction cost estimates of each concept
Providing recommendations for prioritizing, budgeting, and implementing the design
concepts
6. Preparing the 500 block and 613 Arena Street Improvement Feasibility Study
7. Preparing a presentation for City Council
2.1-1 CONSULTANT shall be responsible for the accuracy and completeness of the reports,
estimates, and related material prepared for the project. The minimum criteria for acceptance shall
be a product of neat appearance that is well organized, technically and grammatically correct, and
thoroughly checked. Reports shall be submitted in draft as scheduled, and the opportunity provided
for the City to direct revisions, prior to final submission. The page identifying preparers of the
report shall bear the title and signature of the engineer(s) or professional(s) responsible for their
preparation.
2.1-3 The CONSULTANT shall maintain a set of project files that are indexed in accordance with
a filing system approved by the City. At the completion of this Scope of Work, all files and
correspondence relating to the Project shall be turned over to the City, including all working data,
field data, and background information used in creating the deliverables identified in the Scope of
Work. CONSULTANT shall submit all final documents on a USB flash drive using original
Microsoft Office software or CAD file as applicable, as well as submit copies using PDF file
format as required by the City.
2.1-4 CONSULTANT shall assist in understanding contract objectives and requirements,
CONSULTANT will provide a schedule and hold regular meetings with the City to discuss work
objectives, CONSULTANT's work schedule, contract terms and other related issues. In addition,
the meetings will serve as a forum for resolving any issues related to the report development.
2.1-5 Throughout the project, CONSULTANT will consider least -cost alternatives analysis for

implementing repairs and barrier removals while protecting trees, where appropriate and feasible.
2.1-6 City Project Manager will administer CONSULTANT contract and provide general direction
to CONSULTANT.
SECTION 3: STATEMENT OF WORK
The project Statement of Work is outlined below. Although it contains the basic activities
envisioned for the project, other significant issues deemed necessary should be addressed.
SCHEDULE
Within one (1) week after the City's Notice to Proceed, the Consultant shall meet with the City
staff to initiate the Project and conduct the Project Kick -Off Meeting with key Consultant
personnel. The purpose of this meeting will be to establish clear lines of communication, and to
review and revise, if needed, the proposed project schedules and scopes, establish general
guidelines, discuss project parameters and constraints, and obtain background data.
It is very important that the Consultant strictly adheres to the time schedule for this project and
ensures a timely completion. The work shall commence on date specified in the Notice to Proceed
to be issued to said Consultant by City and shall be completed within 60 working days after the
date of commencement.
3.1 TASK 1— PRELIMINARY ANALYSIS
1. Prepare a detailed work program and schedule for all tasks to be undertaken, including key
decision points, meetings, submittals, reviews and project deliveries.
2. Prepare a plan for participation of property owners and city staff in addition to any other
intended parties identified by the City or consultant.
a. Meet with, and solicit feedback from, the following groups:
i. 500 and 600 Block Arena Street property owners and residents, and El
Segundo Unified School District representatives.
ii. Fire Department, Police Department, Public Works Department Street
Maintenance and Park Maintenance Divisions, and Community Services
Department representatives
iii. Traffic and Safety Committee members
3. Evaluate the goals required in the project areas and assess what creative design concepts
are available. The emphasis is to promote a walkable, drive -able residential neighborhood
that preserves and protects the existing trees.
4. Compile and review existing data, consisting of site plan maps, engineering drawings, and
utility information to assist in the review of the area's image and identify any issues to be
addressed in project design concepts.
5. Ensure the design concepts will be compatible with all required ADA-compliance and
applicable design standards.

3.2 TASK 2 — PROVIDE STREET IMPROVEMENT DESIGN CONCEPTS AND
PRELIMINARY FEASIBILITY STUDY
Preparation of a feasibility study that provides two (2) preliminary street improvement design
concepts which include, but are not limited to, the following criteria:
1. Minimal disturbance to and protection of the existing Camphor trees
2. Vehicular traffic and pedestrian circulation patterns
3. Evaluation of any changes to intersecting streets, alleys, sidewalks
4. Public directional and/or informational signage
5. Opportunities for street furnishings and plantings
6. On -street and vicinity off-street parking configurations
7. Evaluation of sustainability and long-term maintenance and drainage issues.
8. Visual impacts
9. Land ownership considerations (including long-term easement agreements)
10. Concept recommendations
11. Concept design and construction cost estimates
12. Concept design and construction implementation schedules
13. Summary of benefits and obstacles, advantages and disadvantages for each concept
As part of the feasibility analysis, the Consultant shall develop a concept consideration decision
matrix for evaluating each design alternative. The Consultant shall submit to the City a DRAFT
Feasibility Study report with preliminary recommendations for City staff to review prior to
preparing a FINAL Feasibility Study report.
3.3 TASK 3 — FINAL FEASIBILITY STUDY AND CITY COUNCIL PRESENTATION
Consultant shall then meet with City staff to review the decision matrix and preliminary
recommendations, and to develop a FINAL feasibility study report which ranks the three design
concepts.
The Consultant shall develop renderings for the two (2) design concepts as part of the FINAL
Feasibility Study report. The purpose of each design concept is to prepare the City to pursue final
design services following the completion of work. Consultant shall develop and confirm design
parameters with the City. Design renderings and details should reflect up to a 5% conceptual design
level of effort on 11"x17" sheets.
Consultant shall present to the City the FINAL Feasibility Study report. The FINAL Feasibility
Study report should include the following structure at a minimum:
• Executive summary
• Descriptive overview of each design concept
• Design concept consideration decision matrix
• Design concept selection process and evaluation criteria
• Land ownership consideration
• Design, construction and annualized costs, included maintenance expenses
• Conclusions and design concept rankings summary
• Renderings of each design concept at minimum in an appendix

Consultant shall present the study findings and the proposed design concepts to either City of El
Segundo City Council or the CIPAC Committee at a future meeting for their review and potential
approval of a design concept.
SECTION 4: PROPOSAL REQUIREMENTS
The proposal shall be prepared in no smaller than 11-point font and not exceed 30 pages (15
double -sided) in length. Covers, dividers, table of contents, cover letter, resumes (no more than
three pages for each team member) are not included in the page count. The following shall be
included in the proposal:
1. Consultant's understanding of the scope of work and a description of its project approach
with specific milestones and deliverables as outlined in this RFP.
2. Consultant's qualifications and experience within the last five (5) years as the prime
Consultant of record completing a minimum of five (5) successfully realized
tasks/services of a similar nature and scope with names and current telephone numbers of
references that can be contacted.
3. Consultant's project team, including name of project manager, key staff members,
organizational chart, and Sub -consultants (if any) to be retained by the Consultant.
4. Scope of services to be provided with a breakdown of different tasks. The scope of work
and statement of work defined in this RFP, including any sub -consultant work, shall at
minimum be referenced as included in the scope of services.
5. Consultant's estimated fee for services to be provided as described in the scope of work
and statement of work. Consultant fee will not be used as the sole basis for the selection;
however, it will be a factor for consideration.
6. A statement that Consultant is agreeable to execute the enclosed City -Consultant
agreement, to provide proof of insurance as noted in the agreement and to obtain and
maintain a City Business License for the duration of the Consultant services.

SECTION 5: SELECTION PROCESS
City staff will conduct the qualifications -based review of all received proposals, and then factor in
the fee to produce a ranking list. Proposals will be evaluated based on the following criteria:
• Responsiveness and completeness of the proposal (10%).
• CONSULTANT team qualifications and overall experience (30%).
o Experience and success in working with municipalities and public interest groups in
building project consensus
o Experience with designing similar street improvement projects, particularly those
that have been implemented. Design creativity and feasibility
o Technical expertise, experience, and availability of personnel assigned to the project
o Ability to produce reliable design and construction estimates
• Issues and challenges (20%).
• Understanding and Approach (30%)
• Results of reference checks (10%).
• Cost Proposal. Firms will be ranked based upon qualifications and receive a score out of
the 100 available points. Then the cost proposals will be opened for the top ranked firms
(the City reserves the right to open as many as desired and return other lower -ranked firms'
cost proposals unopened) to check if they are complied with market price or otherwise
reasonable. The City reserves the right to negotiate with the CONSULTANT if the City
feels the rates are above market price or the proposal contains unreasonably high cost items.
RESERVATION OF RIGHTS
This Request for Proposals is a solicitation and not an offer to contract. The City reserves
the right to reject any and all proposals. The City further reserves the right to issue clarifications
and other directives concerning this RFP, to require clarification or further information with
respect to any proposal received, and to determine the final terms of any contract. Interviews may
be required by the City with selected consultants to clarify consultant proposals and to allow for
contract negotiations. Acceptance of any proposal will be based upon factors including, but not
limited to: approach and understanding; proposed work program; cost for services; completeness
of proposal; thoroughness of information provided; and team qualifications.
The top -rated consultants may be requested to interview with several members of City staff, who
will make the final selection. Oral interviews, if held, will be scheduled in October 2021.
