SEVENTH AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT NO. 3881
BETWEEN THE CITY OF EL SEGUNDO AND
ALL CITY MANAGEMENT SERVICES, INC.
THIS SEVENTH AMENDMENT ("Amendment's is made and entered into this 1st day of
September, 2021, by and between the CITY OF EL SEGUNDO, a general law city and municipal
corporation existing under the laws of California ("CITY"), and ALL CITY MANAGEMENT,
INC., a California corporation ("CONSULTANT"). The parties agree as follows:
I. Pursuant to Section 35 of Agreement No. 3881 ("Agreement"), the term of the
Agreement described in Section 8 is extended to June 30, 2022.
2. Section 1 (C) is amended to read as follows:
"As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed
One hundred thirty thousand, nine hundred fifty dollars ($130,950.00) for
CONSULTANT'S services through June 30, 2022. CITY may modify this amount as
set forth below. Unless otherwise specified by writing agreement to this agreement,
CITY will pay this sum based on the hourly rates specified in the attached Exhibit "A",
which is incorporated by reference."
3, This Amendment may be executed in any number of counterparts, each of which will be
an original, but all of which together constitutes one instrument executed on the same
date.
4. Except as modified by this Amendment, all other terms and conditions of Agreement
No. 3881 will remain the same.

Dear Mr. Lillio,
It is once again the time of the year when many agencies are formulating their budgets for the coming
fiscal year. Toward that end, please allow this letter to serve as confirmation of our interest in
extending our agreement for providing School Crossing Guard Services through the 2021-2022 fiscal
year.
As you may know the California mandated minimum wage increases continue to drive pricing.
Effective, January 1, 2021 minimum wages increased $1.00 and effective January 1, 2022 they will
increase another $1.00. For each dollar of wages paid there is approximately .35 cents in variable cost
associated with the wages, this includes Employer Taxes, Work Comp Insurance and Liability
Insurance.
To keep pace with these mandated increases we must request an increase in your billing rate from
$22.59 to $24.25 for the 2021-2022 fiscal year. To facilitate the calculation of the annual program cost
we have developed and included with this letter a Client Worksheet. This Worksheet is our best
estimation of the hours and cost of your program based on the current schedules and the proposed
price increase.
While we remain committed to providing a safe, cost-effective and professional School Crossing
Guard Program we hope you will find this new pricing acceptable. If you have any questions or need
