FIRST AMENDMENT TO AGREEMENT NO. 5947
BETWEEN THE CITY OF EL SEGUNDO AND
VALLEY MAINTENANCE CORP.
FOR COVID-19 EMERGENCY RESPONSE SERVICES
THIS FIRST AMENDMENT ("'Amendment") is made and entered into this 15th day of
September, 2020, by and between the CITY OF EL SEGUNDO, a general law city and
municipal corporation existing under the laws of California ("CITY"'), and VALLEY
MAINTENANCE CORP., a California Corporation ("CONTRACTOR"). This Amendment is
based on the following facts:
A. The CITY has retained CONTRACTOR to provide building maintenance and
custodial services.
B. On March 4, 2020, Governor Newsom proclaimed a statewide emergency because of
COVID-19; on March 11, 2020, the World Health Organization declared COVID-19
to be a pandemic; on March 13, 2020, President Trump declared a National
Emergency; on March 16, 2020, the City of El Segundo declared a local emergency
(ratified by the El Segundo City Council on March 17, 2020).
C. The CITY desires to retain CONTRACTOR to provide additional custodial services
related solely to the CITY's response to the COVID-19 emergency. In particular, the
additional custodial services, such as additional cleaning and disinfecting of
frequently touched surfaces, such as toilets, sinks, water fountains, counters and
doors, are an integral part of'the CITY's re -opening of CITY facilities to the public.
CONTRACTOR has provided the attached rate sheet, Exhibit "C," with rates
comparable to those in the CITY's existing agreement with CONTRACTOR.
NOW, THEREFORE, the parties agree as follows:
1. The parties desire to amend CONTRACTOR's Scope of Services. In addition to the
amount set forth in Section I (C) of'the: Agreement No. 5947, the CITY agrees to pay
CONTRACTOR an additional sun for CONTRACTOR's services, at the rates
specified in the attached Exhibit "C," which is incorporated by reference. In
particular, the CITY agrees to pay CONTRACTOR an additional sum of $9,450
monthly or $113,400 annually for the duration of the local emergency in exchange for
CONTRACTOR's provision of additional services (additional cleaning pertaining to
COVID-19).

The total amount of the Agreement not to exceed $1,803,566.
2. CITY and CONTRACTOR intend for this Amendment to take effect on October 1,
2020.
3. This Amendment may be executed in any number or counterparts, each of which Will
be an original, but all of which together constitutes one instrument executed on the
same date.
4. Except as modified by this Amendment, all other terms and conditions of Agreement
No. 5947, as amended, remain the same.

Re: NOTICE OF SUSPENSION OF ADDITIONAL CUSTODIAL SERVICES
Dear Mr. Byung,
Please be advised that, effective as of the date of this letter, the City of El Segundo is suspending
the "additional custodial services related ... to the CITY's response to the COVID-19
emergency" described in the First Amendment to Agreement #5947 as the County of Los
Angeles Health Order no longer requires this type of service. Under Section 7 of Agreement
#5947, the City may terminate the Agreement, as amended, at any time. Rather than terminate
the First Amendment to the Agreement, however, the City would like to suspend the additional
custodial services, in the event such services are required again. Should the additional custodial
services l COVID cleaning be required in the future, the City will notify Valley Maintenance
Corp. in writing with a notice to proceed. Effective immediately, please cease performing
any of the additional custodial services described in the First Amendment to the
Agreement. The City will not be obligated to compensate Valley Maintenance Corp. for any
such services performed after the date of this letter.
Please also note that this letter does not relate to, and should not affect, the services Valley
Maintenance Corp. is providing under the original Agreement.
The City thanks Valley Maintenance Corp. for providing the additional custodial services and
appreciates your prompt attention in this matter. Should you have any questions or concerns
