This AGREEMENT is entered into this 22"d day of June, 2021, by and between the CITY
OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and JMDiaz, Inc.
("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION„
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by the
terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed Fifty Thousand dollars ($50,000) annually in each fiscal year for
CONSULTANT's services. CITY may modify this amount as set forth below.
Unless otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit "A," which is incorporated by
reference.
2. SCOPE OF SERVICES,
A. CONSULTANT will perform services listed in the attached Exhibit "A," which is
incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except
as herein otherwise expressly specified to be furnished by CITY, necessary or
proper to perform and complete the work and provide the professional services
required of CONSULTANT by this Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use
the appropriate generally accepted professional standards of practice existing at the time of
performance utilized by persons engaged in providing similar services. CITY will continuously
monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and
CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to
CITY's satisfaction. Costs associated with curing the deficiencies will be borne by
CONSULTANT.

4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly
rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A") the
tasks performed, the percentage of the task completed during the billing period, the cumulative
percentage completed for each task, the total cost of that work during the preceding billing
month and a cumulative cash flow curve showing projected and actual expenditures versus time
to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for
current services are within the current budget and within an available, unexhausted and
unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient
funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will
cover only those costs incurred up to the conclusion of the current fiscal year.
6. ADDITIONAL WORK. N/A.
7. FAMILIARITY WITH WORK. By executing this Agreement, CONSULTANT agrees that it
has:
A. Carefully investigated and considered the scope of services to be performed;
B. Carefully considered how the services should be performed; and
C. Understands the facilities, difficulties, and restrictions attending performance of
the services under this Agreement.
If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will
investigate the site and is or will be fully acquainted with the conditions there existing, before
commencing the services hereunder. Should CONSULTANT discover any latent or unknown
conditions that may materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk
until written instructions are received from CITY.
8. TERM. The term of this Agreement will be from July 1, 2021 to June 30, 2024, unless
otherwise terminated pursuant to Section 15.
9. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under Section 23
of this Agreement; and
CITY gives CONSULTANT a written notice to proceed,
B. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement
supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved
in the order in which the Exhibits appear below:

A. Exhibit A: Scope of Work and Fee Proposal
11. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain
during the term of this Agreement, all necessary permits, licenses, and certificates that may be
required in connection with the performance of services under this Agreement.
14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause.
B. CONSULTANT may terminate this Agreement at any time upon thirty days'
written notice.
C. Upon receiving a termination notice, CONSULTANT will immediately cease
performance under this Agreement unless otherwise provided in the termination
notice. Except as otherwise provided in the termination notice, any additional
work performed by CONSULTANT after receiving a termination notice will be
performed at CONSULTANT's own cost; CITY will not be obligated to
compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination, not to
exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.

16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's
property. CONSULTANT may retain copies of said documents and materials as desired but will
deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of
CONSULTANT's completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY's own risk.
17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under
this Agreement, no copies, sketches, or graphs of materials, including graphic art work,
prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or
public CITY without CITY's prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY, unless otherwise provided by written agreement between the parties.
18. INDEMNIFICATION. This Agreement contemplates that CONSULTANT will act both as a
design professional (as defined by Civil Code § 2782.8) and for other management services.
Accordingly, CONSULTANT agrees to provide indemnification as follows:
A. CONSULTANT must save harmless, indemnify and defend CITY and all its
officers, employees and representatives from and against any and all suits,
actions, or claims, of any character whatever, brought for, or on account of,
any injuries or damages sustained by any person or property arising from,
pertaining to, or relating to the negligence, recklessness, or willful
misconduct of CONSULTANT or any of CONSULTANT's officers, agents,
employees, or representatives. CONSULTANT's duty to defend consists of
reimbursement of defense costs incurred by CITY in direct proportion to the
CONSULTANT's proportionate percentage of fault. CONSULTANT's percentage
of fault will be determined, as applicable, by a court of law, jury or arbitrator. In
the event any loss, liability or damage is incurred by way of settlement or
resolution without a court, jury or arbitrator having made a determination of the
CONSULTANT's percentage of fault, the parties agree to mediation to determine
the CONSULTANT's proportionate percentage of fault for purposes of
determining the amount of indemnity and defense cost reimbursement owed to
the CITY; CONSULTANT and CITY must each pay half the mediator's fees.
Notwithstanding the above, in the event one or more defendants to a Claim is
unable to pay its share of defense costs due to bankruptcy or dissolution of the
business, the CONSULTANT must meet and confer with the CITY regarding
unpaid defense costs.
B. Defense For All Non -Design Professional Liabilities. Notwithstanding the
foregoing and without diminishing any rights of the CITY under subsection A, for
any liability, claim, demand, allegation against CITY arising out of, related to, or
pertaining to any act or omission of CONSULTANT, but which is not a design
professional service, CONSULTANT must defend, indemnify, and hold harmless
Indemnitees from and against any and all damages, costs, expenses (including
reasonable attorneys' fees and expert witness fees), judgments, settlements,
and/or arbitration awards, whether for personal or bodily injury, property damage,
or economic injury, to the extent that they arise out of, pertain to, or relate to the
negligence, recklessness, or willful misconduct of the CONSULTANT.

C. For purposes of this section "CITY" includes CITY's officers, officials, employees,
agents, representatives, and certified volunteers.
D. It is expressly understood and agreed that the foregoing provisions are intended
to be as broad and inclusive as is permitted by the law of the State of California
and will survive termination of this Agreement.
The insurance coverage to be maintained by CONSULTANT as required by Section 22, will not
limit the liability of CONSULTANT hereunder. The provisions of this section will survive the
expiration or earlier termination of this Agreement.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will
act as an independent contractor and will have control of all work and the manner in which it is
performed. CONSULTANT will be free to contract for similar service to be performed for other
employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY
and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY
provides for its employees. Any provision in this Agreement that may appear to give CITY the
right to direct CONSULTANT as to the details of doing the work or to exercise a measure of
control over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect
to all services and matters covered under this Agreement. CITY will have free access at all
reasonable times to such records, and the right to examine and audit the same and to make
transcript therefrom, and to inspect all program data, documents, proceedings and activities.
CONSULTANT will retain such financial and program service records for at least three (3) years
after termination or final payment under this Agreement.
22. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times
this Agreement is effective, CONSULTANT will procure and maintain the
following types of insurance with coverage limits complying, at a minimum, with
the limits set forth below:

B. Commercial general liability insurance will meet or exceed the requirements of
ISO-CGL Form No. CG 00 01 11 85 or 88, or equivalent. The amount of

insurance set forth above will be a combined single limit per occurrence for bodily
injury, personal injury, and property damage for the policy coverage. Liability
policies will be endorsed to name CITY, its officials, and employees as
"additional insureds" under said insurance coverage and to state that such
insurance will be deemed "primary" such that any other insurance that may be
carried by CITY will be excess thereto. CITY's additional insured status will
apply with respect to liability and defense of suits arising out of CONSULTANT's
acts or omissions. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except upon thirty
(30) days prior written notice to CITY.
C, Professional liability coverage will be on an "occurrence basis" if such coverage
is available, or on a "claims made" basis if not available. When coverage is
provided on a "claims made basis," CONSULTANT will continue to renew the
insurance for a period of three (3) years after this Agreement expires or is
terminated. Such insurance will have the same coverage and limits as the policy
that was in effect during the term of this Agreement and will cover
CONSULTANT for all claims made by CITY arising out of any errors or omissions
of CONSULTANT, or its officers, employees or agents during the time this
Agreement was in effect.
D, Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY valid Certificates of Insurance evidencing
maintenance of the insurance required under this Agreement, a copy of an
Additional Insured endorsement confirming CITY has been given Insured status
under the CONSULTANT's General Liability policy, and such other evidence of
insurance or copies of policies as may be reasonably required by CITY from time
to time. Insurance must be placed with insurers with a current A.M. Best
Company Rating equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, CITY may obtain such coverage at CONSULTANT's
expense and deduct the cost of such insurance from payments due to
CONSULTANT under this Agreement or terminate pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval
to use any consultants while performing any portion of this Agreement. Such approval must
approve of the proposed consultant and the terms of compensation.
24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on
the project, which will include a schedule update and a short narrative description of progress
during the past month for each major task, a description of the work remaining and a description
of the work to be done before the next schedule update.

25. NOTICES. All communications to either party by the other party will be deemed made when
received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances, notices will be deemed given at the time of
actual delivery. Changes may be made in the names or addresses of persons to whom notices
are to be given by giving notice in the manner prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and
regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee, to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed
to pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally
for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party.
There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's
obligations under this Agreement.
29. INTERPRETATION. This Agreement was

31. ENTIRE AGREEMENT. This Agreement, and its Exhibits, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. This Agreement will bind and inure to the benefit of the
parties to this Agreement and any subsequent successors and assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this
Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a
whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against
either Party.

33. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the
extent necessary in the opinion of the court to render such portion enforceable and, as so
modified, such portion and the balance of this Agreement will continue in full force and effect.
34. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written amendment.
CITY's executive manager, or designee, may execute any such amendment on behalf of CITY.
35. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by
electronic (.pdf) or facsimile transmission. Such electronic or facsimile signature will be treated
in all respects as having the same effect as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, acts of terrorism, war, embargo, government action, civil or military authority, the
natural elements, or other similar causes beyond the Parties' reasonable control, then the
Agreement will immediately terminate without obligation of either party to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents
that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to
perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to
satisfy a public CITY.

SUBJECT: Proposal to Provide On -Call Traffic Engineering Services

JMDiaz, Inc. (JMD), a full -service engineering firm, is pleased to submit this proposal to provide On -Call Traffic
Engineering Services to the City of El Segundo. Our proposal, which remains in effect for 90 days, has been prepared
in accordance with your email request, dated June 7, 2021, and outlines our qualifications in traffic engineering.
We have assembled a comprehensive project team with extensive City of El Segundo knowledge and experience to
assist the City with traffic engineering review, analysis and design services. JMD's objective is to assist the City in
achieving its goals in a timely and responsive manner. Assigned to this important project is one of our most qualified,
experienced, diverse and local Project Managers, Steven Itagaki, PE, TE, PTOE. He has over 30 years of
transportation experience serving numerous agencies by providing expertise in traffic, ITS, civil, rail and transit
engineering. He served as City Traffic Engineer in Industry and South Gate and has conducted analyses and prepared
designs as well as trained agency staff for agencies throughout California. His project experience covers all aspects of
traffic analysis including level of service and warrant analysis as well as traffic design including signing and striping,
traffic signal, traffic control and street lighting design. In addition, he has experience with other related disciplines
including ITS, highway, roadway, rail transit and railroad engineering.
JMD is a multidiscipline engineering firm, based in the City of Industry, which specializes in providing traffic, transit
highway, roadway and rail engineering services to agencies with truckway, freeway, and railroad facilities including:

An experienced on -call engineering consultant to cities,
transit agencies and railroads since 2001 and many
other neighboring agencies, JMD uniquely understands
the City's needs and offers a Project Manager and team
that know the City's objectives and procedures to meet
them. Our team understands the City's needs and offer
a comprehensive understanding of traffic engineering
including related disciplines such as highways,
roadways, railroad and rail transit engineering.
JMD staff has extensive experience developing
transportation related projects throughout Southern
California. Such projects include traffic signal
installation/modification, traffic signal interconnect, street
lighting, signing and striping, worksite traffic control
plans highway, roadway rehabilitation, beautification &
widening requiring roadway improvement, and grade
crossing. In addition, JMD staff have prepared PS&E
packages covering miles of highway/roadway
improvements as well as hundreds of grade crossings in
Southern California for numerous agencies including
cities, Counties, Caltrans, regional transportation
agencies and railroads.
In addition to a comprehensive team, JMD offers a
Project Manager with extensive traffic engineering
knowledge and experience as well as a responsive,
innovative and cost-effective approach customized to
the City's needs.

Approach
JMD's approach is to be Service -Oriented and keep the
City informed throughout the project. We will meet with
City staff early to verify the City's expectations for the
project and our proposed scope, schedule and process.
Our approach to a typical City "On -Call" program is to
meet early with the City staff and other impacted
agencies, if applicable, in order to establish scope,
schedule and process. Once we have prepared the final
scoping documents and are issued a Notice to Proceed,
we will begin the preliminary phase of the project, which
typically consists of research and data collection, utility
identification, coordination and investigation; field
surveying and topographic mapping; identification of
facilities to be modified or replaced; and preparation of
any required design reports and preliminary plans for the
proposed improvements. If right-of-way or easements
are required, a preliminary right-of-way map will be
prepared showing parcels to be acquired and conceptual
modifications to existing property.
JMD will utilize existing information available from
previous studies, reports, investigations and analyses as
a basis to begin any study and/or design work. This
information will be augmented and updated, where
required. Because they are typically on a project
schedule's critical path and may require substantial lead
time, the following tasks will begin immediately upon
receipt of the Notice to Proceed:

JMD will meet with the City's functional unit staff
responsible for review of a specific element of the
conceptual and preliminary plans as we are working on
them. Draft copies of this work will be submitted for
significant work items before the milestone submittal
date with follow-up meetings to solicit input. This early
coordination gives us a clear understanding of what the
functional unit reviewers expect while giving the
reviewers a preview of what will be submitted before the
actual submittal is made.
Design of transportation improvements on existing
facilities in typically urban settings presents some unique
issues and requires experienced design techniques.

minimizing impacts to the roadway user. Specific items
related to typical transportation improvement projects
may include:

facilities to current design standards and that impact
on the project schedule and costs)

Permits and approvals
Typically, City transportation improvement projects are
in urban settings and may involve multi -agency
approvals. This requires planning, communication and
follow through to successfully secure consensus and
process approvals through impacted agencies.
We believe that the success of any project will depend
upon adequately addressing key issues during the
project development process and preparation of the
preliminary and final plans, specifications and estimates
(PS&E) package. Once the preliminary phase work tasks
have been completed, reviewed and approved by the
City, County, Caltrans and any impacted agencies, JMD
will incorporate comments and begin work on the final
phase, which includes the final PS&E. In addition to
providing Geometric Approval Drawings (35%), we
anticipate making two review submittals (65% and 90%
PS&E) and the Final (100%) PS&E package will be
submitted after all reviews and approvals have been
completed.
JMD offers a cost-effective approach and has a
reputation for responsiveness and quality.

requirements for typical projects encountered by local
agencies.
Imiprovements
Phase I ® Design Development
TASK 1-1— PROJECT ADMINISTRATION, MEETING
AND COORDINATION
JMD will meet with City staff and confirm the project
scope, establish key communication personnel, refine
time schedules and finalize design criteria. After review
of the process to be followed, agreement on the design
concept and schedule will be reached. This will avoid
confusion and delay later in the project development
process and facilitate timely review and approval of
submittals.
Meetings between the City and JMD will be held as often
as necessary to keep all parties informed, resolve issues
and successfully complete the project. Written progress
reports will be prepared monthly to assess project
progress, identify issues and outline planned work tasks
and submittals.
We will prepare and obtain approval of Encroachment
Permits from Caltrans for projects located within the
State right-of-way.
TASK 1-2 — RESEARCH/DATA COLLECTIONNTILITY
COORDINATION
JMD will obtain documentation available from the City
and/or County records pertaining to this project. We will
assemble, sort and review existing available information
on the project area, including "as -built" plans, maps,
studies, existing right-of-way and utility information in
order to become familiar with the project, ascertain the
completeness and accuracy of available information and
determine additional information requirements. Field
reviews and survey checks will be made, as necessary,
to verify that existing information is correct.
JMD will coordinate with all utility companies to identify
existing underground and overhead utility lines that may
interfere with the location of traffic signal equipment. For
electrical services, JMD will coordinate with Southern
California Edison or other applicable agencies.
TASK 1-3 - TRAFFIC SIGNAL WARRANTS
Traffic signal warrants will be prepared utilizing current
City standards as well as the California Manual on
Uniform Traffic Control Devices. Accident data and traffic

counts will be conducted at those intersections or
locations selected by the City. The following traffic
counts will be performed:
Manual Counts - Manual counts will be of a 6-hour
duration (3-hour a.m. and 3-hour p.m.), or a 9-hour
duration (3-hour a.m. peak, 3-hour mid -day peak
and 3-hour p.m. peak), tabulated in 15-minute
intervals and will include counts for vehicular (cars
and trucks separated) and pedestrian movements
made.
Machine Counts - Machine counts will provide a
continuous sampling of vehicular traffic on each
intersection approach. Output will provide a count of
these movements in consecutive 15-minute
increments for a typical 24-hour period. Mid -block
counts can also be provided.
TASK 14 — PREEMPTION ANALYSIS
JMD will conduct preemption analysis for proposed
grade crossing improvements in accordance with
railroad standards and requirements. Such analysis will
define railroad preemption needs and equipment
modifications as well as rail crossing improvements at
each grade crossing affected. This includes quiet zone
assessments.
TASK 1-5 — FIELD SURVEYS AND BASE PLANS
Field surveying for the project could consist of the
following:
Each location will be field inventoried. Not only will the
type of controller and operation be observed, but also the
locations of all signal equipment, signing and striping
adjacent to the intersection, right-of-way, curb and
gutter, sidewalk and miscellaneous topographic
features. City and affected agencies will be contacted to
obtain their current timing plans and coordination plans,
if any.
Any recommended additions or deletions to the project
will be developed at this time. A recommendation will be
made regarding improvements necessary to achieve the
City's objectives for the location.
Along with the above -mentioned signal equipment
inventory, a visual inspection of the integrity of the
existing pavement will be performed. The areas where
the pavement needs to be reconstructed/ resurfaced will
be identified. This inventory will also identify potential
utility conflicts.
After determination of the desired objectives for the
signal modification, the City and affected agencies will
be contacted regarding specific equipment requirements

that they have (particularly controllers) and also if they
have committed to signal improvements which would be
implemented within the time frame of the City's project.
Any concurrent projects encountered will be identified.
TASK 1-6 — PROJECT DESIGN 30% CONCEPT (IF
NECESSARY)
Upon completion of the detailed survey and data
collection, JMD will develop a set of detailed
recommendations for each location listed in the
proposal. JMD will also arrange for predesign meetings
with the affected agencies and provide base plans, which
indicate existing conditions at those intersections where
the recommended work requires a traffic signal plan. The
final scope of work will be established at the predesign
meeting.
TASK 11-1- 60%, 90%, AND FINAL (100%) PLANS
After review and approval of the detailed
recommendations, JMD will prepare 80%, 100% and
final construction plans for the proposed improvements.
Plans will comply with standard drawings and
specifications of the City, County, Caltrans and other
agencies, as applicable.
The following outlines the specific details of the traffic
plans:
General: Improvement plans will be prepared using
AutoCAD and furnished on 24" x 36" mylar. The plans
will also include a title sheet which will show a vicinity
map, project map, construction notes and general notes
on the City's standard title sheet format, as well as a
project key map showing locations for the various sheet
numbers. We will prepare 60%, 90% and 100% complete
plans for review and approval by the City. After all City
reviews are completed, comments will be incorporated
and the final plans submitted. Six (3) sets of the PS&E
package will be furnished for each submittal. The final
PS&E package submittal will include original mylars, all
quantity calculations, the utility contact file and the
electronic CAD files on CD.
TASK 11-2 - TRAFFIC SIGNAL PLANS (NEW
INSTALLATION OR MODIFICATION) AND TRAFFIC
SIGNAL INTERCONNECT PLANS
Traffic signal modification plans and detail sheets will be
prepared for the project intersections. The signal
installation plan will show all poles, detectors and
designations, controller equipment, conduit runs, phase
diagram, cameras, and necessary notes and details. The
traffic signal interconnect plan will show fiber optic cable
routing, pull boxes, and conduit size.

Plans will be designed according to the latest edition of
the City's Standard Plans and special provisions along
with the State of California Standard Plans, Standard
Specifications and the California Manual on Uniform
Traffic Control Devices. The plans, including the
controller, controller operation, signal phasing and
detector pattern, shall be in conformance with normal
City methodology. Minor striping modifications required
can be shown on the signal plans. Striping modifications
too complex to be clearly presented on the signal plan,
or extend beyond the reach of the signal plan, will require
a separate signing and striping plan. Traffic signal plans
will be prepared in AutoCAD format.
After completion and approval of the plans, we will
submit a construction estimate to the City. The estimate
will include a total cost of the installation for each
intersection as well as an item -by -item breakdown per
City format.
Along with the original construction contract drawings,
the following items will be submitted for approval:
• Photographs of each intersection quadrant.
• All pertinent design correspondence.
• Any other backup material and calculations to
provide for a complete file on the project.
In addition, traffic signal timing synchronization
simulation can be provided upon request.
TASK 11-3 - SIGNING AND STRIPING PLANS
Signing and striping modification plans will be prepared
at a scale of 1"=40' at locations requested by the City.
This plan will reflect modifications only after they have
been agreed upon with the City. Field information and
measurements necessary to complete the plan will be
performed.
After completion and approval of the plans, we will
submit a construction estimate to the City. The estimate
will include a total cost to complete the plan as designed
as well as an item -by -item breakdown per City format.
TASK 11.4 — TRAFFIC CONTROL PLANS
Traffic control plans will be prepared at a scale of 1 "=40'
at locations requested by the City. This plan will reflect
modifications only after they have been agreed upon with
the City. Field information and measurements necessary
to complete the plan will be performed.
After completion and approval of the plans, we will
submit a construction estimate to the City. The estimate
will include a total cost to complete the plan as designed
as well as an item -by -item breakdown per City format.
TASK 11-5 — GRADE CROSSING PLANS
Grade crossing plans will be prepared at a scale of
1 "=20' at locations requested by the City. This plan will
reflect modifications only after they have been agreed
upon with the City. Field information and measurements
necessary to complete the plan will be performed. Grade
crossing plans will be prepared in accordance with local
railroad (SCRRA/Metrolink, BNSF and UPRR) and
CPUC requirements.
TASKS 11-6 — PRELIMINARYAND FINAL
SPECIFICATIONS AND SPECIAL PROVISIONS
The City of El Segundo, State of California Standard
Specifications and Standard Plans, latest edition, and
California Manual on Uniform Traffic Control Devices
(MUTCD) standards will be used for this project. JMD will
prepare draft and final special provisions to cover items
of work not addressed by these standard specifications
for the PS&E package. Specifications and special
provisions will be provided to the City with the final PS&E
package submittal on CD in MS Word format.
For Federally and State funded projects, JMD will assist
the City in preparing the necessary forms required for
funding, design and construction of the project. Funding
forms, such as those required for Hazard Elimination and
Safety (HES) grants, would be prepared with the
appropriate supporting data in a timely manner to meet
funding deadlines, as appropriate.
In addition, contract specifications for Federally Funded
projects would be customized to include the necessary
forms required for procurement.
TASKS 11-7 - PRELIMINARYAND FINAL
CONSTRUCTION COST ESTIMATES
JMD will prepare preliminary and final construction cost
estimates with quantities and unit prices for the PS&E
package. Preliminary cost estimates will be provided at
the 60%, 90% and 100% submittals, and a final
engineer's estimate will be provided with submittal of the
final approved plans. Back-up of cost estimate
calculations showing quantities per sheet will be
provided to the City for review with each submittal.
TASKS 11-8 — INCORPORATE COMMENTS AND
SUBMIT FINAL PS&E PACKAGE
After incorporating review comments from the second
plan check for the plans, specifications and cost
estimates, JMD will submit sealed original ink on mylar
plan sheets and digital engineering plans and drawings
on CD in AutoCAD; sealed original hard copy and CD in
MS Word of the technical specifications; the utility
response file; and calculations and notes generated by
the project.

TASKS 11-9 — AGENCYAND CAL TRANS
COORDINATION
JMD will coordinate with the City and local agencies to
obtain the approval and signatures of preliminary and
final plans, design documents and permits. All freeway
ramp intersections will be coordinated with Caltrans, and
Permit Engineering Evaluation Reports (PEER) and Fact
Sheets will be prepared as necessary.

JMD will provide traffic impact study reviews submitted
to the City from outside agencies, consulting firms, or
developers. The reviews will follow City -standards,
guidelines, procedures and checklists along with those
developed by JMD. Typical reviews would be conducted
at the draft and final stages. Review comments at each
milestone are provided within two weeks from NTP.
JMD will provide review comments to the City and
possible third parties during each stage and will verify

Management Plan
Our Management Plan consists of three primary
components, namely, People Management, Project
Management, and Quality Management. The first
focuses on leading the team to achieve the desired
project objectives. The latter two consist of using
appropriate project controls to effectively manage the
project deliverables, schedule and budget. A typical
project would be managed in accordance with each
component to meet the City's objectives in a timely
manner. Each one of these components is briefly
discussed below.

through effective planning, staffing, and communication
as discussed below.
Planning
After our kickoff meeting with the City, we will hold an
internal team meeting to discuss the project's objectives,
milestones, staffing needs, schedule, and task
responsibilities. Our goal will be to establish a realistic
plan to meet all project requirements.
Staffing
The JMD Team is committed to delivering quality and
timely services within the City's time and budget goals.
We have added multiple groups of professionals to work
as squads and manage multiple projects conveniently. In
addition, we have provided sufficient resource capacity
to perform the projects or tasks in a timely manner, and
confirm that the key personnel proposed for the project
will be available for the duration of the project. Currently,
our work level is estimated at approximately 50 percent
of capacity and declines to 30 percent over the
anticipated life of this project. Mr. Itagaki, our proposed
Project Manager, is available over 90 percent of his time

During our internal team meeting, we will prepare a team
staffing plan to ensure the right people are available at
the right time for each project or task.
The Project Manager will work closely with each task
leader to develop the proposed submittals in accordance
with the project requirements. Through the use of
telephone conferencing, faxes, and e-mails, the project
team, including our subconsultant(s), will discuss project
issues, progress and reviews on a periodic basis to meet
each project milestone. The ultimate objective is to lead
the team to the desired objectives through effective and
timely communication.
Our Project Manager's experience with the City and staff
augmentation programs confirms that the best way to
minimize delays and address unforeseen problems is to
proactively communicate with the City's Project Manager
(PM) to alert him or her of potential issues. In addition,
often the City PM is so involved on other projects that he
or she may not effectively communicate changes in the
District's position or direction regarding a project. These
situations can be avoided with proper communication
and documentation through meetings, email and
telephone conversation minutes.
Project Management
For the project development work, we propose to use a
Project Management and Control System that we have
used successfully on similar multi -disciplined
transportation infrastructure design projects. The
monitoring and controlling of schedules and budgets will
provide a means to ensure that the proposed work plan
is implemented effectively in an efficient and timely
manner.
The core of JMD's system is a monthly Project
Management Report comprised of two sections:
Design Status Report - Arranged by task, this report
discusses budget and schedule; design problems which
need to be resolved; coordination required between the

project team, the client staff and other agencies; and
actual versus planned progress.
Project Control Report - This is a computerized report
which tracks budget and schedule and is refined and
customized to meet the specific project needs. This
report is issued monthly, but can easily be produced
more often, if required, for more frequent project control.
It is critical that the project management system be
flexible and able to accommodate scheduling
adjustments that may occur. JMD's system requires the
Project Manager to re -plan the project, as necessary, to
reflect an accurate and up-to-date schedule. In the event
of a schedule shift, a recovery plan will be developed and
implemented to either meet the original milestone dates
or other dates mutually agreed to by the City and JMD.
The schedule will provide a tool with which the Project
Manager can closely monitor the scheduled timing of
each task and permit overall management control of the
project.

The monitoring and controlling of project scope,
schedule and cost will provide a means to ensure that
the proposed work plan is implemented in an efficient
and timely manner.
Initially, the scope of work will be carefully negotiated
with the City to ensure that we understand your intent
and expectations for the project. The negotiated scope
will be translated into a written format with identified
budgets, milestones and deliverables. Anticipated
exclusions and items to be provided by the City, Caltrans
and other public agencies will be defined, reviewed and
discussed. A detailed project schedule will be developed
that outlines the significant project milestones and their
estimated completion date based on our experience with
similar projects with local agency oversight and
approval. Control of scope, schedule and cost will be
achieved using the following Project Management
Control System that JMD managers are using
successfully on similar projects. The core of this system
is a monthly Project Management Information System
comprised of the following three elements:

JMD has in-house staff with expertise in Microsoft
Project Planner. A comprehensive project schedule will
be initiated by our Project Manager and will serve as the
controlling document for tracking progress of the work.
This schedule will form the framework for measuring our
actual performance to planned performance and can be
used for periodic updating of the City's work plan and
financial planning. The project team will meet prior to
beginning work on the project to collectively determine
the smaller work tasks required to complete the major
work activities as established in the scope of work. A
sequencing plan of these smaller work tasks, using
precedence format, will be developed which, in turn, will
determine the overall schedule. The series of work tasks
and resulting schedule will be diagrammatically exhibited
as a Critical Path Method (CPM) flow chart. This flow
chart, which high- lights the critical path, will be used to
determine the intermediate project milestones.
Project Control Report
Prior to beginning the project, the Project Manager will
prepare the Project Control Document which defines
major tasks, subtasks, milestone submittals and task
budgets. This information is entered into our centralized
accounting system that will provide the Project Manager
with a weekly report of project budget status based on
weekly time cards and direct expense information. The
Project Manager will estimate project completion weekly
and compare his estimate with the actual project
expenditures to date. This comparison gives him a
"snapshot" project cost evaluation on a weekly basis.
The Project Manager, with assistance from the Project
Engineers and subconsultants, will prepare a monthly
cost -to -complete estimate that is a valuable tool in
keeping the project on budget and validating the Project
Manager's estimate of project progress.

need to be resolved; coordination required between the
project team, City staff and other agencies; and actual

Quality Management
Quality Control/Quality Assurance is a process that
begins with the preparation of the proposal and signing
of the contract. Understanding the City's requirements
and expectations is the first step in providing a quality
project. JMD will follow the City's QA/QC procedures but,
if necessary, may also rely on its own QA/QC procedures
to supplement those by the City.
JMD has developed an office environment and
philosophy which encourage quality. Our quality
assurance program includes preparation of a Quality
Control (QC) Plan for each individual project which
specifies the responsibilities, requirements and

the ASCE publication, "Quality in the Constructed
Product," is flexible, and can be modified to respond to
specific client requirements.

JMD prepared preliminary and final design, of new
commuter bikeways (Class I, II and III) along four streets
in the City of El Segundo. The four priority bikeway
corridors were:

Sepulveda v ve ead Sign Replacement
JMD prepared preliminary and final design for the
installation of new overhead street name signs in the City
of El Segundo. The overhead street name signs were to
replace the name from Sepulveda Boulevard to Pacific
Coast Highway. The sign replacements along Sepulveda
Boulevard involved the preparation of traffic control
plans conforming to Caltrans standards in order to obtain
an encroachment permit. The overhead sign
replacements were performed by City forces. The limits
of the traffic control plans along Sepulveda Boulevard
spanned from Imperial Highway to Rosecrans Avenue
and included the following nine signalized intersections:
