CONTRACT 6044 Professional Services Agreement CLOSEDAgreement No. 6044 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EL SEGUNDO AND GPA CONSULTING This AGREEMENT is entered into this day of °" A 2021, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation ("CITY") and GPA CONSULTING, a California Corporation ("CONSULTANT"). 1. CONSIDERATION. A. As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below; B. As additional consideration, CONSULTANT and CITY agree to abide by the terms and conditions contained in this Agreement; Ca As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed ninety thousand eight hundred twenty dollars ($90,820) for CONSULTANT's services. CITY may modify this amount as set forth below, Unless otherwise specified by written amendment to this Agreement, CITY will pay this sum as specified in the attached Exhibit A ("Revised Proposal for Consulting Services: 1217-1229 E. Mariposa Avenue Project California Environmental Quality Act (CEQA) Compliance", dated December 23, 2020), which is incorporated by reference. 2. SCOPE OF SERVICES. A. CONSULTANT will perform services listed in the attached Exhibit A ("Revised Proposal for Consulting Services: 1217-1229 E. Mariposa Avenue Project California Environmental Quality Act (CEQA) Compliance", dated December 23, 2020), which is incorporated by reference. B. CONSULTANT will, in a professional manner, furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculation, and all other means whatsoever, except as herein otherwise expressly specified to be furnished by CITY, necessary or proper to perform and complete the work and provide the professional services required of CONSULTANT by this Agreement. 3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use the appropriate generally employed professional standards of practice existing at the time of performance utilized by persons engaged in providing similar services in the same vicinity. CITY will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and CONSULTANT will have 15 days after such notification to cure any shortcomings to CITY's satisfaction. Agreement No. 6044 4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement, CONSULTANT must submit a detailed invoice to CITY that lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit A) the tasks performed. If the CITY agrees with all of the information listed in the invoice, CITY will then pay CONSULTANT from the Developer/Applicant account created for the project. In the event that the Developer / Applicant account does not have sufficient funds for payment of CONSULTANT's services, CITY will notify CONSULTANT in writing to suspend any work under this Agreement until the account is replenished by the Developer/Applicant. The CITY is not responsible for the cost of any of CONSULTANT's services after the date of such written notice, unless and until the Developer/Applicant account is replenished with sufficient funds. This Agreement will cover only those costs incurred for which Developer / Applicant funds are available. 5. POLITICAL REFORM ACT. CONSULTANT agrees that it will be considered a public official subject to the Political Reform Act of 1974 for purposes of this Agreement. CONSULTANT agrees and warrants that it has no financial interests which may be materially affected by the project(s) for which it is performing services. Such financial interests may include, without limitation, interests in business entities, real property, or sources of income exceeding $500 received within the past year. CONSULTANT further warrants that, before executing this Agreement, it reviewed the Political Reform Act of 1974 and the Fair Political Practices Commission regulations, including, without limitation, Chapter 7 of Title 2 of the California Administrative Code, Section 18700, et seq., in order to determine whether any conflict of interest would require CONSULTANT to refrain from performing the services or in any way attempting to use its official position to influence the governmental decisions underlying the subject project(s). 6. FAMILIARITY WITH WORK. A. By executing this Agreement, CONSULTANT agrees that it has: Carefully investigated and considered the scope of services to be performed; Carefully considered how the services should be performed; and iii. Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. B. If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. 2 Agreement No. 6044 7. KEY PERSONNEL. A. CONSULTANT's key personnel assigned to perform work under this Agreement and their level of responsibility are as follows but is not limited to: Richard Galvin, Principal -in -Charge George Gorman, Senior Environmental Planner B. In the event CITY objects to the continued involvement with this Agreement by any of the persons listed in this Section, or any other person selected by CONSULTANT to perform services under this AGREEMENT, CONSULTANT agrees that it will replace such persons with individuals that are agreed to by CITY. 8. TERM. The term of this Agreement will start on the Effective Date and end on June 30, 2022. Unless otherwise determined by written amendment between the parties, this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit A, B. Termination as stated in Section 15. 9. TIME FOR PERFORMANCE, A. CONSULTANT will not perform any work under this Agreement until: CONSULTANT furnishes proof of insurance as required under Section 23 of this Agreement; and ii. CITY gives CONSULTANT a written notice to proceed. B. Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. 10. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify the Manager within 48 hours, in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. The Manager will extend the completion time, when appropriate, for the completion of the contracted services. 11. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement takes precedence over the attached Exhibit; this Agreement supersedes any conflicting provisions. 12. CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract 3 Agreement No. 6044 sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties. 13. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 14. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 15. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 16. TERMINATION. A. Except as otherwise provided, CITY may terminate this Agreement at any time with or without cause. B. CONSULTANT may terminate this Agreement at any time with CITY's mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date. C. Upon receiving a termination notice, CONSULTANT will immediately cease performance under this Agreement unless otherwise provided in the termination notice. Except as otherwise provided in the termination notice, any additional work performed by CONSULTANT after receiving a termination notice will be performed at CONSULTANT's own cost; CITY will not be obligated to compensate CONSULTANT for such work. D.. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C). E. Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated. 4 Agreement No. 6044 F, By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY's termination under this Section. 17. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT under this Agreement shall become CITY's property, upon CONSULTANT's receipt of full payment for services rendered. CONSULTANT may retain copies of said documents and materials as desired but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 18. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY's prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties. 19. INDEMNIFICATION. A. CONSULTANT agrees to the following: Indemnification for Professional Services. CONSULTANT will save harmless and indemnify and at CITY's request reimburse defense costs for CITY and all its officers, volunteers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property resulting or arising from any negligent or wrongful act, error or omission by CONSULTANT or any of CONSULTANT's officers, agents, employees, or representatives, in the performance of this Agreement, except for such loss or damage arising from CITY's sole negligence or willful misconduct. Indemnification for other Damages. For claims arising out of the performance of non-professional services only, CONSULTANT indemnifies and holds CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney's fees), injuries, or liability, arising out of this Agreement, or its performance, except for such loss or damage arising from CITY's sole negligence or willful misconduct. For claims arising out of the performance of non-professional services only, should CITY be named in any such suit, or should any claim be brought against it by suit or otherwise, arising out of this Agreement, or its performance, CONSULTANT will defend CITY (at CITY's request) and will indemnify CITY for any 5 Agreement No. 6044 judgment rendered against it or any sums paid out in settlement or otherwise. B. For purposes of this section "CITY" includes CITY's officers, officials, employees, agents, representatives, and certified volunteers. C. It is expressly understood and agreed that the foregoing provisions will survive termination of this Agreement. D. The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 22, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification. 20. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 21. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which it is performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. 22. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least 3 years after termination or final payment under this Agreement. 23. INSURANCE. A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below: Typeof Insurance Limits Commercial general liability; $2,000,000 2 Agreement No. 6044 Professional Liability Business automobile liability Workers compensation $1, 000, 000 $1, 000, 000 Statutory requirement B. Commercial general liability insurance will meet or exceed the requirements of the most recent ISO-CGL Form. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as "additional insureds" under said insurance coverage and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by CITY will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or equivalent. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon 30 days prior written notice to CITY. C. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to renew the insurance for a period of 3 years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. D, Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto). E. CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of "A:VII." F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT's expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to Section 05. 24. USE OF SUBCONTRACTORS. Unless otherwise referenced in this Agreement, CONSULTANT must obtain CITY's prior written approval to use any sub -consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation. 7 Agreement No. 6044 25. INCIDENTAL TASKS. CONSULTANT will meet with CITY regularly to provide the status on the project, which will include a schedule update and a short narrative description of progress for each major task, a description of the work remaining and a description of the work to be done before the next schedule update. 26. NOTICES. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 27. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and regulations including, without limitation, CITY's conflict of interest regulations. 28. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability. 29. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's obligations under this Agreement. 30. INTERPRETATION. This Agreement was drafted in and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County. Agreement No. 6044 31. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and local laws applicable to this Agreement. 32. ENTIRE AGREEMENT. This Agreement, and its Exhibit, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 33. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 34. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 35. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. 36. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this Agreement, agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by electronic (pdf) or facsimile transmission. Such electronic or facsimile signature will be treated in all respects as having the same effect as an original signature. 37. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 38. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this Agreement. However, CITY recognizes that CONSULTANT's work must be governed by sound professional practices. 39. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, acts of terrorism, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' reasonable control, then the Agreement will immediately terminate without obligation of either party to the other. 40. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service 9 Agreement No. 6044 experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY. Mariposa Avenue Project California Environmental Quality Act (CEQA) Compliance Dear Mr. Schonborn: GPA Consulting (GPA) is pleased to submit this revised proposal to the City of El Segundo to prepare and process environmental compliance studies in accordance with the California Environmental Quality Act (CEQA) for the proposed 1217-1229 E. Mariposa Avenue Project. It is our understanding that the proposed project involves the removal of five single-family residential units and the development of fifteen (15) residential units. The subject site is located in the Single -Family Residential Zone (R-1) and would require a General Plan Amendment Zone Change and Subdivision. The Amendment would change the land use designation to Multi -Family and Zoning to Multi -Family Residential (R-3). Our team is led by Mr. Richard Galvin, who is the Vice President and Principal Environmental Planner for GPA. Mr. Galvin will serve as the Principal -in -Charge for this assignment and has over 25 years' experience in CEQA compliance throughout Southern California. He isjoined by Mr. George Gorman, JD who is a Senior Environmental Planner/Project Manager with GPA. Mr. Gorman has over ten years' experience in environmental planning and policy and will be responsible for the day-to-day management of this contract. The GPA environmental review team is well versed in CEQA analysis practices and is further supported by our subconsultant team that includes Ganddini Group for traffic, air quality, greenhouse gas emissions, and noise, and Michael Baker International for photometric and shade/shadow analyses. In summary, our approach includes a review sequence, beginning with an accurate project description, an initial screening and review of environmental topic areas, culminating with confirmation of the environmental clearance process. Our scope of work considers the preparation of an Initial Study and CEQA clearance under a Mitigated Negative Declaration. The entire review process will be sensitive to schedule and we will make every effort to maintain a responsive schedule, without compromising the integrity of the review process. GPA is available to initiate work immediately following a written Notice to Proceed from the City. We look forward to the opportunity of working with the City on this project. Mariposa Avenue Project (Project). GPA Consulting will serve as the prime consultant for this assignment and will work closely with City staff, from contract execution and project inception, through to public hearings and completion of the CEQA process. The environmental documentation will be prepared in accordance with the criteria, standards, and provisions of the CEQA (California Public Resources Code Section 21000 et seq.), CEQA Guidelines (California Code of Regulations, Title 14, Section 15000 et seq.), the City of El Segundo's CEQA Guidelines, and the regulations, requirements, and procedures of any other responsible Public Agency with jurisdiction by law. Each of the environmental issues is approached thoroughly in order to fully assess all potential impacts, establish thresholds of significance, and identify mitigation measures forthis work program. Our familiarity with environmental issues associated with similar mixed use developments, coupled with prior environmental review experience throughout Southern California, are key assets that we offer in order to complete the Project's environmental review and clearance. APF1RC)A C GPA will serve as an extension of City staff to ensure that the entire CEQA process is conducted in a comprehensive manner and will consider recent CEQA legislation and reviewing agency requirements. Mr. Galvin will serve as the Principal -in -Charge for this assignment and will supervise the environmental review work program. He is joined by Mr. George Gorman, JD, who is a Senior Environmental Planner/Project Manager with GPA. Mr. Gorman will be responsible for the day-to-day management and will be the City's direct point of contact. Mr. Gorman will coordinate the GPA Project Team to ensure a thorough environmental analysis that complies with CEQA requirements. Mr. Galvin and/or Mr. Gorman will also attend scheduled staff meetings and will represent the Project Team at public hearings and make presentations as necessary. The GPA team is further supported by our subconsultant Ganddini Group for traffic, air quality, greenhouse gas emissions, energy, and noise, and Michael Baker International for photometrics and shade/shadow analyses. Our team understands that as the CEQA Lead Agency, the City of El Segundo is responsible for preparing and approving the CEQA document. GPA will work side -by -side will City staff to ensure that the entire CEQA process is conducted in a comprehensive manner and will consider recent CEQA legislation and reviewing agency requirements. Our objective is to provide premium service to our clients along with highly accurate technical documentation and impact determinations. As a result, our approach entails an efficient process to ensure that the documents are legally comprehensive, objective, technically accurate, and complete, while maintaining the schedule. Although we anticipate a smooth and seamless process, we also understand that projects have their challenges and issues sometimes arise. Working closely with City staff throughout the project will ensure early identification and resolution of critical issues. Our approach is designed for consistent and regular interaction and communication between City staff, the GPA team, and other interested/responsible governmental agencies and parties, allowing for frequent exchange of information without loss of time or resources, and GPA will provide all parties with advance input on any issues that may arise. Early and consistent coordination with the City's Project Manager and between team 1217 "I l2`J I� Nai pr>sa CON 5U L T I NG Agreement No. 6044 members maintains the flow of data to satisfy needs, allows for timely response to any issues, and ensures the work program stays on track. In order to maintain the project schedule, GPA recommends the following considerations: • We recommend biweekly conference calls during the initial stages of the work program to ensure continued progress and understanding of current work efforts and information needs. • Upon receipt of confirmation of having complete and current project information, GPA will draft a project description for submittal to City staff for review. We recommend receipt of project information, including any background environmental documents, at the time of or prior to Notice to Proceed. This will allow initiation of the work program without any delay. GPA will begin to draft a project description and identify any information needs prior to the Project Kick-off Meeting. Upon receipt of comments on the draft project description, a conference call (or Project Kick-off Meeting) can be held to discuss modifications to the project description and reach agreement on the final project description. This finalized project description will serve as the basis for the technical and environmental analysis. It is assumed that the project description will not require further modifications. Following the completion and confirmation of the project description, GPA will proceed with preparation of an Initial Study pursuant to Appendix G of the CEQA Guidelines. The Initial Study review will include screening and threshold review for each topical area in order to confirm and proceed with the CEQA clearance review. With the completion of the Initial Study review, a meeting will be scheduled to review the CEQA clearance conclusions. Our scope of work assumes preparation and processing of a Mitigated Negative Declaration (MND). The GPA team will be viewed as an integral component in the project review and will participate in meetings with staff and public hearings, as required by the City. The GPA team will have the responsibility of assisting the City during the public meetings, as well as participating in the public participation program for the environmental review, including public review meetings and throughout the public hearing process for approval/certification of the CEQA clearance. The GPA team will assist decision makers and the public in understanding the analysis, conclusions of the environmental review, and guide the CEQA process. The GPA Leadership Team has served in this role with a countless number of agencies and with a wide range of projects of great interest to communities. The environmental review process will result in the presentation of pertinent information associated with project impacts and findings to the City decision makers for determination and CEQA certification. 12 i 7 1229 C. The kickoff meeting is a critical component of the Project and will serve to initiate the work program, discuss the project features in greater detail, and confirm the parameters of the analysis, project construction program, buildout conditions, scheduling, and overall communications. Prior to the kick-off, GPA will distribute an agenda and detailed memorandum, which will identify information needs. Following the meeting, meeting minutes and action items will be summarized in a memorandum and distributed to the team. Based upon the detailed project information obtained at the project kick-off, GPA will draft a preliminary project description (Task 1.3) and project schedule for review and approval by City staff. GPA will obtain and review available referenced data for the project, including planning and policy documentation from the City, county, state, and federal agencies, and all other agencies that may be affected by the project. This information, along with environmental data and information available from the City and other nearby jurisdictions, will become part of the environmental documentation's foundation and will be reviewed and incorporated into the analysis, as deemed appropriate. This task includes a visit to the project site and its surroundings, which will include a detailed photographic recording of on- and off - site conditions. The Project Description is a critical element of the MND and establishes the foundation for the technical analysis. The Project Description will detail the Project location and environmental setting, Project characteristics (construction and operation), phasing, discretionary actions, and required permits and approvals based on available information. Exhibits will identify the regional and local site vicinity. Project plans and details, provided by the Applicant, will also be graphically depicted and referenced. The GPA team will submit the Project Description to the City for review and approval. The GPA team has assumed that no modifications to the Project Description will occur after approval by the City. 2,0 (IEi l l I% I I I AL Si I I i` I GPA will prepare an Initial Study in accordance with the CEQA Guidelines. The Initial Study will include detailed explanations of all checklist determinations and discussions of potential environmental impacts. The analysis shall be in accordance with Public Resources Code Section 21080(c) and CEQA Guidelines Section 15070. This section will denote the appropriate CEQA action based upon the Environmental Checklist/Environmental Analysis. The Initial Study report will be presented as follows: The Introduction will cite the provisions of CEQA, the CEQA Guidelines, and the City of El Segundo CEQA Implementation procedures for which the proposed project is subject. This section will identify the purpose of the study and statutory authority as well document scoping procedures, and include a summary of the '12,17 1229 I:, i0ai ilrr3sa /rvea'aur Prsri(:'er:'i: 1 3 CONSULTING Agreement No. 6044 Initial Study format, and a listing of responsible and trustee agencies and documentation incorporated by reference. This section will include a summary page of project information followed by an explanation of factors considered for potential impacts. The Initial Study Checklist will be presented in a four -column layout, identifying: (1) potentially significant impacts, (2) potentially significant impacts unless mitigated, (3) less than significant impacts, and (4) issues resulting in no impacts. GPA will evaluate the necessary information with respect to the existing conditions, the potential adverse effects of project implementation (both individual and cumulative), and measures to mitigate such effects. Environmental issues raised by City staff, agencies and the community, and any other relevant and valid informative sources will also be evaluated. The analyses will be based upon all available data, results from additional research, and an assessment of existing technical data. These analyses will be performed by qualified Environmental Analysts, CEQA experts, and Planners at GPA and from our subconsultant team. The Environmental Analysis section will thoroughly discuss the existing conditions for each environmental issue area and identify short-term construction and long-term operational impacts associated with the project. The impact analysis will be in a consistent order of environmental factors, as presented in the recently updated Appendix G of the CEQA Guidelines (Aesthetics, Agricultural and Forest Resources, Air Quality, etc.). The thresholds for significance shall be identified for every environmental issue. A brief discussion will be provided for all environmental issues determined to be No Impact or Less Than Significant Impact, explaining why these determinations were made and that no further analysis is warranted. The Impact Subsection will provide an analysis of each issue, in the same order as these issues are provided in the Initial Study. A. Aesthetics The project site is located within an urbanized area of the City and development of the project is not anticipated to have a substantial adverse effect on a scenic vista, nor would it damage scenic resources within a state scenic highway. Visual impacts from construction activities will be discussed and evaluated. As the project site is within an urbanized area, the analysis will focus on whether the Project would conflict with applicable policy zoning and other regulations governing scenic quality. Our team will address the potential for significant impacts to be generated by the introduction of light and glare associated with the development of the project. This analysis will include a light and glare impact discussion on any sensitive uses, such as building, landscape, and parking lot lighting, etc. GPA's subconsultant team member, Michael Baker, will prepare a Photometric Analysis Memorandum for the project. This analysis will include a trespass lighting calculation that shows the light level outside of the project boundary down to near zero foot-candles. Michael Baker will overlay the calculations onto an aerial photograph and edit for exhibit format for ease of review. These findings will be documented in a written Memorandum, which will discussthe results of the analysis, including a discussion of the relevant standards and how the project complies or violates those standards, as well as suggestions on how to improve compliance if needed, and include exhibits from the photometric analysis. Michael Baker will also prepare a Shade/Shadow Study for the project. Shading is an important environmental issue because the users or occupants of certain "shadow -sensitive" land uses, such as 1217 1229 I:a Arai it wsa /sire:,roue Pi ojF c[, 1 4 C0 N S U L T I NG Agreement No. 6044 residential, recreational, churches, schools, outdoor restaurants, and pedestrian areas, have expectations for direct sunlight and warmth from the sun. Michael Baker will develop a massing model from electronic plans and elevations provided by the Applicant and prepare shade and shadow drawings for time intervals throughout the day on the summer/winter solstices and vernal/autumnal equinoxes. The analysis will reflect both existing and project buildout conditions. Michael Baker will then create a 3D model of the proposed structures based on drawings and elevations provided by the Applicant. The distance from the project to each use will be identified and any elevation differences between the sensitive use(s) and the project site will be described. A description of the summer and winter solstice, the most extreme conditions at the project site, will be provided. Michael Baker will then prepare a written analysis of the shade and shadow affects, along with supporting graphics addressing potentially significant impacts generated by the proposed project on the surrounding area. B. Agriculture and Forest Resources The project area is not designated for agricultural production; thus, the Initial Study will confirm that there is no effect on farmland and is not subject to a Williamson Act Contract. The project area does not contain forest land; thus, the Initial Study will confirm there is no effect on forest land and will not result in conversion of forest land to another use. C. Air Quality GPA's subconsultant team member, Ganddini Group, will prepare an Air Quality, Global Climate Change (GCC), and Energy Analysis Report, which will be included as an appendix to the Initial Study. The assessment of air quality emissions will be conducted in accordance with the South Coast Air Quality Management District's (SCAQMD's) recommended methodologies set forth by the SCAQMD CEQA Air Quality Handbook. The analysis will be prepared in accordance with the criteria, standards, and provisions of the California Environmental Quality Act (CEQA) and will respond to the applicable checklist items within Appendix G of the CEQA Guidelines. The following outlines the approach: Construction Emissions. Fugitive dust and equipment exhaust emissions from construction activities will be quantitatively evaluated using the California Emissions Estimator Model (CalEEMod). The construction - related air pollutant emissions will be compared to the SCAQMD regional thresholds of significance. Operational Emissions. Operational emissions (i.e., area and mobile sources) will be quantified based on land use and trip generation data and compared to SCAQMD thresholds of significance. Localized Emissions. Modeled emissions will be compared to SCAQMD Localized Significance Thresholds to determine whether localized impacts would occur. Carbon monoxide hotspots will be addressed qualitatively. Additionally, pursuant to recent case law (i.e., Sierra Club v. County of Fresno), Ganddini Group will qualitatively address the project's potential to impact human health. Plan Co sistenc . Project consistency with the SCAQMD's Air Quality Management Plan (AQMP) will be addressed. The determination of AQMP consistency is primarily concerned with the long-term influence of a project on air quality in the Air Basin. D. Biological Resources Given the developed nature of the project area and disturbed nature of the project site, no sensitive biological species or habitat occur on -site; thus, the Initial Study will confirm there is no effect on biological resources. 1217 12 29 II:, 10aI ilKYDa I\1rC 1-1LJO I 0j0C 0 C ON S ULTI MG Agreement No. 6044 E. Cultural and Historical Resources GPA will review all available documents and reports related to cultural and paleontological resources in the project area, including the City of El Segundo General Plan, and other cultural reports prepared for other projects in the project area. The project site consists of one parcel, Assessor Parcel Number 4139-021-019, which is occupied by five single-family residences constructed between 1930 and 1966. As the existing buildings are over 45 years of age, they should be evaluated as potential historical resources as defined by CEQA. Thus, GPA will prepare a Historical Resource Evaluation Report (HRER) for CEQA purposes. The scope of work for the preparation of the HRER follows: Proiect Management. GPA will consult with the City as needed to complete the HRER. All work products will be internally peer reviewed for quality control. No work products will be shared with parties outside of GPA without the express consent of the City. ExistinZ Information. A records search will be conducted at the South Central Coastal Information Center at California State University, Fullerton to confirm that the property (and buildings thereon) is not currently listed under national, state, or local landmark or historic district programs or previously evaluated as eligible for listing in a historic resources survey of the area. Research. General research will be conducted to determine the context(s) in which the property should be evaluated. Property specific research will be conducted to determine the potential significance of the associated individuals such as owners, residents, builders, and architects. Field Survey. A field survey of the property will be conducted to ascertain the physical integrity of the buildings thereon. To be eligible as a historical resource, a property may have been altered from its original design, but it must retain sufficient integrity to convey its significance. Access to the property so all sides of the buildings can be photographed will be pre -arranged with the City. Access to the building interiors is not required. Draft Report. A HRER will be prepared as a Word document. The report will include, but not necessarily limited to: • An executive summary. • An explanation of the methodology and research techniques. • The criteria for determining historic significance and integrity under national, state, and local landmark and historic district programs. • A brief history of the area. • A description and construction history of each building on the property. • An evaluation of property for listing under national, state, and local landmark and historic district programs according to National Park Service, California Office of Historic Preservation, and City of El Segundo standards and guidelines. • The description as well as the evaluation the property will be recorded on state historical resource inventory forms. • Historic documents, photographs, and maps as well as current photographs and maps will be attached. • Final Report —The draft report will be revised based upon one round of comments from the City. The report will be incorporated into the Initial Study in accordance with CEQA and the CEQA Guidelines. Energy GPA's subconsultant team member, Ganddini Group, will prepare an Air Quality, GCC, and Energy Analysis Report, which will be included as an appendix to the Initial Study. The energy analysis will be conducted pursuant to Public Resources Code Section 21100(b)(3) and Appendix F of the CEQA Guidelines, which require, where relevant, an analysis of the wasteful, inefficient, and unnecessary consumption of energy caused by a project. In addition, this analysis will address the CEQA Appendix G checklist items, including a consistency evaluation with the applicable state or local plans for renewable energy or energy efficiency. The analysis will review energy consumption associated with short-term construction activities, long-term operations, buildings, and transportation based on the CalEEMod outputs provided in the Air Quality and Greenhouse Gas Assessment. The assessment of environmental impacts on energy resources will include mitigation measures to reduce inefficient and unnecessary consumption of energy, if necessary. G. Geology/Soils Utilizing existing resources from the City and Project Applicant, the analysis will identify existing regional and local geology and soils constraints (such as compressible soils, landslide hazards, disruptions, displacements, compaction, or over -covering of the soil, and areas subject to subsidence) and seismic hazards. The project will be evaluated for its potential to directly or indirectly cause substantial adverse effects involving fault rupture, strong seismic ground shaking, seismic -related ground failure (i.e., liquefaction), and landslides. This section will also identify recommended mitigation to avoid or reduce potential impacts to the extent feasible, such as erosion control criteria and grading requirements, to ensure consistency with City of El Segundo grading standards/policies. GPA's subconsultant team member, Ganddini Group, will prepare an Air Quality, GCC, and Energy Analysis Report, which will be included as an appendix to the Initial Study. The Greenhouse Gas (GHG) analysis will evaluate the project's potential contribution to the cumulative environmental effects of climate change and whether the project would affect the State's ability to achieve established GHG reduction goals. The analysis will discuss the potential global climate change impacts, the effects of GHG emissions, and history of GHG emissions regulations in California. GHG Emissions Quantification. Ganddini Group will prepare an inventory of the GHG emissions (i.e., nitrous oxide, methane, and carbon dioxide) from direct sources (i.e., construction equipment) during short-term construction activities and from direct sources (i.e., project -generated vehicular traffic, on -site combustion of natural gas, and operation of landscaping equipment) and indirect sources during long-term operations. The emissions inventory will be compiled using CaIEEMod. Emissions Assessment and GHG Reduction Plan Consistency. The City of El Segundo has not adopted a GHG significance threshold. The project -related GHG emissions will be assessed using the SCAQMD draft project - level thresholds and consistency with applicable GHG reduction plans including regional/statewide GHG emissions reduction strategies such as the CARB Scoping Plan and the Regional Transportation Plan/Sustainable Community Strategy for the Southern California Association of Governments region. Mitigation measures will be identified and incorporated, as necessary, to reduce potentially significant GHG impacts of the proposed project. 1217 1229 I!:. GPA will document the existing hazards and hazardous materials conditions within the project area, based on information provided by the Project Applicant, available public records, past documentation, and database search information. A search of the Hazardous Waste and Substances Site List (CORTESE) and GeoTracker indicates the project site is not on a list of hazardous materials sites compiled pursuant to Government Code Section 65962.5. GPA will conduct a site visit to document the existing conditions of the site. It is assumed that the site visit will be limited to areas of accessible public rights -of -way. Visual observations identifying potential environmental concerns, including existing or potential soil and groundwater contamination as evidenced by soil or pavement staining or discoloration; stressed vegetation; indications of waste dumping or burial; pits; ponds; or lagoons; containers of hazardous substances or petroleum products; electrical and hydraulic equipment that may contain Polychlorinated Biphenyls, such as electrical transformers and hydraulic lifts; and underground and aboveground storage tanks, will be performed. GPA will examine the physical characteristics of the property (i.e., apparent runoff directions, location of paved areas, etc.). A preliminary visual examination of immediately adjacent property conditions and their general nature will also be conducted. GPA will utilize the above referenced research to analyze potential project -related impacts, as they pertain to hazards and hazardous materials per the CEQA thresholds of significance. An analysis of the proposed construction activities and operations of the project will be conducted. The handling of hazardous materials in soils and/or groundwater during construction will be considered. Operations of the proposed uses, including operations of storage/handling practices, will be analyzed. Should a potentially significant impact arise, GPA will recommend mitigation measures to reduce these impacts to the extent feasible. Hydrology/Water Quality The Initial Study will review existing and proposed hydrology/drainage and water quality data for the project area based upon available reference documents, including available information from the Project Applicant. As the project site is located within an urbanized area and involves replacement of onsite structures and a surface parking with a mixed -use development, changes in absorption rates, drainage patterns, storm drain improvements, and downstream impacts are not anticipated. The potential for the project to degrade water quality, interfere with groundwater recharge or expose people to water related hazards will be identified. Potential for the proposed project to violate water quality standards or waste discharge requirements will be analyzed. This task specifically excludes any modeling for hydrology or water quality. Land Use and Planning The proposed project will be reviewed in the context of land use plans, policies, and regulations adopted for the purpose of avoiding or mitigating an environmental impact. The potential for the project to conflict with these plans, policies or regulations will be assessed. Potential impacts to mineral resources associated with the proposed project are not anticipated. This discussion will confirm no presence of these resources within the project area. 1217 1229 4:. Ganddini Group will prepare a technical noise analysis to determine project compliance with City noise standards and associated potential noise impacts. The following outlines our approach: Existing,Condit➢ons and Regulatory Settin . Ganddini Group will review noise and land use compatibility criteria for the City. The Safety and Noise Element of the City's General Plan contains noise standards that are correlated with land use zoning classifications, meant to maintain identified ambient noise levels and to limit, mitigate, or eliminate intrusive noise that exceeds the ambient noise levels within a specified zone. Applicable noise standards will be referenced and sensitive receptors in proximity to the site will be identified. A project site visit will include four 15-minute representative noise measurements to document ambient noise levels. Construction Noise.. The construction noise impacts will be evaluated in terms of maximum levels (Lmax) and hourly equivalent continuous noise levels (Leq) and the frequency of occurrence. Noise impacts from construction sources will be analyzed based on the anticipated equipment, construction phase duration, and typical equipment specifications. The analysis will determine if project construction noise would exceed applicable City standards at nearby sensitive receptors. Operational Noise. On -site noise -generating activities will be addressed and analyzed for potential impacts to adjacent uses and will be assessed against the City's Land Use Noise and Compatibility Matrix and Interior/Exterior Noise Guidelines. Traffic noise impacts will be assessed using the U.S. Federal Highway Administration (FHWA) Traffic Noise Prediction Model (FHWA-RD-77-108). N. Population/Housing The project would introduce new residential uses, potentially resulting in a direct increase in population. GPA will provide a project specific analysis of potential growth -inducing impacts pursuant to CEQA Guidelines Section 15126(g). The basis for analysis will be population and housing data from the City of El Segundo, California Department of Finance, and U.S. Census. Growth -inducing impacts are assessed based on the project's consistency with adopted/proposed plans that have addressed growth management from a local and regional standpoint. Potential growth -inducing impacts from the proposed development will be analyzed as they relate to population, housing, and employment factors. • GPA will contact potentially affected agencies to confirm relevant existing conditions, project impacts and recommended mitigation measures. The discussion will focus on the potential alteration of existing facilities, extension or expansion of new facilities, and the increased demand on services based on the proposed land uses. We will evaluate the ability of the project to receive adequate service based on applicable standards and, where adequate services are not available, will identify the effects of inadequate service and recommend mitigation measures. GPA will identify existing facilities and the ability of these facilities to serve the proposed project. Where adequate facilities are not available, we will identify the effects of inadequate facilities and recommended mitigation measures. CONSULTING Agreement No. 6044 Q. Transportation and Traffic GPA's subconsultantteam member, Gan ddini Group, will prepare a Vehicle Miles Traveled (VMT) Screening Memo for the project, which will include the following: w Prepare a background narrative of Senate Bill 743 and guidance for assessing VMT impacts from the Office of Planning and Research (OPR) Technical Advisory on Evaluating Transportation Impacts in CEQA (State of California, 2018) ["OPR Technical Advisory"]. 0 Prepare a VMT screening analysis based on City -established screening criteria. Based on preliminary review, the proposed project is anticipated to satisfy the screening criteria for small projects (less than 110 daily trips); therefore, a detailed (i.e., quantified) VMT analysis is not anticipated to be required. Should the project not be screened from VMT analysis, Ganddini Group will prepare a VMT Report as described in Optional Task 9.2. R. Tribal Cultural Resources Under Assembly Bill (AB) 52, the City of El Segundo, as the Lead Agency, is required to initiate consultation with California Native American tribes that are geographically and culturally affiliated with the project area and have requested notification regarding projects within their jurisdiction. The City has initiated the AB 52 process and is currently preparing consultation letters for one tribe. The City will provide consultation logs, relevant correspondence, and a summary of the project's potential impacts on tribal cultural resources. Mitigation measures, if necessary, will be recommended to reduce impacts. S. Utilities/Service Systems GPA will contact potentially affected agencies to confirm relevant existing conditions, project impacts and recommended mitigation measures. The ability of existing infrastructure to support development will be confirmed in terms of increased demand/generation of utilities, including solid waste, water, and wastewater. The discussion will focus on the potential alteration of existing facilities, extension, or expansion of new facilities and the increased demand on services based on the proposed land uses. T. Wildfires As the Project site is within an urbanized setting and not located in or near state responsibility areas or lands classified as very high fire hazard severity zones, no direct or indirect impact involving wildfires will be noted. U. Mandatory Findings of Significance This section will focus on cumulative effects and considerations. Following the completion of the Initial Study, a meeting will be scheduled with City staff representatives to review the findings of the Initial Study and Determination which will confirm proceeding with a Mitigated Negative Declaration. Volumes shall be developed from historical traffic counts with appropriate adjustments to estimate current year pre -pandemic conditions. Where historical data is not available for a particular study location, Ganddini Group shall obtain new intersection turning movement counts on a typical weekday (Tuesday, Wednesday, or Thursday) during the peak commute periods (7:00 — 9:00 AM and 4:00 — 6:00 PM) and apply an adjustment factor derived from the data at other facilities in the project vicinity. • Analyze study intersection Levels of Service and assess the project impact in accordance with methodologies established by the City of El Segundo for weekday AM and PM peak hour conditions for Existing and Existing Plus Project analysis scenarios. If necessary, identify improvements or measures necessary to maintain established performance standards. • Review project access (including project driveway LOS), on -site circulation, and frontage improvements. • Prepare a technical memorandum that documents the traffic study findings and all supporting calculations. This scope of work includes analysis at up to one (1) study intersection and two (2) analysis scenarios. Should additional study locations or analysis scenarios be identified during the scoping process, a work amendment may be requested. Should quantitative VMT analysis be required, GPA's subconsultant team member, Ganddini Group, will prepare a detailed VMT analysis consisting of the following tasks: Quantify the project VMT impact using the Southern California Association of Governments 2020/2040 RTP travel demand model. Ganddini Group shall coordinate the model request and any necessary updates for the proposed project. Assess the significance of the project VMT impact relative to State recommended thresholds or those established by City of El Segundo at the time of preparation.
