CONTRACT 5270C Amendment CLOSEDAgreement No. 5270C THIRD AMENDMENT TO AGREEMENT NO. 5270 BETWEEN THE CITY OF EL SEGUNDO AND JAGUAR TENNIS ACADEMY, LLC THIS THIRD AMENDMENT ("Amendment") is made and entered into this 29th day of December 2020, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and JAGUAR TENNIS ACADEMY, LLC, a limited liability company ("LICENSEE"). The parties agree as follows: Pursuant to Section 3 of Agreement No. 5270 ("Agreement"), the Agreement is amended to extend the term of the Agreement to December 31. 2021. 2. Pursuant to Section 5 of the Agreement, in exchange for the use of the facilities at Property, LICENSEE agrees to pay CITY a sum $950 per month for use of up to two courts for a total of up to 190 hours of use per month from January 1, 2021 -December 31, 2021 based on the formula set forth in Exhibit A, for the term of this Agreement. Exhibit A is incorporated as if fully set forth herein. For any additional hours beyond those included in the formula in Exhibit A, LICENSEE agrees to pay CITY a sum of $10 per hour for additional use of a third court (if available) or hours after 190 for the month for the term of this Agreement. 3. This Amendment may be executed in any number or counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 4. Except as modified by this Amendment, all other terms and conditions of Agreement No. 5270 remain the same. In December Jaguar Tennis Academy pays $475,00 at the beginning of the month based on 95 total hours per month at $5 per hour (ES Resident/Non-Profit Rate). These hours may be used for tennis instruction only and hours cannot be utilized by other instructors or businesses other than Jaguar Tennis employees. All payments must be made directly to the Recreation Supervisor that is overseeing the Administration Division. -Any hours used over 190 or (95 hours in December) per month will be billed to you at the end of each month at the ES Business rate of $10 per hour. These hours can be used for up to 2 courts at any one time. All payments must be made directly to the Recreation Supervisor that is overseeing the Administration Division. -A 3'd court may be rented at the regular ES Business rate of $10 per hour utilizing regular reservation policy (7 days or less in advance). All payments must be made directly to the Recreation Supervisor that is overseeing the Administration Division. -Jaguar Tennis will be authorized to host up to four tournaments during the year, with at least two months scheduling notice and subject to staff approval. Payment for courts will be a revenue split of the tournament registration fees, in which the City will be paid 20% and Jaguar Tennis will retain 80% of the total revenue. All payments must be made directly to the Recreation Supervisor that is overseeing the Administration Division. -In the event of inclement weather, the City will allow Jaguar Tennis Academy to utilize those missed hours within three months of that date without incurring an additional fee. These hours can be made up during a time when there are not 2 courts already reserved (i.e. — makeup hours cannot be used as an additional 3'd court when you already have 2 reserved). All changes that are to be made need to be made with the Recreation Supervisor that is overseeing the Administration Division. -Jaguar Tennis Academy will receive a color ad of at least 1/8 page in the Recreation and Parks Department's Seasonal Brochure each session. -All reservations and changes to reservations that are to be made by Jaguar Tennis Academy must be sent directly to the Recreation Supervisor overseeing the Administration Division. Changes that take place Monday through Thursday before 5pm must be made at 9pm the night prior to the reservation change. Any changes that take place on after Thursday after 5pm and Monday before 10arn Jaguar Tennis Academy is responsible to reserve and pay the court reservation fees that are associated with those new reservations. These reservations will be counted to toward the monthly hours and 3'd court counts. �1 _...-_,_.. ,._. -Jaguar Tennis Academy understands that this agreement is not an exclusive license agreement, meaning that Jaguar Tennis is not only, "official" City of EI Segundo Contractor providing tennis lessons. The City may offer contracting opportunities to other individuals and/or Department taught classes on tennis courts. Agreement No. 5270C The Los Angeles County Department of Public Health is calling on the public, all business owners and community organizations to support the reopening of businesses and public spaces. To aid in this transition, Public Health asks all tennis operators to take appropriate steps to plan for reopening, in alignment with the Recovery Plan. Before You Play: « At home, Clean racquets; At Courts, use Only Your Racquets « 1-2 bottles of water; no water sharing « Gloves « At home, Wash hands/sanitize « Arrive close to start time with Parent/Guardian, No Earlier than 5 minutes before class « Avoid touching court gates, fences, net poles - Playing: • Physical distancing of 6 feet is maintained at all times • Participants are required to wear face coverings at All times Except During Play • Participants are instructed to bring their own water bottles • Cover your coughs and/or Sneeze into upper sleeve • Avoid touching your mouth, eyes, nose with unwashed hands • Participants will be provided with hand sanitizer/disinfecting wipes to wash and sanitize frequently • Participants will be instructed to use sanitized/cleaned ball tubes to pick up balls • Display signage with Covid-19 Guidelines • All Payments should be made online • Private lessons will follow also physical distancing techniques • Group lessons will have no more than 2 participants per court After Play: • Group gatherings are prohibited • Benches are off limits • Ball mower handles will be sanitized and used by instructor Only • Ball Tubs sanitized after every class • All players should leave the facility immediately after class/play
