PROFESSIONAL SERVICES AGREEMENT

NV5, INC.
This AGREEMENT is made and entered into this 21st day of October, 2020, by
and between the CITY OF EL SEGUNDO, a municipal corporation and general law city
("CITY") and NV5, INC., a California Corporation ("CONSULTANT"). The parties agree
as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed
in the SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by
the terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not
to exceed Ninety -Three Thousand, Four Hundred Sixty -Six Dollars
($93,466.00) which includes the original proposal amount of $84,966.00
as well as a contingency amount, which may or may not be used, of
$8,500.00 for CONSULTANT's services. CITY may modify this amount as
set forth below. Unless otherwise specified by written amendment to this
Agreement, CITY will pay this sum as specified in the attached Exhibit "A,"
which is incorporated by reference.
2. SCOPE OF SERVICES,
A. CONSULTANT will perform services listed in the attached Exhibit "A,"
which is incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies
and materials, equipment, printing, vehicles, transportation, office space
and facilities, and all tests, testing and analyses, calculation, and all other
means whatsoever, except as herein otherwise expressly specified to be
furnished by CITY, necessary or proper to perform and complete the work
and provide the professional services required of CONSULTANT by this
Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at
the time of performance utilized by persons engaged in providing similar services. CITY
will continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of

any deficiencies and CONSULTANT will have fifteen (15) days after such notification to
cure any shortcomings to CITY's satisfaction. Costs associated with curing the
deficiencies will be borne by CONSULTANT.
4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in
Exhibit "A") the tasks performed, the percentage of the task completed during the billing
period, the cumulative percentage completed for each task, the total cost of that work
during the preceding billing month and a cumulative cash flow curve showing projected
and actual expenditures versus time to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT
for current services are within the current budget and within an available, unexhausted
and unencumbered appropriation of the CITY. In the event the CITY has not
appropriated sufficient funds for payment of CONSULTANT services beyond the current
fiscal year, this Agreement will cover only those costs incurred up to the conclusion of
the current fiscal year.
6. FAMILIARITY WITH WORK
A. By executing this Agreement, CONSULTANT agrees that it has:
Carefully investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully
acquainted with the conditions there existing, before commencing the
services hereunder. Should CONSULTANT discover any latent or
unknown conditions that may materially affect the performance of the
services, CONSULTANT will immediately inform CITY of such fact and will
not proceed except at CONSULTANT's own risk until written instructions
are received from CITY.
7. TERM. The term of this Agreement will be from November 30, 2020, to June 30,
2021. Unless otherwise determined by written amendment between the parties, this
Agreement will terminate in the following instances:

B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under
Section 22 of this Agreement; and
ii. CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving
written authorization to proceed, any such professional services are at
CONSULTANT's own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the
contracted services. If delay occurs, CONSULTANT must notify the Manager within
forty-eight (48) hours, in writing, of the cause and the extent of the delay and how such
delay interferes with the Agreement's schedule. The Manager will extend the
completion time, when appropriate, for the completion of the contracted services.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the
main body of this Agreement takes precedence over the attached Exhibits; this
Agreement supersedes any conflicting provisions. Any inconsistency between the
Exhibits will be resolved in the order in which the Exhibits appear below:
A. Exhibit: A: Proposal for Services and Scope of Work
11. CHANGES. CITY may order changes in the services within the general scope of
this Agreement, consisting of additions, deletions, or other revisions, and the contract
sum and the contract time will be adjusted accordingly. All such changes must be
authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY
resulting from changes in the services will be determined in accordance with written
agreement between the parties.
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and
certificates that may be required in connection with the performance of services under
this Agreement.

14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared
by CONSULTANT under this Agreement will not be construed to operate as a waiver of
any rights CITY may have under this Agreement or of any cause of action arising from
CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant,
or condition contained in this Agreement will not be deemed to be a waiver of any
subsequent breach of the same or any other term, covenant, or condition contained in
this Agreement, whether of the same or different character.
15. TERMINATION,.
A. Except as otherwise provided, CITY may terminate this Agreement at any
time with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's
mutual consent. Notice will be in writing at least thirty (30) days before the
effective termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately
cease performance under this Agreement unless otherwise provided in the
termination notice. Except as otherwise provided in the termination notice,
any additional work performed by CONSULTANT after receiving a
termination notice will be performed at CONSULTANT's own cost; CITY
will not be obligated to compensate CONSULTANT for such work.
D, Should termination occur, all finished or unfinished documents, data,
studies, surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination,
not to exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this
Section.
16.OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are
CITY's property. CONSULTANT may retain copies of said documents and materials as
desired but will deliver all original materials to CITY upon CITY's written notice. CITY
agrees that use of CONSULTANT's completed work product, for purposes other than
identified in this Agreement, or use of incomplete work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art
work, prepared pursuant to this Agreement, will be released by CONSULTANT to any
other person or public CITY without CITY's prior written approval. All press releases,
including graphic display information to be published in newspapers or magazines, will
be approved and distributed solely by CITY, unless otherwise provided by written
agreement between the parties.
18. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will
save harmless and indemnify and at CITY's request reimburse
defense costs for CITY and all its officers, volunteers,
employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought
for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent
or wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or
representatives, in the performance of this Agreement, except
for such loss or damage arising from CITY's sole negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies
and holds CITY harmless from and against any claim, action,
damages, costs (including, without limitation, attorney's fees),
injuries, or liability, arising out of this Agreement, or its
performance, except for such loss or damage arising from
CITY's sole negligence or willful misconduct. Should CITY be
named in any suit, or should any claim be brought against it
by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance,
CONSULTANT will defend CITY (at CITY's request and with
counsel satisfactory to CITY) and will indemnify CITY for any
judgment rendered against it or any sums paid out in
settlement or otherwise.
B. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will
survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any
approval of said insurance by CITY, are not intended to and will not in any
manner limit or qualify the liabilities and obligations otherwise assumed by
CONSULTANT pursuant to this Agreement, including, without limitation, to
the provisions concerning indemnification.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without
CITY's written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work
and the manner in which it is performed. CONSULTANT will be free to contract for
similar service to be performed for other employers while under contract with CITY.
CONSULTANT is not an agent or employee of CITY and is not entitled to participate in
any pension plan, insurance, bonus or similar benefits CITY provides for its employees.
Any provision in this Agreement that may appear to give CITY the right to direct
CONSULTANT as to the details of doing the work or to exercise a measure of control
over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21.AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with
respect to all services and matters covered under this Agreement. CITY will have free
access at all reasonable times to such records, and the right to examine and audit the
same and to make transcript therefrom, and to inspect all program data, documents,
proceedings and activities. CONSULTANT will retain such financial and program
service records for at least three (3) years after termination or final payment under this
Agreement.
22. INSURANCE,
A. Before commencing performance under this Agreement, and at all other
times this Agreement is effective, CONSULTANT will procure and
maintain the following types of insurance with coverage limits complying,
at a minimum, with the limits set forth below:

B. Commercial general liability insurance will meet or exceed the
requirements of the most recent ISO -CGL Form. The amount of
insurance set forth above will be a combined single limit per occurrence
for bodily injury, personal injury, and property damage for the policy
coverage. Liability policies will be endorsed to name CITY, its officials,
and employees as "additional insureds" under said insurance coverage
and to state that such insurance will be deemed "primary" such that any
other insurance that may be carried by CITY will be excess thereto. Such
endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such
coverage is available, or on a "claims made" basis if not available. When
coverage is provided on a "claims made basis," CONSULTANT will
continue to renew the insurance for a period of three (3) years after this
Agreement expires or is terminated. Such insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement and will cover CONSULTANT for all claims made by CITY
arising out of any errors or omissions of CONSULTANT, or its officers,
employees or agents during the time this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form
CA 00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of
Insurance evidencing maintenance of the insurance required under this
Agreement and such other evidence of insurance or copies of policies as
may be reasonably required by CITY from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "AMI."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the
insurance required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from
payments due to CONSULTANT under this Agreement or terminate
pursuant to Section 15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such
approval must approve of the proposed consultant and the terms of compensation.

24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative
description of progress during the past month for each major task, a description of the
work remaining and a description of the work to be done before the next schedule
update.
25. NOTICES. All communications to either party by the other party will be deemed
made when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been
received by the addressee upon deposit thereof in the United States Mail, postage
prepaid and properly addressed as noted above. In all other instances, notices will be
deemed given at the time of actual delivery. Changes may be made in the names or
addresses of persons to whom notices are to be given by giving notice in the manner
prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed
nor retained any company or person, other than CONSULTANT's bona fide employee,
to solicit or secure this Agreement. Further, CONSULTANT warrants that it has not
paid nor has it agreed to pay any company or person, other than CONSULTANT's bona
fide employee, any fee, commission, percentage, brokerage fee, gift or other
consideration contingent upon or resulting from the award or making of this Agreement.
Should CONSULTANT breach or violate this warranty, CITY may rescind this
Agreement without liability.
28.THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of
any other party. There will be no incidental or other beneficiaries of any of
CONSULTANT's or CITY's obligations under this Agreement.

29. INTERPRETATION. This Agreement was drafted in and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action
involving this agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibit(s), sets forth the entire
understanding of the parties. There are no other understandings, terms or other
agreements expressed or implied, oral or written. This Agreement will bind and inure to
the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly, this Agreement will be
construed simply, as a whole, and in accordance with its fair meaning; it will not be
interpreted strictly for or against either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of
competent jurisdiction to be invalid or unenforceable, then such portion will be deemed
modified to the extent necessary in the opinion of the court to render such portion
enforceable and, as so modified, such portion and the balance of this Agreement will
continue in full force and effect.
34.AUTHORITYiMOMIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage in the actions described herein. This Agreement may be
modified by written amendment.
35.ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be
entered into in connection with this Agreement will be considered signed when the
signature of a party is delivered by electronic (.pdf) or facsimile transmission. Such
electronic or facsimile signature will be treated in all respects as having the same effect
as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience
of reference only and will not affect the interpretation of this Agreement.
37.TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, acts of terrorism, war, embargo, government action, civil or military
authority, the natural elements, or other similar causes beyond the Parties' reasonable

control, then the Agreement will immediately terminate without obligation of either party
to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness
and capacity to perform the Agreement in a manner satisfactory to CITY.
CONSULTANT represents that its financial resources, surety and insurance experience,
service experience, completion ability, personnel, current workload, experience in
dealing with private consultants, and experience in dealing with public agencies all
suggest that CONSULTANT is capable of performing the proposed contract and has a
demonstrated capacity to deal fairly and effectively with and to satisfy a public CITY.

Inspectors, both bringing decades of experience in the inspection of water improvement projects. Our Project Manager,
Peter Salgado, PE, brings more than 20 years of public works engineering and management experience and will oversee
our proposed team for this project.
Accessibility and Responsiveness: Our professionals take pride in providing immediate response and personal attention
to our clients' needs. Additionally, each of our Construction Inspectors has been provided with an iPad and will be using
our exclusive iPad application to prepare daily reports with photos. These reports are uploaded to our servers at the end

PROJECT UNDERSTANDING
This project will abandon -in-place and replace an existing
water main along Indiana Street between Mariposa Avenue
and Holly Avenue. Based on a review of the RFP as well as
the plans and specifications, we understand the scope of
work to include:
1. Abandon -in-place and replace existing 10" ACP water
main with 10" D.I. CL 350 pipe.
2. Construct interconnections at Mariposa Avenue, Pine
Avenue, and Holly Avenue PCH
3. Reconstruct/Reconnect/Replace existing services
and hydrants; including 6" and 4" D.I. CL 250 pipe
laterals
4. Install all required valves, fittings and appurtenances
5. Reconstruct/ Restore trench per City Standards area
Indiana Street between the project limits is a local roadway
with parking on both sides. The surrounding development
is residential (on west side) and commercial (on east side).

Installation of the new water main requires several tie-
ins with existing mains. We will work closely with the
contractor and City staff to schedule and coordinate
required shut -downs in advance of tie-ins. We will also
verify that all valve assemblies are completed and
inspected prior to tie-in, to minimize shut- down durations.
Finally, we will work with the contractor and City staff
to provide sufficient advanced notification to affected
residents.
A cursory review of the plans shows potential conflicts with
existing sewer and storm drain lines running along, as well
as crossing, Indiana Street. If unforeseen conflicts arise,
our team will work closely with the contractor and the
engineering design team to develop the most cost-effective
and cost-efficient solution. Our construction management
and inspection team has had extensive experience in
resolving utility conflicts, and working in concert with
our in-house engineering design team, have devised
both creative and practical solutions. Finally, during
construction we will verify that the existing sewer laterals
and water services are properly supported and protected in
place, minimizing the potential for interruptions to service.
Proper implementation of traffic control is critical to the
successful delivery of this project. Our inspectors are

We will verify that a clear and safe path of travel with
proper signage is provided to pedestrians at all times. We
will work with the contractor to sequence and phase the
work so as not to create significant impacts to pedestrian
access. We will also make sure that access to all affected
properties is maintained throughout construction.
The contract documents typically require that the
contractor provide advance notification to all affected
properties. We will verify that the formatting and language
of the notification is reviewed and approved by the City
and that it is issued in a timely manner. Our inspector
will also verify that verbal follow-ups are made prior to
and during construction so as to minimize complaints.
Indeed, all of our inspectors are adept at responding to
public complaints and concerns. Advanced notification
and effective public relations are especially critical during
water and sewer lateral installation and reconnection.
Indeed, residents and business owners alike will need to
be prepared for any interruptions to service.
During our site visit, we noted that the existing AC paving
along Indiana may need rehabilitation (either full section
reconstruction and/or resurfacing). We are concerned
that restoration of the trench may not be feasible without
having to significantly extend the limits of the standard
trench width. If this is the case, it may be more cost-
effective to backfill then base pave the trench, and then
rehabilitate/resurface the entire street width.

NV5's approach to construction support services is
centered on our established policy of consistent and
effective employee oversight. Our Project Manager will
monitor the project continuously to verify that all personnel
are performing within the guidelines of our established
procedures, which are patterned after the Caltrans
Construction Manual. NV5 takes this a step further with
implementing a proactive public relations program and a
concerted effort to identify previously unforeseen potential
claims.
We take the health and safety of our employees and those
that they come into contact with high importance. NV5 has
instituted field safety protocols based on guidelines from
the CDC, WHO and OSHA to help reduce our staff's risk of
exposure to COVID-19. All of our field staff are required to
wear a facial covering, frequently wash their hands with
soap and water or use an alcohol -based hand rub with at
least 60% alcohol when water is not available, and practice
social distancing when possible.
Our Project Manager will be in constant communication
with the assigned construction services staff. The project
manager will emphasize the need to maintain an orderly
and complete project file in conformance with the Caltrans
Construction Manual. This is the basis for our standard
filing and general communication and correspondence
procedures. These expectations are well-known by our staff
and routine contact provides verification of conformance.
Although our assigned construction support team will work
directly with City personnel, all construction inspectors
are required to communicate with our Project Manager
any extraordinary circumstances, such as potential claims
and issues affecting schedule or budget. This helps to
ensure that such problems are dealt with immediately and
before any delay or cost issue impacts the project. In some
cases, the Project Manager will consult with our in-house
civil engineers to gain a more in-depth perspective on the
situation and develop soundly engineered solutions to
these specific problems.
Each member of our construction support services team
has access to a mobile office that includes a laptop,
Internet/email access, mobile phone, mobile project files,
digital cameras and other required materials. Our team
members are always available via mobile phone and email
for easy access and continuous communication.
Our proprietary application is a user-friendly, iPad
application used by our inspectors to generate reports,
including daily inspection photos. Our inspectors have all
been issued an iPad device. The application guides our
inspectors, step-by-step to complete and fill -out appropriate
sections of their daily reports. The application is specially
designed to automatically populate weather and site
conditions based on the devices GPS location. Drop-down
menus for equipment and labor classifications have also
been built-in to the application to assist inspectors in
completing and fully -accounting for their site observations.
There is also a prompt feature that notifies the inspector
when any portion of the report is not complete. Daily
photos can be taken through the application and will
automatically attach to the report. Basic, common
information will be carried over from previous days' reports
in order to save time filling out a new report each day on
a job -site. Once reports are uploaded, have been signed,
and saved, a PDF version will automatically be uploaded to
the NV5 server. A supervisor can approve and finalize the
report and request corrections. This application is one of
many ways we are working to get the most accurate and
timely information to the City.
SCOPE OF SERVICES
NV5 agrees to the Scope of Services as included in the
RFP and, in addition, can provide the following:
Detailed and accurate inspection of the contractor's work
is required for successful project completion. Our Inspector
will discuss any appropriate revisions to the contractor's
methods and coordinate with the City's Project Manager at
all times that work is progressing. Our Inspection services
can include:
• Review and become familiar with all contract- and
construction -related documents, including plans
and specifications, traffic control plans, construction
schedules, construction sequences and permitting
requirements, and present any concerns during
the pre -construction meeting. Attend subsequent
progress meetings to maintain communication
regarding issues or problems. For all projects,
maintain correspondence file and copy all contractor
communications to the City.
• Conduct a pre -construction photo/video survey of the
project site for verification that the site is returned to
its original condition at the end of the construction
period.
• Perform daily field and quality control inspections and
measurements of the contractor's work, submittals,
and construction materials to assure all conform to
the contract documents, City codes and ordinances,
"Greenbook" Standard Specifications, Manual of
Traffic Controls for Construction and Maintenance
Work Zones, Caltrans Construction Manual and all
other applicable codes and regulations. Health and
safety measures will be strictly enforced to maintain a
safe construction environment.
• Prepare daily reports, including daily progress photos,
and detail work completed and/or other activities for
each day the contractor performs work. Daily reports
will be kept in a bound notebook and will state at a
minimum the date, weather conditions, traffic control
measures taken, progression of work, materials
used, and subcontractors, equipment and employees
on site, and major incidents/safety violations. We
will also prepare reports of deviations and non-
conformance to specifications and provide responses
in accordance with the specification requirements.
Notices of Non -Compliance will be immediately
delivered to the contractor for any and all deviations.
• We will monitor the establishment, maintenance and
any requirement modification of the approved SWPPP.
Should the provisions for developing the SWPPP in the
specifications be inadequate to support development
of a comprehensive and timely submitted stormwater
and erosion control plan necessary to comply with
current NPDES requirements, the NV5 team can work
closely with the design consultants to incorporate
the required language into the project specifications
suitable to meet these goals.
• Monitor utility coordination as set forth in the pre -
construction meeting, reporting conflicts to the City
and recommending a course of action.
• Assure compliance to the coordination plan set forth
in the project startup to mitigate construction impacts
to businesses and residents, altering and revising the
coordination plan as project demands require. As part
of the coordination plan, monitor site safety, public
safety and convenience, reporting problems to the
City.
• Assure implementation of a traffic control plan that is
in accordance with the latest Work Area Traffic Control
Handbook (WATCH) manual requirements, the City's
requirements, and the contract documents.
• Compile detailed punch lists with the City,
Consultants, and contractor. NV5 will conduct a
preliminary walk-through with the contractor to
assure there are no blatant issues and to generate
a preliminary punch list. After completion of the
preliminary punch -list items, prepare the final punch
list and coordinate with the contractor for item
completion. All punch lists generated will include
schedules for completion.
• Upon project completion, conduct final inspection,
review contractor's as -built plans, and provide project
closeout files to City.
• Materials testing will include compaction testing of
soil, aggregate base and asphalt and sampling and
laboratory testing of soil, asphalt and portland cement
concrete.
o For this project, our certified materials technicians
will be dispatched on an as -needed basis to
the project site to sample and test construction
materials including soil and concrete in accordance
with the standard specifications for public works
construction "Greenbook" (latest edition). Daily field
reports will be provided to the construction manager
and client's representative at the end of each
shift. Daily field reports are reviewed by the project
manager and uploaded to the project document
control system.
o Our technician will observe and test subgrade soils
for relative compaction by using a nuclear density
gauge or by using the standard Sand -Cone test
method (ASTM D 1556). An on-site soil sample for
a proctor test will be required in order to determine
the corresponding maximum density test for
compaction based on ASTM D1557.
o Concrete for catch basin, curb and gutter, and
sidewalks will be sampled per ASTM C172 test
methods and compression test cylinders cast in
accordance with ASTM C31. Fresh concrete will be
tested for air content per ASTM C231.
o It is anticipated that one site visit may be required
by each inspector, soil and concrete, but the sample
frequency will be in accordance with Greenbook
standards, and frequencies may be increased if test
results indicate recurring failure to meet minimum
requirements.
o Laboratory Testing: Our laboratory is one of
the most qualified, largest and best -equipped
independent laboratories, which specialize in
geotechnical engineering, construction inspection
and materials testing in Southern California.
Laboratory technicians are certified to perform
testing on soil, aggregate, concrete, and asphalt.
Our traceable in-house Quality Assurance standards
will be a valuable asset in the successful completion
of your projects. Laboratory tests are typically
completed and reported within 24 hours where the
test standards allow. If any tests fail to meet project
requirements, the construction manager will be
notified immediately and action taken to ensure
that portion of the project is addressed to meet
the required standards. Time -critical tests can be
expedited and prioritized to assist in maintaining
the construction schedule. In addition, technicians
can be equipped to perform some tests in the
field, reducing turn -around time and eliminating
costs of transporting samples to the laboratory.
All lab reports are reviewed by engineering staff
and transmitted to the designated project team via
email and uploaded to the document control system
for archiving and project closeout.

LAKEWOOD INTERCONNECT PHASE II

services for the Long Beach Conjunctive Use Expansion Palo Verde
Pipeline project. This project involves the replacement of approximately
50 feet of pipe for the interconnect, the construction of a shallow vault
for a mag meter, and an aboveground cla-valve with insertion meters.
While cla-valve originally had a hydroelectric generator specified in the
original plans and specifications, the generator is not large enough
to power all the required devices. NV5 is providing electrical and
instrumentation design information to provide a solar panel with battery
backup that will completely power all the instrumentation devices.

services for the completion of an emergency project for the Long
Beach Water Department. The project provided LBWD a connection

Managing high groundwater along with keeping the existing plant
operational during construction were just a few of the important

Our team provided construction inspection services for the Kenneth -
Ben Lomond Water Main Replacement project. The project consisted
of the construction of 10,400 lineal feet of new water main and
abandoning in place the existing water mains currently in service.
The new water mains are 8 inches in diameter and of pressure -class
350 ductile iron material. The work also consisted of replacing all
existing fire hydrant assemblies and installing new additional hydrant
assemblies to comply with Glendale Fire Department requirements.
The project was completed through a single Design -Build Entity (DBE).

ARANTINE HILLS INFRASTRUCTURE

Our team provided construction management and inspection
services for the $14.7M three-phase Arantine Hills sewer and water
improvement projects to provide the necessary infrastructure for
the Arantine Hills Development Project. The project involved the
construction of a buried cast -in-place sewer lift station with above -
grade controls. This was connected to a second project to construct the
sewer force main with fused HDPE pipe via conventional open trench
and trenchless jack -and -bore sewer construction along arterial streets
and Caltrans ROW, forming 4 miles of pipeline. Relocation of 3,300 LF
of potable water line also was required to install the new force mains.

Bette Davis Recycled Water Project

Construction Inspection. The $1.5M project consisted of the construction of a new
8 -inch PVC recycled water transmission line to Bette Davis Park. The final portion of the
pipeline was constructed within the City of Los Angeles and required permitting and
coordination with the City.
ExxonMobil Recycled Water Service Laterals Project
WEST BASIN MUNICIPAL WATER DISTRICT I LOS ANGELES COUNTY, CA
Construction Manager. Mr. Abbassi served as Construction Manager on this $1.3M
project. The scope of work included two 4 -inch recycled water service laterals off of
West Basin's existing recycled water pipelines on Crenshaw Boulevard and 190th
Street to serve the ExxonMobil Torrance Oil Refinery in Torrance. The service laterals
were connected to the 12 -inch cement mortar -lined and tape -wrapped steel recycled
water pipelines utilizing a "hot tap" procedure. Meters were installed on each lateral in

Construction Inspector. Mr. Farnaghi provided construction inspection services for
this $2M domestic water project, including removal and replacement of 6,000 LF of
ductile iron pipe water line with diameters ranging from 8 inches to 30 inches, relining
of 11,000 LF of existing cast iron pipe, as well as installation of valves, fire hydrants
and water services.
Ben Lomond -Kenneth Water Main Replacement
CITY OF GLENDALE DEPARTMENT OF WATER AND POWER I GLENDALE, CA
Construction Inspector. Mr. Farnaghi was responsible for site observation,
construction quality, compliance with contract documents, general site safety,
preparation of daily reports and photo documentation. He also assisted with the
progress payment review and work progress compared with established baseline
schedules. The project consisted of the construction of 10,400 LF of new water main
and abandoning in place the existing water mains currently in service. The new water
mains are 8 inches in diameter and of pressure -class 350 ductile iron material. The
work also consisted of replacing all existing fire hydrant assemblies, installing new
additional hydrant assemblies to comply with Glendale Fire Department requirements,
and 10,400 LF of trench paving, including subgrade, asphalt base, and asphalt cap.
Water Main Replacement
CITY OF COMPTON I COMPTON, CA
Construction Inspector. Mr. Farnaghi provided construction observation services for the
Water Main Replacement Project, which included the reconstruction and replacement of
the City's water distribution pipelines with all appurtenances and service connections.
The project included installation of 30,000 feet of new DIP water main rangingfrom 8
inches to 12 inches in diameter. The project also included installation of 300 new fire
hydrants, 1,000 new water services and 30,000 feet of trench paving.
SGVMWD Interconnect and Site Improvements
CITY OF AZUSA LIGHT AND WATER I AZUSA, CA
Construction Inspector. Mr. Farnaghi provided construction inspection services for
the SGVMWD Interconnect and Site Improvements project. The project consisted of
the construction of an interconnection pipeline, including approximately 18 -inch class
350 ductile iron pipe, 14 -inch and 18 -inch schedule 40 CML&C steel pipe, including
valves, connections, abandonments and appurtenances. Work also included a 14 -inch
pressure -reducing and flow -control station, concrete vault replacement, AC pavement
resurfacing and reconstruction, PCC sidewalks, curb and gutter.

Forest Avenue Water Main Installation
CITY OF PASADENA I PASADENA, CA
Construction Inspector. Mr. Ledyard provided inspection services during the
replacement of an aging water main along Forest Avenue. The project affected a
3,641 -foot stretch of road from Del Monte Street to Lincoln Avenue. Traffic lanes
were temporarily closed during construction, but at least one lane remained open in
each direction for through traffic. Pasadena Water and Power also worked to place
digital reader board signage near the construction areas for commuters to consider
alternative routes.
Fair Oaks Avenue and Columbia Place Water Improvements
CITY OF PASADENA I PASADENA, CA
Construction Inspector. Mr. Ledyard served as construction inspector on this $2M
water improvement project on Fair Oaks Avenue from Bellefontaine Street to State
Street, and Columbia Place from State Street to Columbia Street. The scope of work
included the installation of approximately 1 mile of 8 -inch diameter water main
line; reconnection with existing adjacent mains; installation of all valves, hydrants
and appurtenances; reconnection with existing adjacent mains; and reconnection/

Work required a complex safety plan for critical crane lift over water. Elements were

pump stations to a new sewage pump station, Bankfield Station, which is another
project for which NV5 is providing construction management and inspection services

Long Beach Water Department Emergency Project
LONG BEACH WATER DEPARTMENT I LONG BEACH, CA
Construction Administration. Mr. Ly assisted with construction administration for the
completion of an emergency project for the Long Beach Water Department. The project
provided LBWD a connection to the Los Angeles County Sanitation District's (LACSD)
reclaimed water pipeline. While initially being constructed by a different contractor
under the jurisdiction of LACSD, after construction was underway, LACSD's Contractor
abandoned the project and LBWD agreed to take over the work. Work involved
construction of additional 25 -foot -deep shoring within 5 feet of the operational LACSD
operational plant. Managing high groundwater along with keeping the existing plant
operational during construction were just a few of the important construction missions
to accomplish.
Arantine Hills Sewer and Water Infrastructure Projects
CITY OF CORONA I CORONA, CA
Construction Administration. Mr. Ly assisted with construction administration for
the $14.7M, three-phase Arantine Hills sewer and water improvement projects to
provide the necessary infrastructure for the Arantine Hills Development Project. The
project involved the construction of a buried cast -in-place sewer lift station with above -
grade controls. This was connected to a second project to construct the sewer force
main with fused HDPE pipe via conventional open trench and trenchless jack -and -
bore sewer construction along arterial streets and Caltrans ROW, forming 4 miles of
pipeline. Relocation of 3,300 LF of potable water line was also required to install the
new force mains. A third project managed simultaneously was the construction of the
California Avenue Sewer at a depth of 25 feet below grade. All three projects were to
be completed together for the final and finished sewer lift station to function.

time construction inspection and material testing services as detailed in this document for water
main improvements in the City of El Segundo.
The contract term for the required services shall be November 2, 2020, to November 1, 2021.

SECTION 1: INTRODUCTION
The City of El Segundo is soliciting proposals from qualified Professional Construction Inspection
Consultants for construction inspection and material testing services for the City's Public Works
Department on PW 20-04: Water Main Improvements Project on Indiana Street.
This project is located on Indiana Street between E. Holly Avenue and E. Mariposa Ave. It involves
construction of 10 -inch ductile -iron water main, construction of 6 -inch and 4 -inch ductile -iron water
main or laterals, installation of gate valves and boxes, construction of new water service
connections, abandoning existing water mains, providing uninterrupted water service during
construction, providing traffic control, potholing, coordination with utility agencies, survey,
trenching, trench paving, and striping.
The proposed number of contractor days on this project is 70 working days with construction
anticipated to begin in January, 2021. The project specifications, plans and appendices are

SECTION 2: SCOPE OF WORK
The qualified firm shall furnish all labor, materials, tools, equipment, supplies, and incidentals
required for providing inspection of the construction efforts of a City -retained contractor for the
named project.
The services to be provided by the Consultant shall include, but are not limited to, the following:
• Attending all project -related meetings; providing feedback on current or potential field
issues; providing meeting notes to the City
• Reviewing and evaluating plans, specifications, submittals, progress payment requests,
requests for information (RFIs), and other construction -related documents, and providing
feedback, corrections, and comments as necessary
• Reviewing the Contractor's daily traffic control and ensuring compliance with the Manual
of Uniform Traffic Control Devices (MUTCD) and the Work Area Traffic Control
Handbook (WATCH manual)
• Photographing site conditions and project activities prior to, during, and after construction
• Preparing and distributing detailed written daily inspection reports via email. At a minimum,
detailed inspection reports shall contain
o Weather and site conditions
o Duration and names of personnel and equipment on site
o Any change to contractor's construction activity as a result of pending requests for
information
o Time spent (personnel and equipment) on T&M tasks if applicable
o Quantities of bid item and other work performed for the day
o Any major incidents or safety violations
o Any corrective actions requested of the Contractor/sub-contractors
o Photographs of construction activity progress
o Any days/hours and reasons for no work occurring if applicable.

• Inspecting work in progress to ensure compliance with plans and specifications
• Coordinating any sample preparation, special testing, or special inspection work.
• Performing and providing quality assurance.
• Performing tests and reviewing test results if required by a project, including retention of a
subconsultant if necessary to provide materials testing and reports including but not limited
to:
o Pavement density testing
o Asphalt concrete testing
• Ensuring Contractor addresses any items not meeting minimum test result requirements and
coordinating additional testing after corrections are made
• Ensuring Contractor is coordinating inspections by other agencies (i.e. utility companies,
other municipalities, etc.) as necessary
• Ensuring Contractor is addressing potential public safety issues for the project site during
construction and when construction is not occurring
• Monitoring compliance with National Pollutant Discharge Elimination System (NPDES)
permits and requirements
• Monitoring and ensuring Contractor compliance with all other local, state, and federal laws,
regulations, and codes
• Documenting and reporting instances of apparent non-compliance with Contract plans and
specifications and codes to City staff
• Providing complete measurements and calculations for progress payments
• Reviewing Contractor invoices to ensure accurate quantities for completed work.
• Ensuring that Contractor is documenting necessary items for As -Built plans during the
construction; ensuring that As -Built plans submitted reflect the field and other changes that
occurred on the project.
• Providing City staff with punch list items.
• Upon project completion, conducting final inspections and project close-out.
Consultant shall be familiar with any potential construction -related issues and their resolution,
including:
• Clarification or constructability issues with the construction plans
• Staging area locations
• Traffic issues
• Locations of nearby businesses, residences, and schools, and construction impacts to them
• Conflicts with nearby construction by others
• Public concerns, public safety concerns, or Hazardous concerns;
• City staff working days
• Allowable construction and inspection days and times
• Scheduling concerns
• Issues meeting relevant standards and codes (including those of outside jurisdictions)

SECTION 3: PROPOSAL
The proposals, at a minimum, should include the following information:
1. Consultant's understanding of the scope of work and a description of its project approach
with specific milestones and deliverables as outlined in this RFP.
2. Consultant's qualifications and experience within the last five (5) years as the prime
Consultant of record completing a minimum of five (5) tasks/services of a similar nature and
scope with names and current telephone numbers of references that can be contacted.
3. Consultant's project team, including name of project manager, key staff members,
organizational chart, and Sub -consultants (if any) to be retained by the Consultant.
4. Scope of services to be provided with a breakdown of different tasks. The scope of work
defined in this RFP, including any sub -consultant work shall at minimum be referenced as
included in the scope of services.
5. Consultant's estimated fee for services to be provided as described in the scope of work.
Consultant fee will not be used as the sole basis for the selection; however, it will be a factor
for consideration.
6. A statement that Consultant is agreeable to execute the enclosed City -Consultant agreement,
to provide proof of insurance as noted in the agreement and to obtain and maintain a City
Business License for the duration of the Consultant services.
SECTION 4: SELECTION PROCESS
The City will first examine proposals to eliminate those that are deemed non-responsive to the
stated requirements. The City's Public Works Department will then evaluate each proposal
based on:
• Completeness of the Proposal and attachment of additional required documents
• Qualifications of the consultant and specific experience of key team staff
• Schedule and capacity of the consultant to provide highly qualified personnel
• Experience with similar types of tasks/services
• References and satisfaction of previous clients
Reservation of Rights
This Request for Proposals is a solicitation and not an offer to contract. The City reserves the
right to reject any and all proposals. The City further reserves the right to issue clarifications
and other directives concerning this RFP, to require clarification or further information with
respect to any proposal received, and to determine the final terms of any contract.
Interviews may be required by the City with selected consultants to clarify consultant
proposals and to allow for contract negotiations. Acceptance of any proposal will be based
upon factors including, but not limited to: approach and understanding, completeness of
proposal, thoroughness of information provided, proposed work program, cost for services,
and team qualifications.
