FOR CITY HALL RESTROOMS' ACCESSIBILITY UPGRADES
This AGREEMENT is entered into this 30th day of October, 2020, by and between the
CITY OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and OMNIS
CONSULTING, INC., a California corporation ("CONSULTANT"). The parties agree as follows:
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by the
terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed Twenty -Six Thousand, Seven Hundred Sixty dollars $26,760.00 for
CONSULTANT's services. CITY may modify this amount as set forth below.
Unless otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit "A," which is incorporated by
reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit "A," which is
incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except
as herein otherwise expressly specified to be furnished by CITY, necessary or
proper to perform and complete the work and provide the professional services
required of CONSULTANT by this Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT will use
the appropriate generally accepted professional standards of practice existing at the time of
performance utilized by persons engaged in providing similar services. CITY will continuously
monitor CONSULTANT's services. CITY will notify CONSULTANT of any deficiencies and
CONSULTANT will have fifteen (15) days after such notification to cure any shortcomings to
CITY's satisfaction. Costs associated with curing the deficiencies will be borne by
CONSULTANT.

4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly
rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A") the
tasks performed, the percentage of the task completed during the billing period, the cumulative
percentage completed for each task, the total cost of that work during the preceding billing
month and a cumulative cash flow curve showing projected and actual expenditures versus time
to date.
5. NON -APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for
current services are within the current budget and within an available, unexhausted and
unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient
funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement will
cover only those costs incurred up to the conclusion of the current fiscal year.
6. ADDITIONAL WORK. N/A.
7. FAMILIARITY WITH WORK. By executing this Agreement, CONSULTANT agrees that it
has:
A. Carefully investigated and considered the scope of services to be performed;
B. Carefully considered how the services should be performed; and
C. Understands the facilities, difficulties, and restrictions attending performance of
the services under this Agreement.
If services involve work upon any site, CONSULTANT agrees that CONSULTANT has or will
investigate the site and is or will be fully acquainted with the conditions there existing, before
commencing the services hereunder. Should CONSULTANT discover any latent or unknown
conditions that may materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk
until written instructions are received from CITY,
8. TERM. The term of this Agreement will be from November 16, 2020 to August 31, 2021
unless otherwise terminated pursuant to Section 15.
9. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
CONSULTANT furnishes proof of insurance as required under Section 23
of this Agreement; and
CITY gives CONSULTANT a written notice to proceed.
B. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
10. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement
supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved
in the order in which the Exhibits appear below:

A. Exhibit A: Scope of work and cost proposal
11. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.
12. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
13. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain
during the term of this Agreement, all necessary permits, licenses, and certificates that may be
required in connection with the performance of services under this Agreement.
14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause.
B. CONSULTANT may terminate this Agreement at any time upon thirty days'
written notice.
C. Upon receiving a termination notice, CONSULTANT will immediately cease
performance under this Agreement unless otherwise provided in the termination
notice. Except as otherwise provided in the termination notice, any additional
work performed by CONSULTANT after receiving a termination notice will be
performed at CONSULTANT's own cost; CITY will not be obligated to
compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by
CONSULTANT will, at CITY's option, become CITY's property, and
CONSULTANT will receive just and equitable compensation for any work
satisfactorily completed up to the effective date of notice of termination, not to
exceed the total costs under Section 1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may
procure on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.

16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's
property. CONSULTANT may retain copies of said documents and materials as desired but will
deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of
CONSULTANT's completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY's own risk.
17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under
this Agreement, no copies, sketches, or graphs of materials, including graphic art work,
prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or
public CITY without CITY's prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY, unless otherwise provided by written agreement between the parties.
18. INDEMNIFICATION. This Agreement contemplates that CONSULTANT will act both as a
design professional (as defined by Civil Code § 2782.8) and for other management services.
Accordingly, CONSULTANT agrees to provide indemnification as follows:
A. CONSULTANT must save harmless, indemnify and defend CITY and all its
officers, employees and representatives from and against any and all
suits, actions, or claims, of any character whatever, brought for, or on
account of, any injuries or damages sustained by any person or property
arising from, pertaining to, or relating to the negligence, recklessness, or
willful misconduct of CONSULTANT or any of CONSULTANT's officers,
agents, employees, or representatives. CONSULTANT's duty to defend
consists of reimbursement of defense costs incurred by CITY in direct proportion
to the CONSULTANT's proportionate percentage of fault. CONSULTANT's
percentage of fault will be determined, as applicable, by a court of law, jury or
arbitrator. In the event any loss, liability or damage is incurred by way of
settlement or resolution without a court, jury or arbitrator having made a
determination of the CONSULTANT's percentage of fault, the parties agree to
mediation to determine the CONSULTANT's proportionate percentage of fault
for purposes of determining the amount of indemnity and defense cost
reimbursement owed to the CITY; CONSULTANT and CITY must each pay half
the mediator's fees. Notwithstanding the above, in the event one or more
defendants to a Claim is unable to pay its share of defense costs due to
bankruptcy or dissolution of the business, the CONSULTANT must meet and
confer with the CITY regarding unpaid defense costs.
B. Defense for All Non -Design Professional Liabilities. Notwithstanding the
foregoing and without diminishing any rights of the CITY under subsection A, for
any liability, claim, demand, allegation against CITY arising out of, related to, or
pertaining to any act or omission of CONSULTANT, but which is not a design
professional service, CONSULTANT must defend, indemnify, and hold harmless
Indemnitees from and against any and all damages, costs, expenses (including
reasonable attorneys' fees and expert witness fees), judgments, settlements,
and/or arbitration awards, whether for personal or bodily injury, property
damage, or economic injury, to the extent that they arise out of, pertain to, or
relate to the negligence, recklessness, or willful misconduct of the
CONSULTANT.

C. For purposes of this section "CITY" includes CITY's officers, officials,
employees, agents, representatives, and certified volunteers.
D. It is expressly understood and agreed that the foregoing provisions are intended
to be as broad and inclusive as is permitted by the law of the State of California
and will survive termination of this Agreement.
The insurance coverage to be maintained by CONSULTANT as required by Section 23, will not
limit the liability of CONSULTANT hereunder. The provisions of this section will survive the
expiration or earlier termination of this Agreement.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will
act as an independent contractor and will have control of all work and the manner in which it is
performed. CONSULTANT will be free to contract for similar service to be performed for other
employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY
and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY
provides for its employees. Any provision in this Agreement that may appear to give CITY the
right to direct CONSULTANT as to the details of doing the work or to exercise a measure of
control over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect
to all services and matters covered under this Agreement. CITY will have free access at all
reasonable times to such records, and the right to examine and audit the same and to make
transcript therefrom, and to inspect all program data, documents, proceedings and activities.
CONSULTANT will retain such financial and program service records for at least three (3) years
after termination or final payment under this Agreement.
22. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times
this Agreement is effective, CONSULTANT will procure and maintain the
following types of insurance with coverage limits complying, at a minimum, with
the limits set forth below:

ISO -CGL Form No. CG 00 01 11 85 or 88, or equivalent. The amount of
insurance set forth above will be a combined single limit per occurrence for
bodily injury, personal injury, and property damage for the policy coverage.
Liability policies will be endorsed to name CITY, its officials, and employees as
"additional insureds" under said insurance coverage and to state that such
insurance will be deemed "primary" such that any other insurance that may be
carried by CITY will be excess thereto. CITY's additional insured status will
apply with respect to liability and defense of suits arising out of CONSULTANT's
acts or omissions. Such insurance will be on an "occurrence," not a "claims
made," basis and will not be cancelable or subject to reduction except upon
thirty (30) days prior written notice to CITY.
C. Professional liability coverage will be on an "occurrence basis" if such coverage
is available, or on a "claims made" basis if not available. When coverage is
provided on a "claims made basis," CONSULTANT will continue to renew the
insurance for a period of three (3) years after this Agreement expires or is
terminated. Such insurance will have the same coverage and limits as the
policy that was in effect during the term of this Agreement and will cover
CONSULTANT for all claims made by CITY arising out of any errors or
omissions of CONSULTANT, or its officers, employees or agents during the time
this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 01 06 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY valid Certificates of Insurance evidencing
maintenance of the insurance required under this Agreement, a copy of an
Additional Insured endorsement confirming CITY has been given Insured status
under the CONSULTANT's General Liability policy, and such other evidence of
insurance or copies of policies as may be reasonably required by CITY from
time to time. Insurance must be placed with insurers with a current A.M. Best
Company Rating equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from payments
due to CONSULTANT under this Agreement or terminate pursuant to Section
15.
23. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written approval
to use any consultants while performing any portion of this Agreement. Such approval must
approve of the proposed consultant and the terms of compensation.
24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on
the project, which will include a schedule update and a short narrative description of progress
during the past month for each major task, a description of the work remaining and a description
of the work to be done before the next schedule update.

25. NOTICES. All communications to either party by the other party will be deemed made when
received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances, notices will be deemed given at the time of
actual delivery. Changes may be made in the names or addresses of persons to whom notices
are to be given by giving notice in the manner prescribed in this paragraph.
26. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest laws and
regulations including, without limitation, CITY's conflict of interest regulations.
27. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee, to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed
to pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
28. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally
for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party.
There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's
obligations under this Agreement.
29. INTERPRETATION. This Agreement was drafted in and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County.
30. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state, and
local laws applicable to this Agreement.
31. ENTIRE AGREEMENT. This Agreement, and its Exhibits, set forth the entire understanding
of the parties. There are no other understandings, terms or other agreements expressed or
implied, oral or written. There is one Exhibit to this Agreement. This Agreement will bind and
inure to the benefit of the parties to this Agreement and any subsequent successors and
assigns.
32. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this
Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a

whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against
either Party.
33. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the
extent necessary in the opinion of the court to render such portion enforceable and, as so
modified, such portion and the balance of this Agreement will continue in full force and effect.
34. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written amendment.
CITY's executive manager, or designee, may execute any such amendment on behalf of CITY.
35. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by
electronic (pdf) or facsimile transmission. Such electronic or facsimile signature will be treated
in all respects as having the same effect as an original signature.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
38. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, acts of terrorism, war, embargo, government action, civil or military authority, the
natural elements, or other similar causes beyond the Parties' reasonable control, then the
Agreement will immediately terminate without obligation of either party to the other.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents
that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to
perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to
satisfy a public CITY.

PROJECT UNDERSTANDING
There is a total of ten (10) existing restrooms within City Hall and all 10 require some level of
upgrades to meet current Americans with Disabilities Act (ADA) and California Building Code
(CBC) requirements. This proposal includes the design services required to prepare plans and
specifications for these upgrades for bidding by the City for the following locations within City
Hall:
o Main Lobby Men and Women Restrooms - redesign required
o Employees Men and Women Restrooms — redesign required
o Council Chamber Men and Women Restrooms — possible safe harbor- minor design
o Mayor's Office Restroom — possible exceptions, limited options for design
o Basement Men and Women Restrooms — redesign required
o Basement East Unisex Restroom — in general compliance with few features requiring
review
SCOPE OF SERVICES
Task 1.0 Proiect Coordination
Omnis' project manager will coordinate the project design through permitting with the City and
bidding by the City. Omnis' coordination efforts will include:
o Coordination with Public Works staff for the design intent and design criteria
o Coordination with Designer Projects for the preparation of the Architectural plans
o Coordinate with Building Safety Division for all plan checks and permitting
Task 2.0 Preliminary Investigation
Omnis' subconsultant, Designer Projects, will perform site visits to the 10 City Hall restrooms
and prepare scaled base plans from a combination of record plans and field measurements.
Task 3.0 Conceptual Design
Omnis' subconsultant, Designer Projects, will prepare design layouts for the 10 City Hall
restrooms that will comply with current ADA and CBC requirements.
Task 4.0 Construction Documents
The following construction documents will be prepared by Designer Projects, our subconsultant,
for the 10 City Hall restrooms and will include the following documents for bidding by the City:

4.1 Title Sheet
The title sheet will include the overall site plan and location plans along with required
notes to the Contractor.
4.2 Floor Plans
Enlarged floor plans will be prepared for each location showing the existing
configuration and the proposed improvements and upgrades.
4.3 Interior Elevations
Interior elevations will be prepared showing the fixtures and finish materials.
4.4 Plumbing Layout
A plumbing layout plan will be prepared for each location showing new pipes and
points of connection to existing piping.
4.5 Reflected Ceiling Plan
A reflected ceiling plan will be prepared for locations that require lighting or other
ceiling -mounted improvements.
4.6 Accessories Schedule
An accessories schedule will be prepared for each location as well as elevations for
required signage.
4.7 Details Plan
Details will be prepared as necessary to convey the design intent for each location.
4.8 Technical Specifications
Technical specifications will be prepared for all new fixtures, materials, and finishes.
Task 5.0 lliddin and Construction Period Services,
Omnis will assist the City with bidding the project including, but not limited to: attending a pre-
bid meeting, answering bidder questions during the bid period, and preparing addenda as
necessary prior to bidding. Omnis will review Contractor submittals, Requests for Information
(RFIs), and Requests for Change (RFCs). Omnis will provide comments and/or approvals of
material submittals relating to the work. Omnis will review and provide timely responses to RFIs
generated by the Contractor. Omnis will review and comment on RFCs generated by the
Contractor and make recommendations to the City.

EMG has completed an Accessibility Assessment of the subject property, City Hall, 350 Main Street, EI Segundo, Los Angeles County,
California 90245. The site was visited on August 15, 2018.
The assessment was performed at the Client's request using methods and procedures consistent with good commercial and customary
practice for assessing compliance with the Title II provisions of the Americans with Disabilities Act (ADA) and applicable state
requirements.
This report has been prepared for and is exclusively for the use and benefit of the Client identified on the cover page of this report. The

2 EXECUTIVE SUMMARY
2.1 SUMMARY OF FINDINGS
The Client contracted with EMG to conduct an Accessibility Assessment of City Hall. The purpose of this investigation and report is to
provide the Client with accessibility recommendations concerning City Hall.
The site was visited on August 15, 2018. Weather conditions at the time of the on-site visit were clear, with temperatures in the 80s (°F)
and negligible winds.
SIGNIFICANT ISSUES:
Significant barriers to accessibility are present at the amenities listed below. The issues prevent full accessibility at the amenity and are
the most substantial non-compliant elements. Additional barriers may be present at the amenity. Further detail is provided in Section 3
and Appendix A of the report.
Exterior Accessible Routes
Curb ramps CR -1, CR -2, CR -3, CR -4, and CR -5 do not have compliant ramp run slope, clear width and/or landing slope.
Curb ramps CR -1, CR -3, CR -4, and CR -5 do not have compliant detectable warnings.
Sidewalk sections between accessible parking stall P1-1 and curb ramp CR -1 have cross slopes exceeding 2.08%, running slopes
exceeding 5.0%, and clear route width less than 48".
Sidewalk sections between curb ramp CR -2 and curb ramp CR -5 have cross slopes exceeding 2.08% and running slopes exceeding
5.0%.
Sidewalk sections between curb ramp CR -5 and the building entrance have cross slopes exceeding 2.09% and clear route width less
than 48".
Parking
Accessible parking stalls P1-1 and P2-1, and access aisles, have running and cross slopes exceeding 2.08%.
Accessible parking stalls P1-1 and P2-1 access aisles do not have compliant markings.
Restrooms
The basement restrooms have multiple barriers, including door maneuvering clearances, water closet clear floor space, water closet
centerlines, lavatory clearances, dispenser reach ranges, protruding objects, and grab bars.
The restrooms at city planning do not have wheelchair accessible stalls. Barriers also include lavatory clearances dispenser reach
ranges, and protruding objects.
The restrooms at the city council chamber have multiple barriers, include door maneuvering clearances, wheelchair accessible stall
dimensions, water closet centerlines, dispenser reach ranges, protruding objects, and restroom turning space.
Service Counters
m Service counters in the mayor's office, city clerk, city planning, treasury, and finance exceed the maximum counter heights.
Stairwells
Handrails do not have compliant extensions at the top or bottom of the stairwells.
It is the responsibility of the owner to assess the requirement for barrier removal under Title I Employment and Title II State and Local
Government Services of the ADA and the State of California Unruh Act to create an accessible environment. Not all physical barriers
identified in this report may need to be corrected. Some barriers may be the responsibility of others, or can be corrected through
programmatic change. It is incumbent upon the owner to initiate a transition planning process to outline which barrier will be corrected
and when correction should take place. For further explanation, see Section 2.3, Scope of Work.
Each area of concern observed and identified by EMG is detailed in this report, which includes EMG's scope and methodology; ADA
elements reviewed; individual observation details with recommendations and order of magnitude estimated costs; site plans with
observation location data; and supporting materials.
2.2 PURPOSE
The purpose of this report is to assist the Client in evaluating the compliance of certain exterior and interior elements with the requirements
of Title II of the Americans with Disabilities Act (ADA) and applicable state and local codes and regulations.

A Subject Matter Expert will visit the properties to assess the compliance of existing property improvements with the Title II provisions of
the Americans with Disabilities Act (ADA) and applicable state requirements. EMG then produces a report which identifies each facility's
observed compliance issues and specific barriers, along with proposed remedies. EMG endeavors to include all barriers within the defined
scope of work area, however, some barriers may not be identified in the report. EMG provides order of magnitude cost estimates directly
associated with each barrier, but does not provide engineered construction documents or construction cost estimates of barrier removal.
The field observer will review of the facility's common areas to observe and identify representative barriers to accessibility and formulate
recommendations to remedy the physical barriers. As a part of the review, the field observer will meet with a property representative with
specific knowledge of the facility to gain a clear understanding of overall features, public use patterns, and relevant historical data. The
ADA covers both public areas and employee -only areas for Title II entities. For the purposes of this portfolio, only public, non -tenant
owned features of the property will be subject to observation, and will not include employee -only areas. Public, non -tenant areas will
include but not be limited to, parking lots, sidewalks, access ramps, and exterior and interior common areas accessible to the public.
Title II entities are obligated to remove barriers under the requirements of the ADA as follows:
Program Accessibility:
The primary obligation of state and local government under the ADA is to provide program access. The ADA requires that state and local
government provide accessible "programs". The Department of Justice defines "programs" as the programs, services, and activities of a
state or local government. A public entity may not deny the benefits of its programs, activities, and services to individuals with disabilities
because its facilities are inaccessible. A public entity's services, programs, or activities, when viewed in their entirety, must be readily
accessible to and usable by individuals with disabilities. This standard, known as "program accessibility," applies to all existing facilities
of a public entity. Public entities, however, are not necessarily required to make each of their existing facilities accessible.
The ADA, like other civil rights statutes, prohibits the denial of services or benefits on specified discriminatory grounds. Just as a
government office cannot refuse to issue food stamps or other benefits to an individual on the basis of his or her race, it cannot refuse to
provide benefits solely because an individual has a disability.
The ADA mandates an integrated setting for those with disabilities and those without disabilities. The integrated setting requirement may
conflict with the obligation to provide program accessibility, which may not necessarily mandate physical access to all parts of all facilities
(see II -5.0000). Provision of services to individuals with disabilities in a different location, for example, is one method of achieving program
accessibility. Public entities should make every effort to ensure that alternative methods of providing program access do not result in
unnecessary segregation.
A public entity may offer separate or special programs when necessary to provide individuals with disabilities an equal opportunity to
benefit from the programs. Such programs must, however, be specifically designed to meet the needs of the individuals with disabilities
for whom they are provided. Even if a separate or special program for individuals with disabilities is offered, a public entity cannot deny a
qualified individual with a disability participation in its regular program. Qualified individuals with disabilities are entitled to participate in
regular programs, even if the public entity could reasonably believe that they cannot benefit from the regular program. The fact that a
public entity offers special programs does not affect the right of an individual with a disability to participate in regular programs. The
requirements for providing access to the regular program, including the requirement that the individual be "qualified" for the program, still
apply. A public entity may impose legitimate safety requirements necessary for the safe operation of its services, programs, or activities.
However, the public entity must ensure that its safety requirements are based on real risks, not on speculation, stereotypes, or
generalizations about individuals with disabilities.
A public entity must reasonably modify its policies, practices, or procedures to avoid discrimination. If the public entity can demonstrate,
however, that the modifications would fundamentally alter the nature of its service, program, or activity, it is not required to make the
modification.
Public entities must maintain in working order equipment and features of facilities that are required to provide ready access to individuals
with disabilities. Isolated or temporary interruptions in access due to maintenance and repair of accessible features are not prohibited.
Where a public entity must provide an accessible route, the route must remain accessible and not blocked by obstacles such as furniture,
filing cabinets, or potted plants. An isolated instance of placement of an object on an accessible route, however, would not be a violation,
if the object is promptly removed. Similarly, accessible doors must be unlocked when the public entity is open for business. Mechanical
failures in equipment such as elevators or automatic doors will occur from time to time. The obligation to ensure that facilities are readily
accessible to and usable by individuals with disabilities would be violated, if repairs are not made promptly or if improper or inadequate
maintenance causes repeated and persistent failures.
Public entities may achieve program accessibility by a number of methods. In many situations, providing access to facilities through
structural methods, such as alteration of existing facilities and acquisition or construction of additional facilities, may be the most efficient
method of providing program accessibility. The public entity may, however, pursue alternatives to structural changes in order to achieve
program accessibility. Nonstructural methods include acquisition or redesign of equipment, assignment of aides to beneficiaries, and
provision of services at alternate accessible sites.

A public entity may also be a landlord. A public entity is not subject to Title III, even though its tenants may be public accommodations
that are covered by Title III. However, the public entity is obligated to ensure by contract that the leased facility is operated in a manner
that enables the public entity to meet its Title II obligations, even though the leased area is not directly subject to Title II. Public entities
are encouraged, but not required, to lease accessible space. The availability of accessible space will steadily increase over time as the
requirements for new construction and alterations take effect. Although a public entity is not required to lease accessible space, once it
occupies a facility, it must provide access to all of the programs conducted in that space. Thus, the more accessible the space is to begin
with, the easier and less costly it will be later on to make programs available to individuals with disabilities and to provide reasonable
accommodations for employees who may need them.
Alterations and Additions -
Additions and alterations undertaken at existing facilities are covered by the 2010 ADA Standards for Accessible Design, as well as the
State of California Building Code. The current building code in the State of California is the 2016 California Building Standards Code (Cal.
Code Regs., Title 24). State and local building codes are applied where they are stricter than federal requirements. The extent of
application is largely determined by a project's scope of work as the standards apply to those elements or spaces that are altered or
added. Additional requirements apply to projects that affect or could affect the usability of, or access to, an area containing a primary
function.
Alterations are defined in the standards as "a change in a building or facility that affects or could affect the usability of a building or facility
or portion thereof." Many types of projects are covered as "alterations," including remodeling, renovation, rehabilitation, reconstruction,
restoration, resurfacing of circulation paths or vehicular ways, and changes or rearrangement of structural parts, elements, or walls.
Normal maintenance, reroofing, painting or wallpapering, or changes to mechanical and electrical systems are not considered alterations
unless they affect a facility's usability. For example, a project limited to an HVAC system that includes the addition of thermostats would
affect a facility's usability because it involves elements (operable parts) covered by the standards. The Department of Justice has
determined that restriping of parking lots is considered an alteration of the parking facility.
The standards ensure that the opportunities for accessibility presented by an alteration are taken. How and to what extent the standards
apply is determined by the scope of a project and the elements and spaces altered. Only those elements or spaces altered are required
to comply, but alterations made to areas containing a primary function (a major activity for which a facility is intended) also require an
accessible path of travel.
If alterations are limited only to elements in a room or space, then the standards apply only to the elements altered. Similarly, where
spaces are altered, the standards apply to those spaces that are altered. If a room or space is completely altered (or built new as part of
an alteration), the entire room or space is fully subject to the standards. Compliance is required to the extent that it is technically feasible.
Projects that increase, expand, or extend a facility's gross floor area or height of a facility are considered additions and must comply with
the requirements of the standards applicable to new construction. Existing elements and spaces affected by an addition are treated as
alterations and qualify for certain allowances or exceptions that are not permitted in new construction.
Compliance in an alteration is not required where it is "technically infeasible." The term is defined as "something that has little likelihood
of being accomplished because existing structural conditions would require removing or altering a load-bearing member that is an
essential part of the structural frame; or because other existing physical or site constraints prohibit modification or addition of elements,
spaces, or features that are in full and strict compliance with the minimum requirements." Where technical infeasibility is encountered,
compliance is still required to the maximum extent technically feasible.
New Construction- New construction must be fully compliant with the 2010 ADA Standards for Accessible Design.
FIELD OBSERVATION PROCESS
The field observer will first review documents and information provided by the owner or owner's representative that could supplement the
consultant's knowledge of the subject property's physical improvements, extent and type of use, and/or assist in identifying barriers to
accessibility.
During the site visit, the field observer will utilize a Survey Form that meets or exceeds the current ADAAG format, and will utilize a digital
level, measuring tape, door pressure gauge, light and sound meters, and digital camera. The field observer will identify and prioritize
observed existing improvements which are not in accordance with the applicable ADA requirements in the order of preference as set out
by the DOJ and refined by EMG per client preferences. Typical priorities are as follows:
Physical access to the property
µ Access to areas of commerce or public accommodation
The EMG team will assess exterior common areas and interior common areas that are defined as areas of public accommodation. EMG
will identify existing conditions that are not in accordance with the ADA Accessibility Guidelines, including the elements specified below
(if applicable, where landlord is responsible for observed elements):

The estimates for the non-compliant items noted within this report are summarized in Section 3.1, and individual barrier details are
provided in Appendix A.
2.3.1 BASIS FOR ORDER OF MAGNITUDE COSTS
Order of magnitude estimates are based on invoice or bid documents provided either by the Owner/facility and construction costs
developed by construction resources such as R. S. Means and Marshall & Swift, EMG's experience with past costs for similar properties,
city cost indexes, and assumptions regarding future economic conditions. Typically, barrier removal allowances are based upon the
removal of the specific element being evaluated (i.e. parking stall, curb ramp, etc.). Architectural plans for renovation of areas requiring
barrier removal or grading plans based on field surveys using land surveyor instrumentation and designs/construction documents
prepared by a registered design professional could result in significantly different material quantities and subsequent higher project
costs. EMG has no control over the final scope of work, pricing methods, and costs associated with a contractor constructing the
project. The opinion of estimated costs within this report cannot guarantee that the costs will accurately reflect the actual bids for
construction.
2.3.2 CRITERIA FOR PRIORITY LEVELS
The scope of this assessment is limited to exterior site features and amenities, specifically accessible parking and exterior accessible
pedestrian paths of travel to and from the amenities and features provided at each site. This includes parking, public transportation, retail,
restaurant, office and industrial space, where applicable. As such, EMG prioritized each of the captured barriers based on modified,
published Department of Justice (DOJ) criteria focusing on the primary scope of work. Interior spaces such as common corridors,
restrooms, kitchens and other interior elements along the common path of travel, such as water fountains, that are the responsibility of
the property owner, are included.
The ADA also regulates employee work areas. Common corridors used by employees, employee restrooms, employee kitchens and
employee break rooms are not considered "employee work areas." Those areas, even if used by employees only, shall comply with the
ADA regulations which govern corridors, restrooms, kitchens and break rooms.

closure time measured at the city council chambers men's restroom main door. 2.79 seconds closure time
measured at the city council chambers women's interior door. 2.70 seconds closure time measured at the city
planning women's restroom door.
Resolution
Adjust closer or remove and replace closer to ensure that the door has a closure time of at least 5 seconds within
12 degrees of the latch. Door closers and gate closers shall be adjusted so that from an open position of 90
degrees, the time required to move the door to a position of 12 degrees from the latch is 5 seconds minimum.

at the city council chambers restroom, or the city planning restroom. Braille is not provided at the city council
chambers restroom, or the city planning restroom. Signage is not located on the latch side of the doorway at the
city council chambers restroom. 61-3/4" AFF measured to baseline of lowest tactile character at basement
restroom.
Resolution
Install compliant signage. The men's restroom/bathing room geometric symbol shall be an equilateral triangle
1/4" thick, with edges 12" long and a vertex pointing upward. The triangle shall contrast with the door or doorway,
either light on dark or dark on Bight. Each doorway leading to men"s restrooms and bathing rooms shall have a
geometric symbol mounted min. 58" -max. 60" above finish floor or ground, measured to the centerline of the
symbol. Where a door is provided, the geometric symbol sign shall be located within 1" of the vertical centerline
of the door. The edges of the geometric symbol signs shall be rounded, chafered, or eased. The corners of the
geometric sign shall have minimum 1/8" radius. Compliant signage with the International Symbol of Accessibility
{ISA} and tactile characters Indicating men's shall be provided. The ISA shall be a white figure on a blue
background. The blue shall be Color #15090 in Federal Standard 595B. [EXCEPTION: The enforcing agency
may approve other colors of light -on -dark or dark -on -light contrast.] Signage with the International Symbol of
Accessibility and Braille shall be located on the latch side of the doorway [EXCEPTION: Signs with tactile

Site Conditions
72-1/2" AFF measured to coat hooks in the city planning women's restroom. 65-1/4" AFF measured to coat hook
in city council chambers women's restroom.
Resolution
Install the coat hook within an allowable reach range. Unobstructed Forward Reach: Where a forward reach is
unobstructed, the high forward reach shall be 48" maximum and the low forward reach shall be 15" minimum
above the finish floor or ground. Obstructed High Forward Reach: Where a high forward reach is over an
obstruction, the clear floor space shall extend beneath the element for a distance not less than the required
reach depth over the obstruction. The high forward reach shall be 48" maximum where the reach depth is 20"
maximum. Where the reach depth exceeds 20", the high forward reach shall be 44" maximum and the reach
depth shall be 25" maximum. Unobstructed Side Reach: Where a clear floor or ground space allows a parallel
approach to an element and the side reach is unobstructed, the high side reach shall be 48" maximum and the
low side reach shall be 15" minimum above the finish floor or ground. [EXCEPTION: An obstruction shall be
permitted between the clear floor or ground space and the element where the depth of the obstruction is 10"
maximum.] Obstructed High Side Reach: Where a clear floor or ground space allows a parallel approach to an
element and the high side reach is over an obstruction, the height of the obstruction shall be 34" maximum and
the depth of the obstruction shall be 24" maximum. The high side reach shall be 48" maximum for a reach depth
of 10" maximum. Where the reach depth exceeds 10", the high side reach shall be 46" maximum for a reach
depth of 24" maximum.
