CONTRACT 4647D Amendment CLOSEDAgreement No. 4647D FOURTH AMENDMENT TO AGREEMENT NO. 4647 BETWEEN THE CITY OF EL SEGUNDO AND ENVIRONMENTAL SCIENCE ASSOCIATES INC. (FORMERLY PCR SERVICES CORPORATION) THIS FOURTH AMENDMENT ("Amendment") is made and entered into this 13th day of April, 2020, by and between CITY OF EL SEGUNDO, a California general law city and municipal corporation ("CITY") and ENVIRONMENTAL SCIENCE ASSOCIATES INC., a California corporation ("CONSULTANT"). Pursuant to Section 35 of Agreement No. 4647 ("Agreement"), Section 7 is amended to read as follows: "7. TERM. The term of this Agreement is extended to December 31, 2020. Unless otherwise determined by written amendment between the parties, this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit "A" (dated December 23, 2019), attached to this Fourth Amendment; B. Termination as stated in Section 15." 2. Pursuant to Section 35 of Agreement No. 4647 ("Agreement"), CITY agrees to pay CONSULTANT an additional amount of $5,240.00, resulting in a maximum not -to - exceed grand total of $510,315.00 for the preparation of the Environmental Impact Report (EIR) for the Continental Grand Campus Specific Plan. The additional amount of $5,240.00 includes additional out -of -scope work necessary to complete the EIR. As consideration, CONSULTANT agrees to perform the additional services listed in the attached Exhibit "A" (Letter dated December 23, 2019). This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 4. Except as modified by this Amendment, all other terms and conditions of the Agreement remain the same. The Agreement was signed in November 2015 and includes a scope of work dated November 2014, as modified through four subsequent amendments executed for the company name change, out of scope work associated with publication of the Draft EIR, and the preparation of a Partial Recirculated Draft EIR in response to comments received on the Draft EIR. This amendment request is provided to prepare the Findings and Statement of Overriding Considerations (SOC) for the Project in accordance with the California Environmental Quality Act (CEQA) Guidelines Sections 15091 and 15093 as preparation of the Findings and Statement of Overriding Considerations is not included in ESA's scope of work. The scope and cost for this effort are provided below. Scope of Work Preparation of Findings and Statement of Overriding Considerations: Based on input received in a recent team call, the 2004 Findings and SOC will form the basis for the Findings and SOCs for the Project. ESA will ensure that the Findings and SOCs are prepared in accordance with CEQA Guidelines Section 15091 and 15093. ESA will review the 2004 Findings and SOC and will update the conclusions based on the current EIR. In accordance with the Guidelines, the document will provide the written findings for each of the significant effects identified in the EIR, accompanied by a brief explanation of the rationale for each finding supported by substantial evidence that is contained in the EIR. In accordance with the Guidelines the SOCs will provide the specific reasons for approving the Project despite the significant unavoidable impacts relative to construction noise and traffic, balancing the economic, legal, social, technological, or other benefits of the project against its unavoidable environmental risks. The Findings will include the project design features, which will be incorporated into the project, as well as the mitigation measures. The Mitigation Monitoring and Reporting Program that will be adopted when the findings are made is included in Chapter 4 of the Final EIR and will be attached to the Findings and SOC. ESA will submit the draft Findings and SOCs to the City for review. ESA will revise the document based on City comments. One round of review and approximately 6 hours of time for revisions is assumed prior to finalizing the Agreement No. 4647D Mr. Eduardo Schornborn December 23, 2019 Page 2 Findings and SOC for City use. ESA assumes the City will prepare the resolution that will accompany the Findings and SOC.
